Trustees’ Annual Report For the Year Ended 30 June 2025
The trustees have pleasure in presenting their report together with the Financial statements and the independent examiner’s report for the year ended 30 June 2025.

Trustees
The previous Trustees all resigned at the last AGM (20 September 2023). Currently there are no Trustees although some members help in the maintenance of the Charity until such time as new Trustees come forward.
Structure Governance & Management
Constitution
The Charity is an unincorporated association. It is governed by its constitution which was adopted on 16 April 2004 and last amended on 14 August 2009. The Club was granted charitable status by OSCR on 19 April 2012.
Appointment of Trustees
An Executive Committee shall manage the activities of the Committee;
-
1 The Executive Committee shall be elected at the AGM and shall be composed of a minimum of four persons
-
2 Officers of the Executive Committee shall include Chairperson, Vice-Chairperson, Secretary, Treasurer and such others considered necessary
-
3 The Executive Committee shall meet at least six times a year
-
4 The Executive Committee shall, in the event of resignation by an Executive Committee member have powers to co-opt a replacement
-
i. An Executive Committee member may be deemed to have resigned their position if they fail to attend 3 consecutive Committee meetings. In such circumstances the Executive have powers invested in 6 d) to co-opt a replacement

5 Quorum. The presence of a third of the members with a minimum of three members.

6 All members of the Executive Committee shall retire annually but shall be eligible for re-election. 7 The Executive Committee shall have the powers to make and rescind rules for the internal management of the Committee and may delegate powers to sub-committees which shall adhere to the regulations imposed to the sub-committee
Management
The trustees are responsible for the strategic direction and governance of the activities of the Committee. They also call on other volunteers to assist with various activities throughout the year.

The purposes of the Committee is
-
1 the advancement of citizenship and community development, achieved through
-
1.i organising open to all fundraising events, such as race nights, bike rides etc which will involve members of the community in organising these activities as well as involving members of the community in attending these activities
-
1.ii organising open to all Gala week events, such as running/cycle races, beach activities, football games, netball game etc which will involve members of the community in organising these activities as well as involving members of the community in taking part in these activities
-
2 the advancement of the arts, heritage, culture or science, achieved through
-
2.i educating the children of North Queensferry of the history and origins of the name and site, the legacy of Queen Margaret and the origins of many of the sites and names within the village

2.ii celebrating and remembering the legacy of Queen Margaret through the re-enactment of the landing of Queen Maragaret. This will take the form of a gala procession from the village pier to Queen Margaret playing fields, the appointment of Gala King and Gala Queen (King Malcolm and Queen Margaret) as well as a Royal entourage, and the Gala pronouncement telling the story of the landing
Activities
The main activity of the organisation is to co-ordinate and manage the annual Gala for North Queensferry. Expenditure incurred for the Gala will be generated from charitable donations and fundraising events leading up to the Gala Day. Gala day will be held each year in the summer in the area of North Queensferry and consists of a number of attractions (e.g., rides, band, facepainting, tearoom).
Achievements & Performance
Following the 2023 Gala there were insufficient volunteers to run a 2024 02 2025 Gala. The Bonus Ball fundraiser was discontinued in December 2023 no other Gala activity took place in 2024 or 2025

Financial Review
The expected cost of Gala week is approximately £4,500 per year and our aim is to maintain a cash balance reserve of approximately this level to cater for any unexpected costs or income loss. We currently have a reserve in excess of this amount (£4,996). To generate £4,500 a year the Committee undertakes a series of targeted fundraising activities which have proved successful in the past.
There was no Gala held in 2024 or 2025 due to a lack of volunteers and the outgoing board had all resigned. It was decided to maintain the charity for a period to facilitate another Gala should sufficient volunteers come forward
Receipts Analysis
Fund Raising (£NIL vs 2024 £822) – The £822 relates solely to the Bonus Ball fundraiser which was discontinued in December 2023. No fundraising activities took place in the year ended 2025.
Donations and Sponsors (£69 vs 2024 £35) – The donation relates solely to a collection tin in the Wrights store as no other fundraisers were held. The Gala Committee are very appreciative of the support of all villagers through previous donations, raffle, Bonus Ball and supporting Gala events.
Payments Analysis
Fund Raising £NIL vs 2024 £606 this relates solely to Bonus Ball winners. The Bonus Ball fundraiser was discontinued in December 2023.
Donations and Sponsors (£1,000 vs 2024 £NIL) this relates to a £1,000 donation to the local playpark refurbishment. This donation was approved by the outgoing board in 2024.

Independent Examiner’s Report to the Trustees of North Queensferry Gala Committee
I report on the financial statements of the charity for the year ended 30 June 2025, which are set out on pages 6 to 8.
Respective responsibilities of Trustees and Examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 (“the 2005 Act”) and the Charities Accounts (Scotland) Regulations 2006 (as amended) (“the 2006 Regulations”). The charity’s trustees consider that the audit requirement of Regulation 10(1)(d) of the 2006 Regulations does not apply. It is my responsibility to examine the accounts as required under section (44)(1)(c) of the 2005 Act and to state whether particular matters have come to my attention.
Basis of Independent Examiner’s Statement
My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the view given by the accounts.
Independent Examiner’s Statement
In connection with my examination, no matter has come to my attention:-
1 which gives me reasonable cause to believe that, in any material respect, the requirements:-
– to keep accounting records in accordance with section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and
– to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations have not been met, or
2 to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

1. Basis of Accounting
These accounts have been prepared on the Receipts & Payments basis in accordance with the Charities & Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended).
2. Nature and purpose of funds
Unrestricted funds are those that may be used at the discretion of the trustees in furtherance of the objects of the charity. The trustees maintain a single unrestricted fund for the day-to-day running of the charity.
Restricted funds may only be used for specific purposes. Restrictions arise when specified by the donor or when funds are raised for specific purposes.

4. Trustees expenses and remuneration
No trustee received any expenses or remuneration during the year or last year.
