STRUCTURE GOVERNANCE & MANAGEMENT

Constitution

The charity is a Scottish Charitable Incorporated Organisation (SCIO). It is governed by its constitution which was adopted on the 8™ April, 2011. The Trust was granted charitable status by OSCR on 11" June 2011.

Appointment of Trustees

The Board of Trustees meet three times a year and are jointly responsible for the management of the Trust. Trustees are elected at the Annual General Meeting which is normally held in September. Under the constitution there must be a minimum of four and not more than seven elected trustees. The board may at any time appoint any member to be a charity trustee.

Management

The Board of Trustees is responsible for the strategic direction and governance of the Trust. Day to day administration is performed by the volunteer chair/secretary of the trust.

OBJECTIVES & ACTIVITIES

Charitable Purpose

To advance Scottish Highland heritage and culture for public benefit by preserving the historic vessel MV GLENACHULISH as the last working (or otherwise) turntable ferry in the Highlands.

Activities

The Trust’s sole purpose is to raise funds to restore and preserve the GLENACHULISH, a vessel of unique historical and cultural importance. The vessel

is owned bya social enterprise the Isle of Skye Ferry Community Interest Company (IoSFCIC). The Trust has nominateda trustee to sit on the Board of Directors of the IoSFCIC and be responsible for reporting back to the Trust on matters related to the preservation of the GLENACHULISH.

Achievements and Performance

Over the past twelve months the work of the trustees has been to identify and focus on future requirements for the next fifty-years, so as to fulfil our charitable purpose to preserve the historic vessel MV GLENACHULISH as the last working (or otherwise) turntable ferry in the Highlands. The biggest identifiable threat to our charitable aim is that the Kelvin T6 engine which quite literally is the ‘heart’ of the vessel could become impossible to repair. To ensure that this situation is averted the Trust is fundraising to acquire, and house in a specialist warehouse a spare engine and other essential mechanical parts. In this way we aim to increase the possibility for the Glenachulish to continue to be in working order for the next 50 years.

The charity has also reviewed all its policies and procedures to ensure that it meets the demands of the law, our Constitution and best practice and regulations as specified by OSCR.

FINANCIAL REVIEW

The charity is in a secure financial position. The charity continues to reach out to advance Scottish Highland heritage and culture for public benefit through social media, and face-to-face activities, and there is a ground swell of support for the aims of our charity both locally, nationally and internationally.

In 2012 the trustees’ were donated six prints of ‘Bella Caladonia’ signed by the artist Alasdair Gray and the First Minister for Scotland Mr. Alex Salmond. The trustees aim to retain three prints as an investment. Sadly, both the artist and the First Minister have now passed away. We continue to remember them and are grateful for all they did in helping our charity thrive and for their support of our historic vessel.

PLANS FOR THE FUTURE

As in previous years the trustees aim to remain focused on securing the longterm future of the Gleneachulish, and over the next year to continue to promote the work of the charity and the importance of preserving the last working turntable ferry through continued fund raising and grant applications. Our focus remains twofold: ensuring the vessel is in working order; advancing Scottish heritage and culture by further developing our archive which we also believe will create funds in the long term. {Independent Examiners Report to the Trustees of the Glenachulish Preservation Trust (SCOTTISH CHARITY No SC042367)

I report to the financial statements of the charity for the year ended 30" June 2025 which are set out on pages6 to 8.

Respective responsibilities of Trustees and Examiner

The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 (“the 2005Act”) and the Charities Accounts (Scotland) Regulations 2006 (as amended (“the 2006 Regulations”). The charity’s trustees consider that the audit requirement of Regulation 10(1)(d) of the 2006 Regulations does not apply. It is my responsibility to examine the accounts as required under section (44)(1)(c) of the 2005 Act and state whether particular matters have come to my attention.

Basis of Independent Examiner’s Statement

My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of[the][accounting][records][kept][by][the][charity][and][a][ comparison] of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the view given by the accounts.

Independent Examiner’s Statement

In connection with my examination, no matter has come to my attention:-

  1. which gives me reasonable cause to believe that, in any material respect, the requirements:-

  2. a. to keep accounting records in accordance with section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and

  3. b. to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations have not been met, or

  4. to which, in my opinion, attention should be drawn in order to enable a proper understanding of[the][accounts][to][be][reached.]
