Structure, governance and management
The charity is an unincorporated body. The deed of Declaration of Trust was signed on 26 January 2007. The trust deed under which the trust is constituted provides that the number of trustees shall be not less than two and not more than eight. Where it becomes necessary or it is considered appropriate to appoint a new trustee, the existing trustees shall identify a suitable person who shall be approved at a meeting of the existing trustees.
Meetings of the trustees must comprise at least two trustees or 50% of the board of trustees, whichever is the greater. The trustees may appoint an honorary secretary and an honorary treasurer should they consider it appropriate for the effective management of the trust. It has not been considered necessary to appoint an Honorary Secretary or Treasurer.
The trustees have wide discretion in the general running of the trust, subject to the condition that the trust must act for a charitable purpose within the meaning of the Income and Corporation Taxes Act 1988, the Charities and Trustees Investment (Scotland) Act 2005, and in line with the trust deed.
The trustees meet not less frequently than once a year, with further meetings being held as required. During the year the trustees changed the name of the trust from Border Biscuits Community Support to Border Biscuits John Cunningham Trust.

Structure, governance and management (continued)
The trustees have considered the major risks to which the charity is exposed and have reviewed those risks and established systems and procedures to manage those risks.
Objectives and activities
The trust is a registered Scottish charity. Its objectives are to provide financial support to initiatives and activities mainly in the Lanark area and beyond. It has been established to help Border Biscuits Limited to become involved with the local community through financial support, active participation and employee involvement. The trust supports good causes and activities across a wide range of areas and categories such as sports, arts, heritage, learning, events, leisure and digital. It is intended that these initiatives will have the added benefit of encouraging the involvement of Border Biscuits Limited employees in some of the projects it supports, where appropriate.
The trustees have wide discretion when considering providing support. There are, for example, many voluntary organisations in the Lanark area which operate on very low levels of funding and to which the trustees will consider providing funds.
The trust will also consider as an exception to provide support for individuals experiencing hardship. The circumstances under which such support may be provided are wide and at the discretion of the trustees, whilst remaining true to the charity’s objectives and within the terms of the trust deed.
Achievements and performance
Border Biscuits Limited donates 10% of its post-tax profits to the trust. During the year ended 31 December 2024 the trust received donations of £257,041 (2023: £178,486).
Grants of £44,832 (2023: £42,073) were awarded to local organisations.
The grants awarded supported a variety of smaller local groups - sports, cultural and social organisations. The main criteria used in deciding which good causes to support is that the recipient is based either in Lanark and/or has a close connection to Border Biscuits Limited. The Trustees believe this enables the trust to make a more meaningful contribution to its own Community.
The trustees continue to seek out suitable recipients of funding and to solicit requests for funding from organisations and individuals.

Financial review
The financial statements of the trust are set out in the following pages. The trustees accept the results for the year.
During the year total income amounted to £260,738 (2023: £180,742), whilst expenditure amounted to £51,031 (2023: £44,222). Consequently, a net surplus of £209,707 (2023: £136,520) has been reported.
Reserves Policy
The trustees aim to maintain sufficient free reserves in unrestricted funds so as to enable them to consider a wide range of initiatives which may be suitable for financial assistance at various levels. Reserves at 31 December 2024 amounted to £520,154 (2023: £310,447).
The trustees are satisfied that the level of reserves is sufficient to meet with this objective. The designated fund shows funds set aside for awards committed but not yet payable and has a balance of £nil (2023: £40,000) at the year end. These funds are paid out in accordance with the terms and conditions of the award.
The trustees aim to continue the usual level of funding for the many smaller community initiatives that seek support.
The funds of the charity are applied solely for the promotion and furtherance of its aims and objects. The trustees' principal investment aim is to safeguard the charity's reserves. To this end a low-risk bank deposit account is utilised.
Plans for future periods
In the coming year the trustees will continue to seek out both donations to the trust and potential recipients for support.
In particular the trust will continue its support of local good causes.

I report to the trustees on my examination of the financial statements of Border Biscuits John Cunningham Trust ('the charity') for the year ended 31 December 2024.
Responsibilities and basis of report
As the trustees of the charity you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities and Trustee Investment (Scotland) Act 2005 (the '2005 Act') and the Charities Accounts (Scotland) Regulations 2006 (as amended). You are satisfied that your charity is not required by charity law to be audited and have chosen instead to have an independent examination.
I report in respect of my examination of the charity's financial statements as carried out under section 44(1)(c) of the 2005 Act. In carrying out my examination I have followed the requirements of Regulation 11 of the Charities Accounts (Scotland) Regulations 2006 (as amended). To the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the charity and the charity's members as a body, for my work, for this report, or for the opinions I have formed.
Independent examiner's statement
Since the charity has prepared its accounts on an accruals basis your examiner must be a member of a body listed in Regulation 11(2) of the Charities Accounts (Scotland) Regulations 2006 (as amended). I can confirm that I am qualified to undertake the examination because I am a registered member of ICAS which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention giving me cause to believe that in any material respect:

1. General information
The charity is a registered charity in Scotland and is unincorporated.

2. Statement of compliance
These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Charities and Trustee Investment (Scotland) Act 2005 and the Charity Accounts (Scotland) Regulations 2006 (as amended).
3. Accounting policies
Basis of preparation
Border Biscuits John Cunningham Trust meets the definition of a public benefit entity under FRS 102.
The financial statements have been prepared on the historical cost basis.
The financial statements are prepared in sterling, which is the functional currency of the entity.
Going concern
There are no material uncertainties about the charity's ability to continue.
Taxation
The trust is recognised as a charity for the purposes of applicable taxation legislation and is therefore not subject to taxation on its charitable activities. The charity is not registered for VAT and resources expended therefore include irrecoverable input VAT.
Judgements and key sources of estimation uncertainty
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported. These estimates and judgements are continually reviewed and are based on experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances. Actual results may differ from these estimates.
The trustees are of the opinion that there are no matters of significant judgements, estimates or assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities in the next financial year.

Fund accounting
Funds are classified as either restricted funds or unrestricted funds, defined as follows.
Restricted funds are funds subject to specific requirements as to their use which may be declared by the donor or with their authority or created through legal processes, but still within the wider objects of the charity.
Unrestricted funds are expendable at the discretion of the trustees in furtherance of the objects of the charity. If parts of the unrestricted funds are earmarked at the discretion of the trustees for a particular purpose, they are designated as a separate fund. This designation has an administrative purpose only and does not legally restrict the trustees’ discretion to apply the fund.
Income
All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income:

Income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably.

Income from donated goods is measured at the fair value of the goods unless this is impractical to measure reliably, in which case the value is derived from the cost to the donor or the estimated resale value.

Donated facilities and services are recognised in the accounts when received if the value can be reliably measured. No amounts are included for the contribution of general volunteers.

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.
Expenditure
Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates.
Grants payable are payments made to third parties in the furtherance of the charitable objects of the Trust. In the case of an unconditional grant offer this is accrued once the recipient has been notified of the grant award. The notification gives the recipient a reasonable expectation that they will receive the one-year or multi-year grant. Grants awards that are subject to the recipient fulfilling performance conditions are only accrued when the recipient has been notified of the grant and any remaining unfulfilled condition attaching to that grant is outside of the control of the Trust.
Provisions for grants are made when the intention to make a grant has been communicated to the recipient but there is uncertainty as to the timing of the grant or the amount of grant payable.

Financial instruments
A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument.
Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.
Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted.
Debt instruments are subsequently measured at amortised cost.
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date. If there is objective evidence of impairment, an impairment loss is recognised under the appropriate heading in the statement of financial activities in which the initial gain was recognised.

The general fund is available to the charity for its grant making activities.
The designated grants committed fund shows amounts already committed to organisations but not yet paid out. In 2019, the charity committed £200,000 in total to Discover Lanark to be paid over five years. The final instalment of this commitment was paid during the year.

The trust benefits greatly from the involvement and enthusiastic support of its volunteers, who oversee the general running of the charity. In accordance with FRS 102 and the Charities SORP (FRS 102), the economic contribution of general volunteers is not recognised in the accounts.
15. Related parties
and are directors of Border Biscuits Limited.
Border Biscuits Limited donates 10% of its profits to the charity and is the primary source of the trust's income. This equated to £257,041 for 2024 (2023: £178,486). During the year Border Biscuits Limited (BBL) paid £50,982 on behalf of the charity. At the year end BBL owed the charity £31,070 (2023: £25,011).
The trustees are considered to be the key management personnel of the charity and as such any remuneration is disclosed in note 9.
