STRUCTURE, GOVERNANCE AND MANAGEMENT

Constitution

The Charity is a Scottish Charitable Incorporated Organisation (a SCIO) with a two tier structure. It was registered in its current legal form on 15 July 2020. The charity was previously a Company Limited by Guarantee. The assets of the Company Limited by Guarantee were transferred to the SCIO on 15 July 2020.

Recruitment and Appointment of Trustees

The Trustees are elected by members at the annual general meeting. Up to three Trustees may be co-opted by the elected Trustees.

Kilmaronock Community Trust is a Scottish Charitable Incorporated Organisation governed by its constitution.

CHARITABLE PURPOSES

The Organisation’s main purpose is consistent with furthering the achievement of sustainable development. The Organisation’s purposes are:

RECRUITMENT AND APPOINTMENT OF TRUSTEES

The Trust had six Trustees, two of whom stand down each year. This year Bob Shand and Sam Morrison stood down. Bob indicated that he would also be standing down as Chairman after five years in the role, but he would be willing to serve for another year as a coopted Trustee. John Struthers was proposed as Chairman. Rob Vincent was co-opted as a Trustee following the AGM

MEMBERSHIP

KCT had 26 full members in the current financial year.

ACTIVITIES AND ACHIEVEMENTS

Having completed and registered the Kilmaronock Local Place Plan in May 2024, our focus turned to taking action. Among the projects that KCT intend to pursue and which are included in the LPP are: providing information and help for the community to move to renewable energy sources, improving the network of footpaths and wheeled access routes within Kilmaronock and to & from adjoining places such as Balloch and Drymen, looking at ways we may be able to help with affordable housing and tackling the climate & biodiversity crisis.

An opportunity arose for CARES Community Building grant funding in June 2024 and KCT worked with KMA to investigate reducing the carbon footprint of Kilmaronock Millenium Hall. The funding bid was withdrawn, just as the team were finalising the application. However the work was not in vain, since The CARE Community Generating grant opened in June 2025, and a joint project between KCT, KMA & Gartocharn Trust, Gartocharn Community Solar Project received funding in August 2025, to establish a 92kw solar array, with 36kw battery storage, in the field beside the KMH Carpark. The overall cost is estimated at £109,325, with funding of £88,516 from CARES, £16,000 from Forth Valley Lomond Community Development, and the remainder from KCT and KMA. The installation will meet the majority of the electricity use of the hall, and excess will be sold by KCT as owners of the system. We will establish a fund for community benefit to help with implementing the Local Place Plan, which may received £8k per annum from the sale of electricity. The project has to be completed by March 2026.

Footpath projects: There is finally progress on Aber path, with Friends of Loch Lomond having achieved funding from LLNTP and agreement with the land-owner to repair the bridge. Communication with FoLL and KCT/KCC has been poor, and at time of writing we don't have full details of their plans.

Trustees attend meeting held by LLTNP on developing their Local Development Plan. Strong representation was made that splitting KCC area between South West and South East regions of the park was not acceptable, that KCC should be included with other rural areas in SE.

The Trust received the remaining funds from Gartorag and took on responsibility for paying for Gartocharn.org web domain.

Two payments received this financial year - £73. 75 for 2023/24 and £75.08 for 2024/25

RESERVES

The Trust had a surplus of £576.33 in the year ended 31 August 2025 and this has been added to our reserves. The reserves at the year-end are £6,756.34 of which £941 .38 is restricted for use on Aber Bridge repairs.

The Trust will continue to seek funding for projects from various sources when the opportunities arise.

RESPECTIVE RESPONSIBILITIES OF TRUSTEES AND EXAMINER

The charity’s Trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity Trustees consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.

BASIS OF INDEPENDENT EXAMINER’S STATEMENT

My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, | do not express an audit opinion on the view given by the accounts.

INDEPENDENT EXAMINER’S STATEMENT

In the course of my examination, no matter has come to my attention

  1. which gives me reasonable cause to believe that in any material respect the requirements:

2 NATURE AND PURPOSE OF FUNDS Unrestricted funds are those that may be used at the discretion of the Trustees in furtherance of the objects of the charity. Restricted funds may only be used for specific purposes. Restrictions arise when specified by the donor or when funds are raised for specific purposes.

3 RELATED PARTY TRANSACTIONS The Club's insurance policy includes Trustee Indemnity Insurance for all its Trustees. No other remuneration was paid to the Trustees or any connected persons during the year (2024: fnil)
