Trustees’ Annual Report
STRUCTURE GOVERNANCE AND MANAGEMENT
Dynamic Woods was previously a company limited by guarantee and registered with Companies House. On 13 January 2017, it was converted to a Scottish Charitable Incorporated Organisation (SCIO), governed by its constitution effective from the same date and registered solely with the Office of the Scottish Charity Regulator (OSCR).
Appointment of Trustees
The trustees retire at each annual general meeting but are eligible for re-election. The trustees may appoint additional trustees at any time. The constitution provides for a minimum of three and a maximum of nine trustees.
Organisational Structure
The day-to-day administration of the charity is performed by the subsidiary company.
Related Parties
The charity owns the entire issued share capital of Dynamic Woods – Scottish Wood Ltd (Company No SC213622) (“Scottish Wood”) comprising of 100 ordinary shares of £1 each fully paid. No reliable value is available for this investment. All surplus funds in Scottish Wood, beyond what is required to run the company, are donated to the charity.
Risk Management
The charity is heavily dependent on the profitability of Scottish Wood for its funding. Whilst the charity’s aim is to spend around £5,000 per annum on its activities, this can be greater or less depending on the annual payment from Scottish Wood.
OBJECTS & ACTIVITIES
The organisation’s purposes are:

The advancement of education;
-
The provision of recreational activities with the object of improving the conditions of life for the persons for whom the facilities are primarily intended; and
-
The advancement of environmental protection or improvement.
In furtherance of the above, the charity’s objects are to promote the maintenance, conservation, and management, within Fife, Scotland and even abroad, of predominately native flora and fauna by the carrying out of woodland and/or countryside management programmes for environmental, educational and/or training purposes including:

maximising the potential of woodlands in a holistic, practical and sustainable way;
-
• bringing together all those who have an interest in realising the full potential of woodland resources for the benefit of the public and the environment; and
-
educational projects concerning sustainable woodland resources and related issues.

As well as providing grants to local groups and individuals, the charity runs a number of projects including:

Scottish Wood project - providing a working example of environmental use of local timber resources;

Inzievar Woods - enabling community access and use of local woodland, piloting projects in the woodlands, which can then be used elsewhere; and
-
Project support - help in kind for individuals and groups to take an idea forward from conception to finished project, or to a stage where they are happy going alone.
ACHIEVEMENTS & PERFORMANCE
Over the year Dynamic Woods has offered support, encouragement, and practical help to a range of projects and groups. Dynamic Woods’ aim is to help facilitate local groups in making more use of the woodland. This can mean providing administrative support, funding help or practical assistance.
Dynamic Woods has a grant distribution scheme to help further our aims and involve more people and groups in woodlands and woodland products (mainly timber). The grants have been targeted at different types of groups to help ensure that local, national and international objectives can benefit.

Inzievar Woods:
Inzievar Woods continues to be a popular place for a wide range of people. The community orchard is producing fruit, which is being picked and used by locals.

Group visits throughout the year:
There has been training and community events in the woods this year. These projects were self-funded by the participants. Dynamic Woods gives practical support in organising and setting up these events and covers the cost of public liability insurance.

Supported with staff time and saplings to planting projects in Fife and Perthshire
Scottish Wood:
Scottish Wood continues to provide a working example of how to make profitable use of local timber. It hosts visits from various interested parties including local colleges, landowners, and related industries (such as architectural, conservation etc), showing aspects of sustainable timber use, biomass boilers and the use of timber for environmental buildings, as well as information about how this can be done as a social enterprise.

FINANCIAL REVIEW OVERVIEW
The charity’s principal source of income is a donation under Gift Aid from its subsidiary trading company with the principal expenditure being its grants programme.

Donated facilities and services
Scottish Wood, the charity’s subsidiary company, provides administrative facilities and staff times for the day to day running of Dynamic Woods.
Reserves policy
Reserves at the end of the financial year were £75,670.95 (2024: £123,438.62). The trustees believe that this is a sufficient level of reserves to hold in order to meet its grant programme for a further year.
FUTURE PLANS
The charity intends to continue with its grant making programme and other activities in support of its objectives for the foreseeable future; however, this is dependent on continuing contributions from Scottish Wood.

Independent Examiner's Report to the Trustees of Dynamic Woods
I report on the accounts of the charity for the year ended 31 March 2025, which are set out on pages 8 to 10.
Respective responsibilities of Trustees and Examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the
Charities and Trustee Investment (Scotland) Act 2005 ("the 2005 Act") and the Charities Accounts (Scotland) Regulations 2006 (as amended) ("the 2006 Regulations"). The trustees consider that the audit requirement of Regulation (10)(1)(d) of the 2006 Regulations does not apply.
It is my responsibility to examine the accounts under section (44)(1)(c) of the 2005 Act and to state whether particular matters have come to my attention.
Basis of Independent Examiner's Statement
My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
Independent Examiner's Statement
In connection with my examination, no matter came to my attention: -

which gives me reasonable cause to believe that in any material respect, the requirements

to keep accounting records in accordance with section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and

to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations have not been met, or

to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

Notes to the Financial Statement
1. Basis of Preparation
These accounts have been prepared on the receipts & payments basis in accordance with:

(a) The Charities and Trustee Investment (Scotland) Act 2005

2. Fund Accounting

(a) Unrestricted funds are those that can be expended at the discretion of the trustees in the furtherance of the objects of the charity.

(b) Restricted funds are those that may only be used for specific purposes. Restrictions arise when specified by the donor, or when funds are raised for specific purposes.
All the charity’s funds are currently unrestricted.
3. Taxation

(a) The charity is not liable to corporation tax or capital gains tax on its charitable activities.

(b) The charity is not registered for VAT; thus, all costs are shown inclusive of VAT charged.
4. Trustee remuneration
No remuneration was paid to trustees during the year or in the previous year.

No expenses were reimbursed to the trustees during the year in the previous year.
