STRUCTURE GOVERNANCE AND MANAGEMENT
Governing Document
The Charity is an unincorporated association. It is governed by its constitution. The association was granted charitable status by OSCR on 26th February 1997.
Appointment of Trustees
The management committee, which normally meets monthly, are the charity’s trustees. Membership of the management committee is open to all parents and guardians of children attending the school and school staff. Members are encouraged to volunteer to become trustees at the Annual General Meeting, which is normally held in September.
Under the constitution, there must be a minimum of six and not more than twenty trustees. An election of trustees is only required if the maximum number of trustees is exceeded. Up to five staff members may serve on the board at any one time and they shall be elected by members of staff of the school. Between Annual General Meetings the trustees may fill any vacancies on the committee by co-option, if they consider it in the interests of the charity to do so, subject to no more than two co-opted members being persons who are not members of the charity.
Organisational Structure
The charity is a two-tier structure where the trustees are separate from the members.

Objects & Activities
To advance the education of the pupils attending St Ninians Primary School by providing or assisting in the provision of facilities for education at the schools which are not normally provided by the local education authority and ancillary thereto and in furtherance of this, the charity aims to:

Foster more extended relations between the staff, parents and others associated with the school, and
-
Engage in activities which support the school and advance the education for the pupils attending.
St Ninians Primary Parent Teacher Association (PTA) runs various events throughout the year to raise funds for the school or to support school activities.
Achievements & Obstacles
The last school year was another strong year for the PTA. We had a full year with our office-bearers in place which brought welcome stability to the committee.
We were delighted to host a Halloween Disco for the children once again. Our Christmas Raffle was another success in late 2024. Our Summer 2025 Fete took slightly less profit (2025 £4,322) than last years (2024 £4,924) perhaps due to poor weather and higher costs. We also again hosted additional events this year: an art competition at open evening, a family quiz, ceilidh, bake sale and a refreshments stand at sports day. These had dual benefits of strengthening the school community and raising funds for the school.
We also raised £1,526 in donations for a defibrillator. The donation for this was passed to the school promptly.
The fundraising profits, which amounts to £6,797 after retaining reserves of £2,000, will be donated to the school. The school will spend our donation on the coach transport for the primary 7’s Dalguise trip, coaches for the full school to see a panto at the MacRobert centre, the family communication platform SeeSaw and further enhancements for the playground.
FINANCIAL REVIEW
Overview
St Ninians PTA’s main source of funding continues to be from fundraising. There were no restricted receipts during the accounting year.
Fund Raising
The main activity of the charity is hosting fundraising events to raise funds for the School. This year the Trustees raised a total of £9,639 (net of floats and expenditure) (2024: £7,080) through events. The charity had a deficit of £623 for the year (2024: (£2,500)).
Reserves Policy
St Ninians Primary Parent Teacher Association has reserves of £8,796 (2024: £9,419). The Trustees have considered that the float and running costs of the fete represent an appropriate level of reserve, and so £2,000 would allow delivery of the main fundraising event in the coming year, and the remaining funds will be donated to the school.
FUTURE PLANS
Looking ahead to 2025/2026, the charity will focus on:

Encouraging new members to join and be active participants in the charity, and to encourage more members to consider joining the board of trustees.

Reviewing the fundraising events held during the year.
-
Building engagement with the wider school community by more events, and stronger social media presence.
-
Investing in a card reader machine to make it easier for families to pay us.
-
Continuing to diversify revenue streams for fundraising.

Independent Examiner's Report to the Trustees of St Ninians Primary Parent Teacher Association
I report on the accounts of the charity for the year ended 31 July 2025, which are set out on pages 6 to 8.
Respective responsibilities of Trustees and Examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 ("the 2005 Act") and the Charities Accounts (Scotland) Regulations 2006 (as amended) ("the 2006 Regulations"). The trustees consider that the audit requirement of Regulation (10)(1)(d) of the 2006 Regulations does not apply. It is my responsibility to examine the accounts under section (44)(1)(c) of the 2005 Act and to state whether particular matters have come to my attention.
Basis of Independent Examiner's Statement
My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
Independent Examiner's Statement
In connection with my examination, no matter came to my attention:-

which gives me reasonable cause to believe that in any material respect, the requirements

to keep accounting records in accordance with section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and

to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations

NOTES TO THE FINANCIAL STATEMENTS
1. Basis of Preparation
These accounts have been prepared on the receipts & payments basis in accordance with: (a) The Charities and Trustee Investment (Scotland) Act 2005
- (b) The Charities Accounts (Scotland) Regulations 2006 (as amended)
There have been no changes to the basis of preparation or to the previous year’s accounts.
2. Fund Accounting

(a) Unrestricted funds are those that can be expended at the discretion of the trustees in the furtherance of the objects of the charity.

(b) Designated funds are unrestricted funds that the trustees have set aside for particular purposes. The designation is administrative only and does not restrict the trustees’ ability to apply the funds.

(c) Restricted funds are those that may only be used for specific purposes. Restrictions arise when specified by the donor, or when funds are raised for specific purposes. There was no restricted funding during the accounting year.
3. Taxation

(a) The charity is not liable to income tax or capital gains tax on its charitable activities.

(b) The charity is not registered for VAT, thus all costs are shown inclusive of VAT charged.
4. Transactions with trustees and related parties

(a) No remuneration was paid to trustees or any persons connected with them during the year (2025: £Nil).

(b) No expenses were reimbursed to the trustees during the year (2025: £Nil).

8. Donation to School
Each year St Ninians Primary Parent Teacher Association fundraise to be able to provide funds to the School. This year the charity donated £9,441 (2024: £4,580)
