## **Recruitment and appointment of Trustees**
All of the Association’s trustees are appointed or reappointed by the members at our annual general meeting, which is held in September of each year.
## **Governing document**
The Association is a charitable unincorporated association and the purposes and administration arrangements are set out in our constitution.
## **Charitable purposes**
As recorded in our constitution, The Hall shall be held by the Trustees for the purpose of physical and mental recreation and social, moral and intellectual development through the medium of reading and recreation rooms, library, lectures, classes, recreation and entertainments, or otherwise as may be found expedient for the inhabitants of the Village of Bishopmill and its immediate vicinity without distinction of sex or of religions, political or other opinions.
## **Activities and achievements**
During the year, the Association worked with Tsi Moray to review and
strengthen our governance arrangements. This included updating the constitution to ensure it remains fit for purpose and aligned with current best practice, as well as introducing formal policy documents covering financial management and conflicts of interest. These changes were made to improve transparency, accountability, and good governance within the charity. These were approved at our AGM September 2025.
Funding was secured from Moray Local Action Group to allow us to transition our lighting to LEDs throughout the useable building space and to upgrade our old heating fans in the main hall to updated efficient models - providing our community with a brighter, safer and warmer environment.
We received fantastic news from the Elgin Neighbourhood Board, that our application for improvement works was approved. During the coming years, the Association anticipate to benefit from the regeneration funding delivered through the Elgin Neighbourhood Board, which is overseeing a long-term programme of approximately £20 million investment in Elgin. The Board brings together community representatives and partner organisations to support improvements to local facilities, strengthen community activity, and promote social and economic wellbeing. This support will contribute to the ongoing development and sustainability of Bishopmill Hall for the benefit of the local community.
A fundraising Hogmanay event initiated and ran by new committee members Mr & Mrs MacDonald, raised £374 and the Elgin Elves donated £200 for the use of our Community kitchen and Supper Room for their annual Christmas lunch for those who would otherwise be alone.
With the continued increase in hall bookings for the year , we were able to achieve a fantastic £6914 profit.

## Basis of independent examiner’s statement
My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
## **Independent examiner’s statement**
In the course of my examination, no matter has come to my attention [other than disclosed below*]
1. which gives me reasonable cause to believe that in any material respect the requirements: to keep accounting records in accordance with Section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations have not been met, or
2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
