## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity was incorporated under a Memorandum of Association on 4 January 1995 under the name “Friends of the Beatson” (charity number SC023243) and is governed under its Articles of Association. 

## **Appointment of trustees and decision making** 

The directors have a well-developed understanding of the company’s business and, collectively, of applicable law and finance. Any new charity directors are appointed by the existing directors and would be assessed for any initial training needs prior to taking up the role before being taken through the role and the charity’s main activities. 

## **OBJECTIVES AND ACTIVITIES** 

The constitutionally stated purposes of the charity are as follows:- 

“ _The objects for which the company is established are to provide support, comfort, help and relief to persons who are patients of or are otherwise undergoing, or have undergone, treatment at the Beatson Oncology Centre Glasgow and to provide support, comfort, help and relief for their families and carers, and generally to do any act or provide any service conducive or ancillary to the foregoing and in furtherance of such objects.”_ 

## **ACHIEVEMENTS AND PERFORMANCE** 

The charity was dormant throughout the year. 

## **FINANCIAL REVIEW** 

The charity was dormant throughout the year and, as such, maintains reserves of £nil (2024: £nil). 

## **FUTURE PLANS** 

The charity will remain in existence for the foreseeable future to allow any significant unexpected donations or legacies to be received.  The charity will be formally wound up at some point in the future.

The company was dormant throughout the financial year. 

For the year ended 31 March 2025 the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies. The member has not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006. The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts. 

The unaudited financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime.
