The charity is a company limited by guarantee incorporated on 28 February 2006. It assumed the
activities. assets and liabilities of the Fife Christian Counselling Centre. an unincorporated charitable
trust. The charity changed its name from Frfe christs.an Centre to the Charis Foundation on 11
December 2006. The charitable company is regulated by the offi.ce of the Scoth"sh Charity Regulator.

The Director5 of the charity are also charity trustees for the purposes of charity law and are seletted
from those people with an interest in the Jrtivib"es of the charity who have the appropriate skills and
abilthes.
Trustee induction and trainin
New trv5tees will be given information in relation to the work of Chari5 Foundation and given a tour
of the premises. In addits"on, they will be advised to study various web51te5 including those of the
Charity Commission and the Oflice of the Scottish Charity Regulator.

The day to day running of the Foundation is the responsibility of the Leadership Team which is made
up of S members13 of whom are on the board). comprising the Treasurer, the Foundatr'on Coordinator,
the Counselling Manager. the Lead Tutor for the Trainin8 Centre and one other board member. The
team meet monthly. and report quarterly to the board of directors. who have overall responsibility.
The Centre is open for counsel11￿ on a Monday. Wednesday and Friday with the Counselling Manager
and Receptionist present at all times. Trained counsellors gift their time, with a maximum of 3
counsellors present each day. seeing up to 4 clients each per day. The Counselling Manager has day to
day responsibility for overseein8 the counsellin8 work and suppotting the Counsellors and the
Administrator.
Charis Training offers a high standard of counsellingtraining whith is accredited by the Counselling and
Psychotherapy Central Awarding Body ICPCABI. These courses offer 3 progression route which tan
lead to an Open UniveT5ity Foundats"on De8Tee in Counselling.
The Executive Committee consists of Chairperson, Secretary, Treasurer and two more Director5. The
Board of Directors meet three times yearly to oversee decisions made and have overall fi.nancial
responsibility for the accounts.

Charis Foundation exists to provide a counselling service to those in need, regardless of Social status,
race, religious or philosophical belief. Since January 2023, clients have been requested to make
voluntary donatr.ons for each session, however, provision of the service remain5 free to those who are
unable to make a th'nanci31 contribution.
The second aspect of the Charis Foundation is to provide CPCAB accredited counselling Training Levels
2, 3 & 4 culminating in Charis Diploma in Therapeutic Counselling.
The thlrd aspect of Charls Foundation Is to offer Chrlstian retreats deslgned to sult Indlvldual
requirements.

Overview
During the financial year 2024125 the directors recognised that the way that The Charis Foundation
was funded was no longer sustainable. For many years Charis had relied upon Counsellors giving their
time to the organisation for free and others lincludin8 churches) giving financially to support of the
work. This was not a sustainable way forward as changes in the counselling profession made it
increasingly difficult to tind volunteer counsellors and the income from donations didn't keep pace
with increasing costs.
The training provision did generate net income forthe widerworkof the organisation but was hit badlv
by Covid and never properly recovered (see below). Consequently, looking at our financial reports and
future financial predictions, the board considered that our income would not be enough to ensure that
the organi5ation would remain 50fvent.
The Directors met regularly to look forother sovTce5 of funding thatwould secure the long-term future
of the Foundation. This proved difficult due the current linancial situation including con51raints faced
by Local Government and the NHS.
During the linancial year 2023124the Directors agreed that the cost of trainingwould have to increase.
The Charis Foundation had been in a position to offer training courses at very low cost to students.
However, the need for a new business model and a review of costs has meant course fees had to rise
signilicantly for the Diploma course to remain viable. However. the result was that the take up for the
training course reduced and it became unsustainable to run.

The Directors had to make the difficult decision that The Charis Foundation would have to close
completely. This was a decision that was not made easily. as the Directors recognised the impact this
would have on the people who relied upon the service.
The Directors made the decision to close the Foundation in an orderly manner, ensuring that client5
who had started their course of counselling would be able to fi.nish their se55ion5. This wa5 a
particularly tlifficult time as the waits.ng list was skn.ll around 40 people.
The only substantial asset the Charis Foundab"on had was the counselling buildin8, so the decision was
taken to put the building up for Sale on the open market. Any funds reali5ed from thi5 sale would pay
off any debt5, and any 5urplv5 would be dispersed in accordance with our Consts"tutiOn.
The Training Manager continued to oversee the counselling service until it finally closed in November
2024. Following that, the Training Manager and the Administrakn"ve Assistant did all nece55ary close
down procedures ensuring that GDPR re8ulatr.ons were followed.
At the end of ihe financial year 2024125 the building was still forsale on the open market. The Director5
have encountered problems with Land Registry details which has complicated the sale process.
Counsellin
The Counsellin8 Manager. also a qualified Counsellor. had overall responsibility forthe safe and ethical
practice of the counselling service. When The counselling manager left. the trainin8 mana8ertook over
this role and ensured the ethical practice of the counselling service.
During this period demand for counselling was still high. At the start of April 2024. we continued to
work as normal. but soon after started to work on a close down plan. 36 clients per week dropped until
all clients had received their sessions in November 2024.
Early in the financial year The Dirertors made the decision not to take on any new clients and help
Ihose on the waitr"n8 list to seek alternats.ve counselling Servi￿S.
All donor5 were contarted to inform them that the 5eTvice would be closing.

one-off solution focused therapy sessions.

With the decision to wind the charity down being made. the Trustees are sats'sfied that they can meet
their remaining liabilities when they fall due. Unrestricted reserves of £25,57612024'. £41.1561 were
held at the end of the year which is well in excess of this at present.
Plans for future periods
The Director5 have beerh working to close down The Charis Foundation in an orderly fashion. The
director5 have met regularly to agree a way forward.
The Charis Coun5ellin8 buildin8 was fi.nally 501d in September 2025, the sale having been delayed owing
to difhculties with the land registry entry of the adjacent propertv.

I report to the trustees on my examination of the financial statements of Charis Foundation I'the
charity'l for the year ended 31 March 2025.
Responsibilities and basis of report
As the trustees of the company land also it5 dirertors for the purposes of company lawl you are
responsible forthe preparation of the h'nancial statements in accordance with the requirements of the
Charities and Trustee Investment Iscotlandl Act 2005 I'the 2LK)5 Act'l, the Charitr"e5 Accounts
(Scotlandl Regulatr"ons 2(K16 las amended) and the Companie5 Act 2006 I'the 2(K16 ACYI. You are
5ats"5fi"ed that the accounts of the company are not required by charity or company law to be audited
and have chosen instead to have an independent examinakn"on.
Having satisfied myself that the accounts of the company are not required to be audited under Part 16
of the 2006 Act and are eligible for independent examination, I report in respect of my examination of
the charity's accounts carried out under section 44llllcl of the 2005 Act. In carrying oul mv
ex3minatr.on I have followed the requirements of Regulation 11 of the Charities Account5 (Scotlandl
Regulations 2006 las amended).

These financial statements have been prepared in compliance with FRS 102, 'The Financial
Reporbng Standard applicable in the UK and the Republic of Ireland., the Statement of
Recommended Pr3thce applicable to charities preparing their accounts in accordance with the
Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021 (Charities

Income tax
The charity is exempt from tax on income and gain5 falling within section 50511) of the Taxes Act
1988 or section 252 of the Taxation of Chargeable Gains Act 1992 to the extent that these are
applied to its charitable objects.

Unrestricted general funds, which can be used in accordance with the charitable objective5
at the discretion of the trustees.
Restricted funils, which are funds that can only be used foi a particular restricted puipose
within the objectives of the charity- Restrictions arise when specified by the donor or when
funds are raised for particular restricted purposes.
