TS STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing Document
The governing document is the national Memorandum & Articles of Association (Constitution) of the Boys’ Brigade (hereafter referred to as the BB). This is the legal document that governs the National Organisation and contains a number of clauses that are recommended by the Charity Commission. This document is primarily aimed at governing the National Organisation and the essential work by Companies on a day to day basis is set out in the Regulations detailed above.
Trustees
The Leaders of the Company are all Trustees of the charity. During the year 1 Trustee was removed from company due to resignation (see the appendix attached).
Objectives and Activities
The BB was founded in Glasgow in 1883 as a worldwide Christian organisation for boys and now accepts girls. The collective name given to members of both genders is “young people”. The Mission Statement of the organisation is as follows: The Boys’ Brigade will care for and challenge young people for life through a programme of informal education underpinned by the Christian faith.
This is achieved by:
Delivering Christian teaching in partnership with the church in which the company is based and encouraging the development of a personal Christian faith;
Providing opportunities for leadership, decision making and skills training;
Empowering young people by involving them in decision making at all levels of the organisation and giving responsibility appropriate to their age and aptitude;
Raising awareness of young people to the needs of others (especially other young people) locally, nationally and globally and encouraging them to engage in activities and projects in which they can make a difference;
Being sensitive to the needs and aspirations of young people of varying backgrounds, differing abilities and stages of development and providing appropriate support, advice and guidance; Ensuring the safety of young people through the implementation of suitable procedures for the selection, training and supervision of leaders;
Equipping leaders through the provision of high quality training and resources;
Providing a network of professional staff to support voluntary leaders;
Creating opportunities to develop partnerships with other appropriate organisations and agencies.
Note: with reference to gender, membership of the BB is open to girls and young women of the appropriate ages where the local Company has been designated as a BB Company that has a Girls’ Association or a BB Company that has an Amicus Group.

The running of the Company is overseen by a Joint Staff Committee (JSC) which comprises the Trustees, The JSC meets around four times a year
Details of the three Sections are as follows
Anchors (aged 5S — 7) meet on Tuesdays
For many young people joining the Anchors is the start of their time in the BB. The programme is packed with games, songs, crafts and stories designed for their age. For many of the young people it will be the first chance that they have to work together as part of a team.
Juniors (aged 8 - 10) meet ona Tuesday
The eight-year-old is an established individual, looking to try new adventures and activities. The young person is usually one of a group of friends, although many still like to explore some interests on their Own.
The programme is full and varied, typically lasting one and a half hours with individual activities which last around ten minutes. There is plenty of variety and little chance of becoming bored, with lots of physical activities, music, crafts, games and competitions usually undertaken in groups rather than on an individual level to avoid exposing any lack of skill in an individual. The young person has a world to discover, and early concentration on one small aspect can mean that much is missed in life. This is the time for a balanced all-round programme - which includes spiritual and social input, as well as physical and adventure activities.
There are awards - a huge variety of some 2000 subjects catering for just about every possible interest of a member and at the same time encouraging each to explore other new activities and occupations. The award programme in the Juniors is specifically designed to encourage the young person to look beyond themselves. Many are interested in one type of activity - perhaps sports, or natural history. Our special programme provides such interest and at the same time gently urges them to try other activities of a different type.
Company (aged 11 — 18) meet on Fridays
Young people in their early teens are usually looking to define themselves as individuals - and this in a world that often tries to force them into a mould. For many this is a key age where habits and lifestyles are formed; these can be ones that are socially acceptable or those that can lead to major problems in later life.
Early teen years are difficult. How can you be an individual with your own interests, likes and personality while keeping up in today's ever-changing fashions and retaining an identity with the BB group? It is a conflict which often leads to confusion associated with adolescence.

Company (aged 11 — 18) meet on Fridays
Itis the job of the Leaders working in this section to give young people a secure base, and to recognise them as valuable individuals. This is something that they may not get elsewhere in family, school or society.
The Company Section allows individuals to take part in the activities and the decisions. A chance to make one’s own point, a chance also to remain one of a group. Achance to build friendships, a chance to make mistakes that will not be thrown back at them, where skilled staff support can present challenges fitted to the individual. Successfully achieving one challenge is great practice for the next.
8B awards provide incentive and ensure progression at a rate suitable to age and growing physical Strength; there are also leadership opportunities to release abundant energies in purposeful ways.
The Company is also approved to deliver the Duke of Edinburgh Awards Scheme which the young people can participate in on reaching their fourteenth birthday.
The Company, which was formed in 1952, owns its Hall at Maule Street, Carnoustie, DD7 7AP. The Hall was bought with a mortgage which was paid off a number of years ago following a major fundraising initiative.
Section reports
The normal activities of the three Sections were resumed following the Covid restrictions being lifted i.e. once again being able to meet indoors face-to-face.
The Company was also well represented at the Remembrance Parade and Service on 10 November 2023.
The three Sections held separate Awards Ceremonies in May 2024.
All three sections met on 16" May 2024 for the end of year display which was well attended by all members, parent and guardians .
Finances
Each Section has its own Officer in Charge with the Company Captain in overall charge. Each Section has its own bank account which is administered by a Section Treasurer digital access was obtained within the 2024 — 2025 year with minimum of 2 trustees within the company having access to accounts. All expenditure must be evidenced e.g. copies of receipts, invoices, correspondence etc. Treasurers are encouraged to ensure that monies received are banked as soon as is practicably possible. Treasurers are also encouraged to make payments by named debit card to facilitate audit trail.

Events Account
There is an Events Account which is used to subsidize events for young people e.g. attending camp, and training. The account is also used to pay miscellaneous expenses e.g. the wreath for Remembrance Sunday. The main income of the Events account comes from the annual Christmas post delivery service.
2024-2025 session saw the first Cragan Company camp where Kayaks, trailer and equipment purchased in 23/24 session started to show its worth with introduction of a safe water sports program reinforcing our program offering for Boys’ Brigade and Girls’ association alongside our Duke of Edinburgh program.
Hall Fund
The Hall is managed by a Hall Committee (HC) comprising Leaders and friends of the Company. The HC meets around four times throughout the session and reports to the JSC. Normally the HC meets immediately prior to the JSC.
The HC has its own bank account which is operated in accordance with the procedures laid down for the three Sections.
The main income streams are as follows: Letting the Hall out to private groups for keep fit class and private hires for parties.
The Hall Fund in 2024 -2025 was continued to be used to bring operational standards in line with government recommendations which saw £2657.30 used to bring heating systems in main hall annually checked, stairs upgraded with anti-slip tape, directional fire systems and upgraded emergency lighting within the stairwell and main entrance. External Brick work started in 2023 continued with needling of worst affected area, plan to install InPost Locker system on North facing wall early 2025/26 session to put added protection in to this area of the building Needle work will continue into 2025/26 starting to focus on main double door area and single door.
Insurance policy required Roof Maintenance review. Cost remained inline with 2023- 2024 insurance cost only rising by £28 to £2613.18 for the year this included enhanced public liability for Hall uses outside of Boys’ Brigade and Girls’ Association activities inline with operating Open Duke Of Edinburgh Program to Amicus Membership.

Gas and Electricity Contract has had impact on running costs with daily standing charges now being applied to Charity Account along with higher fixed cost per unit, work has started to look at new 'Nvestment into self-sufficient renewable energy for the hall with this was progressed in 2024- 2025 Session with remote access to heating controls added, new digital temperature sensor fitted in main hall to give better Control over Ambi-Rand Heating as Black Ball Temperature Sensor was found to be Installed incorrectly inline with main door causing excess use of heating where not needed.
Trustees’ Responsibilities
The Leaders of the relevant sections must prepare financial statements which give sufficient detail to Enable an appreciation of the transactions of the Section during the financial year. The Leaders are responsible for keeping Proper accounting records which must reflect the financial position of the Company at that time. This must be done to ensure that the financial statements comply with the Charities and Trustee Investment (Scotland) Act 2005. They are also responsible for safeguarding the assets of the Company and must take reasonable steps for the prevention and/or detection of fraud and other irregularities.

| report on the accounts of the Charity for the year to 30 June 2024 which are set out in pages 1-10.
Respective responsibilities of trustees and examiner
The charity’s trustees are responsible for the preparation of accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. The charity trustees consider that the audit requirement of Regulation 10 (1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44 (1) (c) of the Act and to state whether particular matters have come to my attention.
Basis of independent examiner’s statement
My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently | do not express an audit opinion on the view given by the accounts.
Independent examiner's statement
- In the course of my examination, no matter has come to my attention 1. which gives me reasonable cause to believe that in any material respect the requirement:
To keep records in accordance with Section 44 (1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and
To prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulation have not been met, or
- to which, in my opinion, attention should be drawn in order to enable a proper understanding of thg accountyto be reached.
