present their report with the consolidated fin8ncial statements of the charitable company and its subsidiary
for the year ended 30th Seplèmber 2025. The ITUStees have adopted the provisions of the Charities and
Trustee Investment Iscotlandl A¢1 2005, the Charities Accounts (Scotlandl Regulations 2006 (as amer7dedl
and A¢¢ounting and Reporting by Charities.. Ststement ol Recommended Practice applicable to charlties
preparing their a¢¢ounts in accordance with the Financial Reporting Stsndard applicable irtr the UK and
Republic of Irfrland IFRS 1021 (effective 1 January 20191.
Objectives and a¢tivltle$
Oblèetives and aims
The objectives ol the charrtable company shall be the promotion and advancement of 89ricullure, the
improvement of slock, the enCOurage￿ent of those arts wilh which agriculture ancs industry and the rearing of
Iweslock 8re associaled, and the promotion of agri¢ullure, man￿3Cl￿re and pastoral interest generally. The
means to be empltsyed for these ends shall include the organisin9 and promoting of varioijs annual events,
in particular the S¢hools Countryside Day. the A9ricullural Show, the Dog Show and the Ram Sale, providing
bursaries. financial assi$tan¢e and other payments and thè or9anising of educational events for children.
A¢hl•vom¢nt$ and performance
During the year lo 30th Seplembei 2025, the trustees were able lo run Ihelr annual events ol the Schools
Countryside Day, the A9ri¢ultural Show, the Dog Show and the Ram Sale lo meet the objectives of the
charitable Company.
The charitable company. through rts legacy fund, provided bufsaries to ￿e¢ve successful applicants with
further good applications being considered since the year end.
The Gharitable company's wholly owned trading subsidiary, Border Union Limsted. has increased the income
of the group by £8,192 in the year ended 30th September 2025 and produced a net loss of £506.

Flnanclal position
The Charitable group has produce(l a surplus of £12,257 in its unrestricted fund. The Iruslees and
management have made great efforts to increase the income generated by its core events and the use ol the
hall. They have also closely monitored the charilabk Company's outgoings.
Reserve$ poll¢y
The trustees aim lo keep the total value of the charitable company's reserves lo fund approximately one half
ol one complete year of ¢xpendiiure wilh no external income. With the main fund-r8isin9 event bein9
weather dependent. il is fell that this is a prudent policy.
Additionally, the Irustees also wish to have 8 contingency fund of £150.000 to meet unforeseen events that
could compromise the implementati¢)n of the ch8ritablè company's objectives.
Based on the 30th September 2025 financial slatoments the charitable company would require funds of
£588,732. Funds at 30th September 2025 amount lo £558,250 so the charitable company is £30,482 bek>w
its targeted fund balance.
The trustees have considered the Charitab￿ company's financial position lor a period of 12 months from the
date of signing these financial ststemenls and have reasonable expectation that the charitable company has
adequate resources (o continue in operational exislence for the foreseeable future. Accordingly, they
continue lo adopt the going concem basis in PTeparing these financial sl8lements.

Currently il is planned to hold the Championship Dog Show, Schools Countrysid? Day, Agricultural Show
and Ram Sales in 2026.

The trustees are intent on promoting the profile of the charitable comparsy and ils core events, which in turn
will advance the charitable company's objectives. 11 is not anticipated that there will be any changes to the
IhrÈÈ core evènts that advance these objectives, although each event is developed independenlly lo
promote the charitable company's aclivitses.

Governing document
The charitable company was incorporated on 8th January 2001 and is governed by ils Memorandum and
Articles of Association. The Articles of Association were updated in May 2016, which was overseen by the
charitable COMpan￿S lawyers. This led to the appoinlmenl of a group of trustees which now comprise the
oveTall board of management. The Iruslees work in close cooperalion with Ihg society directors, led by the
society chairman, on whose skill and enthusiasm they are largely dependent for the running of the ¢haritable
company's aclivilies.
Recrultment and appointment of new trustees
The trustees are appointed to represenl a cross-seclion of the organisation's interests. There Can be a
maximum of len trustees. The trustees are led by a chairman and vice chaiman. Until May 2023 at every
Annual General Meèting thrè8 trusl8ès retired by rotation but in May 2023 this was changed to trust68s
rots'ring by rotation al every Annual Gen¢ral Meebng.
Organisational Structure
The charitable company's 8clivilies are managed by an Execullve Dlreclor based In the main office in
Springwood Park, which is part of ils own premises.
The trustees meet approximately every six weeks and also al the Annual General Meeting. The trustees
generally control and supervise the activities of the charitable company and in parbcular monitor the financial
position of the charitable Company.
The society directors help organise and run the Core events and their ¢onlinued commitment and input is
vital lo the ongoing success of the charilablg Company. Various sub-groups also gxist lo manage specffic
èlements of the core actiwliès. reviewing slTalegy and any change implementation requireoj.
The business of the Annual General Meeting is conducted by a President and not more than fourteen
Vi¢o-Presidents, all ol whom stand for re-election al each Annual General Meeting.
A full lime remuneraled execul¥ve staff undertakes the strale9yldecisions ol the Board ol Trustees. None of
the tTu$lees ¥e¢eive any remuneration.
Induction and tfaining of new trustee$
Trustees are expected lo be familiaT with the practical work of the charitabl8 company having attended the
annu31 show, ram sale and other society activities. New Irusleès are provided with 8 document oulining the
roles and responsibilities of trustees.

Risk management
The trustees have assessed the major risks lo which the charitable cotnpany is exposed. in particular those
related to Ihe operalions and finance of the charitable company and are satisfied that systems are in place to
mitigate exposure to the major risks. Procedures are in place to comply with heallh and safely needs of staff,
Voluntee￿ and visitors as this is feft to be a significant risk. It is seen as important to separate where
possible machinery. animals and peoplg which is the core health and safèty con¢eTn principle of the
¢harilabl$ Gompany.

group and parent charitable ¢ompany in a¢¢ordance wilh the ethical requirements that arts relevant lo our
audit of the consolidated financial statements in the UK, including the FRC'S Ethical Standard, and we have
lulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit
eviden¢e we have obtained is sufficient and appropriate lo provide a basis lor our opinitsn.
Con¢lusions rolating to golng concern
In audiling the ¢onsolidaled financial statements, we have concluded that the trustees, use of the going
concern basis of accounting in the preparation of the financial statements 15 appropriate.
Based on the work we have performed, we havfr not idontrfied any material uncertainties re￿lIng to events or
conditions that, individually or collectively, may cast significanl doubt on the group and parent charitable
¢ornpany's ability lo continue as a going conctsrn for a period of al least twelve months from when the

As a result of these procedures. we consldered the opportunities and incentives that may exist within the

reviewed these accounls on the basis that the charitable company is classified under the Companies Acl
2006 as a small charslable company and have considered any reporting anomalies which may have arisen,
we conclude there are no noted issues in this respect.

of fraud or error to occur.
In common with all audits under ISA5 IUKI, we are also required lo perfom specific pro¢e(lures to respond
to the risk of management override.
Wv also obtained an understanding ol the legal and regulatory Irarneworks that the company operates in.
focusing on prov5sions of those laws and regulations that had a direct effect on the determination of materiol
amounts and disck)surtss in the ¢onsolidaled financial statements. The key laws and regtjlations we
considered in this context included the UK Companies Act and local tsx legislation.
In addition, we considered provi5ion5 of other laws and regulations that dg not have a direct effect on the
consolidaled financtal slaternents but compli8n¢e with which may be fundamental to the charitable
company's abilily lo operate or to avoid a material penalty.

Basis of pieparing the ¢on$olldatod financial Statements
The financial stalernents of the charitable company, which is a public benefrt entity under FRS 102.
have been prepared in accordance with the Charities SORP IFRS 1021 'Ac¢ounling and Reporting by
Charities.. Statement of RecommBnd¢d Praclice applicable lo charities preparing their account5 in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS
1021 leffective 1 January 20191., Financial Reporting Stsndard 102 The Financial Reporting Standard
applicable in the UK and Republic of Ireland, and the Companies Act 2006. The financial statements
have been prèpared undèr the historical cost convention. with Ihe exception ol Investments whlch are
included al market value, as modified by the revaluation of certain assets.
The consolidated financial statements consolidate the ￿su11$ ol the charitable company and its wholly
owned subsidiary, 8order Union Limited, on a line by line b8S1S.

All in¢ome is recognised in the Consolidated Stalement of Financial Activities once the charitable
company has entitlement to the funds, il is probable that the incorne will be Tè¢eived and Ihe amount
can be measurèd reliably. The following spe¢rfi¢ policies are applied lo particular categories of

Voluntary income 1$ re¢8ived by way of donations ané is Includfrd in full in the Consolidated Slal8menl
of Financial Activities when receivablo.
The policy on all grants Teceivable that they are split belween those for fixed assets and those of
general nature. The former are shown as restricted ftjnds, and the latter included in direct charitable
income.
Income from Investments is included in the year in which it is receivable.
Expenditure
Liabilities are recognised as expendilufe as soon as the￿ is a legal or conslruclive obligation
committing the charitable Gompany to that expenditure, it Is prob8blè that a transfer of economic
benefits will be required in settlement and the amount of the obligation can be measured reliably.
E%￿ndIture is accounted for on an ac¢ruals basis and has been Classified under heading5 that
aggregate all cost Telated lo the category. Where costs cannot be dire¢tly attributed to particular

Unrestricted funds can be used in accordance with the charitable obje¢tive8 al the discretion of the
trustees.
Restricted funds can only be use(1 for partS¢ular reslricled purposes within the objects of tha charitable
COrnP8ny. Restrictions aris8 when spgcifigd by the donor or when funds are raised for particular
restricted purposes.

The charitable company operates a (Jetined ¢ontribulion pension scheme. Contributions p8yable to
the charitable company's pension sch&me are charged lo the St8tement of Financial A¢tivilies in the
period to which they relate.
Leasing commltments
Rentals paid under operating leases are charged lo the consolidated ststemenl of financial activities
on a straight line basis over the period of the lease.
Investmttnts
Listed investments held as fixed assets are revalued al mid.markel value at the balalice sheet dale
and the gain or loss taken lo the consolidated ststement of financial aetÈvities.
Currenl assel investments are al the lower of cost and net realisable value.

Inleresl-bearing borrowings are subsoquenlly Carried al amort#sed cost, with the difference between
the procèeds. nèt of transaction costs, and thè amount due on redemption being fe¢ognised as

Border Union Limited is a tully r)wned subsidiary of Border Union Agrieuttural Society.
During the year Border Union Agrbcultural Society charged a service charge of £154.000 12024
£164,000) which is IncludeLI in debtors and is due from Border Union Limited. Included in crodilors is a
curienl account balance lor cost recharges and advances madg betsveen these entilies and Border
Union Agricuvtural Society is due £147.110 12024 £127,140) lo Border Union Llmiled, which is an
unsecured balance, interest free and repayable on demand.
Transactions with other related arties
During the year Border Union Agricultural Society entered into transactions with a number of entities in
which the Iruslees were directors or held core management positions. Aggre9ate income received into
Border Union Agricultural Society comprised event-related Iransactions under normal commercial
terms of £1,827 and donations received of £455. In addition. aggregate expenditure incurred by Border
Union AgricuEtural Society comprised the PLJr¢ha$e ol goods supplied under normal commercial lems
of £23,635 and bursary award paym8nts of £1,395. AI 30th SeplemLber 2025, the amourbts outstsnding

Post balance sheet events
After the year end the board of trustees undertook 8 review of the staffing structure of Border Union
Agricuttural Society. the board concluded unanimously upon the review that restructuring of staffing
Was fèqltired which reyulled in the position of the 'Executive Directort being mada redundant. This
