## **Recruitment and Appointment of Trustees** 

A rotational retrial system of Directors is specified in the Constitution with retiring members being eligible for co-option for a period of one year before being eligible for re-election. The Association’s other Trustees are elected annually by the members at the annual general meeting in accordance with the Constitution. 

## **Governing Document** 

The Association is a charitable unincorporated association and the purposes and management administration arrangements are set out in the Constitution. 

## **Charitable Purposes** 

_The objects of the Association shall be the advancement of Agriculture, the improvement of Stock, the encouragement of those arts with which Agriculture, Industry and the rearing of Stock are associated, and the promotion of the Agricultural, Manufacturing and Pastoral interests generally.  The means to be employed for these ends shall include the holding of an Annual Show, or any other measures calculated to advance the interests of Agriculture and Industry, and the consideration and discussion of any matter associated with the above objects._ 

## **Activities and Achievements** 

As we have become accustomed, show day weather has a big impact on attendance and atmosphere. We were blessed with a good day weather wise and both the attendance and atmosphere were abundant.  The Secretarial team have continued to encourage an increased proportion of online entries, and this has helped considerably with entry processes and cataloguing.  Our new tent supplier has continued to provide an excellent standard of service, and as tentage remains our biggest cost by a considerable margin, this is greatly appreciated.  We continue to be challenged by decreasing income streams in the traditional areas, particularly agricultural trade, however last year saw a couple of businesses return and a new trader in Tweedmouth Services, which is pleasing.  This is coupled with a hike in unavoidable expenses, which is increasing the variables from what was once just the weather.  The craft tent has continued its resurgence since Covid and we are pleased to welcome both old and new crafters.  The Poultry competition was once again absent, and although the disease restrictions were relaxed in May, it was deemed too late to reinstate this competition for the summertime.  The standing crop competition, had no entries last year, possibly a feature of the poor growing conditions and not being available to drive this.  Our membership remains stable and well supported.   The committee would like to thank the many and varied people and businesses that contribute and co-operate to make the show happen, but in particular our thanks are extended to for the provision and use of the 

field, and all those who help with set up and break down. 

The Directors’ responsibilities in relation to upholding the aims and objectives set out in the Constitution have been brought to our attention due to the Charity Commission’s enhanced requirements for charities.  Our Constitution is stated above under Charitable Purposes.  Committee Members, are recruited from the local Agricultural, Equine and Business communities and have shown an interest in supporting their local show or have a particular interest or skill to contribute. 

## **Trustee Remuneration and Expenses** 

The Secretary(ies) was/were paid an honoraria of £3,300 during the year. 

## **Reserves** 

As a result of the surplus of £771 from general account activities in the year, the Association held unrestricted funds in the General Account of £21,991 and £27,296 in an investment account at the year-end.  The Trustees consider that the general fund of £49,287 is sufficient to provide for the total costs of the show to be met in the extreme circumstance of a cancellation of the entire event at short notice.

## **Independent Examiner’s Report for the year ended 30[th] November 2023 to the Trustees of Berwickshire Agricultural Association. A registered Charity in Scotland, Charity Number SCO16316** 

I report on the accounts of the charity for the year ended 30[th] November 2024 which are set out on pages 1 to 4. 

## **Respective responsibilities of trustees and examiner** 

The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. 

The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention. 

## **Basis of independent examiner’s statement** 

My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. 

The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. 

## **Independent examiner’s statement** 

In the course of my examination, no matter has come to my attention 

1. which gives me reasonable cause to believe that in any material respect the requirements: 

- to keep accounting records in accordance with Section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations 

- to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations have not been met, or 

2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
