Beneficiaries include all or any one or more of:- (a) The Church of Scotland General Trustees; (b) The National Trust for Scotland; (c) The Old People’s Welfare Committee of the Dundee Council of Social Service, or any charitable institution concerned with the welfare of the citizens of Dundee; (d) The University Court of the University of Edinburgh; (e) The University of Southampton; (f) The University of Dundee; (g) The Royal Commonwealth Society for the Blind, or any other charitable institution connected with work for the blind; (h) any other charitable institution or charitable institutions selected from time to time by the Trustees.

Note:

On 30 May 1997 the Trustees agreed, under the terms of the Law Reform (Miscellaneous Provisions) (Scotland) Act 1990, to the transfer into the Trust of the Capital funds of the Andrew Millar Charitable Trust. The total funds transferred amounted to £16,050

Organisation

The day-to-day administration is carried out by Thorntons Law LLP, as agents for the Trust. The trustees meet annually to consider grant applications and to review any other relevant aspects of the Trust's affairs.

Achievements and performance

The trustees have continued their policy of making donations to those charities and institutions as directed in the trust deed. Although significant investment sales have been required in recent years in order to maintain the level of distributions, the trustees are satisfied that this policy best meets the objects set out in the Charity’s constitution.

Investment Policy and Performance

There are no restrictions in the Deed on the trustees’ power to invest. The policy is, long term, to adopt a medium risk investment strategy, including equity investments, to produce a balance of income and capital growth. Rathbones classify the Portfolio as Medium/High Risk

Financial Position

The financial position is as set out on pages 5 and 6.

Reserves Policy

The reserves of the Trust originate from original and subsequent capital bequests, together with the movement in the value of investments, and accumulated revenue. The trustees have adopted a reserves policy that ensures the continuing ability of the Trust to meet its objectives. The level of free reserves held at 5 April 2025 was £617,885 (2024 - £702,003).

Independent Examiner's Report to the Trustees of A Sinclair Henderson Trust

I report on the accounts of the charity for the year ended 5 April 2025 which are set out on pages 5 to 9.

This report is made to the trustees, as a body, in accordance with the terms of my engagement. My work has been undertaken to enable me to report my opinion set out below and for no other purpose. To the fullest extent permitted by law I do not accept or assume responsibility to anyone other than the trustees, as a body, for my work or for this report.

Respective responsibilities of trustees and examiner

The trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.

Basis of independent examiner's statement

My examination is carried out in accordance with regulation 11 of the Charities Accounts (Scotland) Regulations 2006 (as amended). An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.

Independent examiner's statement

In the course of my examination, no matter has come to my attention

  1. which gives me reasonable cause to believe that in any material respect the requirements: e to keep accounting records in accordance with section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and

  2. e to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations

have not been met, or

  1. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

Notes to the Accounts

1. Accounting Policies

Basis ofPreparation

The Accounts are prepared in accordance with the Charities Accounts (Scotiand) Regulations 2006 (as amended).

2. Going Concern

At the time of approving the financial statements, the trustees have a reasonable expectation that the Trust has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.

3. Investment managers

The Trustees approve the continued appointment of the Investment Mangers as detailed in the Report of the trustees in these Accounts, and on the same basis as contained in the Investment and Financial Services Terms of Business Agreement currently in force.

4. Independent Examiner

The Trustees approve the continued appointment of the Independent Examiner as detailed in the Report of the trustees in these Accounts.

5. Nomineeship

The trustees approve the continued appointment of the nominee company as detailed in the General Information section in these Accounts to continue to hold certain or all of the investments owned by the trustees, and that on the same basis as contained in the Investment and Financial Services Terms of Business Agreement currently in force.
