## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED** 

## **31 AUGUST 2025** 

The trustees present their annual report and the financial statements of the charity for the year ended 31[st] August 2025. 

The financial statements have been prepared in accordance with the accounting polices set out in Note 1 to the accounts and comply with the charity’s Memorandum & Articles, the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006, the Companies Act 2006 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland. 

East Kilbride & District Engineering Group Training Association Ltd. is an employer led, not for profit organisation with charitable status.  It is a company limited by guarantee.  It has been in existence since 1966, following government legislation, which led to the creation of locally based training providers, capable of meeting the training requirements of employers, particularly in the areas of apprenticeship training and skills development, while delivering training to nationally recognised standards and achieving cost benefits through economies of scale. This remains totally relevant today. It is one of only a few such Centres in Scotland. 

## **Legal and administrative information** 

The information on page 1 forms part of this report.  The Directors of the charitable company ("the charity") are its Trustees for the purpose of charity law and throughout this report are collectively referred to as the Trustees. 

The Trustees set out below have held office during the whole of the year to the date of this report, unless otherwise stated:

The organisation is commonly referred to as East Kilbride Group Training Association and EKGTA. 

## **Organisational Structure/Governance/Management** 

EKGTA is established under the terms of a Memorandum and Articles of Association and is structured as follows: 

## _Council of Representatives_ 

Appointed by nomination of one representative from each company which has membership of the Association and collectively they form the Board of Management of the Association which is responsible for overseeing and influencing the Association’s activities in meeting its principal objective. There are presently 128 companies which are members of the Association. 

## _Board of Directors_ 

Elected from the Council of Representatives of Member Companies by members and are responsible for directing, controlling and the overall management of the Association’s activities.

## _General Manager / Company Secretary_ 

Employed by the Association and responsible for day-to-day management of all the Association’s activities and affairs with specific responsibility for all business strategies, and all aspects of finance, operations, services, human resources, sales and marketing, health and safety, external relations and administration. 

## _Operational Units_ 

Four functional areas of operational responsibility covering Training Delivery; Training Support and Consultancy; Administration and The Academy  (total of 26 full time and 2 part-time staff) 

The Council of Representatives meets annually and functions as the AGM, this meeting is held after the December Board Meeting normally in January. The Chairman and Vice Chairman of the Council (and the Board of Directors) are voted into office annually. 

The Board of Directors meets four times throughout the year to discuss Association business, agree policy, approve business plans, financial plans, staff annual salary review, and provide direction to the General Manager in respect of the Association’s activities.  Directors normally hold office for 3 years. 

The General Manager who is also the Company Secretary reports to the Board of Directors. 

The role performed by each member of the Council of Representatives and the Board of Directors is entirely voluntary and no remuneration is paid to anyone so involved. No expenses are paid to either members of the Council of Representatives or Board of Directors. 

## **Directors/Trustees Induction and Training** 

Newly appointed Directors of the Association/Trustees of the Charity will already be very familiar with the practical work of the organisation and its general structure, service delivery and operational arrangements through their involvement on the Council of Representatives before appointment. 

New Directors/Trustees are briefed personally by the Association’s General Manager/Company Secretary on their appointment on the following: 

- Memorandum and Articles of Association which set out the scope and framework for the Association’s activities and operations. 

- Trustees Code of Conduct which is signed by new (and existing) Trustees. 

- EKGTA’s Corporate Plan, incorporating its mission statement; strategic objectives; operational and management plans; and the means of reviewing performance, progress and achievement. 

- Financial Control Arrangements and Financial Plans for current year 

- Main policies and procedures of the Association, including Health & Safety; Quality Assurance; Communications; Equal Opportunities; and the Environment. 

- Contents of the ‘Guidance for Charity Trustees’ booklet; and Scottish Charities – a Practical 

- Handbook 

- EKGTA’s Business Continuity Plan 

A copy of each of the relevant key documents is provided at the time to each new Director/ Trustee and thereafter updated annually as appropriate. They are encouraged to read same and seek clarification or further information as necessary. Feedback from new Directors/Trustees about their induction/training has been very positive.  Beyond this, individuals may undertake further specific and relevant training, based on need, considering their background experience, interest, and the relevance to their role as a Director / Charity Trustee.

## **Physical Resources** 

EKGTA owns its training premises of around 26,000 square feet at 3 Law Place, Nerston Industrial Estate, East Kilbride, and it has a substantial investment in engineering machinery and related training equipment installed there. 

The Training Centre is a self-contained industrial style unit which has been customised to the training function. 

On-going investment in the improvement of its facilities in line with demand and changing need is a high priority for the Association and this was evidenced recently through the purchase of a range of additional electrical control equipment, Laptops and safety equipment to enhance and upgrade the training facilities in each of the Electrical, Machining and Maintenance training sections, the completion of further additional work stations to enhance 3 phase power system training programmes in the electrical training room A6, and the continued conversion of space in the building to facilitate a smooth and efficient flow of training unit’s movement through the centre. 

## **Financial Arrangements / Control** 

EKGTA is a not-for-profit organisation with charitable status and as such, all income / monies attracted through the Association’s activities and the provision of training services is offset against expenditure associated with running its centre or the delivery of its services or is re-invested in the Association for the benefit of its member companies, the wider business community and the public at large, all of whom can access its services. 

The Memorandum and Articles of Association of EKGTA places financial responsibility firmly in the control of the Association’s Board of Directors which acts on behalf of the organisation and its members. 

The General Manager has delegated authority from the Board and day-to-day responsibility for all financial management matters, with a duty to report on and account for all finances direct to the Board. 

The Board recognises that there is a clear necessity to: 

- estimate, plan and monitor expenditure in line with the Association’s business activities. 

- put in place plans to generate income on an annual basis; and 

- effectively manage the financial resources of the Association to provide for income and expenditure; to make training available at realistic, competitive costs, while providing value for money for clients; and ensure financial viability. 

Financial control arrangements are set out in detail in an Appendix to the Association’s Corporate Plan. 

The Association has engaged Rathbones Investment Management Ltd. to manage its financial investment portfolio with a requirement to provide statements of performance and a valuation half yearly. 

The Association’s financial accounts are audited annually by auditors appointed by the Association’s Board of Management at its Annual General Meeting. The annual audit is outsourced to a firm of Chartered Accountants. Bookkeeping and accounting are maintained in house with quarterly/monthly reports being prepared for the Board of Directors.

## **Principal Objectives and Operations** 

The Memorandum and Articles of Association of East Kilbride & District Engineering Group Training Association Ltd. sets out in some detail the objects for which the Association is established and the main operational purposes it should address.  (This is subject to periodic review and was last revised, updated, approved, and adopted at each year’s AGM. 

In general terms, EKGTA aims _**“to serve the training needs of employers, whilst offering individuals the chance to develop the knowledge and skills necessary in employment.”**_ 

EKGTA specialises in the training of Modern Apprentices, with particular emphasis on the training of engineering apprentices and it provides a comprehensive range of skills development and work-related training opportunities. 

Its client base is drawn principally from the engineering and manufacturing industries as well as the wider business community and indeed the public. 

The Association has developed a Corporate Plan which articulates its aspirations for the foreseeable future in meeting the challenges, changing need, demands and circumstances associated with the staff development requirements and skills profiles of employers. 

The Corporate Plan covers a 4-year period / rolling programme and concentrates on the Association’s strategic vision, along with the necessary operational plans to effect high standards in the delivery of training and related services to be provided for its business clients.  It also defines the priorities and activities required to encourage growth and enable the Association to develop and prosper for the benefit of the employers and their staff that it serves, the public and ultimately the Scottish economy. The plan is monitored and reviewed regularly and updated annually as required. 

## **Annual Highlights / Achievements** 

The Association has 6 key strategic objectives which assist the organisation to drive and deliver its activities over time.  These fall under the headings of: 

Stakeholder Engagement Resource Management Personnel Management Internal Procedures /Systems Training Development Financial Management 

The past year has seen progress in all these areas, and all remain relevant to the effective delivery of the Association’s business priorities. 

All the annual objectives for the year 2025 / 2026 identified within the Association’s Corporate Plan have been achieved fully or are being carried forward into the next year for completion. 

Each of the Association’s Operational Units took positive action throughout the year to implement fully their plans to meet the Association’s business objectives.  This was against a background of changing demands and economic, financial, and political environments and the following specific achievements were recorded: 

- Further consolidation of developments in foundation training for apprentices; project work; improved standards and documentation. 

- Enhanced utilisation of ICT to drive efficiencies, compliance initiatives and transparency. 

- Establishment of a new standard meeting structure within the business to allow efficient communication of tasks and updates to all staff and uphold the highest standards of quality and compliance.

- Focus on quality of delivery, facilities and resources to differentiate EKGTA as a premium training provider. 

## **Annual Highlights / Achievements (continued)** 

- Development plans for the Training Centre and its facilities prepared and adopted. 

- Assessment and monitoring income targets achieved for apprentices at their workplace. 

- Increase in commercial course activity, providing additional revenue from existing resources and space in the Centre. 

- Migration of the ITC infrastructure to a Cloud based system utilising Microsoft’s Non-Profit platform for free and heavily discounted licences. 

- Capital investment plan fully delivered. 

- Purchase of new computing equipment for Maintenance and Machining training 

- Further work undertaken to develop EKGTA’s Virtual Learning Environment 

- Maintaining and building business activity / financial viability in economic downturn in UK / Scotland 

- Simplifying of the Apprenticeship Frameworks offered to remove historically problematic and commercially non-viable offerings (PIO & Sign making) 

## **Financial Review** 

On the financial front, the Association’s expenditure over the 12-month period was closely monitored and controlled to within 5% of the outline budget approved. 

Income reached a record high of £2,889,789 for the year, an increase of £518,275 from the previous year against costs of £2,449,149 giving net income of £440,640 (pre gain). 

## **Performance Monitoring and Review** 

The Association monitors standards of performance in its training and across all functional areas of its business. Targets and performance indicators are identified each year through its Corporate Plan, and these are monitored and reviewed continuously. 

The following provides a snapshot of some of the main outcomes achieved over past year: - 

-  Expansion of the list of member organisations to 145 with over 580 active trainees under our guidance. 

-  142 newly appointed apprentices through foundation training; 130 apprentices completed their 4- year programme successfully. 155 currently undergoing training on-site either in the workshop or attending college. 

-  Association currently working with over 500 active apprentices from 145 member organisations.  MA achievement rate of 89.6% in Engineering 

-  EKGTA delivered over 50 other training events with a total of 190 training days delivered to a total of 200 delegates attending during the year. 

-  1,480 assessment visits/visits to member/client companies carried out in the year. 

## **Risk Assessment / Business Continuity** 

The General Manager has conducted a review of the main risks to which the Association may be exposed, and a Business Continuity Plan has been established for the Association. Its main purpose is to make the business resilient to major or minor disasters / incidents and to prevent any such event from driving the business towards ruin.

Risk assessment / management is part of this plan, which is reviewed regularly, updated as necessary and approved annually by the Directors/Trustees. 

The Board of Directors/Trustees has also established policies and procedures on key issues such as Equal Opportunities; Health & Safety; Environmental Issues; Quality Assurance and Communications. These are also reviewed annually. 

## **Investment Policy / Reserves Policy** 

The Board of Directors of the Association has managed over the years to generate financial reserves from past operational results and sound financial management and investment policies to provide for the longevity of the organisation and the continuation of the important services it delivers in the development of the skills profile of the workforce in industry in Scotland and to the wider public domain. 

Given the nature of the organisation and its charity status, a conservative and quality approach is taken when investing unrestricted and uncommitted funds. The overall policy is to achieve capital growth with a high dependable income and the policy is documented to provide guidance and direction for Directors/Trustees and for the attention of the Investment Manager. 

The principal aim is to protect the capital position and the income from the erosion which could occur from inflation, while also recognising the volatility of the investment market. 

The Directors have considered the requirement to maintain substantial free reserves and have concluded that these need to be at a high enough level to take account of: 

- Changing UK / Scottish Government policy on skill development priorities for industry / employers’ availability of Government / Skills Development Scotland funding to support skills development programmes (approx. 65% of Association’s income sourced from them) 

- Government / SDS funding (skill seekers) only being payable on trainee achievement. 

- Unequal position the Association faces compared with FE / HE Institutions in accessing funding for training places and for Capital Investment finance. 

- The Association’s commitment to trainees / employers / Skills Development Scotland / Scottish Government to complete 4-year Apprenticeship programmes once commenced. 

- High capital costs of new or replacement machinery / equipment and the maintenance of existing facilities, maintaining / developing the Training Centre and its facilities to high standard and in line with changing needs. 

- Health and Safety requirements for the Training Centre and its activities 

- Changing economic situation affecting engineering / manufacturing industries resulting in reduction in income from employers for training 

- Changing training / skills development requirements which the Association must anticipate. 

- Investment in new technology, machinery / equipment to reflect what is occurring in industry. 

- Volatility of funding rates and financial/stock markets 

As a consequence of the aforementioned considerations, the Directors have earmarked the following sums from the reserves as necessary contingencies: - 

-  £9.1M - equivalent to 4 years running costs for the Association to meet its commitments to trainees/employers to complete 4 yearlong training programmes. 

-  £4.40 M - equivalent to approx. 25% reduction in value of the Investment Portfolio due to financial market changes and volatility.

The Directors/Trustees have introduced a Grant Aid /Support Opportunity, aimed at putting something substantial and beneficial into the community (both local and business) in which it operates through involvement in: 

- Furthering the training and education of individuals who have successfully completed a Modern Apprenticeship in Engineering programme with EKGTA. 

- Local sporting activities by supporting an interest in training through sport and exercise and in raising the standard of individual fitness which leads to the general wellbeing of all participants. 

- Local musical activities by supporting the hosting of a SCBF regional event involving local School, Youth and Community Bands 

- Providing transport to local charity caring for underprivileged families (vehicle hire). 

The maximum level of funding earmarked for this venture each year, when fully operational, is set at £30K and this will be drawn from the gross income accrued each year from the Association’s investment portfolio. During the past year, support amounting to just over £18K was provided across the approved activities specified above. 

The Directors/Trustees also consider that the remaining uncommitted reserves will be required for capital investment for developing, improving, and maintaining the existing Training Centre and in the replacement as new of all major engineering machinery and equipment over a 5-year timeframe and as necessary thereafter. 

The Directors, in reaching the decisions and conclusions, acknowledge that the Memorandum and Articles of Association for EKGTA stipulate: 

“if upon winding up or dissolution of the Association there remains, after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the Association, but shall be given or transferred to some other charitable institution or institutions having charitable objects similar to the objects of the Association and which shall prohibit the distribution of its or their income or property, among its or their members to an extent at least as great as is imposed on the Association and if this effect cannot be given, then to some charitable purpose.” 

The level and performance of EKGTA’s Investment Portfolio was reported on by Rathbone Investment Management Ltd. and as of November 2025, this showed an appreciation in the value of the portfolio over a 12-month period of around 20.0% overall. 

## **Key Management Personnel and Remuneration** 

The Trustees consider the Key Management Personnel to be as follows: 

- Mr. D Bell - General Manager/Company Secretary 

- Mr. D Elliot - Customer Liaison/Quality Assurance Manager 

- Mr. J Gillan - Training Delivery Manager 

- Mrs. S McLean – Administration Supervisor 

The Board of Directors at the December Board meeting conduct an annual salary review of all staff members considering several factors, the current and future forecast of the CPI index, current industry settlement figures and comparisons of salary agreements of similar training organisations and colleges providing services similar to the Association. Career progression awards where appropriate are proposed by the General Manager and approved by the Chairman of the Board.

## **Trustees’ Responsibilities** 

The trustees (who are also directors of East Kilbride & District Engineering Group Training Association Limited for the purposes of company law) are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

Company law requires the trustees to prepare financial statements for each financial year. Under company law the trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to: 

- Select suitable accounting policies and then apply them consistently. 

- Observe the methods and principles in the Charities SORP; 

- Make judgments and estimates that are reasonable and prudent. 

- State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and 

- Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business. 

The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006, by the Charities and Trustee Investment (Scotland) Act 2005, and the Charities Accounts (Scotland) Regulations 2006 (as amended). They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions. 

## **Statement of Disclosure to the Auditor** 

In so far as the trustees are aware: 

- there is no relevant audit information of which the charitable company’s auditor is unaware; and 

- the trustees have taken all steps that they ought to have taken to make themselves aware of any relevant audit information and to establish that the auditor is aware of that information 

## **Auditors** 

A resolution to reappoint Wbg (Audit) Limited as auditor to the charity will be proposed at the Annual General Meeting.

## **Opinion** 

We have audited the financial statements of East Kilbride & District Engineering Group Training Association Limited (the ‘charitable company’) for the year ended 31[st] August 2025 which comprise the Statement of Financial Activities (including an income and expenditure account), the Balance Sheet, the Statement of Cash Flows and the notes to the financial statements, including a summary of significant accounting policies.  The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 _The Financial Reporting Standard applicable in the UK and Republic of Ireland_ (United Kingdom Generally Accepted Accounting Practice). 

In our opinion the financial statements: 

- give a true and fair view of the state of the charitable company’s affairs as at 31[st] August 2025, and of its incoming resources and application of resources, including its income and expenditure, for the year then ended;

- have been prepared in accordance with the requirements of the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and regulation 8 of the Charities Accounts (Scotland) Regulations 2006. 

## **Basis for opinion** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor’s responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements.  We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **Emphasis of Matter – Prior Year Adjustment** 

We draw your attention to note 22 of these financial statements which describes the need for a revision to the comparative figures. As part of the current year procedures, it was identified that fee income invoiced following the year end related to previous financial years, and as such an element of these fees require to be accrued. 

The comparative figures have been restated to accrue fees of £70,614 in the year to 31[st] August 2024, and £15,380 to the opening funds position at 1[st] September 2023. 

Our opinion is not modified in this regard. 

## **Conclusions relating to going concern** 

In auditing the financial statements, we have concluded that the trustees’ use of the going concern basis of accounting in the preparation of the financial statements is appropriate. 

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. 

Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report.

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements, or our knowledge obtained in the course of the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

## **Opinions on other matters prescribed by the Companies Act 2006** 

In our opinion, based on the work undertaken in the course of the audit: 

- the information given in the Trustees' Report, which includes the directors’ report prepared for the purposes of company law, for the financial year for which the financial statements are prepared is consistent with the financial statements; and 

- the directors’ report included within the Trustees’ Report has been prepared in accordance with applicable legal requirements. 

## **Matters on which we are required to report by exception** 

In the light of the knowledge and understanding of the charitable company and its environment obtained in the course of the audit, we have not identified material misstatements in the directors report included within the trustees report. 

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006, and the Charities Accounts (Scotland) Regulations 2006 requires us to report to you if, in our opinion: 

- adequate and proper accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or 

- the financial statements are not in agreement with the accounting records and returns; or 

- certain disclosures of directors’ remuneration specified by law are not made; or 

- we have not received all the information and explanations we require for our audit **;** or 

- the trustees were not entitled to prepare the financial statements in accordance with the small companies regime and take advantage of the small companies exemption in preparing the directors report and from preparing a strategic report. 

## **Responsibilities of Trustees** 

As explained more fully in the trustees’ responsibilities statement set out on page 9, the trustees (who are also the directors of the charitable company for the purposes of company law)  are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustees are responsible for assessing the charitable company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.

## **Auditor responsibilities for the audit of the financial statements** 

We have been appointed as auditor under section 44(1)(c) of the Charities and Trustee Investment (Scotland) Act 2005 and under the Companies Act 2006 and report in accordance with regulations made under those Acts and relevant regulations made or having effect thereunder. 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. 

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The specific procedures for this engagement and the extent to which these are capable of detecting irregularities, including fraud is detailed below: 

## **Explanation as to what extent the audit was considered capable of detecting irregularities including fraud** 

We identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, and then design and perform audit procedures response to those risks, including obtaining audit evidence that is sufficient and appropriate to provide a basis for our opinion. 

In identifying and assessing the risks or material misstatements in respect of irregularities, including fraud and non-compliance with laws and regulations we considered the following; 

- The nature of the charitable company, the environment in which it operates, and the control procedures implemented by management and the trustees; and 

- Our enquiries of management and trustees about their identification and assessment of the risks of irregularities. 

Based on our understanding of the charitable company and the industry we identified that the principal risks of non-compliance with laws and regulations related to, but were not limited to; 

- Regulations and legislation pertinent to the charitable company’s operations. 

We considered the extent to which non-compliance might have a material impact on the financial statements. We also considered those laws and regulations which have a direct impact on the preparation of the financial statements, such as the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005, and the Charities Accounts (Scotland) Regulations 2006. We evaluated management and trustees’ incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of management override of controls), and determined that the principal risks were related to; 

- Posting inappropriate journal entries.

Our procedures to respond to the risks identified included the following: 

- Gaining an understanding of the legal and regulatory framework applicable to the charitable company and the sector in which it operates;

## **1. Accounting Policies** 

The principal accounting policies adopted in the preparation of the financial statements are set out below. 

## **a) Basis of preparation and assessment of going concern** 

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant notes to these accounts. 

The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). 

The company constitutes a public benefit entity as defined by FRS 102. 

The financial statements are prepared in Sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £. 

The trustees consider that there are no material uncertainties about the charity’s ability to continue as a going concern. 

## **b) Funds structure** 

- Unrestricted income funds comprise those funds which the trustees are free to use for any purpose in furtherance of the charitable objects.  Unrestricted funds include designated funds where the trustees, at their discretion, have created funds for specific purposes. 

- Restricted funds are funds which are to be used in accordance with specific restrictions imposed by the donor or trust deed, or through the terms of an appeal. 

- Further details of each fund are disclosed in note 17. 

## **c) Income recognition** 

Income is recognised once the charity has entitlement to the income, it is probable that the income will be received, and the amount of income receivable can be measured reliably. 

Donations are recognised when the company has been notified in writing of both the amount and settlement date.  In the event that a donation is subject to conditions that require a level of performance before the charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity, and it is probable that those conditions will be fulfilled in the reporting period. 

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.  Dividends are recognised once the dividend has been declared and notification has been received of the dividend due.  This is normally upon notification by our investment advisor of the dividend yield of the investment portfolio.

Income from government and other grants, whether ‘capital’ or ‘revenue’ grants, is recognised when the charity has entitlement to the funds, any performance conditions attached to the grants have been met, it is probable that the income will be received, and the amount can be measured reliably and is not deferred. 

Income received in advance of the provision of a specified service is deferred until the criteria for income recognition are met. 

## **d) Expenditure recognition** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably. 

All expenditure is accounted for on an accruals basis. All expenses including support costs and governance costs are allocated or apportioned to the applicable expenditure headings. For more information on this attribution refer to note (e) below. 

Costs of raising funds comprise of investment management costs. 

Expenditure on charitable activities includes the provision of training services and other activities undertaken to further the purposes of the charity and their associated support costs. 

Irrecoverable VAT is charged as a cost against the activity for which the expenditure is incurred. 

## **e) Allocation of support and governance costs** 

Support costs have been allocated between governance costs and other support costs. Governance costs comprise all costs involving the public accountability of the charity and its compliance with regulation and good practice.  These costs include costs related to statutory audit and legal fees together with an apportionment of overhead and support costs. 

Governance costs and support costs relating to charitable activities have been apportioned based on the time spent with regards to each category of costs. The allocation of support and governance costs is analysed in note 7. 

## **f) Tangible fixed assets and depreciation** 

Tangible fixed assets costing more than £300 are capitalised, including any incidental expenses of acquisition. 

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses. 

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset and is credited or charged to profit or loss. 

The depreciation method was changed from reducing balance to straight line basis for all assets in year to 31 August 2025 and represents a change in accounting estimate. The Trustees feel that the straight-line method better reflects the useful lives of the assets. 

The depreciation charged this year under the straight-line basis was £69,120. If the charity’s previous policy was applied, then the depreciation charge would have been £81,426. 

## **g) Fixed Asset Investments** 

Investments are a form of basic financial instrument and are initially recognised at their transaction value and subsequently measured at their fair value as at the balance sheet date using the closing quoted market price.  The statement of financial activities includes the net gains and losses arising on revaluation and disposals throughout the year. 

The charity does not acquire put options, derivatives or other complex financial instruments. 

The main form of financial risk faced by the charity is that of volatility in equity markets and investment markets due to wider economic conditions, the attitude of investors to investment risk, and changes in sentiment concerning equities and within particular sectors or sub sectors. 

## **h) Stock** 

Stock is included at the lower of cost or net realisable value, after making due allowance for obsolete and slow-moving items. 

**i) Debtors** Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

**j) Cash at bank and in hand** Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **k) Creditors and provisions** 

Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably.  Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due. 

## **l) Realised gains and losses** 

All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and their opening carrying value or their purchase value if acquired subsequent to the first day of the financial year. Unrealised gains and losses are calculated as the difference between the fair value at the year end and their carrying value. Realised and unrealised investment gains and losses are combined in the Statement of Financial Activities.

## **m)   Pensions** 

Employees of the charity are entitled to join a defined contribution ‘money purchase’ scheme. The charity contribution is restricted to the contributions disclosed in note 10. There were no outstanding contributions at the year end. 

The money purchase plan is managed by the Group Personal pension scheme, and the plan invests the contributions made by the employee and employer in an investment fund to build up over the term of the plan. The pension fund is then converted into a pension upon the employee’s normal retirement age which is defined as when they are eligible for a state pension. The Company has no liability beyond making its contributions and paying across the deductions for the employee’s contributions. 

## **n)   Taxation** 

The company is a charitable company within the meaning of Section 467 of the Corporation Tax Act 2010.  Accordingly, the company is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 of Part 11 of the Corporation Tax Act 2010 and section 256 of the Taxation of Chargeable Gains Act 1992 to the extent that such income or gains are applied for charitable purposes only. 

## **o) Employee benefits** 

The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets. 

The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received. 

Termination benefits are recognised immediately as an expense when the charity is demonstrably committed to terminate the employment of an employee or to provide termination benefits. 

## **p) Operating Lease** 

Rentals paid under operating lease are charged to the statement of financial activities on a straight-line basis over the period of the lease. 

## **2. Critical accounting estimates and judgements** 

In the application of the charity’s accounting policies, the Trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are not considered to be relevant. Actual results may differ from these estimates. 

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods. Key sources of estimation have been applied as follows: 

**Depreciation** - management assess the depreciation rate by giving consideration to the useful life of each asset class and of its use within the charity.

## **11. Trustees’ Remuneration and Related Party Transactions** 

The Trustees all freely give their time and expertise without any form of remuneration or other benefit in cash or kind (2024: £nil). A total of £4,064 of expenses were paid on behalf of the trustees in respect of the annual business planning meeting (2024: £5,100).

## **17.Analysis of charitable funds (continued)** 

The Support for Community Fund is to provide financial support to local organisations to involve young people in activities that will help develop their general level of fitness, musical knowledge and increase their overall well-being. The fund currently operates in two areas: 

1. Sports Training Support is a scheme whereby local sports clubs can apply for grants towards the provision of training facilities and involvement in competition. 

2. Musical Education Support is a scheme whereby financial support is provided to the Scottish Concert Band Festival organisers to host a “local” regional event for School, Youth and Community Bands. The Annual Festival involves approx. 2,500 young musicians from across Scotland taking part in SCBF including two East Kilbride based bands- Duncanrig Secondary School Band and the Clyde Wind Ensemble (Calderglen High School)

During the current year procedures, it was identified the fees raised in September/October following the financial year end include an element of service delivery which relates to services delivered in August of each year. As such, an element of these fees require to be accrued. 

Given that accrued fee income has not previously been recorded in the financial statements, a prior year adjustment has been processed to account for accrued income at 31[st] August 2024 and as at 1[st] September 2023.
