STRUCTURE, GOVERNANCE AND MANAGEMENT
Constl¢ution
The Company, whieh is a recogni5ed charity in Scotland. is regis*r¢d as acharitable Company Limited by Guarantee.
It was previously a Charitable Trust set up by a TTUSt Deed in 1984.
Following the 2010 A General Meeting of the unincory)orned TrnsL tht Directors decided to follow suit with many
othrr trdding charit1¢5 and voted to chan8e the legal ststus of lan Macthggart Charitable Trust from Charitable Trust to a
Charitable CompaThy Limited by Guarantee. This ¢hang¢ limits the personal liabiljty of Direcior io meet any loss
incurred by the Compaoy and has been approved by the Office of the Scottish Charity Regulaior. The new legal status took
effeci on l May 2011. The name of lan Mactsggart CharitsbleTrust remain5 the same forthis newly iThCOTporated company
and all assets and liabilities were p&ssed from the old Charttable Trust to this Company by Deed of Assignrnent on ihai
date.
Method of Appointment or eltttion of Direct•
The rnana8ement of the company is th¢ responsibility of the Dire¢tors who are ele¢wJ and co-opied uDder the t¢ms of the
Trust deed.
The Directors art drawn from persons of suitable pmfes5ionaJ qualification or business acumen who are deemed suitsble
to administer the assets and the runnin8 of the Company.
