Structure, Governance & Management

Governing Document:

Stichill Village Hall, SC012362, was recognised as a charity on 3 May 1990.

Trustee Recruitment & Appointment:

The office bearers shall consist of a Chairman, (Vice-Chairman), Secretary and Treasurer, all of whom shall be elected by members of the Committee at each Annual General Meeting. Only members of the Committee shall be eligible for election as office bearers. Retiring office bearers shall be eligible for re-election.

Objectives & Activities

The Charity’s Charitable Purpose:

As set out in the ‘Constitution’ and ‘The Charities and Trustee Investments (Scotland) Act 2005’ the purpose(s) of Stichill Village Hall are the following: -

Achievement & Performance for Stichill Village Hall

We have continued to maintain and improve Stichill Village Hall as a welcoming, comfortable and well-resourced space to allow community access to activities that promote well-being and reduce isolation. One club’s representative wanted to pass on their “...appreciation of the standards of the Hall facilities. The heating and cleanliness immediately come to mind but we also value many other aspects of the Hall, equipment and storage.” We allocated resources to redecorate the main hall, to renew the hall curtains, and to modernise the sound and projection systems. We also improved security by renewing the fire door and the door of the outside store. Because of greater energy efficiency, we’ve been able to do this work without increasing hire charges.

We have also continued to develop the library based in our meeting room.

Stichill Village Hall continues to host a wide range of groups and to cater for a wide range of interests, such as Bridge, Bowling, Tai Chi, Pilates, Dance, National Theatre Live presentations, the SWI, Community Council meetings and surgeries of parliamentary representatives.

A real change this year has been a big (35%) rise in the number of get-togethers and community events. These have brought together members of the community of all ages, reducing isolation of those who live alone and fostering community spirit and pride in the village. The introduction of a monthly “Stichill Social” evening, and viewings of 6 Nations matches, have added to already established Vintage Cafe afternoons, Film and New Year get-togethers. One resident who was at the New Year’s Day Get Together commented

on Facebook: “Great night. This is what community is all about.”

A big team of residents volunteered for a village tidy-up.

Teams of volunteers made up of trustees and local residents have worked enthusiastically and creatively on putting on Halloween, Christmas and Easter events to engage people of all ages. They are planning a summer event linked to the Kelso Laddie visit to the village and the inaugural Stichill Show in September. This is already generating community interest and has already received a donation from the Margaret Carlaw Trust to help meet costs.

Stichill Village Hall depends on the efforts of a dedicated and growing group of volunteers who variously and in their own ways contribute to its success: our creative and enthusiastic event’s organisers; our dedicated fundraisers; our publicists; our handymen and women who look after the hall and help keep it in good shape; our rota volunteers who keep an eye on the hall on a day-to-day basis; and our administrators who do the unpopular but necessary paperwork - bookings, health & safety, insurance, and keeping track of the money that comes in and goes out.

In August of 2025, we followed the advice of OSCR, the charity regulator in Scotland, and reviewed our governing document. As a result, we agreed that we needed to update how we make our decisions. We decided the best way forward would be to become a SCIO (an incorporated charity). This work has progressed well. A SCIO has been set up but is not yet operating. We have asked permission of the charity regulator so that we might transfer our assets to the new charity and are waiting for their decision.

Financial Review

Statement of Reserves Policy:

Due to inflationary pressures in the wider economy, it is now Stichill Village Hall policy to maintain a contingency fund of £7000 per annum. Funds are also designated to projects for implementation in 2026-2027:

Contingency: £ 7000 SCIO costs £ 1500 Maintenance £ 1100 Improvements - blinds £ 600 Improvements - lighting £ 2000 Improvements - library £ 50 Improvements - Marquee £ 1500 TOTAL £13950

The balance of funds in the account will allow the charity to meet any plans for the development of hall activities and facilities that may arise during the year. In 2027-2028 funds will be required to maintain the hall exterior. The Trustees will continue to monitor the balance in the light of continued inflationary pressures and any risks to business continuity.

Details of any deficit

Expenditure exceeded income from hall hire, fund-raising and donations. This was planned although the planned deficit was smaller than expected. In 2026-2027, thanks to ongoing reduced energy costs, a projected surplus of hall hire income over day-to-day running costs means that there will again be no need to increase hall hire charges. This will be kept under review given the uncertainties in the world economy.

The Charity benefits from the time given by all the Trustees to the running of the Charity.

Statement of Trustees Responsibilities

The members of the Charity must prepare financial statements which give sufficient detail to enable an appreciation of the transactions of the Charity during the financial year. The members of the Charity are responsible for keeping proper accounting records which, on request, must reflect the financial position of the Charity at that time. This must be done to ensure that the financial statements comply with the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006.

They are also responsible for safeguarding the assets of the Charity and must take reasonable steps for the prevention and/or detection of fraud and other irregularities.

Independent Examiner’s Report on the Accounts

Report to the trustees of Stichill Village Hall Registered charity number SC012362 On the accounts of the charity for the period to 30[th] April 2026 Set out on Pages 8 - 10

Respective responsibilities of trustees and examiner

The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006. The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.

Basis of independent examiner’s statement

My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the accounts.
