## **STRUCTURE, GOVERNANCE AND MANAGEMENT**
## **LEGAL STATUS AND GOVERNING DOCUMENT**
Dundee Sea Cadets is an unincorporated charity. The charity is governed by its constitution, which sets out the charity’s purposes and administration arrangements. The Dundee Sea Cadet Unit is administered under the Sea Cadet Corps Constitution (2017 edition) whose aim is to help young people towards responsible adulthood by encouraging valuable personal attributes and a high standard of conduct using a nautical theme based upon the customs of the Royal Navy.
## **MANAGEMENT**
The charity’s Trustees are the members of the Unit Management Team (UMT). The UMT is chaired by the UMT Chairman; meetings are held monthly and at any other time deemed necessary.
The legal, financial property and charity affairs of the Unit are managed by the UMT. The Trustees are required to act in accordance with the Constitution and other regulations and instructions issued by the Board of Trustees of the Sea Cadet Association.
The Trustees are particularly aware of their responsibilities for Health and safety, especially for the children enrolled as Sea cadets. In addition to comprehensive insurance, all our volunteer staff comply with the Criminal records Bureau and Disclosure Scotland (Enhanced). And now also GDPR.
## **APPOINTMENT OF TRUSTEES**
The Trustees are all local people appointed or re-appointed at the Annual General Meeting. In considering the appointment of new Trustees, the UMT seeks to ensure that they are persons of integrity, known to the Unit, sympathetic to the aims of the Sea Cadet Corps, and that they have appropriate management experience and skills to offer to the Unit. They must be able to commit necessary time to attend to duties. Such members are required to resign at each AGM but may offer themselves for re-election.
The Trustees do not receive any remuneration however certain Trustees are reimbursed for Unit expenses incurred by them personally in relation to the running of the charity.
## **PARENTS AND SUPPORTERS COMMITTEE**
Under the Chair, this committee meets informally and assists within the Unit with catering activities during social occasions and helps with fundraising enterprises.

## **OBJECTIVES AND ACTIVITIES**
## **CHARITABLE PURPOSES**
At Sea Cadets we aim to help launch young people (aged 10-18) for life today. Effectively we are stopping them staring at a screen and giving them life skills and fun! Young people today face increasing challenges: social isolation, lack of access to positive role models, limited opportunities to develop life skills, and fewer pathways into rewarding careers or community engagement. Many families are unable to afford extra-curricular activities that help young people build resilience, confidence, and leadership. Dundee Sea Cadets exist to bridge this gap. We provide a safe, structured and inspiring environment where young people from all backgrounds can develop practical skills, gain qualifications, and grow into confident capable adults.
## **UNIT STRENGTH**
Ships company strength currently stands at 51 cadets, and there is a waiting list of 12 individuals The overall number of volunteers remains consistent at 35 which includes 7 Trustees. Our Cadets and Volunteers are very go ahead and it is our intention to make Dundee Sea Cadets a hub of excellence which is in progression.
## **ACTIVITIES**
There’s our Dundee cadet meetings on three nights a week, and the unit band trains and rehearses once a week. There are many weekend activities and opportunities for the cadets in Dundee and further afield, including national opportunities such as offshore voyages. During the winter months training normally consists of learning from many topics, such as marine engineering, catering, leadership, seamanship and many more specialised subjects. From spring to early autumn, the emphasis is on outdoor boat training, which includes rowing, power, ceiling and paddle boarding with the goal being to obtain boating qualifications. This typically takes place within the Dundee harbour area, providing a safe location for positive learning experiences. For more advanced qualifications cadets will move to more demanding locations, such as the river Tay. There are also other waterborne activities to do and mountain biking has been introduced. Dundee Sea Cadets have a strong bond with Ancrum outdoor centre and the Royal Tay Yacht Club and the Royal Yachting Association. Dundee Sea Cadets continue to engage strongly with the community, and the cadets attend and the band plays at church parades, remembrance days, galas, host Christmas divisions aboard HMS Unicorn and are the custodians of the submariners memorial Dundee.
## **FINANCIAL REVIEW**
Dundee Sea Cadets had a challenging time financially prior to 2023. However, due to a robust funding campaign by the chairman and the generosity of our funders out financial status has greatly improved, and we as a Unit are now on solid ground for the second year in succession and intend to keep up this momentum.
The UMT operates a separate building fund, which presently shows a nil balance. This is because we are in discussions with the architect about planning permission and the costing of an extension for training purposes.

Our classrooms currently double up as dormitories which is far from ideal.
## **RESULTS AND RESERVES**
The results for the year, and the charity's financial position are shown in the attached financial statements.
## **RISK MANAGEMENT**
The Trustees have assessed the major risks to which the charity is exposed, in particular those related to the operations and finances of the charity and are satisfied that systems are in place to mitigate our exposure to the major risks.
## **RESERVES POLICY**
The Trustees seek to retain sufficient funds to meet any unforeseen costs that may arise. Further funds have been allocated to reserves which equate to 6 months running costs ,but will not be shown as such until the next set of accounts.
## **PLANS FOR FUTURE PERIODS**
As already stated, we are continuing with our quest to make Dundee a hub of excellence, not just for Sea Cadets but also for the community. Many projects have been completed internally and externally. We are still making changes. One of the biggest projects was the removal of a large vessel which was sitting on the ground where the proposed extension for training purposes will be built. Whilst the Sea Cadets is built on the traditions of the Royal Navy, we must as a Unit be innovative and keep a pace with modern times.
There has been many awards and qualifications achieved.

# **INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF DUNDEE SEA CADETS**
## **YEAR ENDED 31 MARCH 2025**
I report on the accounts of the above charity for the period ended 31 March 2025 which are set out on pages 7 to 15.
## **RESPECTIVE RESPONSIBILITIES OF THE TRUSTEES AND EXAMINER**
The charity’s Trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 (“the 2005 Act”) and the Charities Accounts (Scotland) Regulations 2006 (as amended) (“the 2006 Regulations”).
The charity’s Trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the 2005 Act and to state whether particular matters have come to my attention.
## **BASIS OF INDEPENDENT EXAMINER’S STATEMENT**
My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
## **INDEPENDENT EXAMINER'S STATEMENT**
In connection with my examination, no matter has come to my attention
1. which gives me reasonable cause to believe that, in any material respect, the requirements:
- to keep accounting records in accordance with Section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and
- to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations have not been met, or
2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## **1. Basis of accounting**
These accounts have been prepared on the Receipts and Payments basis in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 (“the 2005 Act”) and the Charities Accounts (Scotland) Regulations 2006 (as amended) (“the 2006 Regulations”).
## **2. Nature and purpose of funds**
Unrestricted funds are those that may be used at the discretion of the Trustees in furtherance of the objects of the charity. The Trustees maintain several unrestricted funds in cash for the day to day running of the Sea Cadets Unit in Dundee, as well as operating bank accounts to control the main unrestricted cash assets of the Unit, including designated unrestricted funds.
Restricted funds may only be used for specific purposes. Restrictions arise when specified by the donor or when funds are raised for specific purposes.
## **3. Trustees’ remuneration**
No remuneration was paid to any Trustee or to any connected persons during the year (2024 - £nil). As a matter of course, the charity refunds to Trustees any costs paid by them personally, in relation to the normal operation of the Sea Cadets Unit.

## **7. Our premises**
Dundee Sea Cadet Unit operates out of Buildings at East Camperdown Street, Dundee, DD1 3LG.
The buildings consist of a purpose-built block and the Boat Repair Shed, plus one temporary cabin that is used solely by the Unit Management Committee (UMC) as an office and meeting room.
The ground is leased by the Trustees (the members of the UMC) from Forth Ports Plc on a 125 year lease which commenced on 12th February 2002.
The rent was set at £1 per annum and £125 was paid in advance. The UMC took possession of the main building on the 30th January 2004.
There is no debt on the buildings but Highland Reserve Forces and Cadet Association (HRF&CA) retains a charge on the main building on a sliding scale, for 8 years.
The rateable value of the Headquarters Buildings is £70,000; however rates are exempted by Dundee City Council. The Buildings are insured for more than £1.6million, and this figure includes the value of Pontoons.
## **8. Unrestricted funds and Restricted funds**
The General fund, as well as the parents and Supporters fund and Cadet donations, are used for the provision of premises and transport as required by paragraph 6043 of the Sea Cadet constitution. They are also used for any general purpose required for the training of the Cadets.
Restricted funds are sought and accumulated when a particular project is requested by the Commanding Officer and approved by the UMC.

Premises Upgrades – planned improvements and upgrades to the premises occupied by the charity and the equipment held by the charity.
Kitchen Equipment – purchase of equipment for the kitchen at the charity’s premises.
Dishwasher – purchase of a dishwasher for the kitchen at the charity's premises. Boat Maintenance – maintenance work to be done on the boat’s owned by the charity.

## **ADDENDUM TO LETTER OF ENGAGEMENT FOR DUNDEE SEA CADETS.**
I write in respect of our ongoing engagement relating to the accounts of Dundee Sea Cadets and in particular to the letter of engagement dated 26 June 2019.
Please note that effective from 24 October 2024, the engaged part has changed from FourM Limited, to BK Plus Limited.
The signed terms within the letter of engagement remain the same. The differences you will note:
- The invoice for work will now come from BK Plus Limited and therefore bank details which you have previously used will be different
- The Independent Examiner’s Report will be signed as BK Plus Limited
