Structure, Governance and Management
Governing Document
The Kirk of Saint Nicholas Uniting is administered in accordance with the terms of the Deeds of Constitution as a Local Ecumenical Partnership between the Church of Scotland and the United Reformed Church. The union was formed in 2002 when the Kirk of St Nicholas (Church of Scotland) joined with St Nicholas United Reformed Church to become the Kirk of Saint Nicholas Uniting.
Organisational Structure
The Church is governed by the Kirk Council, which meets at least nine times a year and the Kirk Forum, which meets at least three times a year. Special meetings of either body can be called in accordance with the rules specified in the Constitution. The Minister moderates both of these meetings.
Membership of the Kirk Council is made up of Elders chosen from the membership of the church by the Kirk Forum and ordained for life as Elders in the Church of Scotland and the United Reformed Church. Those Elders who wish to, serve as the Charity Trustees and are elected by the Kirk Forum at its annual general meeting. Elders serve the Kirk Council as Trustees for a term of three years after which they are eligible for further terms if they so desire. Elders are responsible for spiritual leadership and oversight of the Kirk's ministry and mission, including care of the building and its contents. Some responsibilities are delegated to the Communication, ECO, Education, Finance, Hospitality, Outreach, Pastoral, Property, Social and Worship Teams, who report regularly to the Kirk Council and Kirk Forum. Any recommendations from these teams are brought to the appropriate governing body for approval before implementation.
Purpose and Activities
The main purpose of the Kirk of Saint Nicholas Uniting is the promotion of Christian faith and love and exists to serve God, to serve the community and to serve its members. Inspired by the radical hospitality of Jesus Christ, the Kirk of Saint Nicholas Uniting welcomes all of God's children into the life of the Church regardless of gender, age, race, ethnicity, sexual orientation, physical limitation, educational background, or economic situation. In normal times the advancement of Christian faith is primarily achieved through the provision of weekly Sunday Morning worship, daily prayers held at 1.05 p.m. Monday to Friday, services in Holy Week and significant dates in the Christian liturgical calendar, and other special services, asdetailed below.
In 2020 Covid-19 restrictions significantly impacted these activities. The church building wasclosed to all activities on Wednesday 17[t][h] March 2020 and reopened for Sunday worship and some special services on Sunday 4[t][h] October 2020. From March 2020, and for the remainder of the year, the Interim Moderator distributed written devotions to members and also created, in collaboration with the other West End and City Centre Ministers, aweekly worship service on YouTube.

Special services normally held throughout the year include various civic services, an annual Councillors' Service, a service of Kirking of the Seven Incorporated Trades as part of the Remembrance Sunday Service and various commemorations for the people of the City of Aberdeen and branches of the Armed Forces. However due to Covid-19 restrictionsnone of these servicestook place in 2020.
The Kirk has historic links with Robert Gordon's College and acts as the College's House of Worship for both the Junior and Senior Schools. The Kirk normally hosts Founder's Day, Christmas and Easter Services and the annual Leavers' Service (Baccalaureate). The Minister is responsible for leading these services and serves as a school Governor of the College. However due to Covid-19 restrictions none of these servicestook place in 2020.
The Kirk also supports the work of the UK Oil and Gas Chaplaincy, normally hosting an annual Service of Remembrance for those who have died while working in the industry and other annual commemorations throughout the year. In 2020 a short Act of Remembrance took place in the Oil Chapel with limited participantsand wasfilmed for later distribution.
The Kirk hostsservicesof the Norwegian Seamen's Church (Sjømannskirken) when the need arises.
The Kirk is committed to continuing ecumenical relationships with other churches in the city centre. The Kirk normally participates in annual services during the city's Christmas Season including dedication services for the Christmas Tree and Nativity Scene. We normally participate in the churches' Procession of Witnesson Good Friday. In 2020 both Easter and Christmas activities were severely curtailed due to Covid-19 restrictions. We continue to explore more structured relationships with St Mark's Church of Scotland, Crown Terrace Methodist Church, St. Andrew's and St. John's Scottish Episcopal Churches. The Kirk has initiated further exploration of ecumenical cooperation and mission with other churches in the city centre.
The Kirk was part of the former Aberdeen City Centre Parish Grouping with St. Mark's Parish Church and Queen Street Parish Church which was dissolved in 2013. In 2017 these two congregations united to form St. Mark's Parish Church. Informal cooperation continues between St. Mark's and the Kirk of Saint Nicholas Uniting in the ongoing distribution of "The Big Issue" to local vendors. With the closure of the Queen Street building this has moved to St. Mark s. The Kirk also supports various local charities working with homeless people and makes periodic food collections for the CFINE Food Bank within the parish. We also have occasional Retiring Offerings for a variety of charitable appeals and support the work of Christian Aid.
The Kirk is a corporate member of the Aberdeen InterFaith Group and has hosted a variety of interfaith events. Several members also attend meetings of the Progressive Christianity Network.
ln 2016 the General Assembly and the Synod of Scotland of the United Reformed Church gave their approval to allow those Ministers who so wished to be registered to conduct same-sex marriages. The

Minister opted-in to the register and has performed anumber of same-sex weddings. Currently same-sex weddingsare not held in the Kirk building.
On 31st January 2020 the Rev. Stephen Taylor retired as Minister of the Kirk of Saint Nicholas Uniting. The Rev. Ian Murray remained in hispost as Interim Moderator to lead and support the congregation.
In 2020 the parent bodies of the Kirk of Saint Nicholas Uniting, namely the Aberdeen and Shetland Presbytery of the Church of Scotland and the United Reformed Church Synod of Scotland determined that the Local Ecumenical Partnership should be dissolved with the assetsdistributed to the parent bodies. Consequently the Local Ecumenical Partnershsip wasdissolvedon the 31st December 2020.
Building
The Kirk of Saint Nicholas is a very large building in the centre of Aberdeen and as the first church in Aberdeen has been known as the 'Mither Kirk' since early times. After the Reformation and sometime after 1577, the Kirk wasdivided internally to create another parish using the former Quire; these churches were first known as the 'Auld Kirk' and the 'New Kirk'; later they were named the West Kirk and the East Kirk respectively. They became one parish again in 1980 asthe Kirk of St Nicholasand a Local Ecumenical Partnership wasestablished with St Nicholas United Reformed Church in 2OO2.
In 2003 a Kirk initiated venture, then known as the 'Mither Kirk Project', was started whose aim was to open up the entire East Kirk for use by the Kirk and the wider community and provide space for both spiritual and secular purposes. The initial project expanded considerably in both size and scope and, in response to challenges in securing adequate funding, the OpenSpace Trust, independent of the Kirk and with membership available to anyone in the wider community was created. Ownership of the former East Kirk was transferred from the General Trustees of the Church of Scotland to the OpenSpace Trust who undertook to continue the development as envisioned under the OpenSpace designation. Space for the Kirk's use for worship, social and other activities in the finished building wasguaranteed by agreement with the Trust. This work will be ongoing for some time but will eventually produce a very fine asset for community use.
Achievements and Performance
As part of its mission, the Kirk continues to provide support, and encourages its members to support, a number of charities in the city. A part-time Pastoral Assistant, appointed by the Kirk, visits elderly and housebound members of the congregation. The present Pastoral Assistant is able to include a more spiritual element in such visits than may be possible for many elders. As a result of the dissolution of the Local Ecumenical Partnership, the post of the Pastoral Assistant was made redundant at the end of October 2020.
Presently there is no dedicated space in the building for social events following the demolition for development of the interior of the East Kirk. Members of the congregation meet in the Crossing and Drum Aisle for coffee each Sunday following morning worship. Presentations, performances and receptions connected with both the Kirk and community are held within these historic (and unheated) areas of the Kirk. A Social Team has been organised to arrange activities, events, coffees and lunches

throughout the year in venues other than the church building. These activitieswere curtailed in 2020 due to Covid-19 restrictions.
The Friends of the Kirk of Saint Nicholas are a group concerned with the preservation and promotion of the heritage of the Kirk building and aim to arrange social events throughout the year featuring some aspectsof the Kirk's history. These meetings are open to members and guests.
Connections with the local community are further strengthened through the church's summer visitor season.
From June to September the building is normally open on weekdays, staffed by wardens from the Kirk of Saint Nicholas, other local churches and from the community. However the summer opening in 2020 wascancelled due to the Covid-19 pandemic.
Continuing participation in events such as the 'Doors Open Day' have been effective ways of maintaining the Kirk'sprofile in the city. This was held “virtually” in 2020 due to Covid -19 restrictions.
A Guild affiliated with the Church of Scotland Guild meets fortnightly in the Cowan Chapel or Choir Vestry of the West Kirk.
Financial Review
Income to the General Account is provided mainly by Congregational offerings, donations and church activitiesalong with Dividendsfrom Investments and Interest from cash on deposit.
Congregational offerings along with donations from visitors and various church activities were severely affected by the Covid-19 pandemic. A period of enforced closure followed by limited opening with restrictions meant that the entire visitor season was lost. Travel restrictions on a gathered elderly congregation had a disproportionate effect on attendance which had already been reduced following the retirement of the Minister at the end of January.
Furthermore, since the original date for Dissolution of the LEP was 31st October, those members who contributed regularly by Free Will Offering envelopes or by Standing Orderswere asked to stop their use before September to allow time for Gift Aid recovery and separation of finances.
Although the Dissolution date was later extended to 31st December, that date became also the date on which the Church of Scotland Kirk of Saint Nicholas congregation, instead of being reinstated as promised, wasalso dissolvedby the Presbytery of Aberdeen and Shetland. In the face of thissituation, the level of individual giving did not recover.
Offeringsplusrecovered Gift Aid wasreduced to £16,958 compared to £32,510 in 2019.

No legacies were received during the year but substantially lesswas withdrawn from our funds for fabric repairs. In March 2020, the OpenSpace Trust reimbursed to the Kirk the sum of £12,813.12 which had been advanced for preliminary work on the new heating system including replacement of boilers to be provided by the OST.
The salary of the Pastoral Assistant continued to be paid from the St Nicholas Charitable Fund and is included in Grants. When the post was declared redundant from 31st October, redundancy costsalso were covered by the Fund.
Investments were held in both CoSIT Units and in a portfolio managed by Brewin Dolphin. As a consequence of the effect on global markets of the Covid-19 situation, investment income from unrestricted /designated fundsfell to £38,123 compared with £45,483 in 2019.
Total Income is shown as£76,605 compared with £228,543 in 2019.
At year-end, net assets in the unrestricted, undesignated General Account stood at £1,124,254 compared with £1,183,982 in 2019.
However, overall Investment funds were still substantial, Market Value being £1,161,144 compared with £1,208,200 in 2019.
Following the decision by the URC not to renew its contract with Rev Stephen Taylor and hissubsequent } early retirement, histerm of tenure was extended to the end of January 2020 at acost of I 5 salary for the year.
Nevertheless, payment of Ministries and Mission allocations for 2020 accounted for £40,093 of resources expended (note 5), £11,384 to the Church of Scotland and £28,709 to the URC.
Costsfor fabric were substantially lessthan in 2019.
Asmentioned above, costsof Ministerial assistance were covered by the Saint Nicholas Charitable Fund.
Total resourcesexpended for the year were £102,784 compared with £195, 321in 2019.
The Balance Sheet shows Funds of £1,169,028 carried forward compared with £1,237,818 at the end of 2019.

Realisation of Assets
Since Dissolution of the LEP required splitting of the mutually held Funds, considerable effort was expended on finding evidence for the Financial Assets which each Denomination had contributed when the LEP was created.
Figures with substantiating documented evidence were agreed by two members of the Finance Team on August 26th 2020 and subsequently accepted by three representatives from both Denominations.
Consideration of Investment and Cash Assets showed that these should be distributed in the proportions of 69.2% to the CofS and 30.8% to the URC while funds released on sale of the Manse would be distributed in the proportionsof 58.6%to the Church of Scotland and 41.4%to the URC.
These distributionsawait the outcome of realisation of assetsin 2021. Notwithstanding the fact that funds on Deposit with the Church of Scotland Investors Trust (CoSIT) belonged to the congregation until its dissolution on 31st December, these funds were appropriated by the CofS General Trustees on 22nd December. The sums involved were £3043.05 for General Purposes, £2373.10 in a designated Organ Fund and £10,524.30 in a designated Heating Fund. These funds are included in the Accounts where they rightly belong.
Hopefully, winding up processes including sale of the Manse will be completed in 2021. A Dissolution Group of four Trustees (two from each Denomination) along with a representative of both the CofS General Trusteesand the URC Synod of Scotland wasestablished to oversee the processes.
Fundsbelonging to the Guild were wound up and transferred by the members to their Head Office.
Saint Nicholas Charitable Fund
During the Covid-19 pandemic, restrictions meant that contact with hospitals, care-homes and housebound members of the congregation became impossible and the Sunday School was not able to meet.
However, the Saint Nicholas Charitable Fund was able to support appeals by Aberdeen CFINE Food Initiativeand Crossreach Care Homeswith donationsof £500 each.
At the end of the year, donations of £500 were given to Aberdeen Cyrenians, Aberdeen Dementia Resource Centre ( part of Alzeimer Scotland), Aberdeen Seafarers’ Centre, the Salvation Army and Voluntary Service Aberdeen to support their work in Aberdeen. When the Trustees of the Fund were notified of the Presbytery decision not to continue with a Church of Scotland congregation at the Kirk of Saint Nicholas, they decided to dissolve the Fund, realise its invested assets and divide them equally between these same five Charities whose ethos and purposes are in keeping with those of the Fund. Each will, in due course, receive the sum of £64,843 to continue their work in Aberdeen, OSCR being fully informed.

The congregation was one of the two remaining partners in the Big Issue Agency along with the congregation of the Church of Scotland St Mark’s Church which had subsumed the share originally belonging to the Church of Scotland Queen Street Church on amalgamation. The Agency was dormant during the Covid-19 restrictions and the Kirk of Saint Nicholas Uniting congregation decided at year-end to transfer itsshare of any asse ts to the congregation of St Mark’s Church.

The Trustees consider that they have fulfilled their statutory obligations concerning financial records, statementsand accountancy proceduresasbelow:

ACCOUNTING POLICIES
The Charity hasadopted the requirements of the Statement of Recommended Practice: Accounting and Reporting by Charities(Feb 2005)
a) Basis of Preparation
The Accounts have been prepared in accordance with applicable accounting standards and under the historical convention, modified to reflect the inclusion of investments at Market Value and in accordance with the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations (2006), the Regulations anent Congregational Finance approved by the General Assembly of the Church of Scotland in 2007 and the Statement of Recommended Practice: Accounting and Reporting by Charities(2005)
b) Funds
Fundsare classified asrestricted or unrestricted, defined asfollows:-

Restricted Fundsare fundssubject to specific requirements as to their use which may have been declared by the donor or with their authority or created through legal processes but still within thewider objectsof the Charity.

Unrestricted Fundsare expendable at the discretion of the Trustees in furtherance of the objects of the Charity. If partsof the unrestricted fundsare earmarked, at the discretion of the Trustees, for particular purposes they are designated as separate funds. This designation has an administrative purpose only and does not legally restrict the discretion of the Trustees to apply thefunds.
c) Incoming Resources
All donations are included within the incoming resources under either restricted or unrestricted funds. Where atax claim hasbeen made on Gift Aid donationsreceivedin the year but repayment of tax hasnot been received prior to year end, adebtor for theoutstandingclaim iscreated.
d) Resources Expended
Expenditure isrecognised on an accrualsbasisastheliability isincurred.
e) Tangible Fixed Assets
The Charity has the right to occupy and use for its charitable purposes certain fixed assets including the Church and offices vested in the Church of Scotland General Trustees. No consideration is payable for use of these assets. The Manse is vested in the congregation and was acquired in 2005 at a total cost of £490,907 inclusive of legal fees. It has not been valued since acquisition and is not included in the Balance Sheet. An asset valuation reserve will need to be created if it is to be included in afuture Balance Sheet. Expenditure incurred in maintenance and repair of these fixed assets is shown as resources expended in theperiod in which theliabilitiesarose.

f) Investments
These are shown at Market Value in the Balance Sheet. Unrealised gainsand losses represent differences between market values at the beginning and end of the accounting year or, if purchased during the year, difference between cost and market value at the end of the year. Realised gains and losses represent the differencebetween theproceedson disposal and valueat thestart of theyear or when bought.
g) Taxation
The Kirk of St Nicholas Uniting is recognised as a Charity for the purposes of applicable taxation legislation and is, therefore, not subject to taxation on its charitable activities. The Charity is not registered for VATand resourcesexpended includeunrecoverable input VAT.

I report on theaccountsof thecharity for theyear ended 31December 2020asset out on pages13 to 19.
Respective responsibilities of t rustees and examiner
the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations200 6.
The charity trustees consider that the audit requirement of Regulation 10(1) (a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to statewhether particular mattershavecome to my attention.
My examination is carried out in accordance with Regulation 11of the Charities Accounts (Scotland) Regulations 2006. An examination includesa review of the accounting recordskept by the charity and a comparison of theaccountspresented with those records.
It includes also consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, therefore, I do not express an audit opinion on the view given by theaccounts.

As a local ecumenical partnership between the Church of Scotland and the United Reformed Church, the Kirk of St Nicholas Uniting contributes to the URC Plan for Partnership, from which the
Minister was paid a proportion of the URC National Stipend. For 2020 this proportion was £2,300 excluding employer's pension contributions of £504.85 and National Insurance of £218.18.
N.B. The Minister demitted his charge on 31/01/2020.
