## **Report of the Trustees for the year ended 31 March 2025** 

The Trustees submit their annual report and the financial statements for the year ended 31 March 2025. The financial statements have been prepared in accordance with the accounting policies set ut in n t  1 t  th   cc unts  nd c  ply with th  Ch rity’s Trust D  d, Th  Ch riti s  nd Trust Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 (as amended) and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable to charities preparing their accounts in accordance with FRS 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland. 

## **OBJECTIVES AND ACTIVITIES** 

Th  End w  nt Trust’s  bj ctiv s  r  t  pr vid  funds f r th   dv nc   nt  f  duc ti n, r li i n and other purposes beneficial to the community and for the relief of poverty. For these purposes the Trust may hold, manage and deal with property; hold, acquire, purchase and sell shares, stock, debentures, debenture stock and investments and securities of all kinds. 

## **ACHIEVEMENTS AND PERFORMANCE** 

Returns from investments increased compared to the previous year whilst investment values also ended the year showing a significant increase compared to the previous year. This will enable the Trust to distribute funds at a similar rate to last year. The Trustees continue to monitor the overall performance of the fund in conjunction with the Fund Managers. The policy on income and capital objectives is also continually reviewed by the Trustees to ensure that disbursement levels remain in line with the agreed targets. 

## **FINANCIAL REVIEW** 

Th  Trust’s w rk is  l  st  ntir ly r li nt  n inc     nd r turns fr   its inv st  nts. Inc    durin the year decreased by 11.1% (2024: 20.9% increase) to £513,366 (2024: £577,501). After allowing for disbursements of £758,404 (2024: £534,452) and other governance and support costs the Trust shows a surplus of £nil (2024: £nil).

Annu l inc    fr investments is available for disbursement for charitable purposes and during the year the Trust paid out 100% (2024: 100%) of income after related costs. Funds held by the Trust are all restricted funds, being ultimately owned by the individual fund holders and as such are classified as long term creditors. Capital income and expenditure is shown as a capital growth adjustment in the SOFA. 

Cash balances at the year-end of £1.6m (2024: £1.6m) include £0.22m (2024: £0.15m) of funds h ld with th  Trust’s br k rs f r inv st  nt purp s s.

## **RISK MANAGEMENT** 

The principal risk faced by the Trust lies in the performance of its investments. The Trust has a diversified portfolio, managed by an expert independent fund management company that is authorised and regulated by the Financial Conduct Authority. The fund managers are given discretion, within the strategy laid down by the Trustees, to invest in a wide range of equity, bond and other securities subject to all investments being made on an ethical basis. The fund is managed with a view to maximising income alongside a level of capital appreciation. The Trustees continue to work with the investment managers to ensure that funds are suitably invested with regard to both risk  nd  thic l c nsid r ti ns, thus  iti  tin  th  Trust’s   j r fin nci l risk. Th  Trust  s are aware that financial investment is not risk free. They monitor the performance and composition of th  inv st  nt p rtf li   n   r  ul r b sis, r c ivin    nthly r p rts fr   th  fund’s inv st  nt managers and meeting regularly with them to discuss the results and aims. The Trustees will c ntinu  t  w rk with th ir inv st  nt   n   rs t   nsur  th t th  Trust’s funds  r  suit bly invested with regard to both risk levels and ethical considerations. 

## **RESERVES POLICY** 

The Trust is a charitable non-profit making organisation and as such the Trustees have adopted a NIL reserves policy. They believe that investment income in any year will be more than sufficient to cover any ongoing costs. 

## **PLANS FOR FUTURE PERIODS** 

The Trustees continue to review the results of the investment policy and are happy that the main aim of maximising income with a secondary aim of increasing investment values is still appropriate. The policy will continue to be reviewed on a regular basis. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

The Endowment Trust of the R.C. Diocese of Aberdeen is a company limited by guarantee and governed by its Memorandum and Articles of Association. It is a registered charity number SC007816. 

The Trustees are, ex officio, the Bishop, Vicar General and Procurator of the Diocese of Aberdeen. The Trust may from time to time, by ordinary resolution, increase or reduce the number of trustees. Each year one third of the Trustees retire by rotation. There should be, at any one time, at least two but no more than four Trustees. The Chair of the Trustees is appointed by the Trustees who elect one of their number. The Chair is not subject to rotation.

Induction and training will be considered on an ongoing basis, particularly in the event of a new Trustee being adopted.

Th  M n     nt Committee of the RC Diocese of Aberdeen, which is appointed to oversee the financial affairs of the Diocese, makes recommendations to the Trust. Maintenance of the day-to-day records is outsourced to the Finance Team of the Diocese. Investments are managed by Valu-Trac Investment Management Limited.

The Charity Trustees (who are also Directors of The Endowment Trust of the R.C. Company law requires the Charity Trustees to prepare Financial Statements for each year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that period. In preparing these Financial Statements, the Trustees are required to: 

- Select suitable accounting policies and then apply them consistently; 

- Observe the methods and principles in the Charities SORP; 

- Make judgements and estimates that are reasonable and prudent; 

- State whether applicable UK accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; 

- Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business.

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). They are also responsible for safeguarding the assets of the charitable organisation and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **OPINION** 

We have audited the Financial Statements of The Endowment Trust of the R.C. Diocese of Ab rd  n (th  ‘ch rit bl  c  p ny’) f r th  y  r  nd d 31 M rch 2025 which comprise the Statement of Financial Activities, the Balance Sheet and Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards including Financial Reporting Standard 102 _The Financial Reporting Standard applicable in the UK and Republic of Ireland_ (United Kingdom Generally Accepted Accounting Practice). 

In our opinion the Financial Statements: 

- Give a true  nd f ir vi w  f th  st t   f th  ch rit bl  c  p ny’s  ff irs  s  t 31 M rch 2025, and of its incoming resources and application of resources, including its income and expenditure, for the year then ended; 

- Have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and 

- Have been prepared in accordance with the requirements of the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and Regulation 8 of the Charities Accounts (Scotland) Regulations 2006 (as amended). 

## **BASIS OF OPINION** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards  r  furth r d scrib d in th  Audit r’s responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of th  fin nci l st t   nts in th  UK, includin  th  FRC’s Ethic l St ndard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **CONCLUSIONS RELATING TO GOING CONCERN** 

In auditing the financial statements, we have concluded that th  Trust  s’ us   f th    in  c nc rn basis of accounting in the preparation of the financial statements is appropriate. 

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable c  p ny’s  bility t  c ntinu   s     in  c nc rn f r   period of at least twelve months from when the financial statements are authorised for issue.

If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

## **RESPONSIBILITIES OF TRUSTEES** 

As  xpl in d   r  fully in th  Trust  s’ r sp nsibiliti s st t   nt s t  ut in th  dir ct rs’ r p rt, th Trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal controls as the Trustees determine are necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the Trustees are responsible for assessing the charitable c  p ny’s  bility t  c ntinu   s     in  c nc rn, discl sin ,  s  pplic bl ,   tt rs r l t d t    in concern and using the going concern basis of accounting unless the Trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so. 

## **AUDITOR’S RESPONSIBILITIES FOR THE AUDIT OF THE FINANCIAL STATEMENTS** 

We have been appointed as Auditor under Section 44(1)(c) of the Charities and Trustee Investment (Scotland) Act 2005 and under the Companies Act 2006 and report in accordance with regulations made under those Acts. 

Our objectives are to obtain reasonable assurance about whether the financial statements as a wh l   r  fr   fr     t ri l  isst t   nt, wh th r du  t  fr ud  r  rr r,  nd t  issu   n  udit r’s report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. 

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below:

In identifying and assessing the risk of material misstatement due to non-compliance with laws and regulations we have: 

- Ensured that the engagement team had the appropriate competence, capability and skills to identify or recognise non-compliance with laws and regulations; 

- Identified the laws and regulations applicable to the charity through discussions with Trustees and management and through our own specialist knowledge of the sector; 

- Focused on the specific laws and regulations we consider may have a direct effect on the financial statements, including FRS 102, the Charities SORP, Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and regulation 8 of the Charities Accounts (Scotland) Regulations 2006 (as amended); 

- Focused on the specific laws and regulations we consider may have an indirect effect on the fin nci l st t   nts th t  r  c ntr l t  th   ntity’s  bility t  tr d  includin  th s  r l tin  t GDPR; 

- Reviewed the financial statement disclosures and tested to supporting documentation to assess compliance with applicable laws and regulations; 

- Made enquiries of management and inspected correspondence with the Charities Regulator, OSCR and legal correspondence; 

- Reviewed minutes of meeting of those charged with governance; and 

- Ensured the engagement team remained alert to instances of non-compliance throughout the audit. 

In identifying and assessing the risk of material misstatement due to irregularities, including fraud and how it may occur, and the potential for management bias and the override of controls we have: 

- Obt in d  n und rst ndin   f th   ntity’s operations, including the nature of its revenue sources and of its objectives and strategies, to understand the classes of transactions, account balances, expected financial disclosures and business risks that may result in risk of material misstatement; 

- Obtained an understanding of the internal controls in place to mitigate risks of irregularities, including fraud; 

- Vouched balances and reconciling items in key control account reconciliations to supporting documentation; 

- Carried out detailed testing to verify the completeness, validity, existence and accuracy of income including cut-off testing and ensuring income recognition is in line with stated accounting policies; 

- Made enquiries of management as to where they consider there was a susceptibility to fraud, and their knowledge of any actual, suspected or alleged fraud; 

- Tested journal entries to identify any usual transactions;

- Performed analytical procedures to identify any significant or unusual transactions; and 

- Evaluated the appropriateness of accounting policies and the reasonableness of accounting estimates. 

We did not identify any matters relating to non-compliance with laws and regulations or relating to fraud. 

Because of the inherent limitations of an audit, there is an unavoidable risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or noncompliance with regulation. The risk of not detecting a material misstatement due to fraud is inherently more difficult than detecting those that result from error as fraud may involve intentional concealment, forgery, collusion, omission or misrepresentation. In addition, the further removed any non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would be aware of it.

## **1. Accounting Policies** 

## **(a) Basis of preparation and assessment of going concern** 

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these financial statements. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). 

The Trustees, having considered the requirements of Section 396 (1) – (3) of the Companies Act 2006, have decided to depart from the requirement of the provision made by the Secretary of State by regulations as the company is a charitable, non-profit making organisation. In accordance with the provisions of Section 396 of the Companies Act 2006, income and expenditure accounts have been prepared as the Trustees consider that this presentation is nec ss ry t   iv    tru   nd f ir vi w  f th  c  p ny’s  ctivities. 

The Charity constitutes a public benefit entity as defined by FRS 102. 

The financial statements are prepared in sterling which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.

With respect to the next reporting period, the most significant areas of uncertainty affecting the carrying value of assets are the level of investment return and the performance of investment markets. 

## (b) **Income recognition** 

Income is recognised once the charity has entitlement to the income, it is probable that the income will be received, and the amount of income receivable can be measured reliably. 

Interest on corporate bonds is included upon notification of the interest paid or payable. Dividends are recognised once the dividend has been declared and notification has been received of the dividend due. This is normally upon notification by the Investment Manager of the dividend yield of the investment portfolio.

## (c) **Expenditure recognition** 

Expenditure is recognised as soon as there is a legal or constructive obligation committing the Charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably. Expenditure is classified under the following headings: - 

- Costs of generating funds comprise amounts paid for the management of the investment portfolio and commissions paid on the buying and selling of shares and bonds. 

- Expenditure on charitable activities include all costs relating to activities where the primary aim is part of the objectives of the company – i.e. disbursements to the parishes and other bodies – as well as associated support costs such as governance costs  nd th  d pr ci ti n  n th  c  p ny’s pr p rti s. 

All expenditure is accounted for on an accruals basis, inclusive of any VAT which cannot be recovered. 

## (d) **Foreign currencies** 

Transactions in foreign currencies are recorded at the rate ruling at the date of the transactions. Monetary assets and liabilities are retranslated at the exchange rate ruling at the balance sheet date. All differences are taken to the Statement of Financial Activities. 

## (e) **Fixed asset investments** 

Investments are a form of basic financial instrument and are initially recognised at their transaction value and subsequently measured at their fair value at the balance sheet date using the quoted market price. The Statement of Financial Activities includes the net gains and losses arising on revaluations and disposals throughout the year. 

Investment properties are stated at estimated market value as determined by the Trustees based on market information available. If there is a material movement, the property is revalued at that time. 

## (f) **Tangible fixed assets** 

All assets costing £250 or more are capitalised and valued at historical cost. Depreciation is calculated so as to write off the cost of an asset, less its estimated residual value, over the useful economic life of that asset as follows: -

## (h) **Fund accounting** 

The restricted fund transactions relate to the RC Diocese of Aberdeen and other similar organisations who have lodged them as investments. Disbursements are paid out each year resulting in no surplus or deficit. 

## (i) **Realised gains and losses** 

All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and their opening carrying value or their purchase value if acquired in the current financial year. Unrealised gains and losses are calculated as the difference between the fair value at the year end and their carrying value. Realised and unrealised gains and losses are combined in the Statement of Financial Activities. 

## (j) **Debtors** 

Trade and other debtors are recognised at the settlement amount. Prepayments are valued at the amount of the services receivable estimated to relate to future periods, measured on pro rata basis. 

## (k) **Creditors** 

Creditors are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors are normally recognised at their settlement amount. Funds are held as long-term creditors due to their nature. The money is invested in a long-term capacity with expected long term growth. 

## (l) **Cash and cash equivalents** 

Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of there months or less, and bank overdrafts. Bank overdrafts, if they exist, are shown within borrowings in current liabilities. 

## (m) **Financial Instruments** 

The Trust only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at the carrying value plus accrued interest less repayments. The financing charge to expenditure is at a constant rate calculated using the effective interest method. 

## **2. Legal status of the Trust** 

The Trust is a company limited by guarantee and has no share capital. The liability of each member in the event of a winding up is limited to £10.

## **3. Related party transactions and Trustees’ expenses and remuneration** 

The Trustees all give freely of their time and expertise without any form of remuneration or other benefit in cash or kind (2024: £nil). 

During the year the company paid disbursements of £441,721 (2024: £490,703) and £12,000 (2024: £12,000) of accountancy fees to the RC Diocese of Aberdeen Charitable Trust. The company received from the Trust rental income of £7,350 (2023: £9,000). Accruals include £644,722 in respect of disbursements (2024: £441,824) due to the RC Diocese of Aberdeen Charitable Trust at the year end. The company also paid disbursements of £23 (2024: nil) to Blairs College Chapel Trust, which is connected to the company on the basis of control and supervision.

## **19. Contingent Liabilities**

## **20. Controlling Party** 

The Trust was under the control of its' Trustees during the current and previous year. 

## **21. Post Balance Sheet Events** 

In June 2025 the Directors approved a transfer of £600,000 from cash resources to be added to the investment funds under management with Valu-Trac Investment Management Limited or utilisied to enhance the investment property portfolio.
