The trustees who ar¢ also directors of the charity for the purposes of the Companies A¢t 2006. pr¢sent their report
with the financial statements of the charity for the year ended 30 September 2025. The trustees have adopted Ihe
provisions of Accounting and Reporting by Chaiiti¢s- Statement of Recommended Practice applicable to charities
preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of
Ireland (FRS 102) (effective l January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
The principal activity of the company during th¢ year was the organisation and promotion of Glasgow's lTrternational
Jazz Festival with the object of promoting, mainlaining, improvin& advan¢ing, and encouraging the presentation and
appreciation of Jazz and all associated forms of musical and artistic education.

ACHIEVEMENTS AND PERFORMANCE
Charitable activities
Glasgow International Jgzz FestivAI 2025
Th¢ 39th annual Glasgow Jazz Festival look place from Wednesday 18th until Sunday 22nd June 2025.
A programme of Scottish, UK and international artists was pres¢iited in venues across the cily. We also worked witli
several local promoters & organisations to add to our programme with a series of co-promolions which helped boost
the overall event.
ond Borders
We worked with Serious Produclions in London io bring the premiere of ihe British Council suptX)rted "Beyond
Borders" event to the Green Room in Glasgow Royal Concert Hall. This cvetkt celebrated the 20th anniversary of their
Take Fiv¢ mentoring Programme.
Poesis- a newly commissioned work and collaboration exploring intercontkeetion, borders and language as thresholds
featured live soundscapes, reimagining of traditional folk songs, improvised m¢lodi¢s, and manipulated voices
featured musicians from recenl cohorts of Take Five including Lulu Manning, Xhos& Cole, Claire Victoria Roberts
and Conor McAul¢y.
Glasgow 850
We were suc¢¢ssful with the reopened Glasgow City Council Glasgow 850 Festival Fund (which we weren't eligible
to apply for at the first round (up to £IOk). We have been granted £5,000 towards afternoon events during the Festival
dates iiicluding..
Sue McKenzie's Sound Explorers - workshop for kids aged 5-9 (Free entry)
Byres Road Big Band at the Pearce Institut¢ in Govan (Free erktry)
We presented a project entitled "The New Jazzwegians" featuring Glasgow-based jazz musicians who weren't born in
the city but had chosen to make their home and ja7z career here - co-curaled by Fergus Mccreadie. The programm¢
look pla¢¢ al Si Luke's on the afternoon of Sunday 22 June and was liosted and introduced by 2nd f¢aluT¢d musicians
born in Ghana. France, London and Scotland-wide.

The curtain has closed on the 39ih edition of Glasgow Jau Festival. reaffirming its place as one of the UK'S premier
and mLkch-loved jazz events.
From Wednesday 19 - Sunday 22 June, Glasgow's longest running festival brought a dynamic line-up of iconic
performers, rising stars, albutn launches, and community events lo venues across Glasgow, delighting audiences with
jau sounds of every genre, from big band and swing, to experimental and blues.
More than 200 musicians took part in over 35 performances. A swathe of shows reached a sell out including
acclaimed New Orleans musician Jon Cl¢ary. jazz fusion outfit Mammal Hands. S¢ottish jazz stalwarts Ros¢ Room
and two shows by trump¢ler Colin Steele.
Events ranged frosn free jam s¢ssions and orEe-off collaborations, to a Children's music workshop and a book readin&
as well as an exhibition by Glasgow-based photograph¢r AlaTJ Donald50n. capturing musicians from th¢ thriving local
scen¢.
The five-day festival has been subscribed to th¢ music industry's gender equality inittative. Keychange, since 2017,
and this year hil 75 % of performanc¢s that featured female talent.
Staged in a trNESCO City of Music and with nearly four decades of history, Glasgow Jau Festival continues to set
the stage for establislied and ¢merging jau talent, fost¢ring and promoting appreciation for jazz in ils many forms
among Glasgow audiences.

The financial statements for 30 September 2025 sliow a surplus of £2,482 (2024 - £10,766 deficit) for the period.
The company has been able lo continue ils activities due to support from Creative Scotland its bankers, the Virgin
Money Bank, and other creditors.

The organisation Ts a charitable company limited by guarantee, incorporated on 18 Novetnber 1986 and registered as a
charity on 18 November 1986. The company is ¢ontiolled by ils Memorandum of Association, which estab115hes the
objects and powers of the charitable company and is governed under its Arli¢les of Association. In the event of the
cotnpany being wound up meinbers are required to ¢onÈribule an amount not exceeding £1.
Recruitment and appointment of new trustees
The directors / trustees of the company are appointed by the members at the aniiual general meeting. Directors are
nornially appointed for a period of three years after which they must offer the¥nselves for re-¢leclion.
Organisational structure
A board of directors, who meet quarterly, administers the charity- The day to day running of the festival is contract¢d
out to independenl consultants who are coordinat¢d by Il)e board.
Induction 2nd training of new trustees
Most trustees are familial with the practical work of the charity having been briefed by the chairn￿n on th¢
obligations of trustees, the main documents whi¢h set out the operational framework for th¢ Charity including the
Memorandum and Articles of Assooiation. resourcing and the current financial position and future plans and
objectives.
Related parties
The ¢harity has a very close relationship with Creative Scotland who provide funding to enable the company to carry

Basis of preparing the fjnaneial statements
The financial statements of the cliaritable company. which is a public benefit entity under FRS 102, have been
prepated in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities.. Statement
of Recommended Practice applicable to charities preparing their ac¢ovnls in a¢cordan¢¢ with the Financial
Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) {effective l January 2019).,
Financial Reporting Standard 102 'Th¢ Financial Reporting Siandard applicable in the UK and Republic of
Ireland, and the Companies Act 2006. The financial statements have been prepared under the historical cost
¢onv¢ntion.

All income is recognised in the Statement of Financial Activities once the Charity has entitlement to the funds.
