Objertlve5 & Artivities
The Diocese 15 one ol seven Dioceses of the Scottish Episcopèl Church and 15 governed by Canon Law.
The objeciives and main actlvllies of the Diocese throughout the year have cgnlinued to be the provisicn of
spiritual, clerical and financial SUPPOTt to the Charges throuehout the Diocese. the administering of Provincial
8rants, mission work and the development of trainin@.
In term5 of it5 Constitution, as presented to and Hgreed by Diocesan Synod in March 2012. the Diocese ha5 four
Trustees, for the purpose of taking titles to properties within the Diocese, namely the Bishop, the Dean, the
Chancellor and the Re8iStrar. The office of Chancellor is currently vacan¢.
The Standing Committee acts as the Executive Commitiee ol th2 Diocese between meeting5 of the Synod. It
implemenls Synod decisions, supervises and receives Teport5 from various Boartls and prepares for Synod
meetings. It has delegated the day-to-day administration to the Administration 8oèrd who prepare reporis,
cash flow5, buégers ènd account5 for rhe Standing Comrnittee's reviewand approval. Ernployment mattels have
3150 been delegated to the Administration Board.
There is a150 a Board lor Mission and Ministry that oversees rnission and ministry work aCTOS5 the Diocese.
The Diocese continued to work to meet its objectives with reBard io the funning of the Diocese.
The d3¥ to dèy rnanagement ol the Diocese ha5 been delegated to the Bishop.
The day to day financial management ha5 been d&legated to the Dioce53n Treasurer.
Achlevements and Performance
The Diocese of Moray Ross and Caithne55, operatln8 through its officers, both lay and clerical, exisis to support
its clergy and char8e5 in furthering the misgion ol God'5 church to the communitie5 of the Diocese. This is
achieved by the visitln8 of all areas by the Bishop and by the work of the Mission olld Ministry Board and Mission
Priests and by the PTe5ence in local commufiitie5 01 members, youn8 and old, in many spheres of activitv.
Financial Review
Ovèrview
The accounts show that there was a deficit of £40,A03 with an underlying deficit of £70,192 before the
incre35e in the market value of unit trust holding 15 adjusted for. An adjustment in the accounts allocating
costs previously assigned to the Crask Inn Ltd Icreditorl contributed significantly 10 the deficit.
There are a nutnber ol designated funds (note 141 and these operaie as individual receipt5 and payments
accounts for the fund5 set aside for particular purpose5. The funds held in the Mi55ion Provision accouni ha5
decreased in value by £25,152. It is ihis fund, along with the Dunderdale FunLI, that prov¢de5 Char8es wilh help
with their stipendiary costs and supports rn155ion in the Diocese. 11 is projected that there are sufficient fund5
to continue at the current rate of a5515tènce for two years after which the reserve will be depleted. A one off
Provincial grant of £47,842 was used to offset the expenditure DI the Mission Provision account.

Principal Funding Sources
The Diocese is dependent for most of its income on quota ttsntributions from charges and block grants received
from the Province of the Scott15h Episcopal Church. The Provincial Block 8rani has allowed for ereater flexibilily
in how the Provincial lund5 are distributed with due regard of course for the spirit in which this grant 15 awarded.

The quota contributions from charges are based on budgete¢S expènditure for the Dioiese which is allocated
among charges in proportion to their assessed income and their invesimenis held.
Investment Pollcy
The investment powers of the Diocese are governed by Canon Law. The Diocese reiains all its securitie5
Investrnents in the Scottish Epi5copa1 Church Unit Trust Pool IUTPI. The investment policy of the UTP, which
accord5 Wlth that ol the Standing Commiltee, is to earn a return gn the assets, over the long term. 5utti£ienl ai
least to mBintain the real value ol thÈ distribution to unit holders, The UTP Investment cornmittee feco8ni5es
its responsibilities io optimise investment returns whi15t sirivin8 to meet reasonable ethlcal investment
expectations. It aims to invest in companie5 thai will not only 5ucce5sfully develop their business financially in
the interests of shareholders, but also demonstrate responsible employrneni and good corporate governbnte
praciices, that are conscientious regarding environmental performance and human rights, and that act with
sensitivity to the communities in which they operate. The Admin Board reviews the investment choice fwom
tirne to time.
Rlsk Management
The Trustetr5 have 3S5e5sed the major risks to which the Diocese 15 exp95ed and are sat15fied that systems are
in place to rnitl8ate exposure io the major iisks. The principal Tisks are..
Dependency on collecting quota from charges- thi5 is rnanaged through regular monitoring of
receipt5 and follow- up with charges. review ol charge5, annual account5, and regular pastoral contact
with charges,.
Reliance on investment performance- all fund5 are placed with ihe Scottish Episcopal Church UTP
which is considefed to be a Iow-Tisk produci wilh sound ethical basis.
Reserves Policy
The Diocesan standing Committee ton5ider5 that in the event of a significant drop in fundinE of activities not
involving the adminisierinE ol PrOv￿nCl31 grants, the reserves represented by unrestricted funds noi designated
for specific use are adequate to maintain the Diocese's current activitie5 for a reasonable period until
replacement lunding 15 obtained. In line with other charitable bodie5 of a similar size 3rTrd level of financial
comrritrnent, the Administration Board seeks to rnaintain a minimurn of 3 months, average annu31 expenditure
in Ireely available reserves.11 15 the Board's policy to maintain that adeq￿aCv.
Note 17 sets out the various funds held by the Diocese. These funds are sufficient at present to meet the
obligation ol the Diocese.
StTUrture, Governance and Management
The Diocese 15 an unincorporated Scottish charity, subject to Canon Law ol the S£ott15h Episcopal Church 3nd
Resolutions of it5 Genera5 Synod. The Diocese 15 governed by a Constitution dated IO, Marih 2012. The Diocese
15 re815tered with OSCR and its charily number is SC0046SS.
The princip31 governing body of the Diocese is Diocesan Synod, which meet5 once each year to receive reports,
appoint £ommittee5 and officials, and transact any other busine55 ielerred to it. Its membership comprise5 the
Bishop. all Instituted. licensed or commi55ionetJ clergy in the Diocese. a lay represeniaiive elected by each
Charge, diocesan officials and rnembers of the laity licensed to a specific duly within the Diocese.
8etween meetingg ol Synod the Standing Committee acts as Emeculive Committee ol the Diocese. It is
regponsible lor managing and s3fe8uardin8 the assets of the Diocese. It implements Synod decisions,
supervise5 diocesan committees and communications between thern, and £or45ider5 bu5ine55 raised by
Char8e5 Wlthin the Diocese. 11 meets ai least five times eèch year.
For the purposes of charitie5 law, the members ol the Standing Comrnitiee are the Trustee5 of the Diocese.
The Convenor of the Standing Committee is the Bishop. who is appointed by Canon 4 of the Code of Canons.

M155ion and Ministry and Administration Board commitlees are members ex officio. There are also two lav
members of Synod elected at Diocesan Synod. The Standing Committee has power tD fill ad interim vacancies
occurring between meetiriES of Synod. A Diocesan Officer loi the Protection of Children and Vulnerable Adults
is zppointed by the Bishop and is a member of the Standing Committee.
The existing Trustees are lamiliar with the work of the Diocese and ihe regulatory framework of the Standing
CommTttee having rnei to discuss the requirements and to ensure that training and advice 15 in plèce for new
member5. New members of the Standing Cornmittee are given an induction and receive relevant support for
their role on appointment.
The remuneration of key personnel is determined on the basis of scale5 compiled by General Synod of the
Scottish Episcopal Church.
The Standing Committee has two pendant comm￿ttee5. The Mission and Minisir¥ Commiitee'5 remit 15 to
encoura8e. accompany and resource local congregations and individuals on their journey of faith. Its remit also
includes training for rninisiry and ministerial development. The Adminsstration Bosrd 15 concerned with the
administration and day-to-day finances of the Diocese. It is responsible for the prepar3tion ol budgets and
cash flows. the setting of quota contributions from charges. and the preparation of the annual accounts.

decisions of General Synod.
Plans for the fulure
The Diocese will continue io develop and support the rni5sion of the church within the Highlands, Moray and
Aberdeenshire by workin8 Wlth the local charges.
Thi5 will include looking at how best lo implementing the Scotrish Episcopèl Church policy related to Net Zero
and suppofiing clefBY in an ever more difficult financial climate.
