Objectives & Actlvities
The DSocese1s one of seven Dlocese5 of the Scottlsh Eplscopal Church and Is 8overned by Canon Law.
The objectives and main actNities of the Dloce5e throughout the year have continued to be the provision of
sp1rltual, clerical and financial support to the Charges throughout the Diocese, the administerirvd of Provincial
gtants, mlssion work and thè development of training.
In terms of Its Constitution, as presented to and agreed by Diocesan Synod In Mard) 2012, the DI0￿$e ha5 four
Trustees, for thè purpose of taking titles to properties within the Diocese, namely the B15hop, the Dean, the
Chancellor and the Registrar. The ofFice of Chancdlor is currently vacant.
The Standln8 Committee acts a5 the Executive Committee of the Dlocese between meetings of the Synod. It
implements Synod decisions, supervises and re￿iVeS reports from various Boards and prepares for Synod
meetinES. It has delegated the day-to4ay administration to the Admlnistration Board who prepare reports,
¢ash flows, budgets and accounts for the Standing Committee's review and approval. Employment matters have
also been delegated to the Adminlstratlon Board.

The Diocese contSnued to work to meet its objective5 Wlth regard to the runnin8 of Dlocese.
The day to day management of thè Diottse ha5 been delegated to the Bishop.

Athlevements and Perforrnance
The Diocese of Moray Ross and Caithness, operats'ng throu8h its offKèrs. both lay and clerlcal, exlsts to support
Its clergy and charges in furthering the mission of God's church to the communities of the DI0￿$e. Thls Is
achleved by the visiting of all areas by the Bishop and by the work of the Mission and Ministry Board and Mlsslon
P￿&St5 and by the presence In local communities of members. young and okl. in many spheres of artivity.
Finandal Review
Overvlew
The accounts show that there wa5 8 deficit of £6,071. The dèficlt before the gain on the investment would be
£66,779. The defi¢it was budgeted for and wlll be met from Diocesan reserves.
There are a number of designated funds Inote 141 and these operate as indlvidual reeelpts ar￿ payments
ac¢¢unts for the funds set 85ide for particular purposès. The fvnds held in thè Mlssion ProwsKsn account has
decTea5ed in value by £41,329. It is thls fund, along wtth the Dunderdale Fund, that provides Charges with help
with their stlpendiary costs and supports Mission in the Di0￿$e. It Is projected that there are sufficlent funds
to continue at the ¢urrent rate of assistan￿ for years after whl¢h the reserve will be depleted. An
application is currently being made to Provence for additional funds to augment these funds.
Prlnclpal Fundln8 Sources
The Diocese is deperldent formost of its income on quota contributions from charBe5 and block 8rants received
from the Pfovince of the Scottish Eprseopal Church. The Provincial Block 8T8nt has allowed for greater flexibility
In how the Provlncial funds are distributed with due regard of course for the spirit in whith thlsgrant is awarded.
The quota contributions from charges are based on budgeted expendlture for the Diocese whi¢h Is allocated
arnong charge5 in proportlon to thÈir assessed income and thelr investments.

Investment Pollty
The investment Powers of the Diocese are governed by Canon Law. The Dlocese retalns all its securltles
investmÈnts in the Scottish Episcopal Church Unit Trust Pool IUTPI. The Investmenl pollry of the UTP. vthlch
accords with that of the Stsnding ComrnFttee. is to earn a return On the assets, over the lon8 term, sufficlent at
least to maintain the real value of the dislribution to unit holders. The UTP Investment committee recognlses
its responsibilities to optirnise Investment return5 whilst strivin8 to meet reasonable ethical investment
expectatlons, It aims to invesi In ¢ompanles that will not onty successfulty develop their business financially in
the interests of shareholders, but also demonstiate responsible employment and good corporate govÈmance
practices. that are consclentious regardin8 environmentsl performance and human rights, and that art wlth
sensitivity to the communities In whlch they operate. The Admin Board reviews the Investment choice from
time to tlme.
Risk Managernenl
TheTfustee5 have assessed the major risks to which the Diocese is exposed and are satisfied that Systems are
n place to miti8ate exposure to the majttr risks. The prlnclpal risks are..
Oependency on collectlng quota frorn char8es- thSs is managed through regular monitoring of
re¢eipts and follow- up wilh ¢har8es, reV￿W of charges, annual account5, and regular pastoral contact
with ¢harges,'
Reliance on investment perforMan¢e- all funds are placed with the Scottish Episcopal Church UTP
which Is considered to be a low-risk product with sound ethical ba51S.
Reserves Pollcy
The Diocesan Standing Committee conslders that in the event of a significani drop In funding of actiVTtie5 not
Involvlng the admlnistering of Provinoal grants, the re5etve5 represented by unresirl¢ted funds not desi8nated
for speclflc use are adequate tg maintain the Dioce5e'5 curierbt a¢tivf(ies for a reasonable perlod until
replacement fundlng Is obtained. In Ilne wlth other charitable bLxlies of a slmllar size and level of financial
comrnitment, the A(Imlnlstration Board seeks to malntaln a minimum of 3 months, aveia8e annual expendlture
in freety available reserves. Itls the Board'5 poficy to malntaln that adequacy.
Note 16 sets out the various funds hdd by the Diocese. These funds are suffiaerrt at present to meet the
obligatlon of the Diocese.
Structure. Governance and Mana8ement
The Diocese is an unincorporated Scottish charlty. subject to Canon Law of the Stottlsh Episcopal Church and
Resolutions of its General Synod. The Ditr¢ese Is governed bya Constitutlon dated IO, March 2012. The Dlocese
Is ieg15teced with OSCR and Fts charlty number is SC004655.
The princlpal governin8 body of the Diocese is Diocesan Synod, which meets once eath year to receive reports.

rèsponsible for managing and safeEuardin8 the a55ets of the Diocese. It implements Synod de¢islons,
Superv￿$e5 diocesan committees and communications between them, and considers btrsiness raised by
Charges wlthln the Diocese. It meets at least fNe times each year.
For the purpose5 of ¢harltles law, the mernbers of the Standing Committee are the Trustees of the Diocese.
The Convenor of the Standlns Committee 15 the Bishop, who is appoinled by Canon 4 of the Code of Canon5.
The Dean, Chancellor. Registrar, Secretary, Treasurer, Synod Clerk, Cathedral Provost and Convenors of the
Mlssion and Ministry and Administration Board commtiees are members ex officio. There are also hvo lay
members of Synod elected at Diocesan Synod. The Stsnding Committee has power to fill ad interim vacatKies

occurrlng between meetings of Synod. A Diocesan Officer for the Protettion of Children and Vulnerable Adults
is appolnted by the Bishop and Is a member of the Standlng Committee.
The existing Trustees are famlllar wlth the woik of the DI￿Se and the re8ulaiory framework of the Standin8
Committee having met to dlscuss Ihe requirements and to ensure that trainin8 and advice b In place for new
member5. New members of the sian(Ilng Committee are given an Induction and receive relevant support lor
their role on appointment.
The remuneration of key personnel is determined on the basls of scale5 complled by General Synod of the
Scottish Eplscopal Church.
The Stinding Committee has two pendant committees. The Mission ar￿ Ministry Committee's remit is to
encourage. accompany and resource local congregatlons and individuals on theirjourney of faith. Its remit also
includes tralnlng for ministry and minlsterlal developmerit. The Adminlstration Board is concerned with the
administratlon and day-to.day flnances of the Dlocese. It is re5POf15ible for the preparation of budget5 and
cash flows, the seitlng of Quota contrlbutions from char8es. and the preparation of the annual accounts. Each
Committee has a number of subsidiary committees reponing to It.
The United DI0￿$e of Moray Ross and Calthness is part of the Scottish Episcopal Church which has a Provinclal
base in Edinburgh. The Provincial structure does not affect the operatln8 pollcy of the Diocese ¢n a day to day
basls. There Is a General Syno(l of all seven Dioceses held annualw and the D￿￿ese is obll8ed to follow the
decisions of General Synod.
Plans for the future
The Diocese ￿11 contlnue to develop and support the fflission of rhe church within the Hlghlands. Moray and
Aberdeenshire by workln8 With the Ioc31 char8è5.
This will include1ookin8 at how best to irnplemgntln8 the Sttrttish Episcopal Church policy related to Net Zero
and supporting cler8y in an ever more difFicult finanoal cllmate.

Statement of trustees, responslbilities
The trusiees are responsible for preparing the Trustees, Annual Report and the financial statements in
accordance with applicable law and Unlted Klngdom Accountlng Standards Iunited Kingdom GeneraltyAccepted
Accounting Practice).
Thelaw applicable to charities in Scotland requires the trustees to prepare flnanclal statementsforeach flnanclal
vèar which give a true and fair view of the state of affairs of the charity and of the incomlng fesources and
application of resources of the charity for that perlod. In preparing thesèfinancial staternents, the trustees are
required to:

Make judgements and estirnates that are reosonable and prudent

the charity will contlliue in business.
The trustee5 are reswnslble for keeping proper accounting records that di5do5e with reasonable a¢¢uracy at
any tlrne the financial position of the charity and enable them to ensure thal the finarncial statements comply
with the Charitles and Trustee Investment (Scollandl Act 2005, the Charities Accounts Iscotlandl Regulation5

The charills trustees are responsible for the piepamtion of accounts in accordance with the
terms of the Charitie5 and Trustee Investment {Scoilandl Act 2005 and the Charilies Accounts
(Scolland) Regulations 2006 (as amended). The charity trustees C￿SIder that the aLKlit
r8quiremenl of Regulation 10111{a} to {c) of the 2006 Accounts Regulations does not apply. 11 is my
responsibility to examine the 3c(x)unts as r@quIr￿j under section 44{1 Mcl of the Act and to slate
whether particular matters have come to my attention.
Basls of Indgpendant •xarnin•rfs r•port
My examination is carried out in accordance wf(h Regulation 11 of the 2006 Accounts Regulat￿5
(as amended). An examination includes a review of the accounting records kept by the charity and
a comparison of the accounts presenied with those iecords. It also includes consideration of any
unusual items or disdosures in the acAX)unls. and seeks exp18nalions from the trustees ¢on¢erning
any such matters. The procedures undertsken do not provide all the eviden¢e that would be
required in an audit, and Ix)ns4uently I do r￿1 8xpress an audit opinion on the VEW given by the
accounts.
