The trustees present their annual report and financial statements for the year ended 31 January 2025.

The Financial Statements comply with the Charities Act (Northern Ireland) 2008, the Companies Act 2006, the Memorandum and Articles of Association, and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the financial reporting standard for smaller entities.

Objectives and activities

The main purpose is the advancement of health or the saving of lives. The relief of those in need by reason of youth, age, ill-health, disability, financial hardship or other disadvantage. We aim to provide a service that everyone will be able to accsss and relate to and we yeill promote positive mental health practises as well as promoting all the esseritial services available to anyone who knows someone or is themselves ina crisis.

The trustees have paid due regard to guidance issued by the Charity Commission for Northern Ireland in deciding what activities the charitable company should undertake.

Achievements and performance

The trustees are satisfied with the results for only being their second year. The trustees together with the committee have been working successfully to secure funding so that the charitable company can continue to expand their work.

Financial review

The charitable company's financial results are set out in detail on pages 7 to 12.

There is an overall surplus on funds this year of £13,255. The trustees and the committee are continuing to investigate avenues of generating additional income.

Structure, governance and management

The charitable company is a company limited by guarantee, governed by its Memorandum and Articles of Association dated 23 January 2023.

The trustees who served during the year and up to the date of signature of the financial statements were:

The trustees of the charitable company are also directors for the purposes of company law.

None of the directors have any beneficial interest in the charitable company. In the event of the charitable company being wound up, members are required to contribute an amount not exceeding £1.

Organisation

The trustees administer the charitable company and oversee the day running of the charity. The committee meets on a monthly basis.

Reserves policy

The trustees consider than the ideal level of reserves in the charity would cover 6 month expenditure.

In preparing this report, the trustees have taken advantage of the small companies exemption provided by section 415A of the Companies Act 2006.

Independent examiner’s report to the charity trustees of Just a Chat Limited I report on the accounts of the company for the year ended 31 January 2025, which are set out on pages 7 to 12.

Respective responsibilities of charity trustees and examiner As the charity trusi€es (and aiso‘the directors of the company for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006. Having satisfied myself that the charity is not subject to audit under company law, and is eligible for independent examination, it is my responsibility to:

Basis of independent examiner’s report

I have examined your charity accounts as required under section 65 of the Charities Act and my examination was carried out in accordance with the general Directions given by the Charity Commission for Northern Ireland under section 65(9)(b) of the Charities Act. The examination included a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also included consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as charity trustees concerning any such matters.

My role is to state whether any material matters have come to my attention giving me cause to believe:

  1. That accounting records were not kept in accordance with section 386 of the Companies Act 2006.

  2. That the accounts do not accord with those accounting records.

  3. That the accounts do not comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Charities Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland.

  4. That there is further information needed for a proper understanding of the accounts to be reached.

The charitable company is entitled to the exemption from the audit requirement contained in section 477 of the Companies Act 2006, for the year ended 31 January 2025.

The trustees acknowledge their responsibilities for ensuring the charitable company keeps accounting records which comply with section 386 of the Act and for preparing financial statement which give a true and fair view of the state of affairs of the charitable company as at the end of the financial year and of its incoming resources and application of resources, including its income and expenditure, for the financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

The members have not required the charitable company to obtain an audit of its financial statements for the year in question in accordance with section 476.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

Charity Information

Just a Chat Limited is a private company limited by guarantee incorporated in Northern Ireland. The registered office is 43 Limefield Rise, Craigavon, Co. Armagh, BT65 SBN.

Accounting convention

The financial statements have been prepared in accordance with the charitable company's governing document, the Companies Act 2006 and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from | January 2019). The charitable company is a Public Benefit Entity as defined by FRS 102.

The charitable company has taken advantage of the provisions in the SORP for charities applying FRS 102 Update Bulletin | not to prepare a Statement of Cash Flows.

The financial statements are prepared in sterling, which is the functional currency of the charitable company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Going Concern

The financial statements have been prepared on a going concern basis, the directors are continuing to seek additional grant funding and increase in performance bookings over the incoming year and on this basis the assessment of the directors is that the charity is a going concern.

Charitable funds

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.

Restricted funds are subject to specific conditions by donors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.

Income

Income is recognized and included in the accounts when the following criteria is met:

Capital Grants

Grants in respect of revenue are credited to the profit and loss account over the period to which they relate. Capital grants are deducted from the cost or purchase price of the asset. Therefore, the net cost of the asset is included in the balance sheet and net depreciation is included in the profit and loss account.

Legal status of the company

The company is limited by guarantee and has no share capital.
