The trustees present their annual report and financial statements for the year ended 31 January 2024.
The Financial Statements comply with the Charities Act (Northern Ireland) 2008, the Companies Act
2006, tlie Memoranduin and Articles of Association, and Accounting and Reporting by Charities..
Stalement of Recommended Practice applicable to charilies preparing their accounts in accordance with
the financial reporting standard for smaller entities.
Objectives and activities
The main purpose is the advancement of health or the saving of lives. The relief of those in need by
reason of youth, age, il l-health, disability, fiiiancial liardsh ip or other disadvantage. We aim to provide
a service that everyone will be able to access and relate to aiid we will promote positive mental health
practises as well as promoting all the essential services available to anyone who knows someone or is
themselves in a crisis.
The trustees have paid due regard to guidance issued by the Charity Commission for Northern Ireland
in deciding what activities the charitable company should undertake.
Achievements and performance
The trustees are salisfied with the results for the year considering this is the year of forniation. The
trustees togyether witli the committee have been workin&y successfully to secure funding so that the
charitable company can contiiiue to cxpand their work.
The company successfully launched a Mental Health Calendar for 2024 with 12 of the biggest charities
in Northern Ireland signed up to promote their services within the Mental Health Sector.
Financial revieiv
The charitable company's financial results are set out in detail on pages 7 to 12.
There is ap. overall surplus on funds this year of £3.565. The trustees and the committee are continuing
to investigatc avenues of generaling additional income.
Struclure? governance and management
The charitable company is a company limited by guarantee, governed by its Memorandum and Articles
of Association dated 23 January 2023.
The trustees who served during the year and up to the date of signature of the financial statements
were:

The trustees of the charitable company are also directors for the purposes of company law.
None of the directors have any beneficial interest in the charitable company. In the event of the
charitable cornpany being wound up, members are required to contribute an amount not exceeding £1.

Independent examiner's report to the charity trustees of Just a Chat Limited
I reEx)rt on the accounts of the company for the year ended 31 January 2024, which are set out on pages
7tol2.
Respective responsibilities of charity trustees and examiner
As the charity trustees (and also the directors of the company for the purposes of company law) you are
responsible for the preparation of the accounts in accordance with the requirements of the Companies
Act 2006. Having satisfied myself that the charity is not subject to audit under company law, and is
eligible for independent examination, it is my responsibi lity to:
examine the accounts under section 65 ofthe Charities Act
follow the procedures laid down in the general Directions given by the Charity Commission for
Northern Ireland under section 65(9Xb) of the Charities Act
state whether particular matters have come to my attention.
Basis of independent examiner's report
I have examined your cliarity accounts as required under section 65 of the Charities Act and my
examination was carried out in accordance with the general Directions given by the Charity
Commission for Northem Ireland under section 65{9)(b) of the Charities Act. The examination
included a review of the accountingp records kept by the charity and a comparison of the accounts
presented with those records. It also included consideration of any unusual items or disclosures in the
accounts, and seeking explanations from you as charity trustees concerning any such matters.
My role is to state whether any material matters have come to my attention giving me cause to believe:
l. That accounting records were not kept in accordance with section 386 of the Companies Act
2006.
2. That the accounts do not accord witli those accounting records.
3. That the accounts do not comply with the accounting requirements of section 396 of the
Companies Act 2006 aiid with the methods and principles of the Charities Statement of
Recommended Practice applicable to charities preparing their accounts in accordance with the
Financial Reporting Standard applicable in the UK and Republic of Ireland,
4. That there is further infomiation needed for a proper understanding of the accounts to be
reached.

Charity Information
Just a Chat Limited is a private company limited by guarantee incorporated in Northern Ireland. The
registered office is 43 Limefield Rise, Craigavon, Co. Arniagh. BT65 5BN.
Accounting convention
The financial statements have been prepared in accordance with the charitable company's governing
document, the Companies Act 2006 and "Accounting and Reporting by Charities.. Statement of
Recommended Practice applicable to charities preparing their accounts in accordance with the
Financial Reportingy Standard applicable in the UK and Republic of Ireland (FRS 102)" (as amended
for accounting periods commencing from l January 2019). The charitable company is a Public Benefit
Entity as defined by FRS 102.
The charitable company has taken advantage of the provisions in the SORP for charities applying FRS
102 Updale Bulletin I not to prepare a Statement of Cash Flows.
The financial statements are prepared in sterling. which is the functional currency of the charitable
company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal
accounting policies adopted are set out below.
Going Concern
The financial statements have been prepared on a gioing coiicern basis, the directors are continuing to
seek additional graiit funding and increase in performance bookings over ihe incoming year and on this
basis the assessinent of tlie directors is that the charity is a going concern.
Charilable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable
objectives.
Restricted funds are subject to specific conditions by donors as to how they may be used. The purposes
and uses of the restricted funds arc set out in the notes to the financial statements.
Incorne
Income is -.ecognized and included in the accouiits when the following criteria is met..
The charity has entitlement to the income.
Any perfonnance conditions attached to the income have been met or are fully within the
control of the charity;
There is sufficient certaiiity that receipt of the income is considered probable and the amount
can be measured reliably.

Capital Grants
Grants in respect of revenue are credited to the profit and loss account over the period to which they
relate. Capital grants are deducted from the cost or purchase price of the asset. Therefore, the net cost
of the asset is included in the balance sheet and net depreciation is included in the profit and loss
account.
Fixed Assets
All fixcd assets are recorded at cost, less capital grants received in respect of the fixed assets.
Depreciation is charged at the rates detailed in the depreciation note bclow.
Fixed assets are then stated at net book value.
