TRUSTEES REPORT (INCLUDING DIRECTORS, REPORT AND STRATEGIC REPORT)

Cbairman's Report
It is with great pride and reflection that I present this year's Chaimian's Report for Arts Car¢. The past year
has bcen one of unprecedented challenges, yet also one of remarkable resilience and innovation.
A Year of Unpreeedented Challenges
The 202312024 period has undoubtedly been one of the most challenging in Arts Care's 30-y¢ar history. As
anticipated in our 2022-23 annual report, we faced significant risk factors, primarily stemming from the
financial climate affecling our statutory funders and changes to regional organisational slructures.
ProActive Management Alld Strategic Hanning
In response to th¢5e challenges, our Chief Ex¢cutive, Bary) and his senior management team revised our
three-year Strategic Plan and associated risk register. This proactive approach, presented to staff and the
board in February 2024, outlined key changes lo our service delivery model and miligating actions to
address serious financial implications.
UDprecedented Financial Challenge8
February 2024 brought official notification of changes even more 5¢vere ihan anticipated with the proposed
withdrawal of recurrent core funding from SPPG of £242,000 from 2024125. For the first time in Arts
Care's history, I was required to call an Exlraordinary General Meeling (EGM) due lo the serious risk pos
Éo our organisation's sustainability and financial viability.
Reslllence ADd AdfdPtalloD
Despite these traumatic events. l am pleased to report that our Chief Executive and Senior Team
successfully lobbied at the highest level to havc the monies reinstaled for 2024125, thus minimising the
impact on stsff contracts and dclivery. Their innovation, flexibility, and teamwork have been instnllnental
in maintaining our position as a leading organisation in Arts in Health.
Measurable Successes
Amidst the challenges, we have achieved notable successes:
l. Our "Social Enterprise Model" has balanccd the precarious nature of statutory funding, g¢nerating
income of £ 104.000 in the last financial year.
2. Innovative approaches to financial risk management have secured additional extemal funding of
approximately £46,000, with furthw projecls and bids in development.
Leadership Transltlon
As I step down from niy position as Chairn]an du¢ to external commitments. l am pleased to continue
serving on the Board as a Trustee. li has been an honour to scrve on the Board for ihe past ten years and to
chair such a wonderful organisation.
AcknoivledgemeDts and Tbanks
l extend my heartfelt thanks to:
Our Vice Chair, Jane, and Board m¢mb¢rs for their unwavering support
Our Chief Exccutive and senior team for their commitment and support
All staff members and artists who deliver such valuable and skilled services within Arts in Health.

ConclusloDS relatlng to golng concern
In auditing the financial statements, we have concluded that the trustees, use of the going concern basis of
accounting in the preparation of the financial statements is appropriate.
Based on ihe work we have performed. we have not identified any material uncertainties relating to events
or conditions that, individually or collectively, may cast significant doubt on the charitable company's
ability to conlinue as a going concern for a period of at least twelve months from when the financial
statements are authorised for issue.
Our responsibilities and the responsibilities of the trustees with respect lo going ¢onc¢rn are described in
the relevant sections of this report.
Other Information
The trustees are responsible for the other infornialion. The other infonnation comprises any inforniation
oiher than the financial slatements and our auditor's report thereon. Our opinion on the financial statements
does not cover the other infonnation and, except to the extent otherwise explicitly stated in our report, we
do not express any fomi of assurance conclusion thereon.
In connection with our audit of the financial slatements, our responsibility is to read the other inforniation
and, in doing so, ¢onsid¢r whether the other infonnation is materially inconsistent wilh the financial
statements or our knowledge obtained in the audit or otherwise appears to be materially misslated. If we
identify such material inconsistencies or apparent material misstatements, we are required to d¢t¢rn]in¢
whether there is material misstatement in the financial statements or a material misstatement of the other
infonnation. If, based on the work we have performed, we conclud¢ that there is a material mlsstatement of
this other infom]ation, we are required to report that fact.
We have nothing to report in this regard.
Oplnlons on other matters pre$¢ribed by the Companies Aet 2006
In our opinion, based on the work undertaken in the course of the audit..

Matters on whlch we are required to report by exception
In the light of our knowledge and undcrstanding of the charitable company and its environment
obtained in the COUTse of the audit, we have not identified material misstatements in the directors.
We have nothing to report in respect of the following matters in relation to which the Companies Act
2006 requires us to report to you if, in our opinion:
adequate accounting records have not been kept, or relurns adequate for our audit have not been
received from branches not visit¢d by us; or
the financial stalements are not in agreement with the accounting records and returns; or
ertain disclosures of directors, remuneration specified by law are not made; or
we hav¢ not received all the infornvdtion and explanations we require for our audil: or
the trustees were not entitled to pr¢pare the financial statements in accordance with the small
companies, r¢gime and take advantage of the small companies, exemptions in preparing the
directors. report and from the requirement to prepare a strategic report.
Re5ponslbllitie5 of trnstees
As explained more fully in the statement of directors, responsibilities set out on pages 22 and 23, the
trustees (who are also the directors of the charitable company for the purpose of company law) are
responsible for the pr¢paralion of the financial statements and for being satisfied that they give and
true and fair view, and for such internal control as ihe trustees deterniine is necessary to enable the
preparation of financial statements that are free from material misstatement, wh¢th¢r due lo fraud or
error.
In preparing the financial statements, the trustees are responsible for assessing the charitable
company's ability to continue as a going concern, disclosing, as applicable, matters related to going
concern and using the going concern basis of accounting unless the trustees wither intend to liquidate
the charitable company or to c¢as¢ operations, or have no realistic alternative but to do so.
Audltor's responslbllities for the Audlt of the Ilnancial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole
arc frec from material misstatement, whether due to fraud or error, and to issue an auditor's report that
includes our opinion, Reasonabl¢ assurance is a high level of assurancc, but is nol a guarantee that an
audit conducted in accordance with ISAS (UK) will alway5 detect a material misstatement when it
exists. Misstatements can arise from fraud or error and are considved material if, individually or in
the aggregate, they could reasonably be expected to infiuence the ¢conomic decisions of users taken
on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design
procedures in line with our responsibilities, outlined above, to detect material misstatements in respect
of irregularities, including fraud. The specific procedures for this engagcment and the extent to which
these ar¢ capable of ddecting irregularities, including fraud is detailed below:

ExteDt to which the audit was considered capable of deteeting irregularities, includlng frsud
We identify and assess the risks of material misstatement of the financial statements, whether due to
fraud or e￿Or, and then design and perfonn the audit procedures responsive to those risks, including
obtaining audit evidence that is sufficient and appropriate to provide a basis for our opinion.
In identifying and assessing risks of material misstat¢m¢nt in r¢5pect of irregularities, including fraud
and non40mpliance with laws and regulations, we considered ihe following:
The nature of the industry and sector, control environment and charity's financial results and
position-
Results of our enquiries of management about iheir own identification and assessment of the
risks of irregularities:
Any matters we identified having obtained and reviewed the Charity's documentation of their
policies and procedures relating to:
Idcnlifying, evaluating and complying wilh laws and regulations and whelher they were
aware of any instances of non-compliance.
Detecting and responding to ihe risks of fraud and whether they have knowledge of any
actual, suspected or alleged fraud. and
The internal conirols established to mitigat¢ risks of fraud or non-compliance with laws
and regulations;
The matters discussed among the audit engagement team regarding how and where fraud
might occur in thc financial statements and potential indicators of fraud.
As a result of ihese procedures, we considered that the particular areas in the financial statements that
w¢r¢ susc¢ptibl¢ to misstatement were related to management bias in accounting estimates and
judgements; recognition, classification and complcleness of income. In common with all audits under
ISA5 (UK). we are also required to perforni specific procedures to respond to the risk of management
override.
We also obtained an understanding of the legal and regulatory frameworks that the Charity operates
in, focusing on provisions of those laws and T¢gulations that had a direct cffcct on the deterniination
of material amounts and disclosures in the financial statements. The key laws and regulations we
considered in this context included Charity legislation applicable to Northern Ireland, Charity's
governing document, employment law, health and safety and tax legislation.
In addition, we considered provisions of other laws and regulalions that do not have a direct effect on
the financial statemcnts but compliance with which may be fundamenlal to the Charity's ability to
operate or to avotd a material penalty.

Audit response to rlsks identified
Our procedures lo respond to risks identified include the following:
Reviewing ihe financial statcments disclosures and testing to supporting documentation to
assess compliance with provisions of relevant laws and regulations described as having a
direct effect on the financial slatements;
Enquiring of management concerning actual and pot¢ntial liligation and claims;
Perfonning analytical p￿￿edureS to identify any unusual or unexpected relalionships that
may indicate risk of material misstatements due to fraud.
Reading minutes of meetings of those charged with governance.
Obtaining an understanding of provisions and holding discussions with management lo
understand the basis of recognilion. and
In addressing the risk of fraud through management override of controls, testing ihe
appropriateness of journal entries and oiher adjustments including those relating to
revenue recognition; assessing whether the judgements made in making accounting
estimat¢$ are indicative of potential bias. and evaluating ihe ralionale of any
significant transactions that are large. unusual or outside the nornial Course of the
charity's activities,
We also communicated relevant identified laws and regulations and potential fraud risks to all
engagement teams members and remained alert to any indications of fraud or non-compliance with
laws and regulations throughout th¢ audit.
Owing to the inherent limitations of an audit, there is an unavoidable risk thai we may noi have
detcctcd some malerial misstatement in the financial statements even though we have properly
planned and perfornied our audit in accordance with auditing standards. In addition, as with any audit,
there remains a higher risk of non-detection of irre8ularilies, as they may involve collusion, forgery,
intentional omissions, misrepresentations, or the override of internal controls. We are not responsible
for preventing non-compliance and cannot be expected to ddect non-compliance with all laws and

TaDgible fixed assets and depreciation
The cost of tangible fixed assets is their purchase cost, together with any incidental costs of
acquisition. Depreciation is calculated so as to write off the cost of tangible fixed assets, less their
estimated residual values, on a straight line basis over the expected useful economic lives of the
assets concerned. The principal annual rates used are as follows:
Office equipmenl
Art work
25 % strnight line
not depreciated
Where the recoverable amount of a fixed assel is found io be below its net book value, the asset is
wrillen down to the recoverable figure and the loss on impairnienl Is recognised in the SOFA.
Impllrment of fixed assets
At each reporting end date, the charity reviews the carying amounts of its tangible assets to
detennine whether there is any indication that those assets have suffered an impairn)ent loss. If any
such indication exists, the recoverable amount of ihe asset is estimat¢d in order to ddennine the
extent of the impairn]¢nt loss {if any).
Recoverable amount is the higher of fair value less cosls to sell and value in use, In ass¢ssing value
in use, the estimated ￿tUre cash flows are discounted to their present value using a pre-tax discount
rate that reflects current market assessments of the time value of money and the risks specific to the
asset for which Ihe estimates of futur¢ cash flows have not been adjusted.
If ihe recoverable amount of an asset is estimated to be less than its Carrying amount, the carrying
amount of the asset is reduced to its recoverable amount. An impairnient loss is recognised
immedialely in incomel(expenditure) for the year, unless the relevant asset is carried at a revalued
amount, in which case the impairnient loss is treated as a revaluation de¢￿a$¢.
Debtors and creditor$ recelvable I payable within one year
Ikbtors and creditors with no stated interest rate and r￿e1Vable or payable within one year are
recorded at transaction price. Any losses arising from impairnient are recognised in expenditure.

deposits held at call with banks and nornially have a maturily datc 013 months or less from the date
of acquisition.
Leases
