The directors have pleasure in presenting their report and the fmancial statements of the Charity for the
year ended 31 March 2023. The directors have adopted the provisions of the Stateinent of
Recommended PractÉce (SORP) "Accounting and Reporting by Charities" (FRS 102) in preparing the
annual report and financial statements of the charity.
The fInancial statements hav¢ been prepared in accordance with the accounting policies set out in the
notes to the financial statements and applicable accounting standards, Accounting and Reporting by
Charities.. Statement of Recommended Practice applicable to charities preparitig their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued
in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of
Ireland (FRS 102), the charity's governing document, the CharitÈes Act (Northem Ireland) 2008,
Charities Act (Northern Ireland) 2013, The Charities (Accounts and Reports) R¢gulations (Northern
Ireland) 2008, Ch2riti¢s Act (Northern freland) 2013, The Charities (Accounts and Reports) Regulations
(North¢rn Ireland) 2015, Companies Act 2006 and UK Generally A¢¢¢pted Practice.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
Eggshell Cambodia is a charitable Company limited by guarantee and does not have any share capital.
It was incoryorated on 8 May 2017 and registered as a charity with The Charity Commission for
Northern Ireland on 16 October 2017. In the event of the company being wound up members required
to contribute an amount not exceeding £ I
Recrnitment, appointment, induction and training
The directors regularly review the requirements ofthe charity and the possibilkty of a need for additional
directors. Any new directors would be appointed by resolution of a meeting of all the directors passed
by a majority of those present. Appropriate training and induction is availabl¢ to all directors.
Risk management
The directors have assessed the major risks to which the charity is exposed, in particular those related
to the operations and finances of the Charity, and are satisfied that systems are in place to mitigate an
exposure to major risks. Where appropriate, systems or procedures have been established to mititrate the
risks the charity faces. Internal control risks are minimised by the implementation of procedures for
authorisation of all transactions and prOj￿ts. Proc¢dures are in pEaee to ensure complian¢¢ with health
and safety of staff, volunteers, clients and visitors. These procedures are periodically reviewed at Least
annually to ensure that they continue to meet the needs of the charity.
Organisation Structures
The directors oversee the running of the organisation.
OBJECTIVES AM) ACTtVlTIES
The objectives and principal activities of the charity are the advancement of the Christian faith in
Cambodia and in other parts of the world as the Trustees may from time to time think fit.
To provide protection, enablement and provision for those who have been. are being, or are at risk of
b¢ing exploited, with partÉcular focus on Children and youth.
To promote and preserve good h¢alth, advance education and to relieve sickness and hardship by the
provision of funds and goods or servic¢s of any kind, through the provision of shelter, support,
rehabilitation and training in Cambodia and in other parts of the world as the Trustees may from time to
time think fit.
Volunteer5
The charity is grateful for the unstinting efforts of its volunteers who are involved in all aspects of the
charity's work.

Total expenditure for the year amounted to £76,544 (2022.. £68,529). The cost of raising funds aJnounted
to £Nil (2022: £Nil) and ¢haritable activities amounted to £76,544 (2022.. £68,529).
The net expenditure for the year amounted to £4,303 (2022.. £7,082 net income).

As with all organisations, Covid-19 has impacted on us and the world. We have continued to create a safe
environment in order to Carry on our charitable activities.
FINANCIAL REVIEW
Reserves policy
It is the policy of the charity to maintain free reserves which matches the needs of the trust, both at the
current time and the forese¢able future. This provides sufficient funds to cover running costs which
include manag¢menL adminÈstration and support costs. Free reserves are those unrestrict¢d reserv¢s not
d¢signed nor invested in f￿¢d assets which are available for g¢n¢ral use.
At 31 March 2023, the charity had total funds of £68,756 (2022: £73,059) of which £68,756 (2022:
£73,059) were unrestricted and it had free reserves £68,756 (2022: £72,200).
Funding
Th¢ principal ￿ndIng is from donations.
PLANS FOR FUTURE PERIODS
To continue with the charÉty's objectives of advancing Christian faith and helping vulnerable children
in Cambodia.
RESPONSIBtLrfIEs OF THE DIRECTORS
The trustees (who are also the directors of Eggshell Cambodia for the puryoses of company law) are
responsible for preparing the Directors, Annual Report and the ftnancial statements in accordance with
applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted
Accounting Practice) including FRS 102 "The Financial Reporting Standard applicable in the UK and
Republic of Ireland"
The law applicable to charities in Northern Ireland requires the directors to prepare fmancial statements
for eaoh financial year which give a true and fair view of the state of affairs of the charitsble company
and of the incoming resources and application of resources, including the income and expenditure, of
the charitable company for that period. In preparing these fInancial statements, the directors are required
to:
select suitable accounting policies and then apply them consistently-
observe the methods and principles in thc Charities SORP 2019 (FRS 102).
make judgements and accounting estimates that are reasonable and prudent.
state whether applicable UK Aocountlng Standards have been followed, subject to any material
departures disclosed and explained in the financial statements.

financial statements comply with the Companies Act 2006, Charities Act (Northern Ireland) 2008 and
The Charities (Accounts and Reports) Regulations (Northern Ireland) 2015. The directors are also
responsibl¢ for safeguarding the assets of the charitsble company and hence for taking reasonabl¢ steps
for the prevention and detection of fraud and other irregularities.

there is no relevant infomiation of which th¢ cbaritable company's independent examiner is

the directors have taken all steps that they ought to have taken to make themselves aware of any
