The trustees, who are also the directors of the charity submit their annual report and the financial statements for the year ended 30th June 2025. The charity is a charitable company limited by guarantee and was incorporated in July 2003. Registered with Charities Commission for Northern Ireland NIC 106704.
Objectives To promote membership and registration of SANDSA. To promote, process and administer applications for “Recognition of Achievement for High Performance LevelsTo promote andin Sport.’ advance education of those working or volunteering with sporting organisations through the provision of training, mentoring, coaching, resources and by any other charitable means as the directors shall consider appropriate. To promote the development ofamateur sports and physical activity by the provision, Or assistance in the provision, of facilities, training, coaching, forums and other opportunities for the playing of amateur sports including amateur sports and physical activity for disabled people in the area of benefit. To make applications and procure funding for sport and physical activity and by that, promote increased levels of health and wellbeing within the environs ofNMDDC and further to ensure that on successful application, all terms of funding are adhered to. To create a strong sporting community base to improve empowerment and develop capacity within the NMDDC area and in so doing, make links with NMDDC and other agencies in order to develop partnerships and collaborations. To promote the facilities and services offered by NMDDC and encourage use by SANDSA members. To assist with the administration of the annual NMDDC/SANDSA Sports Awards Ceremony and to Toseek promotefunding independentfor same. accreditation for Clubs through their Goveming Body or Sport Northern Ireland (Clubmark N.1.)
Newry,Achievements Moume and Down District Council, in partnership with the Sports Association Newry, Down and South Armagh (SANDSA), proudly welcomed over 200 guests to the Canal Court Hotel, Newry, on Friday, March 14th for the NMD Sports Awards. This special event recognised the outstanding achievements of athletes, teams and individuals who have made a significant impact on sport across the district in 2024. It also celebrated the dedication of coaches, volunteers and mentors who play a vital role in supporting our local sports community and promoting an active, healthy lifestyle in the Newry, Mourne and Down Council area. Awards were presented across both Junior and Senior categories, including Team of the Year, Sports Volunteer of the Year, Club Coach of the Year and Sportsperson of the Year. Additional awards included Sportsperson/Team of the Year with a Disability and the Lifetime Services to Sport award. With countless outstanding sporting achievements across the district in 2024, the competition for this year's award categories was exceptionally strong. The awards ceremony was hosted by renowned sports presenter Thomas Niblock, adding to the excitement of the evening. Former Northern Ireland international soccer legend Gerry Armstrong also attended as a special guest, taking part in an engaging Q&A session with Thomas, where he shared insights from his remarkable career and experiences in the world of sport.

SANDSA Chairperson, Oonagh Murray, added, "It is an honour to be part of these awards and to celebrate those who are truly committed to sport in our district. Each nominee has demonstrated remarkable dedication and their achievements deserve to be recognised. We wish them continued success as they inspire others through their passion and commitment."
The Review of SANDSA Under the then Council’s draft “A Sport and Physical Activity Strategy” Theme 2, Strategic Actions, Point 3, the Council were requested to review its role, structure, and operation with SANDSA. Consequently, the Council felt they needed to give the SANDSA Executive an insight to what’s provisionally planned ahead. As a result, a meeting was to proposed to review SANDSA and the Councils involvement. During the SANDSA meeting on Tuesday 1 October 2024, in the Canal Court, Newry, the SANDSA committee debated and discussed the following three options: 1. Let the ‘existing state’ remain 2. Decide on a new structure (Executive & DEA’s representation) 3. SANDSA dissolution (‘striking off) removing it from the registrar of companies (Companies House)
The committee decided on option 2 (highlighted above).
Unfortunately, the decision taken to decide on a new structure didn’t develop within SANDSA. Asa result, the SANDSA Executive will be recalled before the end of 2025 to decide on the future of SANDSA and the way forward. PublicThe charityBenefits has given careful consideration to the Charity Commission for Northern Ireland's guidance; on public benefit to ensure that the activities entered into during the year have helped to achieve the charity's objectives and activities as providing public benefit. Membership MembershipIn accordanceGuarantee. with the Company's Memorandum of Association each member guarantees to contribute; up to one pound sterling (£1) to the Charity's debts, liabilities and costs in the event of the Charity being wound up and for one year after ceasing to be a member.

Board of Trustees
Except as provided otherwise in the constitution the policy and general management of the charity shall be directed by the Board which shall not be less than five but shall not be more than twelve (unless three further directors are co-opted under the provisions of article( 68))-
Appointment of Trustees As set out in the Articles of Association, the Charity may by ordinary resolution appoint a person who is willing to act to be a Trustee.
Trustee Induction and Training New Trustees are invited to an induction meeting to familiarise themselves with the Charity and the context within which it operates. These are facilitated by the Chairperson and Senior Management Team and cover: ; - The obligations of the Board of Trustees; - The content of the Articles of Association; - The Committee and decision-making processes, - Current financial position; - Future plans and objectives.
Risk Management and Uncertainties The ultimate responsibility for the management and control of the Charity resides with the Board of Trustees and as such their involvement in the key aspects of the risk management process is essential, particularly in setting the parameters of the process and in the review and consideration of the results. This should not be interpreted as meaning that the Board must undertake each aspect of the process themselves.
ReserveThe charityPolicydoes not maintain a formal reserves policy however the Board of Trustees continue to monitor the level of reserves held by the charity and are satisfied that these are adequate to meet any unforseen expenditure incurred.
GovernanceSports Associationand Management Newry, Down and South Armagh has appropriate governance structures and procedures in place to ensure correct decision-making and the implementation of decisions. All organisational change initiatives and projects are regularly reviewed by senior management.
TheOperational Board recognises that a sound internal control system that can respond to significant risks, is embedded in operational activities, is capable of reacting to external and internal changes and will immediately report major control weaknesses, is a key and essential component of risk management.

Key controls used by the Charity include:

Going Concern
It is recognised by the Board that the Charity is operating in politically uncertain and financially challenging times and that these conditions will remain for the foreseeable future. The Charity has an excellent management team and very strong people and governance protocols. The trustees are confident that the charity has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the Board believe there are no material uncertainties that cast significant doubt on the Charity’s ability to continue as a going concern and the financial accounts have have been prepared on that basis.

Statement of Trustees' Responsibilities in Respect of the Financial Statements
The trustees (who are also directors of Sports Association Newry, Down and South Armagh for the purposes of company law) are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (Generally Accepted Accounting Practice)
Company law requires the trustees to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to:

1 Select suitable accounting policies and apply them consistently;

2 Observe the methods and principles in the Charities SORP (RS 102) ;

3 Make judgements and estimates that are reasonable and prudent; 4 State whether applicable UK. Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;

5 Prepare the accounts on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner's Report to the Trustees of SpOrts Association Newry, Down and South Armagh. We report on the accounts of the charity for the year ended 30th June 2025 which are set out on pages 9 to 20.
'Respective Responsibilities of Trustees and Examiners As the charity's trustees (and also the directors of the company for the purpose of company Jaw) you are responsible for the preparation of the accounts in accordance with the Companies Act 2006. Having been satisfied that the charity is not subject to an audit under company law and is eligible for independent examination, it is my responsibility to:

1. ACCOUNTING POLICIES
ACCOUNTING CONVENTION
The principal accounting policies which have been adopted are set out below.
The Charity prepares its accounts in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
Sports Association Newry, Down and South Armagh meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes.
GOING CONCERN

CASH FLOW STATEMENT
The charitable company does not include a cash flow statement on the grounds that it is applying FRS102 SectionlA.

DONATIONS AND GRANTS
Income from donations and grants, including capital grants, is included in incoming resources when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy, except as follows;
When donors specify that donations and grants given to the charity must be used in future accounting periods, the income is deferred until those periods. When donors impose conditions which have to be fulfilled before the charity becomes entitled to use such income, the income is deferred and not included in incoming resources until the pre-conditions for use have been met. When donors specify that donations and grants, including capital grants, are for particular restricted purposes which do not amount to pre-conditions regarding entitlement, this income is included in incoming resources of restricted funds when receivable.
INTEREST RECEIVABLE Interest is included when receivable by the charity under investment income.

The financial statements are stated in GBP (sterling)

RESOURCES EXPENDED Resources expended are included in the Statement of Financial Activities on an accruals basis, inclusive of any VAT which cannot be recovered.
Certain expenditure is directly attributable to specific activities and has been included in those cost categories. Certain other costs, which are attributable to more than one activity, are apportioned across cost categories on a basis consistent with the use of resources.
TANGIBLE FIXED ASSETS AND DEPRECIATION Tangible Fixed Assets are stated at cost which comprises the purchase price and any installation charges.
Depreciation is calculated to write off the cost of the assets within their useful lives. The methods adopted and rates used are:

In the application of the charity's accounting policies the trustees are required to make judgements, estimates and assumptions about the carrying amounts of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. The estimates and assumptions are reviewed on an ongoing basis. The trustees do not consider there are any critical judgements or sources of estimation requiring disclosure.
FUND ACCOUNTING
Funds held by the charity are either:
Unrestricted General Funds - these are donations, grants and other incoming resources receivable or generated for the objects of the charity without specified purpose and are available as general funds and are available to spend at the discretion of the trustees in furtherance of the charitable objectives of the charity.
Designated Funds - these are unrestricted funds earmarked by the management committee for particular purposes.
Restricted Funds - these are funds that can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. Expenditure which meet these criteria is charged to the fund, together with a fair allocation of management and support costs.
TAXATION As a registered charity, the charity benefits from rates relief, and is exempt from direct tax on its charitable activities but not from VAT. Irrecoverable VAT is included in the cost of those iterns to which it relates.

LEGAL STATUS OF THE CHARITY The Charity "Sports Association Newry, Down and South Armagh" is a Company Limited By Guarantee and does not have a share capital.
Membership Guarantee
In accordance with the Company's Memorandum of Association each member guarantees to contribute up to one pound sterling (£1) to the Charity's debts, liabilities and costs in the event of the Charity being wound up and for one year after ceasing to be a member.
FINANCIAL INSTRUMENTS
The charity only has financial liabilities ofa kind that qualify as basic financial instruments. Basic financial instruments are normally initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at the carrying value plus accrued interest less repayments.
STAFF COSTS AND EMPLOYEE BENEFITS The average number of persons employed by the charitable company during the year was NIL. (2024: NIL)
PENSION
The charity does not currently operate a pension scheme.
TRUSTEES / DIRECTORS REMUNERATION
The trustees directors did not receive any emoluments during the year 2025 Nil (2024 £Nil) Trustees directors were reimbursed expenses during the year 2025 £ Nil (2024 NIL)
SUBSEQUENT EVENTS
There has been no significant events affecting the company since the financial year end.

Reserve Policy The charity does not maintain a formal reserves policy however the Board of Trustees continue to monitor the level of reserves held by the charity and are satisfied that these are adequate to meet any unforeseen expenditure incurred.
