Governing Document
Cause (Nl) Limited is a company fimited by guarantee governed by its Memorandum and Artides of
Association dated 7th December 2013. Cause {Nl) Limited is a registered charity with the Charity
Commission for Northem Ireland. Caijse (Nl) Limtted is a membership organisation with currently 78
members. each of whom agrees to contribute £1 in Ihe event of the charity winding up.
Appointment of trustees
The Chaimian and the Trustees re(mit and select new Trustee5 as needed. New Trustees are recruited
on the relevance of their professional skills. and their potential to be able to make a helpful contribution
to the govemance of the charity. As part of the recruitment prC￿ess. they are made aware of a Trustees,
legal obligations under charity and company law. the content of the Memorandum and Articles of
Association. the committee and decision making processes, the busines5 plan and recent financial
perfomance of the charity.
Onc8 the potential new Trustse has agreed to be considered for appoinlment to the role, the Trustee5
rneet to review and to vote on the candidates. suitability for appointment. If there is unanimous
agreement, their name5 are then ￿￿pOsed for appointrnent. to the voling Members of the Company at
the next Annual General Meeting.

Trustee Induction and training is in line wth the Code of Go¢xl Govemance and follows an agreed

Arrangements for setting pay and remuneration of key managementpersonnel
The directors considerthe board ofdirectots. who are the charivs trustees. and the senior management
team comprise the key management personnel of the charity in Gharge of directing and controlling.
running and operating the charity on a day to day basis. All directors give of their time freely and no
director received remuneration in the year.
The pay of the senior stsff is reviewed annually in accordance available benchmarking InfLYmation
through Nl Council for Voluntary Action INICVA) and is aligned lo the published NJC Scales. In view
of the nature of the charity, the directors also benchmark against pay levels in other similar size charities
run on a voluntary basis. The remuneration bench-mark is the mid-point of the range paid for similar
roles.
Oryanisation structure and how charity makes de￿$￿On$
The board of trustees, which can have up to 15 members, administers the charity. The board nomially
meets quartedy and there is a sub-committee covering finance which normally meets quarterly, and on
an ad hoc basis where necessary. A Chief ExecJJtive is appointed by the trustees to manage the day-
to-day operations of the charity. To facilitate effective operations. the Chief Executive has delegated
authority. within terms of delegation approved by the trustees. for 0￿rational matters includiNJ finance.
employment and direct charitable activities.

None of our trustees receive remuneration or other benefit from their work with the charity.
The organisation has a robust Conflict of Interest Policy, and a Register of Interests which is updated at
least annually.
Risk management
The trustees have a risk management straiegy which comprises:

Established in 1995, CAUSE is a regional peer4ed charity vthich provides practtcal and emotional
support for carers of loved ones with serK)us mental illness.
Our team of Carer Advocates provides a wtde range of support to carers who are caring for loved ones
with serious mental illness such as severe depre5SlC￿. P8r50nality disorder, psychosis. bi-polar disorder
and schizophrenia.
In shaping our objectives for the year and planning our actrvities, the Irustees have considered the
Charity Commission's guidance on public benefiL
CAUSE'S activities fall under two of the twelve charitable purposes ouuined in public benefit statutory
guidance for Northem Ireland namely-

CAUSE is a membership organisalion with 78 members registered. The peer4ed ethos of CAUSE is
translated into its recruitment and selection of the Board. management and its advocaw team. The
Board of Trustees meets once every quarter and the Finance Sub-committee also meets quarterly with
additional meetings when required.

Achievements and perfomiance
During the year of 2023-2024 Cause continued to work towards the delivery our range of services,
providing mental health carers wrth practical and emotional support by enhancing their knowledge, skills
and resilience as carers, and thereby work towards the strategic ￿alS agreed for the period. The
organisation continues to raise awareness of the significant caring roles undertaken by mental health
carers and the need for carer involvement in service development and planning.
These high level goals were monitored and managed though advocacy and support seNice delivery io
arers Regionally across Northem Ireland. and through specific Service Level Agreements with the
Belfast Health & Social Care Trust. the Soulhem Health and Social Care Trust. the South Eastem Health
and Social Care Trust and the Western Health and Social Care Trust.
In addition to the core work activrlies of Carer Advocacy and supporL CAUSE Carer Advocates and the
wider staff team ensured that carers could avail of ￿SpIte activtknes and take a break with recreational
and learning based activities co-ordinating social events for carers throughout the year. Psycho
educational training continues to be delivered and the organisation
Cause Nl continues to ensure the needs views of those ￿rerS who are caring for loved ones wtth
serious mental illness are represented at a wide range of appropriate poliGy, strategic partnerships and
decision making fora.

Financial review
At the end of the financial year to 31 March 2024 CAUSE is in a position with a surplus of £11.281
(2023: Deficit of £21.478)
Income during 2023124 was £518,75612022123' £434,696). The major incorne streams during the year
comprised of £460.510 {2022123: £390,325} from Charitable Adivities: £1.226 (2022123.. £1,886) from
Trading Activities and £30.278 (2022123". £28.349) from Other Income.
Charitable Activities main income streams are from Health Care Trusts, DHSS&PS(Nl). The
Community Foundation Nl for carers & mental health, CLEAR arKI Garfield Weston. Trading activf(ies
comprise of money received from membership fees.
Other Income consists mainty of respite fundiro. this is mainly funded from the Belfast Health & Social
Care TTUSt. South Eastem Health and Social Care Trust, Southem Health and Sc¢ial Care Trust and
the Western Health and Social Care TrusL Details of all income streams are detailed in the Ststement
of Financial Activrties and notes 5-9 of the accounts.
Expenditure for Ihe year amounted to £507.475(2022r23- £456,174). Expenditure is used to deliver
CAUSE'S strategic objectives through Service Level agreements with Health Trusts and other project
work undertaken.
Capital Investment
During the financial year £619 was spend on capitsl investment for Office Equipment.
The trustees, hawng regard to Ihe liquidty requirements of the chartty. have kept available fvnds in an
interest-bearing deposit account.
Reseryes policy and golng concem
Reserves are needed to brith3e the timing gap be￿een spending and receiving income and lo cover
unplanned temporary shortfalls in income should they arise. Holding adequate reserves safeguards the
provision of our SeNi￿S in the event of unexpected significantfinancial pressures. The trustees consider
that the ideal level of reserves are belween three to six months of unrestricted expenditure which for the
year ended 31 March 2024 is between £126.869 and £253.737.
Unrestricted reserves freely available to spend are £309.650. This level of reserves is in excess of the
target level required as ouuined above. The trustees believe this represents a sufficbent level of reserve
to ensure that the going concem assumption is appropriate.
Plans for future periods
The organisation continues to slralegically plan taking into accounl the malor developmenls in our wlder
sector. Objectives for the period are set to ensure that the organisation continues to maintain and
develop a contemporary, relevant and sustainable service to our carers. particularly taking account the
DOH 1 Oyear Mental Health Strategy 2021-2031.

Trustees, responsibilities statement
The tnjstees, who are also directors for the purposes of company law, are responsible for preparing the
trustees, report and the financial ststements in accordance with applicable law and United Kingdom
Ac￿Unting Standards (United Kingdom Generalty Accepted Accounting Practice).
Company law requires the charity trustees to prepare financial statements for each year which give a
true and fair view of the state of affairs of the charitable c￿PanY and the incoming resources and
application of resources, includiro the income and expenditure, that period.
In preparing these financial statements. the trustees are required to:

make judgments and accounting estimates that are reasonable and prudent
prepare the financial statements on the going (x)ncem basis unless it is inappropriate to presume

The trustees are responsible for keeping adequate accountiThJ recwls that are sufficient to show and
explain the charitys transactions and disclose with reasonable accuracy at any tirne the financial
position of the charity and enable them to ensure that the finanaal slatements comply with the
Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence
for taking reasonable steps for the prevenlion and detection of fraud and other irregulartties.
Auditor
Each of the persons who is a trustee at the date of approval of this reF)Ort confirms that:
so far as they are aware. there is no relevant audit information of which the L*arity's auditor is
unaware. and
they have taken all steps that they ought to have taken as a trustee to make themselves aware of
any relevant audr( information and to establish that the charitys auditor is aware of that infomiation.
