DAN WINTER'S (A COMPANY LIMITED BY GUARANTEE) TRUSTEES, REPORT (INCLUDING DIRECTORS, REPORT) FOR THE YEAR ENDED 31 MAY 2023 The Irustees present their annual report and financial statements for the year ended 31 May 2023. The financial statements have been prepared in accordancè with the accounting policies set out in note 1 to the financial statements and comply with the charitable company's Memorandum and Articles of Association, the Companies Act 2006 and "Accounting and Reporting by Charilies: Slatemenl of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Slandard applicable in the UK and Republic of Ireland (FRS 102)" (effective 1 January 2019). Objectives and activities The principal activity of the charitable company is lo promote the benefit of the inhabitants of the Diamond District and its environs wilhoul distinclion of sex, racè or political, religious or other opinions, by associating together the said inhabitants in a common effort to advance education and to provide facilities in the inleresls of social welfare for recrealion and leisure time occupation with the objecl of improving the conditions of life for the said inhabilanls. The trustees have paid due regard to guidance issued by the Charily Commission for Northern Ireland in deciding whal activities the charitable company should undertake. The benefit of Ihe charilable company is recorded by the Charity Commission for Northern Ireland as.. The organisalion combats poverty which has the direct benefit of alleviating povety, improving health and wellbeing which has the direct benefit of providing improved health and wellbeing, advancing education which has Ihe direct benefit of improving knowledge and skills, and developing the community wilh the direcl benefil of empowering the community to engage more fully in activities and wider society. The direct benefits are evidenced by feedback from participants and health profèssionals and by evaluation of our aclivilies. There is no harm flowing from the purposes. The beneficiaries are the inhabitants of the Diamond area of County Armagh. Any private benefil is incidental and would only arise from people gaining skills which may be transferable. Achievements and performance During the year lo 31 May 2023 Ihe charitable company continued to operate a museum, receiving donations and selling merchandise lo visitors. The charitable company also received grant funding of £750 from Armagh City, Banbridge & Craigavon Borough Council to facililale events and £625 from Diamond Community Development Association towards running cosls. Flnancial review The charitable company's financial results are set out in detail on pages 5 -14. There is an overall deficit of funds for the year of £9,408 (2022 - surplus of £11,451). Accumulated funds consist of unreslricled funds of £27,022 (2022 - £23,170) and restricted funds of £101,493 {2022 - £114,753). Reserves The trustees aim lo retain sufficient unreslricled reserves to meet ongoing running and maintenance costs of the museum. Risk management The direclors have considered the major risks which Ihe company faces and are satisfied that, with continued monitoring, they have adequately mitigated significant risks as far as possible. Going concern The directors have reviewed the Position Df the charity and are of the opinion that the charity will continue in its aclivilies and the accounls should be signed off as a going concern.

The trustees, who are also the directors for the purpose of company law, and who served during the year and up to the date of signature of the financial statements were: HM Winter TL McNeill TR Geary GD Winter Under the requirement of the Memorandum and Articles of Assoclalion, directors shall hold office until the next Annual General Meeting and shall then b6 eligible for re-election. None of the trustees has any beneficial interest in the company. All of the Irustees are members of the company and guarantee to contribute £1 in the event of a winding up. The day to day running of the charitable company is overseen by the trustees. In preparing this report, the trustees have taken advantage of the small companies exemptions provided by se¢lion 415A ofthe CompaniesAcl 2006.
