Objectives and Activities
Bio Telly Theatre Company is one of the longest standing theatre companies in Nl. Our work is centred around
theatre, game, technology, and place We design professional theatre produ-tions, sile specific, live
experiential art. immersive games and participatory community driven projects throughout Northern Ireland and
internationally. With work spanning over 37 years. the company has a reputation for Innovation and
accessibility. Vve work across sectors, using arts lo deliver objectives for health, education, heritage, tourism,
economic development, social development, rural development and tO￿1n and city regeneration. As a company,
we seek to Innovate how and where CLJllure is made and performed and how theatre can be used as a tool lo
regenerate and serve the community to create Ioiig leim impact.

Structure, governance and management
Big Telly Theatre Campany is lim.'ted by guarantee and registered with the new Charity Commission for
Northern Ireland INIC1023341, governed by a Board of Trustees. Professor Tom Maguire Ichairl, Head of
Schools of Arts & Humanities at the University ot Ulster, Chris Hurd-wood, retired HR Development
Professional, Cara Macmahon, CEO of Voluntary Action North Somerset. Rosana Trainor, Charity
Shop Coordinator,
Tony Hennessey, Accountant., Ms. Claire Sugden MLA Alison Grundle Business
Improvement Consultant and and Eoin O"'Connell Principal Data Scientist. Crissy O Donovan is the Company
Secretary. The company's board provides relevant expertise in human resources, marketing and PR, finance.
contemporary and cuEtural theatre practice as well as relevant strategic and planning skills.
The company's full-time slaff are Company Manager {Crissy O Donovan), Project Manager (Linda Mccracken),
Finance Manager Icollelle Quigleyl, who together with the Artistic Director (Zoe Seatonl oversee the running
of the entire artistic programme. Between them, these company members have over fifty years of experience
.n managing arts projects
The company has Ethical Manager Status and is a member of the Independent Theatre Council IITCI and of
Theatre Nl. The company operates ITCIUNITE and ITCIEquily minimum rates, terms and conditions for both
permanent and contractual staff.
The company has regular staff meetings involving the enlire staff leam. The core staff report to the Board of
Trustees at quarterly meetings. The company regularly reports to ACNI and other funders on its progress
through Mid-year and End of Year C5ient Reports and quarterfy monitorirbg meetings with our Arts Officer.
Professor Tom Maguire (Chairl, Head of Schools of Arts & Humanities at the University of Ulster. regularly
monitors progress on funding applications and Ihe.r administration.
The organisation follows the Charity Commission's auidance and sets a target for reserves based on our cash
flow requirements and an assessment o,. the risks facing the organisation. Our aim is to hold reserves at a level
which is not excessive bul does not pul our so',vency at risk The trustees review the number of reserves that
are required to ensure Ihat they are adequate to fulfil the charity's continuing obligations on a quarterly basis al
their Board meeting.
We hold reserves for the

Meet contractual liabilities should the charity have lo close including redundancy pay, amounts due to
creditors and commitments under leases.

d To fund risks that may materialise, resulting in an unexpecled increase in expenditure andlor a
reduction in income.
e. To provide working capital when funding is paid in a-rears and place the charity in a posits.on where it
could apply for funding which can be paid up to 12 months in arrears
The trustees aim lo maintain the charity's reserves at a level which is at least equivalent to two months
operational expenditure Icirca £20.0001 in add'lion to designating a minimum of £17.300 towards potential
redundancy outlay in the event of the company having to cease operations and have done so having regards lo
ils manner of operation of likely funding streams. The reserves that we have sel aside provide financial stability
and the means for the development of our principal activity. The in-kind value we receive each year is
approximately £65,000.
On 31 March 2024 the charity held £36,000 as ieserves. In the event of reserves dipping below the target the
charity will aim to restore the reserves to ils minimum level over a four-year period through increased
fundraising, increasing earned income andlor reducing expenditu'.e. If reserves exceed the target, then the
charity will consider the likely expenditure over the next two years.

Statement of Members. responsibilities
The Members, who are also the directors of Big Telly Theatre Company for the purpose of company law. are
responsible for preparing Ihe Members, Report and the accounts in accordance with applicable law and United
Kinodom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company Law requires the Members to prepare accounts for each financial year which give a true and fair view
of the slate of affairs of the company and of the incoming resources and application of resources, including the
Income and expenditure, of the charitable company for that year.
In preparing these accounts, the Members are required lo.
select suitable accounting policies and then apply them consislently-
observe the methods and principles in the Charities SORP.
make judgements and estimates that are reasonable and prudent., and
prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will
continue in operation.
The Members are responsible for keeping aoequate accounting records Ihat disclose with reasonable accuracy
al any time the financial position of the company and enable them to ensure that the accounts comply w th the
Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking
reasonable steps for the prevention and detection of fraud and other irregularilies

The directors who held office al the date of approval of Ihis directors, report confirm that, so far as they are each
aware. there is no relevant audit information of kvhich the companls auditors are unaware", and each director has

that the audit evidence we have obtained is sufficient and appropriate lo provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the Members, use of the going concern basis of
accounting in the preparation of the fi'nancial statements is appiopriate.
Based on the work we have performed. we have nol identified any material uncertainties relating to events or
conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going
concern for a period of at least twelve months from when the financial statements are authorised for issue.

relevant sections of this report.

lo fraud or error. In preparing the financial stalemenls. the Members are responsible for assessing the company's
ability to continue as a going concern, disclosing. as applicable. matters related lo going concern and using the
going concern basis of accounting unless the Members either intend to liquidate the charitable company or lo cease
operations, or have no realistic alternative but to do so.
Auditor's responsibilities for the audit of the financial statements
We have been appointed as auditor under section 6512} of the Chaiities Acl (Northern Ireland) 2015 and report In
accordance with theAcl and relevant regulations made or having effect thereunder_
Our objectives are lo obtain reasonable assurance about whether the financial statements as a whole are free from
material misslatemenl, whether due to fraud or error. and to issue an auditor's report that includes our opinion.
Reasonable assurance is a high level of assufance but is nol a guarantee that an audit conducted in accordance
with ISAS IUKI will always detect a material misstatement when it exists. Misstalemenls can arise from fraud or
error and are considered material if, Individually or in the aggregate. they could reasonably be expected to influence

There are inherent limitations in our audit procedures descnbed above. The more removed laws and regulations are
from financial transactions. the less likely il is thal we Would become aware of non-compliance. Auditing standards
also limit the audit procedures required lo identify non-compliance with laws and regulations to enquiry of the
trustees and other maiagement and the inspection of regulatory and legal correspondence, if any
Material misstatements that arise due lo fraud can be harder to detect than those that arise from error as they may
involve deliberate concealment 01 collusion.

Charity information
Big Telly Theatre Company is a private company limited by guarantee incorporated in Northern Ireland. The
registered office is Flowerfield Arts Cenlre, 185 Coleraine Road, PORTSTEWART, Co Londonderry.. BT55
7HU.
1.1 Accounting convention
The financial slatemenls have been prepared in accordance with the compaiy's Igoverning documenll, the
Companies Act 2006, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of
Ireland" l FRS 102") and the Charities SORP "Accounting and Reporting by Charities. Statement ol
Recommended Practice applicable lo charities preparing their accounts in accordance bvith the Financial
Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021" (effective 1 January 20191. The
company is a Public Benefit Entity as defined by FRS 102.
The company has taken advantage of the provisions in the SORP for charities not to prepare a Statement of
Cash Flows.
The financial statements are prepared in sterling. which is the functional currency of Ihe company Monetary
amounts In these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cos1 convention. The principal accounting
policies adopted ale sel oul below_
1.2 Going concern
Tie trustees are of the opinton that they have adequate resources to see the charity through this difficult
period and continue in operational ex".stence for the foreseeable future.
1.3 Charitable funds
Unrestricted funds are available for use at the discietion of the Members in furtherance of their charitable
objectives.
Restricted funds are subjecl lo specific conditions by donors or grantors as to how they may be used. The
purposes and uses of the restricled funds are set out in the notes to the financial statements.
Endowment funds are subject lo specific conditions by donors that the capital musl be maintained by the
company.
1.4 Income
Income Is recognised when the company is legally entt.tled to it after any performance conditions have been
