Memorandum of Association which established the objects and powers of the charitablc company and is governed
under its Articlcs of Association. In tlie event of the ¢oinpany bcing wound up menibcis are required to contribute

Recrultment and Appolntment of Board of Directors
The subscribers to the Memorandum of Association of the Company and such other persons as are admitted to
Ineinbersliip in accordanc¢ wilh the articles sliould be members of the company. No person shall be admitt¢d as a
nicmb¢r of tlie company unless sllie is approv¢d by the directors. Every person who wi5hcs to beGomc a member
shall deliver to the company an application for membersliip in such fonn as the directors require.
Board membcrs are elected to serve for a period of up to three years after whicli they rnust b¢ re-elected at the
next Annual Gcneral Meeting. Mary Diamond, Grainne McLauglin and Nuala Doherty are required to stand down
by rotation and are putting theinselves forward for re-¢l¢ction al the AGM to be lield on 5111 June 2025.
Derry Well Women's cliarity work in¢vitably focuses on women's health, health promotion, health education and
addressing health inequalities. The Board, therefore, 5eek5 to ensure that thc needs of women Tn relation to their
specific health issues arc appropriately reflected and addressed through the skills. experience, and knowledge of
the members. To enhance the Ineinb¢rship, the Charity has supported th¢ active participation of its clients and
valued the input of th¢ir own experience to steer the work of the Charity.
Traditional skills rclated to healthcai'e and childcare are well represented on the Board, including Primary Care,
Rcsearch, Social Work, Cliildcare, Family Law, Healih Visiting, Nursing and Counselling. Thcre is also a generic
skills base including accountancy, legal, edu¢ution, policy development. child d¢v¢lopment and community
development. Board members ar¢ requested to provide a list of their skills (updated each year) and in the ¢vcnt of
skills being lost duc to retirement, individuals ar¢ approached to offer themselvcs for elcction to tlie board.

In February 2014 the Managem¢nt Board signed off the revised Risk Register and Continuity Plan for 2014. This
was reviewed in 2024. Phil Mahon was appointed and acts as Designated Committee Governance and Risk
Assessnient Officer.

In 202412025, the Board primarily focussed on applications to grant making trusts and attracting charitable giving.
These initiatives have led to th¢ d¢v¢lopment of a new framework for the expanded delivery of our core
programine5 iiicluding the rationalisation of some services, effective partnership working to maximise current
rcsources, extendiiig our services to othor venues and locations, and maintaining our Strategic Plan for 202312026
wliich ensur¢5 we continue to deliver witliin the liinitations of funding restraints.
April 2024 to March 2025 saw continued delivery on our contract witli the Western Health and Social Care Trust
(WHSCT) witli an overall perforinance of delivering health improvem¢nt progrdmmes to 2,972 women and
cliildren. The value of our contract for 2024-25 from th¢ Western Health and Social Care Trust (WHSCT) wa5
£145,244.
Dei-ry Well Woiiien continued deliveiy on our contract with the W14SCT Talking Therapies to deliver counselling
to wonien witli Inild to Inoderate depression at an agreed hourly rate for our s¢55ional counsellors.
Our fuiiding fi'oin VSS was rolled over iiito 2024-2025 to continue our support to women survivors and victims.
Derry Well Woinen continued to r¢¢eive uplifted Pathways funding through Early Years the Organisation for
Young Cliildi-en to support the Creclie Assistant post to March 2025.

Significant funding was received from the National Lottery Charities Board People and Communities, Awards for
AII, BBC Children in Need, Thompson Trust, Flalifax Foundation, Souter Trust, Pathways, Inner City Trust, The
Honourable Irisli Society, U15ter Bank Charity Trust, SJP Foundation, Enkalon, Danske Bank, PHA, Esme
Mitchell, Department of Justice and Garfield Weston. This effort has ensured there has been minimal impact on
the financial stability and strengthened the organisation's ability and capacity to deliver on its stated aim5 for year
ahead.
MAnuging Fiiiancial Risks
Internal control risks are minimised by the impleinentation of financial policies and procedures for separate
auihorisation of all transactions and payments. Procedures are in place to ensure compliance with health and safety
of staff, volunte¢rs, ¢li¢nts and visitors to the centre.
Our audit of accounts is carried out by indcp¢nd¢nt auditors appointed through a competitive tendering process
(McGroaty Mc Cafferty & Company 202412025) and ourmonthly payroll is processed by a meniber of staff froni
firni of accountants Moore (Nl) on a contractual basis overseen by our Treasurer who autliorise5 rnontlily online
BACS payments.

for establis11ing policies overseeing their impl¢iT]entation and inforining the strategic direction of th¢ organisation.

A schem¢ of d¢l¢gation is in place and day-to-day rcsponsibility for the provision of tlie services re515 Wlth the
Manager alongr witli Programme Coordinator's and the Financ¢ and Administration Officers. The Manager has
re5pon5ibility for the strategic and day-to-day operational management of the centre, resourcing programmes,
providing individual support and supervision to th¢ staff t¢aJn cnsuring the t¢am continuc to dcv¢lop their skills
and working practices in liiie with best practice.

difficulty for a period of two months based on the projeclcd average montlily running costs ofthe agency
approximating £20,000 per montli.

our Breastfeeding Support Group witli an average of 9-14 each weck.
We also saw greatest demand in relation to support fiDm woinen around mental health and wcllbeing and women
affected by trauma. We have been ablc to m¢¢t this nced by the range of programmes off¢r¢d. We supported 575
wom¢ii with mental health and social support programmes.
We also noted an increase in women looking for support for specific long tern conditions with incrcascd numbers
in our Endometriosis support group, Long Covid group and Cancer Support group and programmes. 176 women
were supported this year in our Long Covid group aiid 121 women availing of our Can¢er Supports.
Supporting woinen later in life contiiiued to be one of oiir prioriti¢5 With 89 women supported this year in our
Young at l.leart Group and 140 women attending our podiaty Clinic.
Th¢ iieeds of our local women in the WHSCT increases each year with greatei. demands and complex needs. We
listen to what our womei) are telling us and what ihis need and demand i5, and we respond accordingly.

Cancel. Connected Communities is a partnership led by Derry Well Women with Action Cancer, Advice NW,
Cancer Focus, Care for Cancer, Omagh and SWELL Enniskillcn.
The partnersliip is dedicated to supportingpeople affected by cancer in the Western Trust area by connecting them
to eoch oiher, to sources of support withiii their communities and to those who can Inake a difference to how and
where thcy reccive servTce5.
Although they do not benefit fron) th¢ funding the project also hos tlie parlnersliip of tlie W14SCT and Macmillan.
Thi5 tliree-yeur project funded by a grant from the National Lottery Community fund came to an end in Noveinber
2024. W¢ hav¢ bccn deliglited that the WHSCT liave supported with short t¢rni continued funding until end of
June 2025 with coiisideration for a further 12-18-monlh Gontinuation.
Women's Hcnlth Strategy for Northern IrelAiid
Derry Well Women welcomes the cominitinent froin Department of Health to prioritise a focus on Wonien's
14ealth. We are d¢light¢d to be working in parttiership with DOH and QUB on this and delighted to launch tliis at
Stormont at the start of the year with support from the Health Minister.
The first part of the process has been the disseixination of Women's Health Survey for Nl with excellent profiling
and r¢lurn rates so far. We will tlien coininence fo¢us groups and furtlier engagement opportunities to ensure we
capture the priorities and p¢rspe¢tives on health issues from 8 diverse range of women froin across Iroland. We
will remain in contact with DOH ¢oll¢agues throughout to ensure that the analysis of the listening exercise shapes
the development of a Women's Healtli Strategy for Nl which adopts a life course approach to women's health.
Psychologieal Hub
Derry Well Women is contracted by WE.ISCT to deliver counselling for women referred with mild to moderate
depression froin the Psychological Hub.
The demand for this has increased year on with largest referrals thi5 year to date.
The value of this contract for the period I" April- 31st March 2025 is paid by invoice at £40.80 per session (rising
to £42.71 from ISI April 2025),

The ¢harAty constitutes a publi¢ benefit entity as defmed by FRS102, The fmancial statsments have been
prepared in a￿Ordance with Accountin8 and Reporting by Charltte5; Statement of Recommended Practice
applicable to charities Preparing their accounts in accordance with the Finan¢ial Reporting Standard applicable in
the UK and Republlc of Ireland Charities SORP 2019 (FRS102), the Companles Act 2006 and the Charities Act
(Northern Ireland) 2008.
The financial statements are prepared on a going concern basis under the historical cost convention modified to
in¢lud¢d certain items at fair value. Th? fLDan¢ial ¥t#tsments are pr¢5ented in sterling whAch is tlie functional
currency of the charity.
The significant accounting policies applied in the preparation of those fmancial statements are set out below.
These pollcies have been consistently applied to all years presented unless otherwise slated.
1.2. Incoming resourees

Expenditure is rc¢ogni$ed on an accrual basis as a liability is incu￿ed. Expenditure includes any VAT which
cannot be fully recovered, and is reported as part of th¢ expenditure to which it relates.
Charitable expendituro comprises those costs incurred by the charity in the delivory of its activities and services
for its benefloiarios. Tt includes both costs that can be allocated directly to such activitie5 and those costs of an
indirect nature necessary to support th¢m.
