Governing Document
The Resurgam Community Development Trust (The Resurgam Trust) is a company limited by guarantee,
incorporated on l Oth January 201 I, with Charity Commission registration in October 2015. The Resurgam Trust
wa5 created under a Memorandum ol Association which established the objects and pom'ers of the charitable
company and is governed under its Articles of Association. This documeni was revised in March 2014 and filed
with Companies House
Recruitment and Appointlnenl of Management Committee
The directors are nominated from communily membership and social enterprises to give a cross representation
of membership. Under the Memorandum and Articles of Associaiion directors are elected to serve from each
Annual General Meeting.
Directors and management are requested to provide personal profiles to depict skills within the board with a
variety of areas of interest covered, which are highlighied in the Business Plan.

Directors and membership adhere to "Fit for Purpose" whereby all directors and member groups sign up to
induction sessions and training.

Risk Management
Resurgam follows a policy of risk management which is designed to identify., quantify, manage and then
monitor those things, events or actions which could lead to a failure of a project:
-The organisation has an internal risk assessment process that involves four continuous slages
-IdentifJcation= The project identifies risks which can be managed.
-Quantification= This involves assessing the severity of the risk to prioritise those it will manage
-managing and responding- This involves establishing a course olaction that will address the risk.
-monitoring & controlling the risk.. The project has a sub group which works to identify and deal with risks.
There is an internal notification proces5 lor dealing with problems. The full Board is al￿'ay5 aware of serious
risks to a project.

The Resurgam Trust is a member of Development Trust Northern Ireland and will develop the management
board through appointment of advisory roles from statutory agencies.

signposting, tackling racism: promoting iolerance and challenging stereotvpes. Celebrating culture and tradition
of the diverse range of identities in Lisburn City is key, especially relevant for Newcomer families including

In serting our operational planning for the year. the trustees have given careful consideration to the Charity
Commission for Northem Ireland's guidance on public benefit to ensure tliat the activilies have helped to
achieve the charity's purposes and provide a benefil to ihe beneficiaries.

Achievements and performance
The Resurgam Trust secured and delivered a package of £217.500 to support the Fom)er Hilden Mill School
refurbishment. This complemenls the invesimeni by Llsburn Castlereagh Ciry, Council and Heritage Lottery
Fund to refurbish the community. asset. Lisburn Museum have been leading on the Interpretlve History eleinent
of the school with support from a Heritage Advisory Group from local community and stakeholders of the
school
The Resurgam Trust structures has a 25-year history of community regeneration resulting in improved outcomes
on the social detenninants of health. A central component of the Resurgam Trust's long-tenn financial
sustainability plan is a community-led housing model, the main aim of this niodel was always to ensure that the
organisation was financed in such a way that its long-term financial health would be secured.
Resurgam have continued to develop their model of social enterprise and regeneration, all governed and
monitored by their Board: Steering Group and Audit and Risk Committee M'ith support from Li5burn
caStlerea￿ City Council, Department for CoTnmunities {DfC) Innovation and Research and Dfc Community
Investment Funding. To complemeni ihis there is a Sustainabilitv Plan which has specific actions in tern)s of
financial forecasting and income generation across the Income Spectrum.
The operational plan has been central in developints a Strategic Plan for the next ten years and testimony to
Resurgams vision is the focussed overarchino strategi¢ objectives and themes which have remained common
since inception in 2011. These have been reviewed: linked closer to Programme for Government (PfG) and
Lisbum Castlereagh Community Plan. This is complemenied by an Operational Plan.
Resurgam Board have implemented a learning model for their meetings where RT staff come and present on
their projects - this has been successfill in sharing infornlalion but also troubleshooting.
RT Elevate Project using Knowledge Transfer for two communities - Hillhall and Hilden where they can learn
about the projects taking place in a social enterprise community building (Laganview Enterprise Centre and JD
Youth Centre) this includes training on Community DevelopmenL Impact Measuremenl Health Inequalities,
social Media promotion.
Linking with Housing for All partnership to create opportunities for communities including youth interventions
and shared history projects which have an intergenerational theme.

Needs and Disabilities. Ethnically Minorilised groups: Newcomers including Asvluni Seekers and Refugees. 5
apartments targeiing }'outh homelessness, supported by MACS and Northern Ireland Housing Executive.

RT staff engaged in reporttng models for Community Led Housing Models - RT Healih}' Living Centre has
been commissioned to support this service with their ElemeTJtsl model whicli coinplements measuring data and
pooling infomiation on data-bases (all working to GDPR).

Leased Community Hubs - RT mainlained leases with LCCC for 3D Youth Centre and Hillhall Centre as well
as NIHE Community Houses and the SE Incubation Hub at Rushmore Units.
Social Value Contracts with NIHE contractors - Idverde have grasped the spirit of partnerships with a team of
contractors and equipment provided with a second team secured in new NIHE tender.
Former Hilden Mill School has been constructed in year and will service the local community and wider tourism
through three elements including (i) Tearoom at Hilden Mill (li) Little Weavers Da), Care (iii) Interpretive
History space, supported by Li5burn Museum. The two new SE'S have been 5UPPOrted b! the Community
Ownership Fund Capital Equipment and Garfield Weston Capital grant5 for internal furnishings and equipment.
RT continue to support the Heritage Advi50ry Group (HAG) in the development of OCN trained volunteer tour
guides for their interpretive history Space and outdoor link5 to Glenmore Trail and River Lagan Trail.
The Welcome House 'Good Relations Hub. has developed itself into a base for Inclusion work where events in
Lisbutn City Centre's Historical Quarter are hosied with focus on supporting underrepresented groups to deliver
activities, including cross community, multi cultural. SEND groups and LGB TQIA+ Allies groups.

In addition, the trust also generated funds through fundraising activities and its community-led housing
portfolio. Resurgam has also continued to develop ihe social enterprise and regeneration projects with a
combined turnover of £1.248,756 in 24-25.
The Statement of Financial Activities set out on page 16 shows an unrestricted surplus for the year of £159,760.
Potential funding
Resurgam will continue to seek additional fimding and Service Level Agreements for localised work, focused
on Social Enterprise and Regeneration.
Reserves
The Resurgam Trust policy on reserves is to hold suificient resources to continue the charitable activities of the
group should income and fundraising activities fall short. The Board considers that the group should hold a sum
equivalent to 3 months running costs.

The trustees, who are also directors for the purpose5 of company law, are responsible for preparing the tru5tees'
report and the financial statements in accordance with applicable law and United Kingdom Accounting
Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the charity trustees to prepare financial statements for each year which give a true and
fair view of the sthte of affairs of the charithble company and the incoming resources aTJd application of
resources, including ihe income and expenditure, for ihai period.

In preparing these financial slatements, the trustees are required to:

state whether applicable UK Accounting Standards have been followed, subject to any material departures

charity will continue in business.
The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the
charity's transactions and disclose with reasonable accuracy at any time the financial position of the charity aiid
enable them to ensure that the financial slalements comply with Ihe Companies Act 2006. They are also
responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the preveiition
and detection of fraud and other irregularities.

We have audited the financial statements of The Resurgam Communit), Development Trust Limited ('parent
charity,) and its subsidiaries (the 'group') for ihe )'ear ended 31 March 2025. which comprise the Consolidated
Statement of Financial Activities, Consolidated Balance Sheet, Balance Sheet. Consolidated Statement of Cash
Flows and Notes to ihe Financial Statements. including a summary, of significant accounting policies. The
financial reporting framework ihat has been applied in their preparaiion is United Kingdom Accounting
Standards, comprising Charities SORP - FRS 102 'The Financial Reportiiig Standard applicable in the UK and
Republic of Ireland, and applicable law (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements-
give a true and fair view of the state of the group's and parent charity's affairs as at 31 March 2025 and of its

going concern for a period of at least twelve months from when the original financial statements were authorised

We identified areas of laws and regulations that could reasonably be expected to have a material effect on
the financial statements from our sector experience through discussion with the Directors and other
management (as required by auditing standards).
We had regard to laws and regulations in areas thai direcil>' affeci (he financial statements including
financial reporting and thxation legislation. We considered that exteni of compliance wlth those laws and
regulations as part of our procedures on the relaied financial staiement items.
With the exception of any knomm or possible non<ompliance, and as required by auditing standards, our
work in respect of these was limited to enquiry of the Directors.
We communicated applicable laws and regulations throughout our audit team and remained alert to any
indications of non-compliance throughout the audit.
We addressed the risk of fraud through management override of controls, by testing the appropriateness of
journal entries. and other adjustments. assesslng ivhether the judgements made in making accounting
estimates are indicative of a potential basis: and evaluating the business rdtionale of any significant
transactions that are unusual or oulside the nomlal course of business.

The principal accounting policies applied in the preparation of these f￿anCIal statements are set out below.
These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of complianee
The financial statements have been prepared in accordaT]ce with Accounting and Reporting by Charities..
Statement of Recommended Practice (applicable to charitie5 preparing their accounts in accordance with the
Financial Reporting Standard applicable in the UK and Republic ol Ireland (FRS 102}} (i55ued in October 2019)
(Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland
(FRS 102) and the Companies Act 2006.
Basis of preparation
The financial sthiements have been prepared on the hisiorical cost basis, as modified by the revaluation of
certain financial assets and liabilities and investment properties measured at fair value through income or
expenditure.
The financial statements are prepared in sterling,which is the operating CUr￿￿¢Y of the entity.
Basis of consolidation
The financial statements consolidate the financial statements of Resurgam Community Development Trust
Limited and all of its subsidiary under(akings.
The parent company has applied the exempiion in seclion 408 of the Companies Act 2006 and has not presented
its individual statement of financial activities.
Going concern
The trustees consider that ihere are no material uncertainties about the group's ability to continue as a going
concern nor any significant areas of uncertainty thal affect the canying value of assets held by the group.
Accordingly, these financial slalements have been prepared on a going concern basis.

Incoming resourees
All incoming resources are included in the statenient of financial activities when entitlement has passed to the
charity.; it is probable that the economic benefits associated ￿'1th the transaction will flow to the charity and the

income from donations or grants is recounised when there is evidence of entitlement to the gift, receipt is
probable and its amount can be measured reliably.
legacy income is recognised when receipt is probable and entitlement is established.
income from donated goods is measured at the fair value of the goods unless this is impractical to measure
reliably, in which case the value is derived from the cost to the donor or Ihe esiimated resale value. Donated
facilities and services are recognised in the accounts when received if the value can be reliably measured. No
amounts are included for the contribution of general volunteers.
income from contracts for the supply of services is recognised with the delivery of the contracted service. This
is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular
purpose and retumed if unspent, in which case it may be regarded as restricted.
Expenditure
Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which
cannot be fully recovered, and is classified under headings of the statement of financial activities to which it
relates:
expenditure on raising funds iTtclude5 the costs ol all fundraising activities, events, non-charitable trading
activitie5, and the sale of donated goods.
expenditure on charitable activitie5 includes all costs incurred by a charity in undertaking activitie5 that further
its charitable aims for the benefit of its beneficiaries, including those 5UPPOrt costs and costs relating to the
governance of the charity apportioned to charitable activities.
oiher expenditure includes all expenditure that is neiiher related to raising funds for the charity nor part of its
expenditure on charithble activilies.
All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a
single activity are allo¢aied directl), io ihat aciivitv. Shared Costs are apportioned between the activities they
contribute to on a reasonable, justifiable and consistent basis.
Taxation
The charity is considered to pass the tests sel out in Paragrdph I Schedule 6 of the Finance Act 2010 and
therefore it meets (he defini(ion of a charitable company for UK corporation lax purposes. Accordingly.. the
charity is potentially exempt from taxaiion in respect of income or capital gains received within categories
covered by Chapter 3 Part I l of the Corporation Tax Aci 2010 or Section 256 of the Taxation of Chargeable
Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes.
Tangible fixed assets
Individual fixed assets are initially recorded at cosL less any subsequent accumulated depreciation and
subsequent accumulated impainnent losses.

Investment properties
Investment property is carried at fair value. derived from the current market prices for comparable real estate
detemiined annually by exiernal valuers. The valuers use observable market prices, adjusted if necessary for any
difference in the nature, location or condition of the specific asset. Changes in fair value are recognised in profit
or loss.
Stock
Stock is valued at the lower of cost and es(imaied selling price less costs to complete and sell, after due regard
for obsolete and slow moving slocks. Cost is deterniined using the first-in. first-out (FIFO).
Trade deblors
Trade debtors are amounts due from customers for merchandise sold or services perfornled in the ordinary
course of business.
Trade debtors are recognised initially at the transaction price. They are subsequently measured at amortised cost
using the effective interest method: less provision for impainnent. A provision for the impairment of trade
debtors is established when there is objective evidence that the charity will not be able to collect all amounts due
according to the original tenns of the receivables.
Cash and cash equivalents
Cash and cash equivalents comprise cash on hand and call deposits, and other short-tenn h]￿lY liquid
investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of
change in value.
Trade creditors
Trade creditor5 are obligations to pay for good5 OT Services that have been acquired IT] the Ordinary course of
business from suppliers. Accounts payable are cla55ified as current liabilities if the charity doe5 not have an
unconditional right, at the end of the reporting period. to defer settlement of the creditor for at least twelve
months after the reporting date. If there is an uncondilional right to defer settlement for at least twelve months
after the reporting date, they are presenied as non-curreni liabilities.
Trade creditors are recognised iniiially at the transaction price and subsequently measured at amortised cost
using the effective interest method.

Borrowing5
Interest-bearing borrowings are initially recorded at fair value. net of transaction costs. Intere5t-bearing
borrowings are subsequently carried at amortised cost. with the difference between the proceeds, net of
transaction cost5, and the amount due on redeniption being recognised as a charge to the Statement of Financial
Activities over the period of the relevant borrowing.
Interest expense is recognised on the basis of the effective interest method and is included in interest payable
and similar charges.
Borrowings are classified as current liabililies unless ihe charity has an unconditional right to defer settlement of
the liabilitv for at least twelve months after the reporting date.
Provisions
Provisions are recognised w,hen the charit). has an obligation at the reporting date as a result of a past event, it is
probable that the charity will be required to settle Ihai obli£aiion and a reliable estimate can be made of the
amount of the obligation.
Fund slruclure
Unrestricted income funds are general funds that are available for use at the ￿usteeS discretion in furtherance of
the objectives of the group.
Restricted income funds are those donated for use in a particular area or for specific purposes, the use of which
is restricied to that area or purpose.
Financial instruments
A financial asset or a financial liability are recognised when the charity becomes a paty to the contractual
provisions of the instrument.
Basic financial instnllnents are initlally recognised at the amount receivable or payable including any related
transaction costs.
Current assets and current liabilities are subsequenily measured at the cash or other consideration expected to be
paid or received and not discounted.
Where investment in shares are publicly traded or their fair value can otherwise be measured reliably, the
investment is subsequently measured at fair value with changes in fair value recognised in income and
expenditure. All other investments are measured at cost less impairnient.
Other financial instruments including derivatives, are Tecognised at fair value, unless paJTnent for an asset is
deferred beyond nomial business tern15 or financed at a rate of interest that is not a market rate, in which case
the asset is measured at present value of the future payments discounted at tnarket rate of interest for a similar
debt instrument.
Other financial instruments are subsequently measured at fair value, with any changes recognised in the
statement of financial activities, with the exception of hedging instruments in a designated hedging relationship.
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairrnent at
the end of the reporting date. If there is objective evidence of impairrnent, an impairrnent loss is recognised
under the appropriate heading in the 5tatetnent of financial activities in which the initial gain was recognised.

For all equity instruments regardless of significance, and other financial assets that are individually significant,
these are assessed individually for impainnent. Other flnancial assets are either assessed individually or grouped
on the basis of similar credit risk chardcteristics.
Any reversals of impairnient are recognised immedialely. to the extent that the reversal does not result in a
carrying amount of the financial asset that exceeds what the canying amount would have been had the
irnpairment not previously been recognised.
Defined Contribution plans
Contributions to defined contribution plans are recogni5ed as an expense in the period in which the related
service is provided. Prepaid contribution5 are recognised as an asset to the extent that the prepa)qllent will lead
to a reduction in future paJn]ents or a cash refund.
When contributions are noi expected to be settled wholly wiihin 12 months of the end of the reporting date in
which the emplo>'ees render the related service. the liabilily is measured on a discounted present value basis.
The unwinding of the discount is recognised as an expense in ihe period in which it arises.
