requirements, the requirements of the Charitable Companys governing document and the provisions of the
Slalemenl ol Recommended Practice ISORPI applicable lo charities preparing their accounts in accordance with
the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS1021 {effective 1 January

Moon Hall Schools Educational Trust is dedicated lo Iransfomiing the educational joumeys of pupils with
dyslexia. Our charitable purpose is to advance education through the provision of specialist leaching, structured
intervention, and pastoral support for children who strijggle to progress within mainstream sellings.
Moon Hall School was originally founded as a school for young dyslexic pupils by Berry Baker al her home in
1985. In 1990, she donated the business and assets lo the newly established charitable company which she and
her husband, David. had estsblished.
In 2005, Moon Hall Schools Educational Trust purchased the freehold property, assets and business of Burys
Court School in Leigh near Reigate. Surrey. This school is now known as Moon Hall School Reigale and teaches
dyslexic children from Year 3 to Year 11 IGCSEI.
We aim lo deliver liigh quality Specialist provision that meets the needs of dyslexic learners. Through our Junior
and Senior Schools. we provide a first class education lo boys and girls from the ages of 7 10 16. We seek lo
provide a slruclured educational environment wf(h specialist support fr)r dyslexia inlegraled throughout in a way
that secures their literacy and numeracy, rebuilds their confidence, and identifies and develops their capabilities,
competencies and skills. We promote the academi¢. moral and physical development of our pupils through our
academic curriculum. pastoral care, sporting and other aclivilies. We provide an educational environment where
each student can realise his or her polenlial. This helps them to mature into responsible young aduts with the
confidence and knowledge they need to complete their secondary education and, in many Cases, tertiary
education in mainslrearn eslablishmenls. Through their time in our school, they gain skills and knowledge that
allow them lo undertake and benefi't from the opportunities, responsibilities and experiences of adult lifè. We also
seek to instill in them an understanding of the needs of others and a desire lo contribute to the widei community.
Moon Hall provides a full curriculum with the exception of modem foreign languages. This curriculum is
enhanced to support our individual pupils with literacy and numeracy. Specialist support is provided in all
subjects, thus limiting the amount of disruptive removal from class for one~Io-one luilion. In addition. we have our
own in house therapy team who are available throughout the week to deliver therapy sessions lo pupils and are
also on hand lo support staff, providing advice and expertise. The method of inhouse therapy provision is a
different model lo most provisions for SEN pupils and ullimalely, is more beneficial for both staff and pupils when
compared with the usual model of visiting Iherapisls.
The Trust sets high standards and expedalions for both ils teachers and pupils. An important part of our ethos is
that we are a Small 'family feel, school in which all PLJpils are known lo all leaching and support staff. We place
great emphasis on the pastoral care and support provided for each of our pupils as we help them mature and
learn lo take increasin9 responsibility.
In selling our objectives and planning our aetivilies, our Governors have given careful consideration lo the
Charity Commission's general guidan￿ on public benefit and in particular lo its supplementary public benefit
guidance on advancing education and on fee charging.

Activities undertaken during the year include the delivery of full time specialist education al Moon Hall Reigale,
targeted intervention programmes, therapy services, staff development and outr8a¢h work aimed at improving
dyslexia provision more widely.
Running mhac (Moon Hall Assessment Cenlrel Assessment Centre days at our Reigale sile, providing
affordable gold-slandard assessments from licensed, HCPC-regislered psychologists and Iherapisls. The
Assessment Centre was established in response lo the growing number of families who had been waiting Over
o years for assessments and the challenges they fa￿d in finding the right professional

This year. the Trust also progressed plans lo open Moon Hall Cairo, an initiative that brings our specialist
dyslexia expertise and assessments lo Egypt, being the first provision of ils kind in the region. The project
responds directly lo a growing inlemalional demand for high quality SEN provision.
This particular initiative supports the Trust's ambrtion to be a ￿CogniSed centre of exeellence in dyslexia
education, nationally and inlernalionally, and strengthens our charitable impact beyond the UK.
We provide a caring school environment, serving our local community and society. We PTovide a significant
benefit lo the public through the pursurft of our slated aims. Our fees are set al a level that seeks lo ensure the
financial viability of the schi)ol. consistent with our aim of providing a first class specialist education lo boys and
gids al an affordable cost. We are confident that oui fee levels are not more costly. when all elements of the
provision are taken into account, than the provision of similar edLJcalion would cost the slate lo provide in rt5 own
eslablishmenls, were il lo decide lo do so. As il is, there is no slate institution that we are aware of which
replicates what we provide. Our school welcomes pupils from all backgrounds. To admit a prospective pupil, we
need lo be salisfied that he or she needs the specialist support which our School can provide and that we will be
able lo educate and develop them lo the best of Iheir polenli81 and in line with the general standards achieved by
their peers. Entrance inletviews, ta51er day5 and assessrnenls are undertaken lo satisfy ourselves and parents
that potential pupils have the relevant needs and can cope wfth the pace of learnlng and benefit from the
education and specialist environment that we provide.

11 is important to us that access to the education we offer is not ￿$tricted lo those who can afford our fees. Our
pupils benefit from leaming within a diverse community. A great deal of learning Occurs through social
interaction, conversation and shared experiences which helps our pupils dovolop an undorslandin9 of tha
pers￿¢t￿e$ of other people that will be vital in their adult lives.
Our Bursary Policy, together with our Local Education Authority placed pupils, ensures a wide access lo the
education we offer and the facilities we enjoy. We admit pupils funded by not only our own Local Education
Authority bul from a number of surrounding ones because of the wide catchment area we have. Our School is a
part of a wider community. and we are keen that our staff and pupils participate.

d. Bursary policy
The Governors view our Bursary awards as important in helping lo ensure children from families who would
otherwise not be able to afford the fees can access the education we offer and who for one rèason or another
may not have been able to obtain support from the Local Education Authorrty. Our Bursary awards are available
lo all who meet our general entry requirements and are made solely on the basis of family means or lo relieve
hardship where a pupil's education and future prospects would otherwise be al risk, for example in the case of
redundancy. In assessing means we lake a number of factors into consideration including family income,
investments and savings and family circumstsnces, for example dependent relatives and the number of siblings.
However, our School does not have any endowment and in funding our awards we have lo be mindful that we
musl ensure a balan￿ between fee paying parents. many of whom make considerable personal sacrifices lo
fund their ehild's education and would not be resorting lo the independent sector bul for their child's Special
educational needs, and those benefiting from the awards. Information about fee assistance through Bursaries is
available lo all applying lo the school. Further details of our Bursary policy and how lo apply are available on our
website.
In addition. in light of the introduction of VAT on school fees from January 2025, the Govemors have sel aside
additional funds lo potentially assist our self-funding familie5 in order lo ensure that no child ha5 to be withdrawn
mid-year due lo financial p￿sSUre$.

As part of our emphasis on attracting and retaining high calibre staff, we offer a discount scheme where full lime
staff members choose to educate their children al our School.
Achlevements and perfomiance

The Govemors regularly review and adapt Ihe1r strategies to a changing and competitive market. While other
specialist dyslexia schools provide a broader offering lo include a range of other special oducalional needs. the
key to the success al Moon Hall for ils dyslexic children has been the focus of attention on their specific needs
and talents wilhoul distractions. Moon Hall continues lo be a proaclNe and fO￿ard looking specialist school.
Moc*n Hall will be opening a new salellrte school. 'Moon Hall Copthome,, for children aged 7 to 11, located within
the 55-a¢re Coplhorne Prep campus on the Surreylsussex border in September 2026. The satellite school builds
on Moon Hall Reigate's internationally recognised excellence in providing mainstream education for children with
dyslexia. Moon Hall Coplhorne is a dired response lo the lack of mainstream dyslexia education across London
and the Svulh East. Thi5 addition will provide much needed provision for families across a wider geographic area
and will provide the same Iirsl-class provision as Moon Hall Reigate. including the full national curriculum laughl
by teachers tiained in how dyslexic leamei3 leafll best. This collaboiiatiuii wiu) Copthorne Prep, oiie of the
Calerham family of schools, represents a progressive model that will benefit pupils from both schools and
broadon educational opportunities in the region.

Financial review
a. Going concern
After making appropriate enquiiies, the Trustees have a reasonable expectation that the school has adequate
resources to Continue in operational existence for the foreseeable future. For this reason. they continue lo adopt
the going con￿rn basis in preparing the financial statements. Further details regarding the adoption of the going
concern basis can be found in the accounting policies.
b. Revlew of financial results
The financial slalements that follc)w this report show the current state of the finances which the Governors
consider lo be Sound and have been prepared in accordance with the Companies Act 2006.
Fees paid for the PLipils' education make up the most substantial part of the Chartys income and reflect the
development of the Trust's schools.
The result for the year is a surplus of £645,70112024". £542.2721. This includes donations lolaling £5,03012024'.
£2201. 11 also includes non-cash expendi(ure of £286,133 12024.. £258,795) as depreciation of buildings, plant,
and equipment.
c. Reserves policy
The Governors current view on the adequacy of the funds
Total funds al the balance sheet dale were £4,679.229 comprising unreslricled funds of £4,678,88912024'.
£4,033,528) and restricted funds of £54012024.. nill. £1,970,000 {2024.. £1,971,134) of the unrestricted funds are
held as designated funds.
Included within total funds are £4,477.786 12024.. £3,886,993) of tangible fixed assets. Total borrowing now
amounts lo £1,341,559 12024.. £1,419,414). This borrowing was mainly required lo fund the new junior school
block. The actual freehold value is significantly in excess of its nel book value.
Unreslricled funds of £4,878,689 12024.. £4,033.5281 represent part of the surpluses achieved since the
establishment of the Trust in March 1990. The Trust has net current assets of £1,582,358, which is in line with
nel current assets of £1,595,100 in the prior year.
The Tru51 is the process of comploling planned works for significant roof, chimnoy and guttering repairs with
eslimaled costs of £2,000,000. There are also planned projects for the repair and replacements of windows,
gutters and downpipes. Included in designated funds at 31 August 2025 is £1,870,000 allocated towards the roof
works.
There are also designated funds of £100.000 to provide assistance lo parents through means tested bursary
awards due to the VAT on fees legislatDn whlch applles from January 2025.
Available reserves are calculated as unrestricted funds less amounts lied up in fixed assets and related
financing. Al 31 August 2025 these reserves were £1,542,45812024.. £1,565,945) bul after deducting designated
funds thi5 leaves negative free reserves. This illustrates the extent of tho investment in the f1xed assets of the
Trust, as is common practice by independent schools which have lo finan￿ their own capital investment plans.
The Trust expects to move back lo a positive free reserves position by 31 August 2026.
The overall intention of the Governors is lo maintain funds, both restricted and unrestricted. which they consider
adequate lo ensure the successful operation of the schools and this is reviewed regularly.

d. Investments policy
There are no reslrielions on the Trust's absolute powers of investment. The Board's policy continues to be lo
place any ielained funds on short letm bank deposit.
Stru¢ture. governance and management
a. Constitution
The charity is controlled by ils Memorandum and Articles of Association. The Governors are the Trustees and
the Directors of the Charitable Company. The Governors who served during the year are listed on page 1.
Moon Hall Schools Educational Trust was incorporaled as Moon Hall School on 26th March 1990 under
registered company number 2485159, a company limited by guarantee. It changed its name lo Moon Hall
Schools Educational Trust on 1st June 2006. 11 is a regisleied Charity with registered number 803481. The
school 15 governed by ils Memorandum and Articles of Association. The liabilrty of the members is limited lo £1.
in the event of the company being wound up whilst they arg members or wrthin one year after they cease lo be
members. Its primary objed is the education of children and in particular dyslexic children.
b. Organisational structure and decislon-maklng policie$
The day lo day running of the schools is the rgsponsibilily of the Executive Head assisted by the Chief Operating
Officer ICOOI and their Senior Management Teams. The following Trust sub-committees report lo the Board..
Finance, Premises lincluding Health & Safely), HR, Academic, Safeguarding, Govemance and Nominations.
The COO is appointed by the Governors lo manage ils fin3nces and reports to the Chairman of the Board, and
to the Chair of the Finance Cornmillee specifically in relation lo the school's finances. The COO also provides
financial services and sUPPOrt lo the Executive Head. The Board of Gtsvernors meets al least once each term. as
do the sub-committees, or more frequently as necessary.
Policie$ adopted for tho Ind￿￿ton and training of Trustees
Currently the Governors comprise all of the Charills Members. Govèmors are appoinlgd who have a special
interest in helping dyslexic children and who have both lime and relevant skills and abilities to help the Charity
develop ils objectives. New appointments are generally made of people who have already had some involvement
with the school and have demonstrated their ability to contribute. Potential Governors are approached by existing
Governors and asked If they are willing lo assist the Trust. The school may also, from lime lo lime. wnsider an
expression of interest received in response lo an advert, when seeking individuals with specific knowledge or
expertise in a particular field. The minimum number of Govemors is 4 and the maximum number is 11.
New Governors are provided with a full briefing and a sel of the relevant documents by the Chairman via the
Clerk lo the Governors. The Charty subscribes lo associations which can provide training for Trustees and
Governors and are encouraged lo attend courses lo enable them lo keep abreast of best practice. All Governors
are required lo undertake regular safeguarding training.

The Governors Consider that they, together with the Executive Head, Deputy Head, Assistant Heads, the Chief

including insurance cover where appropriate. by which those risks already idenlifisd by the Govemors can best
be miligaled.

The Trustees have a duly lo identify and review the risks lo which the charity is exposed and lo ensure
appropriate controls are in place lo provide reasonable assurance against fraud and error.

incorporated in England and Wales. The registered office is Burys Court Flanchford Road, Leigh. Reigale.
Surrey, RH2 8RE.
The presentation currency is £ sterling. The figures in the financial slalements have been rounded lo the
nearest £1.
Accounting policies
2.1 8asi5 of preparation of financial statements
The financial statements have been prepared in accordanee wrth the Charities SORP {FRS 1021
Accounting and Reporting by Charities.. Slalemenl of Recommended Practice applicable lo charities
preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK
and Republic of Ireland IFRS 1021 leffeclive 1 January 20191, the Financial Reporting Standard
applicable in the UK and RepLJblic of Ireland IFRS 1021 and the Companies Act 2006. The finan¢ial
slalemenls have been prepared under the historical cost convention.
Moon Hall Schools EdLJcalional Trust meets the definition of a public benefit enlily under FRS 102.
Assets and liabilities are initially recognised al historical Cost or transaction value unles5 otherwise
slated in the relevant accounting policy.
The sionificanl accounting policies applied in the preparation of these financial slalemenls are sel out
below. These policies have been consislenlly applied to all years presented unless otherwise slal8d.
The Charitable Company d￿S not need lo prepare group accounts and these financial statements
refer to the parent undertaking, not the groLJP. The Charitable Company is exempl Ljnder section 402
of the Companies Act 2006 from the requirement to prepare consolidated accounts on the grounds
that under section 405 of the Companies Act 2006 ils subsidiary undertakings can be excluded from
consolidation as their inclusion would nol be material.
2.2 Going concern
Having reviewed the funding facilities available lo the Charitable Company together with the expected
ongoing demand for places and the Charitable Company's projected cash flows, the Trustees have a
reasonable expectation that the Charitable Company has adequate resources to continue ils
activities for the foreseeable future and consider that there are no material uncertainties over the
Charitable Company's financial viability. Accordingly, the Charitable Company continues lo adopt the
going concern basis in preparing the financial statements.
2.3 Income
All income is recognised in the Slalemenl of Financial Actiwl￿8 once the Charitable Company has
enlillemenl to the funds. il is probable that the income will be received and the amount of income
receivable can be measured reliably.
Income from charitable activities includes school fees receivable, registration fees and fees from
ancillary aclivilies. School fee5 consists of charges billed, nel of VAT, for the school year ending 31
August, less bursaries and discounts. Fees received for education lo be provided in future years are
carried forward as deferred income. Registration fees are non-refundable fees which are recognised
once parenlslguardians have commilled for the child lo allend the school. Income from ancillary
activities is generated from additional activities offered lo pupils in the school year ending 31 August.
Income lax recoverable in relation lo investment income is recognised al the lime the investment
income is receivable.

2.3 Income Icontinuedl
Bank Interest is recognised on a receivable basis.
Other income is recognised in the period in which it is receivable and to the extent the goods have
been provided or on completion of the Service.
2.4 Expenditure
Expenditure is recognised once there is a legal or constructive obligation lo transfer economic bgnefil
to a third party, il is probable that a transfer of economic benefits will be required in settlement and
the amount of the obligation can be measured reliably. Expenditure is classified by aclivily. The costs
of each activity are made up of the total of direct costs and support costs involved in undertaking
each aclivily. Direct costs attributable to a single activity are allocated directly lo that activity. Support
eosls which are not attributable lo a single activity are apportioned between those activities on a basis
consistent with the use of resources.
Expenditure on charitable aclThisties is incurred on directly undertaking the activities which further the
Charttable Companys objectives. as well as any associated support costs.
2.5 Government grants
Government 9rants relating to tangible fixed assets are treated as deferred income and released to
the Statement of Financial Activities upon the completion of the relevant perfomiance-relaled
conditions. Other grants that are not subject lo perfomance-relaled conditions are credited lo the
Slalemenl of Financial Activities as the grant proceeds are received. Grants received prior lo the
revenue recognition criteria boing satisfied are recognised as a liability.
2.6 Taxation
The Charitable Company is exempl from corporation lax gn f(s charitsble activities. Irrecoverable
VAT is included within the relevant expenditure category.
2.7 Intangible assets and amortisation
Included in the purchase price of Burys Court School was £7 for intangible assets comprising £1 for
each of the following.. goothill. slo¢ks, deposits, benefit of the conlracls, intellectual property rights,
the option and pre-emption rights in respect of the Stable Block. The goodwill, stocks and deposits
have been written off.
Intangible assèts aTe initially recognised at cost. At each reporting dale the Charitable Company
assesses whether there is any indication of impairment. If 8UGh indication exists. tho recoverable
amount of the a55el is determined lo be the higher of ils fair value les5 costs to Sell and ils value in
use. An impaimienl loss is recognised where the carying amount exceeds the recoverable amount.
2.8 Tangible fixed assets and depreciation
Tangible fixed assets costing £2.000 or more are capilalised and recognised when future economic
benefits are probable and the cost or value of the asset can be measured reliably.
Tangible fixed assets are initially recognised al cost. After recognition, under the cost model, tangible
fixed assets are measured at cost less accumulated depreciation and any accumulated impairment
losses. All costs incurred to bring a tangible fixed asset into ils intended working condition are
included in the measurement of cost. The assets are reviewed annually for impairment.

2.11 Cash at bank and in hand
Cash al bank and in hand includes cash and short-term hiyhly INuid investments with a short malurily
of three rnonlhs or less from the dale of acquisition or opening of the deposit or similar account.
2.12 Liabilities and provisions
Liabilrties are recognised when there is an obligat￿n al the Balance Sheet date as a result of a past
event, il is probable that a lonsfer of economic benefit will be required in settlement. and the amount
of the settlement can be estimated reliably.
Liabilities are recognised al the amount that the Charitable Company anlicipales rt will pay lo settlo
the debt or the amount il has r￿1Ved as advanced payments for the goods or service5 11 mu51

Provisions are measured al the best estimate of the amounts required lo settle the obligation. Where
the effect of the lime value of money is material, the provision is based on the present value of those
amounts, discounted at the pre-tax discount rate that reflects the risks specific lo the liability. The
unwinding of the discount is recognised in the Slalement of Financial Activities as a finance cost.
2.13 Financial Instruments
The Charitable Company only has financial assets and financial liabilities of a kind that qualify as
basic financial instruments. B85ic financial instruments are inf(ially recognised at transaction value
and subsequently measured at their settlement value.

2.14 Operating leases
Rentals paid under operating leases are charged lo the Statement of Financial Activities on a straight
lin8 basis over the lease term.
2.15 Pan$lon$
The Charitable Company makes contnbutions on behalf of employees who have elected to join the
Toacherfs Pension Scheme ITPSI al rates sel by the Scheme Actuary. The Scheme is a mulli-
ernployer pension scheme and it is not possible lo identify the assets and liabilities of the Scheme
which are allribulable to the Charitable Company. The TPS is therefore Irealed as a defined
contribution scheme for accounting purposes and conlribulion5 are accounted for when advised as

General funds are unrestricted funds which are available for use at the discretion of the Trustees in
furtherance of the general objectives of the Charitable Company and which have not been
designsted for other purposgs.
Designated funds comprise unrestricted funds that h3ve been sel aside by the Trustees for particular
purposes. The aim and use of 8ach designated fund is set out in the notes lo the financial
stalemenls.
R&slricled funds are funds which are lo be used in accordance with specffic restrictions imposed by
donors or which have been iaised by the Charitable Company for partiular purposes. The costs of
raising and administering such funds are charged against the specific fund. The aim and use of each
reslricled fund is set out in the note5 to the financial stalemenls.
Investment income, gains and losses are allocated to the appropriate fund.

The bank loans relate lo a mortgage held by Barclays Bank PLC up lo a maximum of £1,279,525. The
loan is fully repayable 25 years from April 2005 consisting of monthly repayments from May 2007. Interest
is charged on the loan al 1.750/0 over the Barclays Base Rale every quarter. The bank loan is secured wf(h
a fixed and floating charge ovgr the assets of the Charitable Company.
A second mortgage agreement was entered into with Baiclays Bank PLC during the 2022 financial year
for a facility amount of £1,061,000. The loan is fully repayable 25 years from October 2021. consisting of
monthly iepaymenls from November 2021. Interest is charged al the rale per annum equal lo the
aggregate of the floating rale and a margin of 3.OOOA, where the floating rale is defined as the Bank of
England Bank Rate. The bank loan is secured with a fixed and floating charge over the assets of the
Charitable Company.

The bursary fund represents amovnts sel aside to Provide bursaries to pupils. Expenditure represents
amounts allocated as bursaries in the year. The transfer back lo general funds reduces the balance
carried forward to leave an balance expected lo be sufficient for the next two years.
The rtsof repairs fund represents amounts allocated towards the roof repair project which Is expected to

22. Pension commitments
Defined contribution pension scheme
The Charrtable Company operates a defined contribution pension scheme. The assets of the scheme are
held separately from those of the Charitable Company in an independently administered fund. The
pension charge for the year includes contributions payable of £144,251 {2024.' £98.0711 to the scheme. Al
the balance sheet date contributions of £3tJ,74512024'. £S2,2141 were due to the scheme and are included
within other creditors.
Teachers'pension scheme
The Charitable Company participates in the Teachers, Pension Scheme (England and Wales) {the TPS}
for ils leaching staff. The TPS is an unfunded mulli-employer defined benefrts pension scheme govemed
by the Teachers. Pensions Regulations 2010 and, fTom 1 April 2014, the Teacher5, Pension Scheme
R￿UlatIonS 2014. Members contribute on a "pay as you go basis wf(h ¢ontributions from members and
the employer being credited lo the Exchequer. Retirement and other pension benefrts are paid by public
funds provided by Partiamenl.
The employer contribution rale is sel following scheme valuations undertaken by the Government Actuary
Department. The contribution rale for the academic year 2024125 wa$ 28.68 / 12023124.. 23.68 /.).
The pension charge for the year includes contributions payable of £346,015 12024.. £304,981) lo the
