## **Chair's Foreword** 

2025 has been a landmark year for The Brightwell. As we mark four decades of supporting people living with neurological conditions across the greater Bristol area, South Gloucestershire, North Somerset and beyond, we do so with immense pride in what this remarkable community has achieved together. 

The year began with a clear sense of purpose and momentum. Having rebuilt strongly from the effects of the pandemic, we entered 2025 having fully recovered to and surpassed our prepandemic service levels. Our team, staff, self-employed therapists, and the extraordinary volunteers who give so freely of their time and expertise, have continued to deliver life-changing therapies and support to those who need it most. 

Our 40th Anniversary celebrations in June brought together members past and present, supporters, corporate partners and friends of the Centre in two wonderful garden parties on our beautiful therapy terrace. These events, combined with our #40Kfor40Years crowdfunding campaign, not only raised vital funds but captured the spirit and warmth that makes The Brightwell so special. 

Financially, 2025 produced a surplus of £39,435 (2024 restated: £11,186), with total income of £538,470 and expenditure of £520,266. Our investment portfolio performed well, contributing net gains of £21,231. We have maintained a stable and secure financial position, whilst navigating the increasingly challenging landscape for charity funding and grants. 

Looking forward, our Business Plan 2025–2030 sets out an ambitious and carefully considered strategy for growth, innovation and community impact. We will continue to extend our opening hours, develop new therapy pathways, strengthen our relationships with the NHS and neurological networks, and ensure that The Brightwell remains the region's leading centre of excellence for neurological support.

## **Trustees' Report (Including Directors' Report)** 

_**For the Year Ended 31 December 2025**_ 

The Trustees present their Annual Report and Financial Statements for the year ended 31 December 2025. The financial statements have been prepared in accordance with the accounting policies set out in the notes to the financial statements and comply with the charitable company's governing document, the Companies Act 2006, FRS 102 and the Charities SORP. 

## **Structure, Governance and Management** 

The West of England M.S. Therapy Centre Limited is managed by its Board of Trustees, which meets on a regular basis. The Board is responsible for approving policies and procedures, deciding on budgets, salaries, therapies and services to be provided. The Board of Trustees are also the Directors of the company for the purposes of company law. 

The CEO leads the day-to-day management of the organisation, supported by a Leadership Team comprising the Lead Physiotherapist, Fundraising Manager and Oxygen Coordinator. The Centre employs four full-time and eleven part-time members of staff. 

The Brightwell is a Member of the Neuro Therapy Network (NTN), ensuring access to national expertise and peer support across the MS therapy centre sector. 

## **Objectives and Activities** 

The principal charitable objective of The West of England M.S. Therapy Centre Limited is to provide facilities to improve the condition of people living with Multiple Sclerosis (MS) and other neurological conditions. 

At The Brightwell, we are dedicated to enhancing the lives of individuals living with chronic neurological conditions. With 40 years of unwavering commitment, we strive to empower our members by providing access to a warm and friendly, non-clinical environment that fosters independence, symptom management, and overall wellbeing. 

## **Our Mission:** 

To build a dedicated and compassionate community, committed to the care and wellbeing of individuals living with neurological conditions, their families, and carers. 

## **Our Goal:** 

To provide a range of therapies and services to support and enrich the lives of those living with neurological conditions. 

The Trustees have fulfilled their duty to consider the public benefit guidance issued by the Charity Commission when exercising their powers and responsibilities. The therapies we offer provide significant benefits to individuals, many of which would otherwise be costly or inaccessible, as well as wider societal benefits, including reduced pressure on NHS and social care services.

The Centre's facilities are second to none in the Greater Bristol area, offering a friendly yet professional approach in a fully accessible, non-clinical environment.

All sessions for members living with neurological conditions are subsidised through our fundraising efforts and supporter donations. It is the Charity's policy to never deny someone support due to financial circumstances. 

The Brightwell also operates The Bristol Therapy Centre (BTC) as a trading arm, providing nonsubsidised oxygen therapy sessions to those without neurological conditions (sporting injuries, post-operative recovery, general wellness). All profits from BTC are donated back to the Charity.

## **The Brightwell in 2025: Our 40th Anniversary Year** 

**2025 marked a truly remarkable milestone  - 40 years of The Brightwell.** 

**"The Brightwell has been, and continues to be, a lifeline for so many people across our region. This anniversary year has been a celebration of community, commitment and care."**

2025 has been a year of celebration, consolidation and continued growth. Having fully rebuilt from the disruption of the pandemic by the end of 2024, the Centre entered 2025 with strong momentum, growing membership numbers and an expanded therapy offer. 

The year's activities have been shaped by five strategic aims drawn from our Business Plan 20252030, and the results have been encouraging across every dimension of our work: 

## **40th Anniversary Celebrations** 


In June 2025, The Brightwell held two special garden parties on our beautiful therapy terrace to say a huge thank you everyone involved in making the Brightwell, the fantastic Charity it is today and to mark this extraordinary milestone. One event was for members past and present, and one for supporters and partners. The events were attended by members, staff, volunteers, trustees, local dignitaries and corporate supporters. 

Alongside these events, the #40Kfor40Years crowdfunding campaign was launched in May 2025, aiming to raise £40,000 in six weeks to fund vital physiotherapy, therapy and exercise classes. The campaign generated exceptional community engagement and raised significant funds to sustain and expand our core services. 

A limited-edition '40 Prizes for 40 Years' raffle was also launched, offering 40 outstanding prizes to celebrate this landmark birthday. The raffle attracted widespread support from members, corporate partners and the wider community. 

## **Extended Opening Hours** 

January 2025 saw the launch of extended evening opening hours for Hyperbaric Oxygen Therapy, beginning on Monday evenings from 5:30pm. This initiative was designed specifically to reach working-age people and those with family commitments who cannot access the Centre during standard operating hours. Take-up has been positive, with regular bookings and full sessions of seven individuals in many weeks.

The extended opening programme supports people who are newly diagnosed and still in employment, a demographic that is often underserved by conventional daytime charity services. Plans are in place to extend further into Tuesday, Wednesday and Thursday evenings, and to introduce Saturday morning sessions. 

## **LED Lighting Upgrade** 

As part of our Sustainability Pledge, the LED lighting upgrade programme reached a significant milestone in February 2025 with the completion of the Oxygen Suite upgrade. This upgrade has since been extended to the Physiotherapy department, Reception and Café areas, so that we can truly say we are running as efficiently as we can be. 

## **Carers' Support Group** 

January 2025 saw the delivery of our first Carers' Support Group, a new and important addition to our community offer. The group provides a regular, safe space for unpaid carers of people with neurological conditions, offering information sessions, peer support and signposting to crisis and support networks. 

## **NHS and Community Partnerships** 

In 2025 the Centre continued to build relationships with the Brain Centre at Southmead Hospital and the North Bristol Trust through our respective physiotherapists and the MS Assistant Practitioners, developing referral pathways for newly diagnosed patients. We maintained our active involvement in the Neuro Therapy Network (NTN), Brain Awareness Week (March 2025), and our partnership with the MS Society Community Connections Project, which provides information and guidance on finances, cost of living, energy efficiency and benefits to people living with MS across Wales and the South West. 

## **Volunteers** 

During 2025 The Brightwell benefited from different teams of skilled volunteers from Lloyds Banking Group and Galliford Try, who gave their time to support projects across the Centre.  This valued corporate partnership exemplifies the spirit of the Brightwell 100 network.   We also had the support of a number of groups made up of young learners with additional needs from South Gloucestershire College, who helped us maintain the therapy garden. All of these fantastic groups contributing to the facilities and community life of the Brightwell.

## **Achievement and Performance** 


## **King's Birthday Honours, the British Empire Medal** 

One of the most poignant moments of 2025 was the recognition of our Lead Oxygen Operator in the King's Birthday Honours List with a British Empire Medal for services to Multiple Sclerosis and other Neurological Conditions. He is one of the founders of the original Centre in Nailsea and is regarded across the UK as an expert in his field. This honour reflects the extraordinary dedication and expertise of The Brightwell's volunteer community.

## **Physiotherapy Placements** 

The Brightwell continues to act as a hub for physiotherapy student placements, hosting students from the University of the West of England as part of their neurological specialism training. This partnership supports the development of the next generation of neurotherapy professionals whilst adding capacity and expertise to the therapy team. 

## **Paul's Place Partnership** 

The Centre continued to deliver exercise classes for Paul's Place over 2025, supporting disabled adults and is actively working with Paul's Place to support the continuity of these classes as they transition to new premises by training their staff, sharing risk assessments and supporting initial and follow up assessments. 

## **Counselling and Talking Therapies** 

One of the most significant achievements of 2024/25 was the firm establishment and growth of counselling sessions delivered by our counsellor, Sasha Leigh. Talking therapies are now a recognised and valued pillar of the Brightwell therapy offer, with sessions growing from 54 in 2023 to 177 in 2025. Further expansion is planned, including group talking therapy sessions and peer-topeer support. 

## **RHS Multiple Sclerosis Garden** 

In 2025, The Brightwell became involved with two fantastic gardeners and Woodstock Homes, who have made it possible for them to show their Multiple Sclerosis Pocket Planting Garden at the RHS Badminton Show in 2026. All the planting will be relocated back to the Brightwell Therapy Garden. This is a symbol of the growing national profile of the MS community and the value of sustainability and therapeutic green spaces. This initiative aligns with our own therapy garden development, which continues to provide a calming, accessible outdoor space for members.

_The Bristol Therapy Centre (BTC), The Brightwell’s trading subsidiary, had a further 118 active subscribers in 2025. BTC generates income through non-subsidised oxygen therapy for those without neurological conditions, with all profits donated back to the Charity. ## **Geographic Reach** 


The two primary areas from which service users travel are South Gloucestershire and Bristol, with South Gloucestershire overtaking Bristol for the first time in 2025. North Somerset remains third largest area of attraction and the Centre continues to attract members from Wales, Gloucestershire, Wiltshire and beyond, reflecting the unique, specialist nature of The Brightwell’s offer. 

Within the catchment area, an estimated 165,000 people live with a neurological condition. In Bristol alone, approximately 2,500 people have been diagnosed with 

MS. The Brightwell currently serves 359 active charity members representing just 0.2% of the estimated local population in need, demonstrating the significant scope for growth that lies ahead.

## **Physiotherapy Department** 

People with MS account for 48% of all those supported in the physiotherapy department. Overall, neurological conditions account for 99% of all those attending the physio gym, reflecting the Centre’s deep specialist expertise and reputation in neurotherapy.

## **Therapy Numbers** 

The following table shows the number of participants in therapy sessions at The Brightwell, comparing 2025 with previous years (2019 represents the pre-pandemic benchmark). 


Key observations on therapy numbers: 

- Oxygen sessions (hyperbaric & isobaric) make up 51% of all sessions delivered at the Centre, a reflection of the national and local demand for this unique, specialist therapy. 

- Physiotherapy activities account for 46% of all sessions. The continued growth in physiotherapy numbers from 4,156 in 2024 to 4,256 in 2025 reflects sustained investment in tailored classes and the expertise of the therapy team. 

- Talking therapies have grown substantially, from 54 sessions in 2023 to a peak of 177 in 2024, as counselling has become an established and valued part of our offer. In 2025, sessions settled at 158, reflecting a sustainable level of provision as the service matures. 

- Cancellation rates average approximately 15%, with reasons including transport difficulties, family commitments and health. Improving the appointments system and member journey management is a key objective of the Business Plan 2025–2030. 

Comparing 2025 against the pre-pandemic benchmark of 2019, most therapy areas have now recovered and grown. Physiotherapy sessions now significantly exceed 2019 levels, reflecting increased investment in the department and the expertise of the team. 


During 2025, the Centre introduced induction sessions for isobaric oxygen, ensuring all new oxygen users acclimatise safely with three well-established isobaric spaces now in regular operation. A new appointments system is also being evaluated to reduce cancellations, improve utilisation and enhance the member experience.

## **Income** 

The Brightwell is almost entirely self-funding. We receive less than 1% statutory funding and rely on the generosity of our donors, supporters and the efforts of our volunteers and staff to sustain and develop the wide range of services and therapies we provide.

Income from Therapy Contributions grew from £213,685 in 2024 to £240,903 in 2025, reflecting growth in membership and utilisation. Café income also grew to £32,830 (2024: £26,410), consistent with the café's increasing role as a community hub. The shop for donated items was revamped during 2025, with income more than doubling as a result. 

The reduction in total income from 2024 to 2025 is primarily explained by the prior year restatement of restricted funds (£114,963) that were not included in the originally filed 2024 accounts, see note 25 to the financial statements for full details. On a like-for-like basis, the underlying income position is stable and growing.

Staff costs in 2025 totalled £391,934 (2024: £348,872), reflecting a full-time team of 15 employees (2024: 16). The Centre has maintained efficient staffing levels, with an average number of employees of 15 across the year. No employee received emoluments in excess of £60,000. 

The reduction in charitable activities expenditure from 2024 to 2025 reflects the completion of the three-year National Lottery Grant in April 2025, which had funded expanded physiotherapy services. This grant was a pivotal period of investment, and the physiotherapy offer built during this period is now sustainable within the Charity's own resources. 

## **Investments** 

The Brightwell holds a portfolio of charitable investments through M&G Charity Investments. At 31 December 2025, the value of M&G Charity Investments held was £143,749 (2024: £122,518), with net gains on revaluation of £21,231 in the year (2024: £3,112). The investment portfolio is managed on a total return basis and reviewed regularly by the Board.

The Trustees' policy is to maintain free reserves sufficient to cover a minimum of three months' operating costs, providing a buffer against unexpected shortfalls in income or increases in expenditure. At 31 December 2025, general unrestricted funds of £174,255 represent a healthy and appropriate level of free reserves for a charity of this size.

The Trustees designated funds during the year to cover capital expenditure on facility improvements, fundraising development, match funding for projects and an operational reserve. These designations reflect the Trustees' considered approach to long-term financial planning. 

## **Risk Management** 

The Trustees have given careful consideration to the major risks to which the Charity is exposed. Risks are identified, assessed and monitored across the following key areas: 

- Financial risk:  including the challenging grants and trusts landscape, with over 220 UK trusts reported to have closed or changed model in 2024. 

- Operational risk: including staff recruitment and retention, volunteer dependency, and system and database limitations. 

- Reputational risk: managed through excellent governance, communication and member care.

The National Lottery Community Fund's three-year grant came to an end in April 2025. This grant was pivotal in expanding our physiotherapy services and reaching more people with neurological conditions across the region. We are deeply grateful for this transformational support. 

The Brightwell 100, our network of corporate supporters, continued to grow in 2025. Corporate income has risen from 11% to 17% of total fundraising over three years, and this remains a key growth area as we diversify our income streams. Particular thanks are due to Woodstock Homes, Howards Group, Aviva and all members of the Brightwell 100 network. 



## **Volunteers** 

Volunteers are at the very heart of everything The Brightwell does. Over 50 people give their time freely and regularly to the Centre, contributing close to 10,000 hours every year. 

The Oxygen Department relies entirely on trained volunteers to run Hyperbaric Oxygen Therapy sessions. These Oxygen Operators are highly knowledgeable, DBS-checked and trained to the highest standards. Their lead was recognised in the King's Birthday Honours 2025 with a British Empire Medal, a fitting tribute to his extraordinary service. 

Volunteers also support the fundraising team, in-house shop, café, garden, reception and building maintenance. Their specialist expertise across IT, accounting, health and safety and database management is invaluable. We are deeply grateful to every one of our volunteers. 

## **Sustainability** 

The Brightwell is committed to its Sustainability Pledge to be net zero by 2035 and to reduce emissions by 50% by 2030. 

- Solar Energy: 114 x 250kW panels fitted in 2019, upgraded with a further 40 x 400kW panels in 2023, plus 3 x 14kW storage batteries. 

- Own Oxygen Generation: Since 2022, The Brightwell generates its own oxygen for the Hyperbaric Chamber, eliminating large tanker deliveries and reducing waste.

- LED Lighting: Outdoor lighting upgraded in 2022. Oxygen Suite completed in February 2025. Physio department, reception and café areas completed in 2026. 

- Heating: Upgraded to a more efficient heating boiler. 

These investments, made possible by the generous support of Brightwell 100 members and focused fundraising campaigns, have made a significant difference to the Centre's energy costs despite rising commercial energy prices.

## **Strategic Aims 2025–2030** 

Our Business Plan 2025–2030 sets out a clear and ambitious strategy across three phases. Key objectives for 2025–2026 include: 

## **1. Extended Opening Hours** 

Extending oxygen therapy into evenings and Saturday mornings to reach working-age and newly diagnosed members. Evening sessions launched January 2025. Planned expansion into additional evenings and Saturday mornings, with exercise classes and complementary therapies to follow. 

## **2. Attracting Newly Diagnosed Members** 

Developing a referral pathway with Southmead Hospital and distributing a Brightwell Information Pack at point of diagnosis. Investing in social media and targeted campaigns for people under 40 with neurological conditions. 

## **3. Improved Member Support and Retention** 

Investing in a new appointments system integrated with accounting and website tools. Developing the Member Journey Officer role to reduce cancellations and improve engagement. Expanding online exercise classes for members who cannot attend in person. 

## **4. Developing Talking Therapies and Carers' Support** 

Expanding counselling provision and group therapy sessions. Building on the first Carers' Group (January 2025) to provide regular sessions open to all unpaid carers. 

## **5. Corporate and Community Engagement** 

Continuing to develop the Brightwell 100 programme. Developing a tiered sponsorship model. Building on relationships with local Government and local community groups and businesses. 

## **6. Therapy Garden Path Upgrade** 

The compacted gravel path in the therapy garden is in need of upgrade after nine years. Different path options are being considered to improve accessibility for wheelchair users and those with limited mobility. 

Looking further ahead, the 2027–2030 strategy includes investing in a new oxygen chamber (subject to funding), a CRM database, a redesigned website, a transport scheme, extended café hours, and outreach to underserved communities.

## **Statement of Trustees' Responsibilities** 

The Trustees, who are also the Directors of The West of England M.S. Therapy Centre Limited for the purpose of company law, are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

Company law requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that year. 

In preparing these financial statements, the Trustees are required to: 

- Select suitable accounting policies and then apply them consistently. 

- Observe the methods and principles in the Charities SORP. 

- Make judgements and estimates that are reasonable and prudent. 

- State whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements. 

- Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation. 

The Trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

Each of the persons who is a Trustee at the date of approval of this report confirms that: 

- So far as they are aware, there is no relevant audit information of which the Charity's independent examiner is unaware; and

I report to the trustees on my examination of the financial statements of The West of England Multiple Sclerosis Therapy Centre Limited (the charitable company) for the year ended 31 December 2025. 

This report is made solely to the charitable company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our work has been undertaken so that we might state to the company's members those matters we are required to state to them in an independent examiner's report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our work, for this report, or for the opinions we have formed. 

## **Responsibilities and basis of report** 

As the trustees of the charitable company (and also its directors for the purposes of company law), you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006. 

Having satisfied myself that the financial statements of the charitable company are not required to be audited under Part 16 of the Companies Act 2006 and are eligible for independent examination, I report in respect of my examination of the charitable company’s financial statements carried out under section 145 of the Charities Act 2011. 

In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the Charities Act 2011.

Since the charitable company’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I can confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants in England and Wales, which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the charitable company as required by section 386 of the Companies Act 2006, or 

2. the financial statements do not accord with those records; or 

3. the financial statements do not comply with the accounting requirements of section 396 of the Companies Act 2006, other than any requirement that the financial statements give a true and fair view, which is not a matter considered as part of an independent examination; or
