The Society has assisted tha Intern8tional Churcttill Society in th6 USA wrth its major Int8rnatlonal conferencè
event to be held in October 2023 in Edinburgh This will be a showcase event and bring together all the Churchill
organizalions, and memboTS from across the world. Around 85% of delegates are expected to be from overseas,
ICS UK Is also assisting the International Churchill Society In the USA in their organLzation and delwery of thé
International Churchill Conference to mark Churchill's sesquieentennial ev8nt in London in Oclober 2024

Membershlp of the Society Is made up of UK members, Dlgital only members and international alflialed
members giving a combined total of 2974 8clive members of all types globally As will be seen from the
Accoun15 the Society generaled a net suplus of £22,957 in the year, compared to a net surplus 01 £35,930 In
2023. Reserves are adequate to meet Ihe Society's current needs. The Society's poliey on Reserves is to have
plans to raise sufficient amounts to ftjnd current projects over the next three years

The charrty is Controlled by rt$ governing document, a d8ed of trust and conslitules an unincorporated charity
The International Churchill Society IUKI is a registered charity nurnber 800030, constituted by Deed ol Trust
d81ed 25 July 1988, as amended on 19 April 2008, as amended by deed on 10 July 2015. The Trustees have
unrestricted powers lo make investment.
Appolntment of Trustees
As sel out In the Deed of Trusl. a new Trustee may be eppointed by 8 r8solution of the Trustees recorded in the
minutes and signed by the new Trustee The number of Trustees shall not be less than three or more than
glve.

Th• Tru51ees administer the Society and meet as necèssary.
Three TTUStees shall form a quorum and a m8eling of Trustees at which a quorum is present shall be competent

Risks are identified ènd assessed and control8 are established for tho Society throughout th8 year A form81
review of the Society's risk management processes Is undertaken on an annual basis. Through the rlsk
management proe8sses established for the Society, the Trust8es ar8 satisfied that the major risks Idenllfied
hav8 been adequately mitigated where necessary It Is recognised that SyBlem8 can only provide reosonable but
not absolute assurance that maior risks have been adeq¢Jately menaged.

and distribution of Finest Hour and Ihe and the sharing of profits from the International Confèrence, with The

other countries, and has establishad informal links with the other Chur¢hlll sites and charities providing material

The Soclely has formed a stfategic partnorship with Tho Royal Unlted Sorvices Institute IRUSI}. In eollaboratlon
wrth ICS US. this commitment involves a memor8ndum of understanding 8nd a financial commrtment of £1 m lo
be paid by ICS UK and US Jointly over 5 years. An ICS UK Trustee L S Geller CBE is also a board member of
RUSI.

of each activity are made up of tho total of direct costs and shared costs. including support costs
involved in undertaking each activrty. Dire¢t costs attributable lo a single actlV1ty are alloealed diTe¢tty
to that activrty. Shared costs which contribute lo more than one activity and support costs which are
not attributable lo a single activity are apportioned between those activrties on a basi5 consistent wilh

Liabilities are recognised when theré Is an obligation at the Balance Sheet date as a result of a past
event, it is probable that a transfer of economic benefit will be required In settlement, and the amount
of the settlement can be estlmatèd reliably.
2.9 Flnanclal Instrument•
The Charity only has fin8ncial b5se15 and financial Iiabililies of a kind that qualify as basic financial
inslrumenls. Basic financial Instruments are Initially recognised at transaction value and subsequenly
measured al their settlement value Wrth the &xception of bank loans which are subsequently
measured at amortised cost using the effeclive interèst method

General funds are unrestricted funds which are available for use al Ihe discretion of the Trustee5 in
furtherance of the general objectives of the Charty and which hav8 not been designated for other
purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by
donors or which have been ralsed by the Charty for particular purposes. The costs of raising and
adminl8tering such fijnds are charged 8gainsl tha specific fund. The aim and use of each restrlcted
