Independent Auditors. Report
For the year ended 31 July 2024
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free
from material mi55tatement, whether due to fraud or error, and to issue an auditorfs report that includes our
opinlon. Reasonable assurance is o hlgh level of assurance, but 15 not a guarantee thal an audit conducted in
accordance with ISAS IUKI wlll always detect a materlal mlsstatement when it exi5t5. Misstatements can arise
from fraud or error and are considered material if, individually or In the aB8regate, they could reasonably be
experted to Influence the economlc decislons of users taken on the basis of these flnancial statements.
Irre8ularities, including fraud. are instances of non-compliance wlth law5 and regulations. We desi8n procedures
in line with our responslbllities, outlined above, to detect material mlsstatement5 In respect of Irregularities,
Including fraud. The 5peclfic procedures for this enga8ement and the extent to which these are capable of
detecting irre8ularitles, including fraud are detailed below.
Identlfylng and assesslng rlsks related to Irre8ularltles'.
We a55e55ed the susceptlbility of the charitable companvs flnanclal statements to material mlsstatemenl and
how fraud might occur, Includln8 through d15cussions wlth the trustees, dlscussions wlthln our auéit team
plannln8 meetln& updating our record of Internal controls and ensuring these controls operated as intended.
We evaluated posslble incentives and opportunltles for fraudulent manipulatlon of the financlal statements. We
Identified laws and regulatlons that are of $18nlficance In the context of the charitable company by discussions
with trustees and updating our understandlng of the sector in which the charitable company operates.
Laws and re8ulatlons of d5rect 518nificance In the context of the charitable company Include The Companies Act
2006, and 8uldance issued by the Charlty Commisslon for England and Wale5.
Further the charltable company is subject to other laws and regulatlons where the cor¢sequences of non-
compliance could have a material effect on amounts or dlsclosures In the flnancial statements, through
significant flne, Iltl8atlon or re5trirtlon5 on the charltable companvs operations. We Identlfied the most
significant laws and regulatlons to be the Independent Schools Standards as found In the Education and Skllls
Act 2CQ8 and guidance issued by the Department for Education.
Audlt response to risks Identlfied..
We considered the extent of compllance wlth these laws and re8ulatlons as part of our audlt procedures on the
related financial statement Items includln8 a revlew of financial statement disclosures. We reviewed the
charltable company's records of breaches of laws and re8ulatlons, minutes of meeting5 and correspondence
wlth relevant authoritie5 to Identlfy potentSal material mlsstatements arlslng. We dlscussed the charltable
company's pollcles and procedures for compliance with laws and regulations wlth members of management
responsible for compllance.
During the plannin8 meeting with the audlt team, the engagement partner drew attention to the key area5
which might invohje non-compliance with laws and regulations or fraud. We enquired of management whether
they were aware of any instances of non.compliance with laws and regulatlon5 or knowledge of any actual,
Suspected or alleged fraud. We addressed the rlsk of fraud through management override of controls by testing
the appropriateness of journal entries and identifying any slgnificant transactions that were unusual or outslde
the normal course of business. We assessed whether judgements made In making accounting estimates gave
rise to a posslble Indication of management bias. At the completion stage of the audlt, the enBagement partnerfs
review included ensurlng that the team had approached their work with appropriate professlonal sceptlclsm
and thus the capacity to Identify non-compliance with laws and regulations and fraud,
There are Inherent limitations in the audlt procedures described above and the further removed non-compliance
with laws and regulations is from the event5 and transactions reflected in the financial statements, the less likely
we would become aware of it. Also. the risk of not detedlng a material misstatement due to froud is higher than
