GOVERNORS' REPORT FOR THE YEAR ENDED 31 AUGUST 2025

The Governors (who are also directors of the charity for the purposes of the Companies Act) present their annual report together with the audited financial statements of St Wystan's School (the Charity) for the year ended 31 August 2025. The Governors confirm that the Annual report and financial statements of the Charity comply with the current statutory requirements, the requirements of the Charity's governing document and the provisions of the Statement of Recommended Practice (SORP) "Accounting and Reporting by Charities" issued in 2019.

The school’s principle objective is to further the education of children and young persons. The principal activity is the provision of academic education enabling our pupils to go out into the world and thrive. Intellectually, physically, and emotionally prepared for the known and unknown; eager and equipped to achieve their full potential - whatever life holds.

In considering the operation, achievements, performance and finances of the School, the Trustees are satisfied that public benefit has been provided in accordance with the Charities Act 2011 and the guidance published by the Charity Commission.

St Wystan’s School is an independent preparatory school in Repton, Derbyshire, providing education for children aged 4 to 11. The school is characterised by small class sizes and a strong sense of community, and it continues to maintain an excellent reputation for academic achievement, pastoral care, and co-curricular provision. St Wystan’s operates as an independent entity with its own Governing Body and Head, while being part of the Repton Family of Schools. A close and productive working relationship with Repton School continues to enhance – opportunities for pupils. The average number of pupils on roll during the 2024 2025 academic year

was 82.

Academic outcomes remain strong. Form 6 pupils again achieved excellent results in senior school entrance examinations, with all pupils securing places at high-quality senior schools. Two pupils were awarded scholarships, reflecting both individual achievement and the effectiveness of the school’s academic provision. These outcomes demonstrate the continued commitment of staff to high standards of teaching and learning. The creative and performing arts have continued to develop positively. The appointment of a specialist dance teacher resulted in the school’s first dance performance, providing pupils with new opportunities to develop confidence and performance skills. The Pre-Prep Musical Showcase and the Prep production of The Amazing Adventures of Superstan were well received and highlighted pupils’ enthusiasm, creativity, and teamwork. Wholeschool events, including the Nativity, Harvest Festival, Christingle, and the St Wystan’s Day service, reinforced the School’s strong community ethos.

Music remains an important element of the curriculum. Pupils participated in a range of musical experiences, including performing at the Young Voices Concert in Birmingham and taking part in an Indian dhol drumming workshop. These activities broaden pupil’s cultural understanding and contribute to their personal development. Sport continues to be a strength of the school. Pupils participated enthusiastically in both competitive and inclusive sporting opportunities. Notable achievements included Form 5’s performance in the ISA U11 regional tennis tournament and the boys’ relay team qualifying for the ESSA National Championships. Individual sporting successes included representation at Derbyshire County level in cricket, selection for the GB Alpine Ski Team, and participation in the ISA National Sailing Competition. Pupils also benefited from a basketball workshop led by a former NBA player, providing inspiration and exposure to elite-level sport.

The Trustees are satisfied that the School continues to deliver a broad and balanced academic and extra-curricular programme, supporting pupil enrichment and strong outcomes across all age groups from Reception to Form 6.

Charitable fundraising and Corporate Donations

We continue to encourage our pupils to be involved in charity outreach and have had many whole school incentives this academic year. We are extremely proud of their contribution to a wide range of charities, with money raised for many good causes. A phenomenal amount of work went into our fund raising, and much of it was led by our very own charity ambassadors.

Financial review

The statement of financial activities shows total income of £991,443 (2024: £835,537) an increase of £155,906.

Overall expenditure at £1,002,454 (2024: £823,329) was an increase of £179,126 on prior year, due to increased staff costs.

The school made a net deficit of £11,011 (2024: £12,208).

Key performance indicators are related to the level of pupils attending the school, in particular fee income per pupil, and adherence to the budgets set. The achievement of pupils is another indicator of school performance. The trustees are satisfied with the achievements of pupils. The new management team has now been in place for almost two years and is continuing to make significant progress in all areas. Financial services continue to be provided by the Repton finance function – including both operational finance and more strategic financial planning and support. A clear vision is in place to ensure sustained pupil numbers for the future.

Reserves policy

As at 31 August 2025, the charity's reserves stood at £14,343 (2024: £25,354).

Reserves need to be maintained at a sufficient level to enable the charity to achieve its future educational goals and safeguard the Charity's assets.

The Trustees aim to build reserves toward the target level of £50,000 through strategic decision-making, maximising income generating opportunities and delivering cost efficiencies across operations.

This has been reflected in the 25/26 Budget.

Going concern

Costs are continually being monitored and have been reduced where possible. Forecast results for the year ended 31 August 2026 show the school should make a small surplus before deprecation is charged.

Sensible expenditure on ongoing maintenance of the school continues, with classroom upgrades to ensure a safe and attractive learning and work environment for staff and pupils. School operation continues to receive support from Repton.

Key Management personnel

Remuneration is set by the Executive and overseen by the Trustees, via the Finance and General Purpose Committee, with the objective of providing appropriate incentives to encourage enhanced performance and of rewarding fairly and responsibly individual contributions to the School’s success.

Through appropriate remuneration decisions, Trustees wish to ensure the School remains sensitive to the broader issues of pay and employment conditions locally (and nationally for teaching staff). Delivery of the Group’s charitable vision and purpose is primarily dependent on its staff, and employment costs are the largest single element of its charitable expenditure.

Principal risks and uncertainties (The Repton Group)

The Trustees have undertaken a review of the principal risks facing the Repton Group, reflecting the expectation that risks are clearly identified, assessed and actively managed. The most significant risks identified include, but are not limited to:

The Trustees are responsible for the management of the risks faced by the Repton Group and regularly review the effectiveness of mitigation plans and controls. Oversight of risk is embedded within the governance framework and is considered throughout the year, with a formal review of the School’s risk management processes undertaken annually.

Detailed consideration of risk is delegated to the appropriate Committees, with support from the Executive, ensuring that risks are identified, assessed and managed in a timely and proportionate manner.

Through these processes, the Trustees are satisfied that the principal risks to which the Repton Group is exposed are identified and reviewed, and that systems and procedures are in place to manage those risks. The Trustees recognise that such systems provide reasonable, but not absolute, assurance that risks are adequately mitigated.

Structure, governance and management

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. The school is part of the Repton family.

The Board of Trustees appoints the Head who in turn appoints the staff for the school. The Senior Leadershipteam comprises the Head, Deputy Head and Operations Manager. Together with support from various departments at Repton. This team are responsible for the day-to-day running of the school. The Managing Director of the Repton Family of Schools sits on the Governing Body of the school.

A scheme of delegation is in place which sets out the roles and responsibilities of the Executive team and those the Governing Body. Operating and service agreements set out the relationship between and support available from Repton.

The arrangement for setting remuneration packages of key management personal and other staff takes the form of an annual review performed by the finance. committee which will in turn be approved by the Trustees. The review where applicable is guided in part by the NASUWT main scale rates for teachers.

STATEMENT OF GOVERNORS' RESPONSIBILITIES FOR THE YEAR ENDED 31 AUGUST 2025

The Governors (who are also the directors of the Company for the purposes of company law) are responsible for preparing the Governors' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the Governors to prepare financial statements for each financial year. Under company law, the Governors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Governors are required to:

Opinion

We have audited the financial statements of St. Wystan's School (the 'charitable company') for the year ended 31 August 2025 which comprise the Statement of Financial Activities, Balance Sheet and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the Governors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.

As explained more fully in the Governors' Responsibilities Statement, the Governors (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the Governors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

Auditors' responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

Based on our understanding of the group and the environment in which it operates, we identified that the principal risks of non-compliance with laws and regulations related to The Education (Independent School Standards) Regulations 2014, safeguarding regulations, health and safety requirements, GDPR, employment law and charity law, and we considered the extent to which non-compliance might have a material effect on the financial statements. We also considered those laws and regulations that have a direct impact on the preparation of the financial statements such as the Companies Act 2006 and the Charities Act 2011, the Statement of Recommended Practice for Charities (SORP FRS102) and consider other factors such as income tax and payroll tax.

We evaluated management’s incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls), and determined that the principal risks were related to improper recognition of revenue and management bias in certain accounting estimates and judgements. Audit procedures performed by the engagement team included:

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

1. Accounting policies

1.1 Basis of preparation of financial statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

St. Wystan's School meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

The School’s Governors are its only Members however the School is considered to be part of the group headed by Sir John Port’s Charity. The School has taken advantage of the exemption contained within the Financial Reporting Standard 102 and has taken advantage of the exemption to prepare a cash flow statement.

1.2 Going concern

The School meets its day-to-day capital requirements through the close management of its cashflow from operations and utilising banking facilities. The Governors of Sir John Port’s Charity have confirmed reasonable support will be available from the wider group, as may be required, whilst the new leadership direction comes into effect. The Governors therefore consider it is appropriate for the accounts to be prepared on a going concern basis. A letter of support has been provided by the Governors to confirm this.

1.3 Income

All income is recognised once the School has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.

Fees receivable and charges for services and for the use of premises are recognised and accounted for in the period in which the service is provided. The School invoices pupils termly in advance and the income relating to these invoices is deferred until the start of the term to which they relate. Fees receivable are stated after deducting allowances, scholarships and other remissions allowed by the School.

Donations, grants and other forms of voluntary income are recognised and accounted for when received or when contractual obligation to pay arises. Donations subject to specific wishes of the donors are carried to relevant restricted funds, or to endowed funds where the amount is required to be held as capital. Donations received for the general purpose of the School are credited to unrestricted funds.

1.4 Expenditure

Expenditure is accounted for on an accruals basis. Overheads and other costs not directly attributable to particular functional; activity categories are apportioned over the relevant categories on the basis of management estimates of the amount attributable to that activity in the year, either by reference to staff time or space occupied, as appropriate. The irrecoverable element of VAT is included with the item of expense to which it relates.

Governance costs comprise the cost of running the School, including the external audit, any legal advice and all costs of complying with constitutional and statutory requirements, such as the costs of Board and Committee meetings and of preparing statutory accounts and satisfying public accountability.

All educational supplies are written off in the year of purchase.

Expenditure on charitable activities is incurred on directly undertaking the activities which further the School's objectives, as well as any associated support costs.

1.5 Interest receivable

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the School; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited.

1.6 Tangible fixed assets and depreciation

Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost.

No depreciation is charged on freehold property as the Governor's consider that the residual value of freehold property is equal or greater to than its carrying amoun and therefore no deprecation is charged. The Governor's have reviewed this assesment, and are satisfied that the current market value of the property is such that no depreciation is not required.

Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives. Depreciation is not charged in the year of purchase.

Depreciation is provided on the following bases:

Freehold property - No Depreciation
Teaching equipment - 13% on reducing balance
Tool/Office equipment - 20 - 33% on cost

1.7 Pensions

Eligible employees are enrolled in the Aviva Pension Trust for Independent Schools, a defined contribution scheme. All other school staff members are eligible for membership to defined contribution schemes. Contributions payable are charged to the Statement of Financial Activities in the period to which they relate.

15. Pension commitments

The School contributes to certain defined contribution pension schemes. Teaching staff are eligible to join the Aviva Pension Trust for Independent Schools. The total cost to the School was £66,913 (2024 - £47,743), which represents the contributions made by the School to this scheme. At 31 August 2025, £6,936 (2024 - £5,095) of pension contributions were due to the pension scheme.

Non-teaching staff are eligible to join the NEST Auto Enrolment Scheme. The total cost to the School was £2,229 (2024 - £5,249), which represents the contributions made by the School to this scheme. At 31 August 2025, £1,101 (2024 - £854) of pension contributions were due to the pension scheme.

16. Members' liability

Each member of the charitable company undertakes to contribute to the assets of the company in the event of it being wound up while he/she is a member, or within one year after he/she ceases to be a member, such amount as may be required, not exceeding £1 for the debts and liabilities contracted before he/she ceases to be a member.

17. Related party transactions

As at the 31 August 2025, the following balances were owed to Repton School £577 (2024 - owed St Wystans £2,194).

The children of the elected trustees who attended St. Wystan's School are charged fees and receive remissions at the normal rate as for all other children.

There were no other related party transactions during the year.

18. Controlling party

The School’s Governors are its only Members however the School is considered to be part of the group headed by Sir John Port’s Charity. Copies of the consolidated financial statements of Sir John Port's Charity are available from the Registrar of Companies, Companies House, Crown Way, Cardiff, CF4 3UZ.
