AppOIn￿ent and Trust Deed dated 9th December 1971.

The Trustees form the Executjve C0mmti￿ of the charity. The members of the
Executive Committee are elected at the Annual General Meeting by the memker5 of
the Charity. All members are circulated with invitations to nominate Trustees in
advance of the AGM.
The D￿d of Appointment and Trust Deed of the Charity states that the Committee
shall consist of not more than 18 elected members and 22 representstive members,
and may not include more than 6 CO￿pted members.
Each current user group Is invited to nominate up to 2 repre5entstives to joln the
War Memorial Hall Committ￿.

At every AGM, all members of the Comtnittee shall retFre from office but they may be

The proceedings of the committ￿ shall not be invalidated by any failure to appolnt

Trustees,, the Constitution and the financial statements including the Annual Report.
Any training required by the twstees may be requested at any ￿int, where it is
considered useful to their role as trust￿.

The board of Trustees manages the Charity, and alms to consider only strategic
decisions at its meetiTrJs. Trustees are aware that any conflict of Interest is declared
and recorded. The IM)ard holds its meeling on the first Monday of each month.

The major risks, to which the charity is exposed, as identified by the Trustees, have
been reviewed and systems have been established to mitigate tho* risks. All
systems and procedures are reviewed regularly to ensure they meet charity law and
our own organisations aims and objecbve
Objectives and Activities
The objects of Gilberdyke War Memorial Hall and Playing Field a￿ tr) provide a
vlllage hall for the use of the inhabitsnts in the parish of Gilberdyke without
distinction of political, ￿ligIouS or other opinions and including the use for meetings,
lectures and classes and for other fomis of recreation and leisure time ￿UpatiOn
with the object of improving the conditions of life for the Inhabitsnts.

The Gllberdyke War Memorial Hall and PlayiThJ ￿eld Trust￿ are satisfied that for
the year e￿Ing 31 May 2024:
11 Plans are well under way to transition the Charity to the Parish Council as
Sole Trustee for the surety of the hall going forward. This 15 likely to be in
place by the end of 2024. A Management committ￿ will tske over the roles
of the current named tnjstee's arKI hall operaliorLS will continue as they do
now.
2) Hall refurbishment actNities are to continue to improve and maintsln the hall
building and annex. A list of works has been created with input
from all trustees. Trse indude iterns gjdi as:
a. Refurlyshment of the rear (East) toilets. (Plan￿2 for Wjan)
b. Recovering the flat rcK)f.
c. ImprovirKJ & damp proofing the Conferen￿ r(x)m & storage areas.
d. UFthting the internal ccrv systems.
e. Updating the electrics to current regulattons.
f. On-going repairs to the annexe.
g. Car park repairs
3) It has become evldent that the East wing of ts building and the annex
requlre more Involved stnjtturdl Maintenan￿ works, these will need
significant resource and investment to remedy.
4) VOlunt￿r are still provlng difficult to atttact, but we will continue to try to add
to the volunteer pool.

In shaping our objectives for the following year and planning our activities, the
Trustees have considered the Charity Commission's guidan￿ on public benefit and is
regularly ￿-vISIted.

Our work reflected our aims.
Our resources were well managed.
The Hall continues to maintsin sound financial health.
There has been a major improvement to the look and feel of the hall cosmeticallyi

User group and private tx)okirys are flourishlng and on a dalty basis the hall remalns
very busy.
The new C￿v system Is Ilve and operational, Tr￿1p1ng to secure hall and the
playing fields from vandalism and anti-wial behavlor.

By the end of the current finanaal year, May 31st 2026, most or all of the long tem
projects should have b￿n completed.
At that pjint, there slK)uld ￿ a dear direction for the Ikills future management from
the sole trustee and incumbent management committee. Tho* persons will take
advantage of the Hall IRing in a historlcalty physical and financlal condition,
and focus on expandirwJ Hall athities insofar as they benefit the community.
In this way, the Hall vvill be able to continue to meet its primary objeLtives, which
are continuing as an essential resource for Gilberdyke and neighb)uring areas, while
maintsining profitability to support oThJoing investsnent in Hall maintenance arKI
improvements.
Financial Review

It is the aim of the Committee to retain a fixed amount of £IO,OCQ whlch is kept in
the Savings account to ensure a sufficient buffer to enable effeclive finanaal
decision-making, rather than short term decisions, and the charity has achieved this.
The current balance In the Sawngs accounts is £69,121 as at 31st May 2024.
This is unusually high, and temporary, being the result of a strategic initialive to
support large planned capital expenditures. Most of the balance has been allocated
to the car park project and other upcoming capital projects listed above, after which
the Savings account should revert to more historical levels.

Memorial Hall and Playing Field
I report on the accounts of Gilberdyke War MemorÈal Hall and Playiry Field for the
year ending 31 May 2024, whlth are set out on pages 10 to 15.
Respective responsibilities of Trustees and examiner
The charitys trustees are reswnsible for the preparation of the accounts. The
charity's trustees consider that an audit is not required for this year under s*ion
144 of the Charities Act 2011 (the Charities Act) aThJ that an irKlependent
examination is needed.
It is my responsibility to:
examine the a￿OUnts urKler section 145 of the Charities A¢
to follow the procedures lald down in the get￿al Direttlons given ty the Charity
Commission (under section 145(5)(b) of the [￿aritieS Act, and
to state whether particular matters have come to my attent￿n.
Basis of independent examinerfs report
My examinatlon was carried out in accordance with general Directions given by the
Charity Commission. An examination indudes a revlew of the accounting records
kept by the charty and a comparlson of the accounts presented with those records.
It also includes consideration of any unusual items or disclosures in the accounts,
and seeking explanations from the trustees con￿ming any such matters. The
procedures undettsken do rK)t provide all the evidence that would be required In an
audit, and consequently no opinion is given as to whether the accounts present a
'true and fairf vlew and the rewrt is limit￿ to those matters set out in the
statement below.
Independent examinerfs statement
In connettion with my examlnation, no material matters have come to my attention
which gives me cause to ERlieve that In, any material respert:
accounting records were not kept in accordan￿ with section 130 of the
Charities Act or
the accounts do not accord with the accounting records
I have come across no other matters in connectlon wtth the examination to which
attention should drawn in order to enable a proper understanding of the accounts
to be reached.

Taxation
Gilberdyke War Memorial Hall and Playing FEeld is a registered charity. All
the Charltles, Income is applied to its charitable objectives and the
assoclatlon Is therefore exempt under aJrTent legislation from most forms
of taxation.
The charFty is not VAT registered and all ex￿ditUre includes irrecoverdble
VAT.
