## **Section B: Structure, Governance and Management**
Type of governing document The District’s governing documents are those of The Scout Association. They consist of a Royal Charter, which in turn gives authority to the Bye Laws of the Association and The Policy, Organisation and Rules of The Scout Association.
How the charity is constituted
The District is a trust established under its rules which are common to all Scouts

The trustees are appointed in accordance with the Policy, Organisation and Rules of the Scout Association
**Huddersfield North Scouts**
The District is managed by the District Executive Committee the members of which are the charity trustees’ of the District which is an educational charity. As charity trustees they are responsible for complying with legislation applicable to charities. This includes the registration, keeping proper accounts and making returns to the Charity Commission as appropriate.
The Committee consists of 3 independent representatives, Chair, Treasurer and Secretary together with the District Commissioner, additionally, the District Youth Commissioner; the District Explorer Scout Commissioner and the District Scout Network Commissioner are exofficio members and meets every 2 months.
Members of the Executive Committee completes ‘ _Essential Information for Executive Committee’_ training within the first 5 months of joining the committee.
The District Executive Committee exists to support the District Commissioner in meeting the responsibilities of the appointment and is responsible for:
- Protecting and maintaining any property and equipment owned by and/or used by the District Manage the District finances.
- Providing insurance for people, property and equipment.
- Providing sufficient resources for Scouting to operate. This includes, but is not limited to, supporting recruitment, other adult support, and fundraising activities.
- Complying with the Policy, Organisation and Rules of The Scout Association
- Promoting and supporting the development of Scouting in the local area.
- Managing and implementing the Safety Policy locally
- Ensuring that a positive image of Scouting exists in the local community.
- Appointing and managing the operation of any sub-Committees, including appointing Chairmen to lead the sub-Committees
- Ensuring that Young People are meaningfully involved in decision making at all levels within the District
- The opening, closure and amalgamation of Groups, Explorer Scout Units, Scout Network and Scout Active Support Units in the District as necessary.
- Appointing and managing the operation of an Appointments Advisory Committee, including appointing an Appointments Committee Chair to lead it.
- Supervising the administration of Groups, particularly in relation to finance and the trusteeship of property.
The Executive Committee must also:
- Appoint Administrators, Advisers, and Co-opted members of the Executive Committee
- Approve the Annual Report and Annual Accounts after their examination by an appropriate auditor, independent examiner or scrutineer

## **Risk and internal Control**
The District Executive Committee has identified the major risks to which they believe the District is exposed, these have been reviewed and systems have been established to mitigate against them. The main areas of concern that have been identified are:
**Damage to property and equipment** . The District would request the use of buildings, property and equipment from neighbouring organisation such as the Church, Community Centre and other Scout parts of the Scout County. Similar reciprocal arrangements exist with these organisations. The Group has sufficient Buildings and contents insurance in place to mitigate against permanent loss.
## **Injury to leaders, helpers, supporters and members** . The District members are insured
through the capitation fees and contribute to the Scout Association national accident insurance policy. Risk assessments are undertaken before all activities.
The District has in place systems of internal controls that are designed to provide reasonable assurance against material mismanagement or loss, these include a minimum of 2 signatories for all payments and comprehensive insurance policies to ensure that insurable risks are covered.

## **Reserves Policy**
The District’s policy on reserves is to hold bank balances and the interest rates received to ensure the District obtains maximum value and income from its banking arrangements. sufficient resources to continue the charitable activities of the District should income and fundraising fall short. The District Executive Committee considers that the District should hold a sum equivalent to 12 months running costs.

## **TRUSTEES’ REPORT**
To say this has been a trying year in scouting would be an understatement. The pandemic has brought significant challenges for those involved in organising scouting for our young members, not least in terms of safety, funding, recruitment and maintaining contact with those members.
The district personnel, led by DC Helen Roy, have worked hard to support the scout groups within Huddersfield North and, as we emerge into an environment as close to normal as we can foreseeably expect, the groups are in a good position to capitalise on a renewed vigour amongst young people to enjoy the opportunities that being a scout member can bring. On behalf of the Executive Committee I would like to express our sincere thanks to all of those uniformed leaders that have worked so hard in extraordinary circumstances and have made this possible.
Finally, I would like to take this opportunity to thank the members of the Executive Committee for their hard work and significant contribution over the past twelve months. I have witnessed first-hand their dedication and ingenuity to steer through the challenges during the period, and I’m privileged to have had the opportunity to do so.

## **DISTRICT COMMISSIONERS REPORT**
This year has been, strange and sometimes difficult, but definitely very different to that of a normal year in the life of scouting. It would be easy to define the year by the cancelled events or adaptations we have had to make, but every year there are one-off events and innovation, this year has simply accelerated that and we have seen incredible examples of imagination and ingenuity throughout the year.
Many of us have missed the human interaction that Scouting offers, the friendship and camaraderie, challenges and adventures. As restrictions on

activities are eased, I truly believe that Scouting is more important now than ever before, to give people a sense of connection and belonging, to give hope to a generation and to continue to develop skills for life.
My extreme admiration goes to all Leaders for their hard work in continuing to bring scouting to many of our members during the last 12 months. I would also like to extend my thanks to all members across the District, Executive Committees, Scout Active Support Members and the District Team, for your continued collaboration with the uniformed leadership teams in providing the much needed support and encouragement we have all needed over the last 12 months. As someone still relatively new to the DC role it gives me great confidence to see such a strong support structure, all focused on ensuring our young people receive the best scouting they possibly can.
At the annual census in January 2020 our number of young people and adult volunteers across the District was down by 20% on the previous year. These numbers are rising as we return to face to face Scouting but a number of our leaders are overstretched, often taking several roles within their groups and running sections with minimal Leaders. We need to find a way of supporting those who need it while attracting a new generation of adult volunteers to help us progress. If we can take care of our leaders, giving them the life opportunities they value, they will ensure an even greater number of young people acquire the unique skills for life that scouting offers. I am still searching for a Deputy DC to focus on strengthening our volunteer support across the District.
As we all personally begin to recover from the last 12 months of restrictions and limitations, things are starting to return, the sound of chatter and smell of wood smoke starting to fill the air again. Next year marks the 50th anniversary of the District and I look forward to celebrating in style. I wish you all every success and pledge any support we can offer, please remember we are only a phone call or an email away.

## **INDEPENDENT EXAMINERS REPORT TO THE TRUSTEES**
## **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF HUDDERSFIELD NORTH DISTRICT SCOUT COUNCIL**
I report on the attached accounts of the District for the year ended 31 March 2021.
## **Respective responsibilities of trustees and examiner**
The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed.
It is my responsibility to:
- examine the accounts under section 145 of the Charities Act,
- to follow the procedures laid down in the general Directions given by the Charity Commission (under section 145(5)(b) of the Charities Act, and
- to state whether particular matters have come to my attention.
## **Basis of independent examiner's report**
My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.
## **Independent examiner's statement**
In connection with my examination, no matter has come to my attention:
1. which gives me reasonable cause to believe that in, any material respect, the requirements: ∙ to keep accounting records in accordance with section 130 of the Charities Act; and ∙ to prepare accounts which accord with the accounting records and comply with the accounting requirements of the Charities Act have not been met; or
2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
