I report to the trustees on my examination of the accounts of the above charity ("the Trust") for the year ended

As the charity's trustees, you are responsible for the preparation of the Responsibilities and basis of report accounts in accordance with the requirements of the Charities Act 2011 (the Act).

I report in respect of my examination of the Trust's accounts carried out under section 145 of the 2011 Act and in carrying out my examination, have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination (other than that disclosed below *) which gives me cause to believe that in, any material respect:

• the accounting records were not kept in accordance with section 130 of the Charities Act; or

the accounts did not accord with the accounting records; or

the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair' view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

For the Financial Year: 1st April 2024 to 31st March 2025

1. Reference and Administrative Details

• Charity Regulator: Registered with the Charity Commission for England and Wales.

• Governing Document: Standard Constitution (Charity Commission scheme dated 27/03/2009 as amended by resolutions dated 13/072011 and 05/05/2026 (Charitable trust originally registered 20 May 1964 as Parish Hall).

• Operations Area: North Yorkshire (Newby and Scalby, Scarborough area.

2. Structure, Governance, and Management

Trustee Board Changes & Governance Stabilisation

• Board Resignations: During this financial reporting period, three trustees stepped down and left the charity board.

• Governance Continuity: The two remaining trustees agreed to stay on to directly address the critical operational, financial, and compliance challenges facing the Trust.

• Professional Advisory Collaboration: To restructure operations and optimise the charity's estate, the remaining trustees began working closely with professional advisers (Charity solicitor), Royal Institution of Chartered Surveyors (RICS) valuers, North Yorkshire Council (NYC) Planning departments, and the Charity Commission as required. This collaboration aims to ensure better strategic use of the charity's physical assets to build a sustainable, long-term future for the Trust.

• Serving Trustees: during the financial year: Richard Ian Thompson (Chair) and Jacqueline Alexandra Smith. Trustees are appointed by resolution of the trustees. Newby and Scalby Community Hall Trust (RCN 1213333) was appointed as sole corporate trustee on 8 May 2026. Richard Ian Thompson and Jacqueline Alexandra Smith are the trustees of the Newby and Scalby Community Hall Trust.

• Trustee Remuneration: No trustees received any remuneration, financial benefits, or expenses from the charity during this financial period.

• Financial Controls: All transactions are logged in meeting minutes and dual-authorised using official payment forms.

3. Objectives and Activities

The core purpose of the Trust is the provision and maintenance of a community hall for by the inhabitants of Newby, Scalby, and the surrounding Scarborough area. The facility is operated without distinction of political, religious, or other opinions.

Key activities to support these objectives include:

• Providing space for local community meetings, educational classes, and special interest groups.

• Hosting recreational, wellness, and leisure-time activities to improve local conditions of life.

• Hiring out the venue to community groups, local clubs, and private bookings to maintain financial sustainability.

In undertakaing the activities, the trustees have regard to the Charity Commission guidance on public benefit.

4. Achievements, Performance, and Operational Challenges

During the 2024/2025 financial period, the Trustees undertook an extensive review of operations, infrastructure, and historical compliance. This review revealed severe legacy issues that required immediate attention to protect public safety.

Health & Safety Compliance Interventions

• Critical Failures Identified: Significant issues were uncovered regarding longfailures to meet standard Health and Safety compliance for village halls. Essential safety checks on the gas boiler (last serviced in 2013), fire prevention systems, electrical checks (no EIR since 2011 when property handed over to Trust) had not been undertaken for many years.

• Emergency Remediation: The Trustees prioritised bringing all gas, fire, and electrical safety systems fully up to legal compliance. This critical work was mandatory to ensure public safety and to allow the hall to legally and safely remain open to the public.

• EPC commissioned and found to be within 1 point of category F (Closure to the Public

The Trustees also undertook an analysis of the use of the hall to assess the type of users, nature of use and the extent to which the hall was used

5. Financial Review

Current Financial Position & Reserves Policy

• Reserves Status: A comprehensive financial review carried out during this reporting period identified that the charity holds zero financial reserves. This lack of a financial cushion presents a significant risk to the ongoing viability of the facility.

• Local Fundraising Challenges: The Trust launched local fundraising campaigns to raise urgent operational capital. However, these initiatives met with no response or financial support from any local individuals, community groups, or outside organisations.

• Trustees agreed lack of local support required critical review of financial viability of the hall operation with a view to obtaining professional

Historical Financial & Asset Context

To understand the charity's systemic financial pressures, the Trustees undertook a retrospective review of historical records dating back to 2009:

• 2009 Change of trustees: Scarborough Borough Council (SBC) was previously the sole trustee of the Newby and Scalby Community Hall, relinquishing the corporate trusteeship to individual trustees, a -£125,000 financial loss was written off

• by SBC.

• Legacy Deficits: The structural financial deficit is long-standing; the Trust experienced an immediate deficit of -£10,000 in its very first year of operation, a trend that has hampered long-term sustainability.

Asset Management & Title Registration

As of 31st March 2025, the principal physical capital assets held by the Trust remain:

1. The Community Hall building

2. The associated Car Park

3. The Bowling Green

4. Land Registry Discrepancies: During the period, the Trustees discovered that the land and buildings (the Hall, Bowling Green, and Car Park) had historically never been registered with HM Land Registry. This registration oversight persisted through all historical transfers, including ownership by the former Scarborough Borough Council (SBC).

5. Registration: To secure legal title and safeguard this highly valuable community asset, a trustee undertook the task of managing the first registration process.

6. Project Timeline: This legal process officially commenced in December 2024.

7. The remaining internal inventory consists solely of functional equipment required to run the facility, such as chairs, tables, kitchen setups, general office equipment, two upstairs office spaces, and storage areas.

Capital Expenditure & Projects

• Purchases: No major asset purchases or capital upgrades were executed during this financial year outside of mandatory safety compliance work.

• Disposals: The charity made no asset disposals during the period.

Borrowings, Leases, and Liabilities

• Debt & Loans: There were zero loans outstanding, and no funds were borrowed during the financial year.

• Leases: There are no active operational property or equipment leases in effect.

• Contingent Liabilities: There are no reserves, so the trust will undertake an urgent review of future operation, in conjunction with professional advisers and Commission.

6. Future Plans

• Asset Optimisation Strategy: Continue engaging with professional RICS valuers, Charity solicitors, and NYC Planning to determine how the physical estate can be

• Financial Stabilisation: Address the critical lack of reserves by reviewing the hiring fees charged to commercial business operators to ensure they reflect true operational and maintenance costs.

• Compliance Monitoring: Establish an unyielding annual schedule for gas, electrical, and fire safety testing to prevent future compliance backlogs.

• Strategic Fundraising: Explore institutional grant opportunities and alternative public funding sources, given the lack of engagement from local community fundraising efforts

• Asset Security: Monitor and progress the Land Registry application to secure the legal ownership of the Trust's physical site.
