## **Brailsford and Ednaston Institute Trustees’ Annual Report and accounts to 31[st] October 2024** 

The Brailsford and Ednaston Institute is also a company limited by guarantee and is a Village hall. 

## **Activities and objects.** 

The management committee run it for the benefit of people of all ages living in the parish. It is also used by people outside the parish when available. 

## **Performance and achievements** 

The hall has been used for this purpose throughout the year by regular user groups and one-off private events for people in and around the parish. 

The main achievement this year was to secure the monies for installation of a fire alarm funded by S106 monies. The alarm was installed in the following financial year. 

## **Financial review** 

In the year, the charity raised income to the value of £25.3k, of which £10.6k was from the rental of the hall, £12.4k was from S106 monies and £2.3k was from other activities. 

The charities expenditure was £17k for the operation and maintenance of the hall. 

As at 31[st] October the charity had reserves of £84.7k of which £12.4k were restricted funds relating to the S106 monies for the fire alarm. 

The company has to comply with the Companies Act 1985 ( the accounting provisions of the Companies Act 2006 applying to period starting on or after 6 April 2008), the SORP and new public benefit reporting requirements. The majority of its funding is generated by the rental of the hall by regular user groups and one-off private events. We received S106 monies in year from Derbyshire Dales District Council to fund the installation of a fire alarm. 

The charity meets the Companies Act 1985 definition of a micro entity and does not exceed the Companies Act 1985 audit threshold. The audit exemption statement under  subsection (1) of section 249A of the Companies Act 1985 has been made on the balance sheet. However, an audit of the accounts has been conducted as required under the Charities Act 1993. 

## **Structure, governance and management** 

The hall is managed by a group of 6 volunteers who are the trustees and Directors of the 

company as detailed on page 3. 

The Parish Council are Custodial Trustees and hold the title deeds for the property on behalf of the charity in compliance with the charity’s constitution.

The company is entitled to the exemption from the audit requirement contained in section 477 of the Companies Act 2006, for the year ended 31 October 2024. 

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006 

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements. 

These financial statements have been prepared in accordance with the micro-entity provisions applicable to companies subject to the small companies regime.
