2. Minutes of Previous AGM (18 January 2022)
The Minutes of the AGM held on 18 January 2022 were approved and signed (proposed by Dr Mike Clapp, seconded by Mr John Crouch).
3. Chairman’s Report
Dr Mike Clapp (Chairman) reported that the Working Group elected to deliver an upgraded Bowls Pavilion had successfully completed the project with the installation of a custom-built wooden-clad building in October 2022. This had necessitated obtaining Planning Permission and raising significant external funds (including £10k from Goostrey Parish Council, £10k from

the Heritage Lottery Fund, £5k from the Bernard Sunley Fund, together with £10k from the VHPFF reserve funds). He thanked all those organisations and individuals that had made donations and contributed their expertise and support for the project. The building is currently being fitted out internally (using money raised by the Bowls Club) and a Grand Opening is planned for May.
The floodlights around the astroturf were upgraded to LEDs last summer, which had been well received by Users. There are still concerns about mis-use of the astroturf and tennis nets, mainly by young lads, but locking the courts had been unsuccessful with two sets of combination locks being stolen. The Chairman expressed the hope that better relations could be developed with the young people to encourage them to become Registered Users and to utilise the facilities more responsibly.
Following the remedial work done to the astroturf surface in March 2020, the periods of heavy rain over recent months had left the surface very slippery again. The cost of replacement of the astroturf has been estimated at £95k, but a professional maintenance visit could be costeffective in the Spring.
The Chairman expressed disappointment that both the Bowls and Tennis Clubs had a reduced membership in recent years, and there is currently no active football team in the village. He hoped that Trustees would encourage more residents to become involved in the VHPFF, helped by a publicity leaflet that was planned for distribution in the Spring.
The Chairman concluded by again thanking Jay Ashall for his many years as Chairman, together with everyone who had completed voluntary work for the VHPFF. He expressed particular thanks to the Secretary and Treasurer for their guidance and support during his first year as Chairman.
4. Treasurer’s Report (Accounts attached to original Minutes)
Mrs Catherine Morris (Treasurer) presented the Accounts for the years ending 31 October 2022. She reported that the “Restricted Funds” in the Accounts related to monies received towards the new Bowls Pavilion which was paid for in November 2022, so did not show up in these Accounts. The large expenditure for the Astroturf related to the floodlighting upgrade, the external woodwork of the Pavilion had been re-painted and significant tree work had been carried out around the Bowling Green.
The Accounts were accepted (proposed Dr Mike Clapp, seconded by Mr Martin Leake).
5. Election of Permanent Trustee
Following the death of Mr Bill Owen in September 2022, there was a vacancy for a Permanent Trustee. Mrs Sally Ball proposed Mr Willie Dudgeon (seconded by Mr Arthur Lamb) who had been one of the original group of parents who had resurrected the VHPFF some 30 years ago. Mr Dudgeon was elected unanimously.
6. Election of Trustees (up to 5)
Dr Mike Clapp, Mr Jay Ashall, Mr Roger Rushton, Mr Carl Foster and Mr Keith Wood were elected (proposed by Mrs Sally Ball, seconded by Mr Arthur Lamb).

7. Co-option of Trustees)
Mrs Catherine Morris, Mr Arthur Lamb, Mr Peter Bentham, Mr Dave Nolan, Mr John Crouch and Mrs Edna Brandreth were co-opted (proposed by Mr Martin Leake, seconded by Dr Mike Clapp).
8. Election of Officers
The following Officers were elected (proposed by Mr Carl Foster, seconded by Mr Derek Hurdle):

9. Goostrey Village Hall Management Committee
The VHPFF had originally provided some funds towards the building of Goostrey Village Hall and therefore nominates 3 representatives to this Committee (a sub-committee of Goostrey Parish Council). It was agreed that Mrs Sally Ball, Mrs Edna Brandreth and Mr Martin Leake would continue to represent the VHPFF on the Goostrey Village Hall Management Committee (proposed by Dr Mike Clapp, seconded by Mr David Nolan).
10. Any Other Business

a) The Bowls Club formally thanked the VHPFF for its support for the replacement of the Bowls Pavilion.

b) It was suggested that the forthcoming Publicity leaflet should include promotion of the VHPFF Lottery which currently has around 60 shares of £5 per month, with 13 prizes including £1,000 at Christmas (50% of the money raised has to be returned in prizes).

c) Mrs Sarah Pacito asked whether at least one football goal could be free-standing in the field so that casual football could be played by Registered Users. Currently one pair of goals and one large goal are padlocked at the side of the field following misuse by unauthorised users. It was agreed that the Officers would liaise with the Football representatives to try and achieve this.

Respective responsibillties The trustees are responsible for the preparation of the finanaal ststements, and considers that an audit is not required for this year under section 144(2) of the Charities Act 2011. It is my responsibility to state, on the basis of the proceedurBS specified in the General Directlon given by the Charity Commissioners under section 145(5)(b) of the Act, whether any particular matters have come to my attention. An examination includes a review of the ac¢ounting records kept by the chaiity and a comparison of the accounts presented with those records.
