## 3 - Minutes of the previous AGM 

Due to the recent events around changes in leadership and management of the Group, there has not been a recent AGM. It is acknowledged by the Group Trustee Board that this is not normal practice and the Group Trustee Board will endeavour to adhere to the correct processes moving forward. 

The AGM held on 13[th] March 2024 is for the year 2022 to 2023 but also recognises the financial accounts of previous years. The Trustee Board recognises it will need to hold a further AGM later in 2024 for the year of 2023 to 2024.

|Type of governing document|The Group's governing documents are those<br>of The Scout Association. They consist of a<br>Royal Charter, which in turn gives authority<br>to the Bye Laws of the Association and The<br>Policy, Organisation and Rules of The Scout<br>Association.|
|How the charity is constituted|The Group is a trust established under its<br>rules which are common to all Scouts.|
|Trustee Selection methods|The Trustees are appointed in accordance<br>with the Policy, Organisation and Rules of<br>The Scout Association.|
|The Management and function of the charity|The Group is managed by the Group Scout<br>Leader, supported by the Group Volunteers<br>and the Group Trustee Board. The members<br>of the Group Trustee Board are ‘Charity<br>Trustees’ of the Scout Group which is an<br>educational charity. As charity trustees they<br>are responsible for complying with<br>legislation applicable to charities. This<br>includes the registration, keeping proper<br>accounts and making returns to the Charity<br>Commission as appropriate.<br>The Trustee Board consists of 3 officers the<br>Chair, Treasurer and Secretary together with<br>the Group Scout Leader,  section leaders (if<br>opted to take on the responsibility) and other<br>representation and endeavours to meet once<br>per term.<br>This Group Trustee Board exists to support<br>the Group Scout Leader in meeting the<br>responsibilities of the appointments and is<br>responsible for:<br>The maintenance of Group property;<br>The raising of funds and the administration<br>of Group finance;<br>The insurance of persons, property and<br>equipment;|

|Trustee' consideration of major risks and the<br>systems and procedures to manage them|**Risk and Internal Control**<br>The Trustee Board has identified the major<br>risks to which they believe the Group is<br>exposed, these have been reviewed and<br>systems have been established to mitigate<br>against them. The main areas of concern<br>that have been identified are:<br>Damage to the building, property and<br>equipment. The Group would request the<br>use of buildings, property and equipment<br>from neighbouring organisations such as the<br>church, community centre and other Scout<br>Groups. Similar reciprocal arrangements<br>exist with these organisations. The Group<br>has sufficient buildings and contents<br>insurance in place to mitigate against<br>permanent loss.<br>Injury to leaders, helpers, supporters and<br>members. The Group through the<br>membership fees contributes to the Scout<br>Associations national accident insurance<br>policy. does hold a reserve to ensure the continuity of activities should there be a major reduction in income. The Trustee Board could raise the value of subscriptions to increase the income to the group on an ongoing basis, either temporarily or permanently. Reduction or loss of leaders. The group is totally reliant upon volunteers to run and administer the activities of the group. If there was a reduction in the number of leaders to an unacceptable level in a particular section or the group as a whole then there would have to be a contraction, consolidation or closure of a section. All funds are held in cash using<br>only mainstream banks or building<br>societies.|

As the Group's trustees you are responsible for the preparation of the accounts; you consider that neither the audit nor independent examination requirements of the Charities Act 2011 apply. It is my responsibility without carrying out an audit or independent examination to scrutinise the accounts and to report to you. 

## Basis of Scrutineer's Statement 

In accordance with the directions given in the Group's/District's constitution, I have scrutinised the records and the accounts set out on page 13.

## Trustees Notes 

The trustees acknowledge that they have not met as often as is generally accepted. This is largely down to a change in leadership and management of the group. However whilst the Trustee Board has not met, they have continued to ensure financial security and scrutiny is in place.
