## **Report of the Trustees for the Year Ended 31 March 2021** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2021. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The objectives of the Association are the advancing of education and the provision of facilities in the interests of social welfare for the benefit of the inhabitants of the Liverpool City Region. The Association has set out a programme of activities which is delivered from the farm and extensive use is made of outreach and detached service delivery for school age children through the ages to senior citizens. 

## **Public benefit** 

In considering the objectives and activities, the Trustees have considered the Charity Commission's guidance on Public Benefit to ensure that the organisation is meeting its Public Benefit requirements.

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

Many thanks to all our members and supporters for their continuing interest and support of the charity. The last AGM was in Feb. 2020 after which COVID struck and the country went into lock down. Over 1000 people in Liverpool died of COVID, including some of our friends, and in particular Linda Hill who was a great friend of RLCA. Without her efforts the Chapel would be unusable, since she raised the money in 1982 to have the roof repaired. She is on the photo of the presentation of a community award in 1982. 

When Sean and Lewis Lesley became Trustees in July 2019 there was only £800 in the bank. They had faith in the project to serve the community. With Kevin they donated £10,000 of their own money to keep going. It was clear that things had to change, since to continue as before would have led to failure. Costs had to be cut, and income increased, as well as improving public perception. A Newsletter was started to give local residents news about our 'best kept secret'. Patrons were recruited; Lady Anne Dodd and Roger Phillips (of Radio Merseyside). 

Change is necessary but can be upsetting. Things had to be done differently and better or else the City Farm could have closed two years ago and six people would have been out of work. The Trustees raised the money to keep the farm open and five staff employed. The Trustees as unpaid volunteers worked hard in fund raising. Sean and Lewis raised over £130,000 since then. 

More importantly we were open to our local community during the COVID lock down, when many other charities closed. We also filled a big gap by providing a free lunch and food take away service for children who were locked down at home and out of school. We got a lot of great thank you's from parents who welcomed the break, exercise and meals provided. The volunteers who ran this deserve congratulations. 

Since January this year things have changed from 'fire fighting' to being able to see ahead more clearly and began to organize nearly monthly events. The first in January was the RSPB Big Bird Watching weekend, when kits and guidance were handed out. Now more children know the difference between a robin and sparrow. In February we took part the National Federation's "City Farm Day". As one of the founder members of the Federation it was good to get the benefit of the national publicity for City Farms, including our own slot on Radio Merseyside. 

Then came the half term with children's activities and free lunches. This was followed in March by 'Have a grow day', when we joined the national event and the Farm garden was open, information and seeds given to encourage people to grow some of their own food. We got another slot on Radio Merseyside. Easter saw a major two week effort in children's activities and more free lunches, and again we must thank the volunteers who did so much. 

Our big event this year was the 40th Anniversary Fayre, which was opened by Roger Phillips, who spent a lot of time talking to all the stall holders and many of the people (nearly 400) who came to support it. The big money spinner was the raffle and Chapel Café, for which two Sues deserve credit. Our first animals arrived in 1981 so it was a bit disappointing that the farm yard was closed by the Avian Flu epidemic. But a special thank you is due to our staff who look after the Farm animals 

Another half term activity week was followed by the summer holidays, six weeks of activities and free lunches every day. During this MPAC organized a big day on 11th August when over 300 children and many parents came to enjoy a wide range of things to do, including crazy golf and football, inflatables and a little train that chugged around the farm site. There is a 'You Tube' video of this. 

In September, after the big flood in January and a sink hole appeared, it was at last sorted with two tons of fill. The path around the chapel completely reopened in time for the Autumn Fayre. when both our Patrons; Lady Dodd and Roger Phillips visited and spent three hours enjoying an ice cream and talking to the stall holders and visitors. This raised over £500. Even organizing a Fayre every month would still only make £6000 yearly, 8% of our annual costs, so grants from Charitable Trusts are going to be important for some time. 

On 31st October with support from Prospect a Tressel Day took place with the Rickard sisters who produced a Graphic version of "The ragged Trousered philanthropists", signing copies of their book and making a nice donation to the Farm. We also had Royle visitor Ricky Tomlinson who is a great fan of the book. David Cook made a short video of the day, which is on 'You Tube'. 

Lastly another Remembrance Day on 11th November took place at the Farm Cenotaph, with local Padre Fran Myatt taking the ceremony and giving a short address of his experiences as an Army Padre in battle, after which refreshments were served in the Chapel. 

The Charity is changing for the better. Feed back from visitors is very positive, numbers have increased to nearly 90,000 a year, and there is now much more than £800 in the bank, which the new Trustees inherited in July 2019. A Budget for 2022 was approved by Trustees at their monthly meeting in November.

## **FINANCIAL REVIEW** 

## **Financial Review** 

Total income in the year was £84,903 (2020: £83,722) of which £39,077 (2020: £39,822) related to funding for projects upon which restrictions are placed. 

Total expenditure in the year was £72,735 (2020: £82,958) leaving a surplus for the year of £12,168 (2020: £764). 

As at 31st March 2021 the charitable company's reserves stood at £27,546 (2020: £15,378) of which £10,998 (2020: £14,245) represented restricted funds. 

## **Reserves policy** 

It is the policy of the charitable company to maintain unrestricted funds at a level to cover redundancy provision and one month's running costs should no further funding be received. 

As at the end of the financial year the unrestricted funds totalled £16,548. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. 

## **Recruitment and appointment of new trustees** 

The trustees are normally appointed by the Board and one-third of the trustees will normally retire each year and are eligible for re-election at the Annual General Meeting. No places on the Board are reserved for specific individuals or representatives of particular organizations. The trustees may also co-opt non-voting advisors to the Board or sub-committees throughout the year. 

In order to carry out the work of the Association the trustees abide by a variety of procedural documents.

## **Independent examiner's report to the trustees of Rice Lane Community Association Limited ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2021. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 March 2021. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2021 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Improvements to property - 10% straight line Fixtures and fittings - 25% on reducing balance Computer equipment - 25% on reducing balance 

## **Stocks** 

Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
