## **MINUTES OF ANNUAL GENERAL MEETING HELD ON THURSDAY 12[TH] OCTOBER 2023 AT 19:15**

The Chairman welcomed all those present and thanked them for attending. He thanked Filey Town Councillor & Founder of Filey Sea Cadets Mike Cockerill for attending in person to conduct the election/re-election of the Unit Management Team (UMT) trustees. He explained the purpose of the AGM to those present.

The minutes of the previous AGM and EGM were presented and adopted. Proposed by Steven Hopkinson and seconded by Louise Douglas.

The Chairman introduced the process and explained that all UMT members would now step down as trustees and that they would be individually re-elected. The Chairman confirmed that there had been no new nominations or applications for election. The election was conducted by Mike Cockerill. The following returns were conducted.

## **Filey Sea Cadets Annual General Meeting** 

## **12[th] October 2023** 

## **Chairman’s Report** 

Good evening and a very warm welcome to every one of you who has taken the time to attend our AGM this evening. 

Tonight, we are also joined by Mike Cockerill, Filey Town Councillor, and one of the founders of Filey Sea Cadets. Mike will be undertaking the important role of returning officer for the election of trustees to the UMT this evening. Thank you, Mike, for taking on this responsibility, I have no doubt the election will be conducted in good order and without incident. 

This is my second AGM since becoming Chairman of Filey Sea Cadets and I guess it is for all of you to decide if you wish for me to carry on in that capacity. It is an honour and a privilege to be Chairman of Filey Sea Cadets, not because of the location, or the building, or the physical assets we have, but because of the people that make up Filey Sea Cadets. I truly believe that Filey Sea Cadets is made up of amazing volunteers and cadets that really care about their community and each other. This was demonstrated right at the start of 2023 when both volunteers, parents and cadets came together for a sponsored dip to raise funds for the Filey Lions, something I ‘willingly’ volunteers for myself. 

One of the main objectives of the UMT is good financial management of the unit. Not only does the unit require funds to pay the bills. Funds are required to purchase and maintain the equipment needed to offer our young people the very best cadet experience. To give all our cadets an equal opportunity of attending courses and activities, the unit often subsidises these courses in full or part. Like any charity, there are many projects we would like to commit to, but it is the responsibility of the UMT to ensure our funds are being used appropriately and to the maximum benefit of the unit and our cadets. 

Our current financial position is very good. At October’s monthly UMT meeting, yesterday, the Treasurer reported a balance of £63,000, a significant improvement in our financial situation from the previous year and well above the £10,000 savings buffer we have agreed upon to ensure our financial security. 

This amount includes a very generous legacy gift of a £42,000 from the estate of the late Arthur Stott. Following a consultation with the volunteers, the UMT has agreed to ringfence this donation as seed funding for the new building project. 

In addition to this very welcome donation, I’m pleased to say that 2023 has been a fantastic year for Filey Sea Cadets for our grassroot fundraising efforts. I’m sure our Vice Chair and P&SA Chair, Louise Douglas, will go into more detail on some of the hugely successful fundraising events we have undertaken this year. 

In terms of project spend, this year we kicked-off our ‘Power Up Filey Sea Cadets’ fundraising campaign to raise funds to replace the two aging outboard engines for our RIBS, and to purchase a new RigiFlex NewMatic safety boat, more commonly known as the ‘Jaffa’. I’m pleased to say that we have so far reached the first milestone to replace one of the engines, which has now been purchased and installed ready for next year’s boating season. We have made good progress towards the second milestone and continue with our efforts. 

Unfortunately, due to circumstances beyond our control, our annual accounts for the year ending 2023 have not yet been finalised, and for this reason we will not be able to adopt the accounts 



today. Instead, we will adjourn the AGM without adoption of the accounts, and an EGM will be held at a later date to adopt the accounts once they have been finalised, audited and approved by the UMT. I would however like to commend our Treasurer Andrew Garside for his continued hard work and diligent bookkeeping, it makes my role so much easier knowing that we have a dependable steward looking after our finances. 

I would also like to take this opportunity to thank the rest of the UMT on their continued contribution to the successful running of the unit. Every one of you brings unique experience and perspective, and your contributions on all matters are highly valued, especially on those rare occasions when there is varying opinion on a particular matter. I want you all to know that your efforts are appreciated by myself and our volunteers. This year we also welcomed and co-termed Liam Frampton onto the UMT. As a former cadet and uniformed instructor of Filey Sea Cadets, we benefit from having you as part of the team. 

I’m pleased to say that through the efforts of all our instructional volunteers, our cadet numbers have remained stable throughout 2023. This is in part down to the success of our Junior Section, which has now been expanded to accept 9-years olds. As one of the first units in the country to do incorporate 9-year olds, Filey Sea Cadets has lead the way on this front. 

Given the lack of alternative options for the young people of Filey, we are now exploring the possibility of opening a Royal Marines Cadets Detachment, which would provide another offering for those young people who may prefer something a little different. 

I would like to pay thanks to both the CO and XO, along with your staff, for the day-to-day running of the unit. I’m especially proud of the feedback we received from parents and cadets following another highly successful Summer Camp this year. 

I would also like to take this opportunity to thank those volunteers that are not seen or heard on a day-to-day basis, but are a constant support to the unit, often without thanks and praise. Firstly, to all members of the P&SA, who host our stalls and steward our events, you are all fantastic! And a special thanks to our Unit Assistant Sarah, who is both Admin and Stores Officer for the unit and does what is needed to keep our charity on top of its administration. It can sometimes be a thankless job since it is outside of the limelight, so I wanted to take this opportunity to formally thank you for everything you do. 

Looking further into the future, the unit continues to make progress on our big capital project to rebuild the unit. For those who are unfamiliar with this project, the UMT came to the decision a few years ago that the building was no longer fit for purpose, and following a consultation process, it was decided that a complete rebuild of the unit is needed to make it fit for the purpose of delivering Sea Cadet activities in the future. I can advise that following a public consultation late last year, our plans have been submitted for planning and we are hoping for a positive outcome in the very near future. 

Finally, I truly believe that with the current leadership and management team we have in place and with the support and efforts of all our volunteers, Filey Sea Cadets can continue to thrive and deliver for the young people of Filey.

## **Filey Sea Cadets Annual General Mee�ng** 

## **12[th] October 2023** 

## **Parents & Supporter’s Associa�on Report** 

Since our last Annual General mee�ng the parents and supporters commitee 

have con�nued to be very ac�ve in raising funds for Filey Sea Cadets. 

I am delighted to say that all our long standing members of the commitee are s�ll as enthusias�c and reliable as ever and we have over the past year welcomed 2 new members:- Terri-Leigh Broadhead and Sharon Thompson. 

So, here’s a snapshot of the events that the P&SA have organised over the past year. 

November 2022 – Diana Shaw ran a “ Guess the name of the Sea cadet doll “ compe��on whereupon the winner won a knited Sea cadet doll, Diana has also con�nued to sell second hand books on our behalf and all the proceeds are given to the Unit. 

December 2022 – we took our “ Win a Botle “ stall to the Rotary Club Christmas Fair in the Evron centre. 

On 28[th] January 2023 we hosted a “ Burns Night” supper at the Unit whereupon we fed over a 100 people Haggis, ta�es and neeps. This was followed be a Ceilidh and a great �me was had by all. 

In March the Glass House kindly hosted a Pie and Pea supper on our behalf with all proceeds from the �cket sales and raffle coming to cadets. 

The Glass house also organised a bucket collec�on for us in April during the Folk fes�val. 

In June we hosted a 60[th] birthday party where we received the proceeds from the bar and a generous dona�on from the client. 

We have held stalls at the Rotary Summer fair, the cra� fes�val, Filey in bloom summer fair and the Emergency services day. 

On 23[rd] September we hosted the 1779 annual dinner for the second �me. 

All the feedback from the dinner was posi�ve and complimentary and it now looks as if the 1779 dinner will be an annual event from here on. 

Through a P&SA member we received an anonymous dona�on of a £1000.00 

We have also received the proceeds from a collec�on box at Centenary Way Caravan Park and the Glass house. 

The total amount raised from the aforemen�oned events is 

£6411.68p

The P&SA s�ll have more events lined up for the rest of the year so, we can’t put our feet up just yet.

**Filey Sea Cadets Annual General Meeting** 

## **12[th] October 2023** 

## **Commanding Officer’s Report** 

Let me start with our juniors. 

The decision made last year, to have one separate night for juniors, has proved to be a growing success story and again thanks must go to PO Sinclair and the dedicated juniors instructing team she has built around her. 

As I reported last year, we erev aiming to take in our first 9-year-olds in the first quarter of this year. 

I am very happy to tell you that this indeed happened with support from Area and headquarter and our first 6 joined us in February. 

We received a grant for £1000 to purchase resources for our growing Junior section and this was invested not only the usual paints, paper, pencils etc, but also in STEM kits, material for our unit 3D printer and a cabinet to keep it all in. 

We also received £300 worth of uniforms and the Banner you see here today. 

Last month we took in our second entry of 9-year-olds along with some more 10- and 11-year-olds. 

3 of our original 9-year-olds have moved up to juniors and we currently have 11 9-year-olds and 21 10- and 11-yearolds. This gives us a total of 32 junior cadets. 

We have had numerous Juniors move into seniors and as predicted; we are starting to refill from the bottom upwards. 

Last year we purchased 5 new RS Zests to join the one we already had and replace our aging toppers, and these have been used to their full potential this year. 

Along with our 3 powerboats, and rowing boat we have achieved an average of 38.42 boating hrs per cadet with our annual target. 

The unit command team continues to collaborate well with the Unit Management Team, and we still maintain a close bond and common insight into the future of the unit. 

This year’s offshore training consists of: - 

3 cadets on tall ship TS Royalist back in May 

And 2 on Offshore Power boat TS Jack Petchey in Nov 

Unfortunately, due to cutbacks 2 were cancelled from a trip on offshore power boat TS John Jerwood Last month. 

Our ties with the community are still excellent and we have an active input into local community groups. The Filey 1779 committee which, for a third year, saw us organise a parade to commemorate the Battle of Flamborough Head which was attended by representatives of the Royal Navy and US Navy. We look forward to this event growing bigger over the coming years leading up to the 245[th] Anniversary next year and the 250[th] in 2029. 

As affiliated member of the Royal British Legion we continue to support our local RBL from boxing and delivering poppies on their behalf, to the taking part in all the events at remembrance time. 

Indeed, this year our own Petty Officer Kathryn Bowles is carrying the Legion standard. 

As a unit we are growing stronger and numbers attending continue to rise. 

We all look forward to next year and the new challenges it will bring.

## **Treasurer’s Report** 

Firstly, please accept my apologies for not presenting the accounts. The year end does not sit well in the farming calendar, in what has also been a challenging year for me personally. The accounts will be presented at a later date, for approval and submission to the charity commission, after being independently audited. 

Financially the unit is in a good position having very recently received a generous legacy. The balance of funds as of 09/10/23 is £63,332.89, a proportion of which is ring fenced for the building fund. 

The fundraising efforts of the PSA are noted, without which the unit would not have exist. Also making a contribution of around £3000 per annum are two local groups who hire the hall. 

The unit is now registered with HMRC for the purposes of Gift Aid   Two backdated applications have been submitted which has contributed around £3600 to unit funds. 

The costs of running the unit are rising year on year, the biggest concern being the renewal of the electricity supply contract which is due shortly. Costs are expected to double to around £3500 a year. We have continued to invest in low energy LED lighting to help mitigate it rising further. 

The move away from accepting cash payments from cadets for courses and subs is now working well, with accountability much improved with payments through the bank.
