The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
The Objectives for which the Charity was established are detailed in the Memorandum and Articles of Association but may be summarised as 'to acquire, procure or otherwise obtain and supply medical and surgical equipment, medicines, preparations, appliances and apparatus for the hospitals in South Derbyshire and South East Staffordshire in order to add to the said hospitals' facilities to investigate, diagnose, prevent, relieve and cure sickness and ill health of every kind'.
The Trustees' principal activities for the Charitable Company in the year under review were the raising of funds by voluntary contributions and special efforts for the provision of medical equipment for South Derbyshire and South East Staffordshire.
Public benefit
In considering the operation, achievements and performance and finances of the charity the Trustees are satisfied that public benefit has been provided in accordance with the Charities Act 2006 and the guidance published by the Charity Commission.

ACHIEVEMENTS AND PERFORMANCE
The SAME appeal focuses on raising money to buy new and innovative equipment principally. These tend to be expensive purchases.
Each year, there is discussion and forward planning to ensure that efforts are concentrated towards agreed goals. It will often take more than a year to raise the funds needed for a purchase.
Charitable Activities to date
The charity was registered in October 1983 to raise £500,000 to fund the purchase of the first CT scanner for Derby at the Derby Royal Infirmary. Since then, three further appeals joined the charity: Sight Saver in 1986, the Breast Test Appeal in 1990 and the Bone Scanner appeal in 1992. The latter has in recent years been amalgamated with the Scanner appeal. Each had an initial vital need for a piece of new equipment which were respectively a Yag laser, a mammography machine, and a bone densitometer. These appeals were successful and helped with the development of new services such as a dedicated breast unit and a new osteoporosis service.
Between 1983 and 2025 over £3,500,000 has been raised, allowing the purchase of new and innovative pieces of equipment that would not otherwise have been available for the enhanced delivery of patient care in Derby. Since 2007 services have principally been delivered at the new Royal Derby Hospital. In July 2018 the Derby and Burton Hospital Trusts merged and are now named "The University Hospitals of Derby and Burton (UHDB) NHS Foundation Trust".
The Sight Saver appeal has helped the ophthalmology department deliver ongoing new technology with various retinal cameras, later with infrared and then digital retinal scanners and imaging systems, an orb scanner and in the most recent years a microkeratome microscopy unit. In 2017 OPTOS, a third-generation mobile eye scanning machine was purchased. In 2022 a UV light treatment "cross-linking CXL" was introduced in Derby following the charitable purchase of the required machine.
The Bone Scanner Appeal was successful and achieved its initial goal and subsequently added additional new technology to the system to optimise it, including further software and a package to gather data regarding bone density in men.
The Scanner Appeal has supported funding requests from all over the hospital, including portable ultrasound machines in new sites such as the intensive care unit, new teaching devices, laser, and liquid based cytology support for the gynaecology department.
The Breast Test Appeal funded the first digital mammography unit in 2005. It subsequently funded dedicated breast MRI reporting and biopsy workstations and then biopsy equipment to allow MRI guided breast biopsy. Digital breast tomosynthesis and reporting workstations were introduced in 2014 followed by national research in 2015.
Following extensive trialling and team review over a couple of years, a new technique for marking impalpable breast lesions requiring surgery was introduced into the breast service in 2023. The necessary equipment (Pintuition) to allow routine introduction at both the Derby and Burton Breast Units was funded last year.

FINANCIAL REVIEW
The Statement of Financial Activities for the year are set out on page 7 of the financial statements.
The current funds in the appeal stand at £317,860.
£77,013 was received in donations this year. A significant proportion of this income was received from the Glitz and Glamour group from Ashbourne who raised money through various community projects including a fundraising ball, charity walks and a Christmas market.
The major expenditure during this year was £31,556 from the Breast Test Appeal to facilitate the introduction of contrast-enhanced spectral mammography (CESM) at the UHDB Breast Service. This funded the pump injectors required for the smooth, rapid injection of contrast for CESM and the software licences for the associated computer programmes.
Investment policy
Under its Memorandum and Articles of Association, the charity has the power to make any investment of funds not immediately required to further the objectives of the Trust subject to conditions imposed or required by the legal framework.
Reserves policy
It is proposed to carry forward the sum of £317,860 (2024: £267,918). Surpluses are held in interest bearing deposit accounts until they are required to meet the cost of further equipment purchases.
DERBY SAME APPEAL: PROPOSED NEW DEVELOPMENTS FROM 2025
A website for the appeal to improve awareness of the charity went live during 2024.
It is planned to introduce the option of online donations to aid fundraising in the next year.
Current goals for fundraising
- 'PureGraft 'Lipofilling Kits and Stand (Breast Test Appeal)
Cost: > £20,000
Purpose: Lipofilling is a surgical technique where harvested fat is used to fill soft tissue defects after breast cancer surgery aiming to improve cosmetic outcomes after both breast conservation and reconstruction surgery. The quality of the fat harvested using the ‘PureGraft’ system is superior, resulting in better graft uptake and aesthetic outcome for the patient.
2.OCT Angiogram (Sight Saver)
Cost: ~ £80,000
Purpose: The optical coherence tomography (OCT) angiogram unit includes a specialist anterior chamber OCT unit but is also multimodality to allow it to be used for the widest variety of patients, to enable both diagnosis and follow up of multiple pathologies and post operative patients.
Comment: Awaiting physical space is required to place this new equipment, which is planned for the Florence Nightingale Community Hospital site.

Purpose: To upgrade diagnostic systems using new technology and assist with purchase of equipment.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The organisation is a charitable company limited by guarantee with no share capital, incorporated on 9 September 1983 and registered as a charity on 1 October 1983. The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association.
Recruitment and appointment of new trustees
The board consists of elected members who, with the Chairman administer the Charity. Under the requirements of the Memorandum and Articles of Association at the Annual General Meeting one-third of the Trustees shall retire from office and be eligible for re-election.
Induction and training of new trustees
All Trustees will be familiar with the work of the Charity and are elected by the voting members at the Annual General Meeting.

Risk management
The Trustees use their relevant professional experience and expertise to assess business risk and implement risk management strategies. This involves identifying the types of risks the Charity faces, prioritising them in terms of potential impact and likelihood of occurrence, and identifying means of mitigating the risks. As part of this the Trustees have reviewed the adequacy of the Charity's current internal controls. The Trustees are pleased to report that the Charity's current internal controls conform with guidelines issued by the Charity Commission.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2025.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 September 2025 in accordance with Section 476 of the Companies Act 2006.

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value.
Income
Donations represents donations, covenants, legacies and other voluntary income. These are accounted for gross when receivable, as long as they are capable of financial measurement.
Interest is accounted for as received. All amounts are stated inclusive of any related taxation recoverable.
Expenditure
All expenditure is accounted for gross, and when incurred. Fund raising and publicity expenses are those which relate to the possible generation of further donations.
Management and administration costs relate to expenditure incurred on the day to day operation of the charity.
Equipment to be donated is recognised as expenditure when the commitment is entered into.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
There are no unrestricted funds, all governance costs are apportioned between the various restricted funds.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
