## **Administrative details and Trustees** 

The League of Friends of Ludlow Community Hospital is a Registered Charity No.513978 with a principal office at Ludlow Community Hospital, Ludlow, Shropshire SY8 1QX. The Trustees of the Charity in 2022/23 were:

## **Structure, Governance and Management** 

The Constitution of The League, adopted in March 2003, is based on a model constitution provided by Attend, the National Association of Hospital and Community Friends. The Constitution details the Objects and Powers of The League, Membership, Subscriptions, the Election of the Committee and Officers, Conduct of Meetings, Accounts, Annual Reports and Administrative Rules. 

The Trustees, who must be members of The League, are elected by the membership at the Annual General Meeting to hold office on the Executive Committee. With the exception of the Treasurer and Secretary these Executive Committee posts may rotate every three years. The day to day business of The League is directed and managed by the Executive Committee and reports are made to the general membership by quarterly Newsletter, quarterly meetings and an Annual General Meeting. The Executive Committee of 9 requires a quorum of 5 for the purposes of decision making. 

## **The Activities of the League** 

During the year the League began to get back to normal following the Covid pandemic. 

There has been a focus on building the team of Trustees with new members joining.  In addition to Jeff Walker as Treasurer, Paul Rew, a retired solicitor has joined as has Jennifer Gill, who has great experience as a Hospital Governor.  There have been three more members joining since the end of the year. 

Thanks must go to Marina Clent and Gloria Corfield who retired as Trustees for their great help over the years. 



The League maintains its membership of the Shropshire Association of Hospital Leagues of Friends. In addition a working relationship is maintained locally with other charities active in healthcare provision.  Funds are carefully monitored to eliminate any financial risk. The procedure for procuring and donating equipment and other services ensures that The League cannot be held liable for any operational claims relating to such equipment or services. 

## **Objectives and Activities** 

The object of The League is to provide relief and comfort to patients of the Hospital, and other outpatient residents in the community who are sick, convalescent, disabled, handicapped or infirm and, generally, to support the charitable work of the Hospital. 

To meet this objective, The League supplements the service provided by the Hospital by the provision of facilities and equipment which are required for the benefit of patients or for the efficient running of the Hospital. To meet these aims The League raises funds by subscription, donation and through a programme of fundraising events within the catchment area. 

Specific requests for funding equipment purchases or other financial support are assessed, prioritised by Hospital Management and submitted to The League Executive Committee for consideration. Subject to requests meeting the Objectives of The League and demonstrating competitive purchasing by the Hospital authorities, they are invariably approved.  The League has substantial funds to meet the requests. 

## **Public Benefit** 

During 2022/23 The League has maintained its range of activities to meet its objectives. Members’ subscriptions, legacy and other donations raised £41,983 to which should be added £1,399 in memoriam receipts and £8,673 in interest.   There was a generous one-off, anonymous donation of £20,000 and around £10,000 has been raised by a local business. 

The League maintains a close working relationship with Shropshire Community Health NHS Trust with the aim of providing and supporting a viable range of hospital and community services and providing care closer to home in this rural community. The hospital buildings, based around the 1836 Poor Law Workhouse, are in the main beyond economical refurbishment or adaptation and The League does not contribute towards work to the fabric of the hospital, but continues to provide new equipment. In this financial year expenditure on equipment increased as we recovered from the pandemic with £16,162 being spent.  It was necessary to take professional legal advice to clarify the status of various operational issues which resulted in an increase in legal and professional charges to £1,684.  Administration expenditure was reduced as the league moved to a more internet based method of communication with members. 

The League is looking at ways of cooperating with other providers of care to ensure the maximum number of residents in the area are helped while still meeting its core objectives. 

## **Plans for the future** 

[The League maintains active participation wherever possible in reviews and plans by the Clinical Commissioning Groups and Shrewsbury and Telford Hospitals.]  We need a para here about discussions with the ICB etc  - Jennifer can you help?  The League continues to represent the view that local facilities, based on Community Hospitals, represent good value for money, reduce pressures on District Hospital A&E departments and are essential elements in the move towards Care Closer to Home. 



## **Financial Review** 

The accounts to 31[st] March 2023 are appended to this report including the audit certificate signed by Mr Graham Robinson .  The League has sufficient financial resources to carry out its aims and objectives for the foreseeable future. 

There are no funds held on behalf of others for which The League acts as Custodian Trustees.

## **Respectve Responsibilites of Trustees and Examiner** 

The Charity's Trustees are responsible for the preparation of the Accounts.  The Charity's trustees consider that an audit is not required for this year (under Section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is required. 

Having satisfied myself that the Charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: 

- ~  Examine the Accounts under Section 145 of the 2011 Act 

- ~  To follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the Act), and 

- ~  To state whether particular matters have come to my attention. 

## **Basis of Independent Examiner's Statement** 

My examination was carried out in accordance with General Directions given by the Charity Commission.  An examination includes a review of the accounting records kept by the Charity and a comparison of the Accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the Accounts, and seeking explanations from you as trustees concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and consequently, no opinion is given as to whether the Accounts present a 'true and fair view' and the report is limited to those matters set out in the statements below. 

## **Independent Examiner's Statement** 

In connection with my examination, no matters has come to my attention which : 

1.  Gives me reasonable cause to believe that, in any material respect, the Trustees have not met the requirements to ensure that: 

- (a)  Proper accounting records are kept in accordance with the Act, and 

- (b)  Accounts are prepared with agree with the accounting records and comply with the accounting requirements of the Act;  or 

2.  To which, in my opinion, attention should be drawn in order to enable a proper understanding of the Accounts to be reached.
