OBJECT AND RULES OF THE
LEAGUE OF FRIENDS OF THE LLANDOVERY HOSPITAL

NAME
The naine of the Association is "The League of Friends of The Llandovery Hospital"
PRELIMNARY
Iii tliese Rules:
(a) the expression 'the Lcague, means the Association constituted by these
Riiles.
(b) the expi'ession 'the Cominittee, mcans the Cominittce for the time being of tlie
League as hereinafter constitutcd;
(c) the expression 'the Secrctiiry, means the Scci'etary foi" the time being of the
League being iii force.
(d) the expression 'the Rules, includes any amendment or alteration thereof for
the time being in force.
2. OBJECT
The Object of the Leagyue shall be to relieve patients of the Llandovery Hospital who are
sick, coiivalescent, disabled, handicappcd, infirin or in necd of assistance and genei'ally to
support the charitable work of the said Hospital.
3. POWERS
For the puiposc of carryiiig out the above Object, but not otherwise, the League shall have
the following powers:
3.1 . To educate the public in the needs of the paticnts of the Llandovcry Hospital
and to mobilise, encourage, fostei" and maintain the interest and support of the public
in tlie said Hospital.
3.2. To supplement the service provided by the Llandovery Hospital foi. the
health, welfare and comfort of the paticnts therein, by the provision of facilities,
buildings and equipment which may be required for the treatment of such patients,
oi., for the efficient running of the Hospital.

3.3. To provide, oi. assist in the pi"ovision of, amenities in the Llandovery Hospital
for patients and staff.
3.4. To raisc ftinds, but not by ineans of taxablc ti'ading.
To borrow moncy, invite or receive contributions or grants, enter into
contracts, seek subscriptions and give security for loans (but only in accordance
with the restrictions imposed by the Charities Act).
3.6. To acquire, buy, take on lease, sell, share oi. hire property of any kind whethei.
subject to any special trust oi" not, foi. the Objcct of the Lcaguc.
3.7. To deposit or invest in funds in any mannei. (but to invest only after obtainin&
such advice froin a financial cxpci't as the Trustecs consider necessary and having
I'egyard to the suitability of invcstmcnts and the need for diversification).
3.8. To delegatc the managenient of investmcnts to a financial expert, but only on
terins that:
( l ) the investiiient policy is recoi'ded in writiiig foi. the financial expei"t by
tlie Trustees.
(2) every traiisaction is reported proinptly to the Trustees;
(3) thc performance of the investments is reviewed regulai'ly with the
Trustees.
(4) the Trustees are entitled to cancel the delegation arrangement at any

(6) all payments due to the financial expert are on a scale or at a level

3.9. To insure the property of the League against any foreseeable i'isk and take out
other insurance policies to protect the League when required.
3.1 O. To pay for indemnity insui.ance for the Trustees.

professional or other advisers.
3.12. To enter into contracts to provide services to or on behalf of other bodies.
3.13. To pay the costs of forming the League.
3.14. To accept any propcrty upon or on any special trusts.
3.15. To foster co-operation and intci'coinmunication between otlier chai'itable
institutions, Local Authorities, Healthcare centre Authorities and Natioiial Health
Sei'vice Authorities.
3.16. To const1￿Ct, altci., provide, nianage, maintain, fui.nish and fit with all the
necessai'y furnitiire and other equipinent any biiildings and any other premises or
structures or land.
3.17. To make or receive grants or loans of money and to give any guarantee or
indeinnity in respect of the League's liabilities.
3.18. To set aside fiinds for spccial pui'poscs or as rcscrves agaiiist future
expenditui'e.
3.19. To recruit, and to assist in tlie recruitment of, voluntary workcrs in and for tlie
Llandovei'y Hospital.
3.20. To provide or procure Ihe provision of services, education, training,
consultancy, advice, support, counscllingy, gyuidancc, grants, scholarships, awai.ds or
Iiiaterials in kind.
3.21. To co-opcratc and enter into any arrangemcnts with other bodies,
governinents, aiitliorities or aiiy person, coinpany or association.
3.22. To grive and exchange inforination and advice and to promote education Én all
Inatters rclatiiig to hospitals and hospital manageincnt, to promote research and to
disseininate the i'esults.
3.23. To publish, or contribute to the publication of, any papers, books, periodicals,
reports or other docuinents in any media.
3.24. To promote or undertake study or research and disseminate the results of such
research.
3.25. To hold conferences, meetings, lectures, exhibitions and discussions.
3.26. To relieve distressed and needy patients.

3.27. To iindertakc and execute any Charitable Trust.
3.28. To do anythingT else within the law which promotes or helps to promote the
Object.
MEMBERSHIP
4.1. Mcmbership is open to any individual or oi'ganisation intercsted in
promoting the Objcct.
4.2. The Triistees inust keep a register of members.
4.3. A mcinbcr may resigii by written notice to the League.
4.4. The Trustees inay, by resolutioii, tenninate the ineiiibcrship of any
Ineinber on the ground that, in their reasoiiablc opinion, the membei s coiitiiiued
membership would bc harmful to the League. The Trustees
may only pass such a
resolution after notifying the meinber in writing aiid
consideriiig tlie mattel. in the
light of any written representations which the meinber puts forward within 14 clcai.

4.5. Mcinbcrship of the Leagyue is not transfei'able.
5. GENERAL MEITING
5.1. Members are entitled to atteiid genei'al nieetiiigs of the Lc2< gue eithei. in
pei'son or, in the case of a meinbcr organi,satioii, through an authorised
representative. Gcneral incetings al'e called on at least 21 clear days, written notice
to thc Iiiciiibers specifying tlie busiiicss to bc traiisactcd.
5.2. There is a quorum at a genei.al mecting if the number of Incnibcrs or
authorised representatives personally present is at least six, or l O % of the inembers
if grcatcr.
5.3. The Chairman or, if the Chairman is unable to do so, the Vice Chaii'man or
some other member elected by those present presides at a general meeting.
5.4. Except where otherwise provided by this Constitution, every issue at &
general meeting is determined by il simple inajority of votes cast by the members
present in person or, in the case of a member organisation, through an authorised
representative.
5.5. Except for the chairman of the meeting, who has a second or casting vote,
every member present in person or, in the case of a member organisation, thi'ough
an authorised representative, is entitled to one vote on every issue.

5.6. An Annual General Meeting (AGM) must be held in every year.
5.7. At an AGM the membei's..
( l ) receive the accounts of the League for the previous financial year.
(2) receive the report of thc Trustces on the League's activities since the
previous AGM.
(3) acccpt the retircinent of those elected Trustees who wish to retire or are
i'etii'iiig by I'otation.
(4) elect elected Ti'ustees to fill the vacaiicies arising.
(5) elect from amongy the Inembers a Chaii'man to hold office from the end
of tlie AGM for a period of two years thereafter until the end of the second
AGM after his or hei. appointinent.
(6) appoint an audAtor or independent examiner for the League where
reqiiii'ed;
(7) may confer oli any individual (with liis or lier conseiit) the honorary
titlc of Patron, Prcsident or Vicc-Prcsidcnt of the LetigFiie' and
(8) discuss and detei'mine any issues of policy or deal with any othei.

5.8. Any gcncral Ineeting which is not an ACJM i,s an Extraordinary General
Meeting (EGM).
5.9. An EGM inay be Lalled at any time by the Trustees and inust be called within
14 clear days after a written request to the Trustees from at least six meinbers.
6. THE TRUSTEES
6.1. The Trustees as charity trustees have control of the League and its property
and funds.
6.2. The full number of Tnistees, when complete, consists of at least three and not
morc than seven individuals, all of whom must be members, or aiithorised
representatives.
6.3. The Trustees consist of:
(l ) The Chairman.

(2) six elected Trustees each to serve for a pcriod of three years. One third
(that is two) of the elected Trustees must retire at the end of the AGM on the
third anniversaiy of their appointment, those longest in office i'etii'ing first
and the choice between any of equal service being made by drawing lots.
6.4 A retii'ing Trustee who remains qualified may be re-appointed for a maximum
of four consecutive terms of office, that is twelve years.
6.5 Every Trustee after appointmcnt or rcappointment miist sigii a declaration of
willingiicss to act as a charity trustee of the League before he or she may vote at any
Ineeting of the Trustees.
6.6 A Trustce's terni of office autoinatically tcrminatcs if he or she:
( l ) is disqualified under the Charities Act from acting as a charity tnistee.
(2) is incdpablc, whether mentally or physically, of managTing his or hei.
own affairs;
(3) is absent without notice or pennission from three consecutive Incctingjs
of the Ti'u.stees and is asked by a majority of the other Trustees to resign.
(4) ccases to be a incinbcr of thc Lcagyuc (but such a person may be
reiiistated by resolution of all the otlicr incinbcrs of the Trustces on rcsuining
membership of the League before the next AGM);
(5) resigns by written notice to the Trustees (but only if at least two
Triistees will reinain in office). or
(7) is removed by a resolulion passed by all the other Trustees after they
have invited the views of the Trustcc concei'ned and considci'cd thc mattel. in
the light of any such views.
6.7 A rLtiring Trustee is cntitled, on written request, to an indemnity from the
coiitinuing Trustees at the expense of the League in respect of any liabilities
properly incurred while he or she held office.
6.8 A technical defect in the appointment of a Trustee of which the Trustees are
unaware at the time does not invalidate decision.s taken at a meeting.
7. TRUSTEES, PROCEEDtNGS
7.1. The Trustees must hold at least two meetings each year.
7.2. A quorum at a meeting of the Trustees is four Trustees.

7.3. A Ineeting of the Trustees may be held eithei. in person or by siiitable
electronic means agi'eed by the Trustees in which all participants may communicate
with all other participants.
7.4. The Chairn]an or, if the Chainnan is unable or unwilling to do so, some other
mcmbcr of the Trustees chosen by the Trustees pi"esent presides at each meeting of
thc Trustees.
7.5. Every issue may be determined by a simple majority of the votes cast at a
Iiieeting of the Trustccs but a resolution which is in writing and signed by all tlie
Ti"Iistees is as valid as a resolution passed at a ineeting and foi" this purpose tlie
resolution may be contained in illorc than one doLumLnt and will b¢ treatcd as
passed oil the datc of the last signature.
7.6. Except for tlic chairman of the meeting, who has a second or casting vote,
every Trustee has one vote on eacli issue.
7.7. A procedural defect of which the Trustees arc unaware at the tinie does not
invalidat¢ decisions taken at a meeting of the Trustees.
8. TRUSTEE DECISION MAKING
ThL Trustces have the following powers in the administration of thc Lcagiie:
8.1. To <ippoint a Ti"easurei' and other hoiioi'ary officers froni among theii. number.
8.2. To delegate any of their fuiictions to coiniiiitlees consisting of two or more
individuals appointcd by thein, but at least one IneiiibeT of every cominittee iniist be
a Trustee and all pi'oceedings of cominittees must be reportcd promptly to the
Truslees.
8.3. To make standing orders consistcnt witli tliis Constitution to govern
proceedings at general meetings.
8.4. To makc rulcs coiisistent with this Constitution to govern their proceedings
and proceedings of cominittees.
8.5. To make regulations consistent witli this Constitution to govern the
adrninistration of the Leagyue including the operation of bank accounts and the
coiminitincnt of funds.
8.6. To resolve, or establish procedures to assist the i'esolution of, disputes within
the Leagiie.
8.7. To exercise any powers of the League which are not reserved to a general
rneeting.
9. BENEFITS TO MEMBERS AND TRUSTEES

9.1. The pi"operty and funds of the League must be used only for promoting the
Object and do not belong to the members or the Trustees.
9.2. No Trustee or connected person may receive any payment of money or
other materi<il benefit, whether direct or indirect, from the League except:
(l ) under clause 9.3 (contractual payments)-
(2) reimburseiT]ent of reasonable out-of-pocket cxpenses, including hotel
aiid travcl costs, actually inclirred in the adiniiiistration of tlic League.
(3) a reasonable rent or hii'ing fce for property let or hired to the LeagiiL'
(4) an indemnity in respect ot. any liabilities properly incurred in runniiig
the League (including the costs of a successfiil defence to criminal
proceedings);
(5) paymcnt to a coinpany in whicli thc Trustee has no inoi'c tlian a I pcr
ceiit sliareliolding.
(6) charitable benefits in his or her capacity as a beneficiary.
(7) thc bcnefit of indcmnity insiirance; and
(8) in cxccptional cascs, othcr payments or material bcncfits (but only witli
the prior, written, approval of the Coinmission).
9.3. A Trustce may not bc an einployee of the League, but a Trustee or connccted
pcrson inay entei. into a contract with the Leagiie to supply goods or services in
i'elurn for a payment or other malcrial benetit, but only it.:
( l ) the gyoods oi. scrviLCS are aclually required by the Leagiie;
(2) the nature and level of the beiiefit is no inore than reasonable iii
rLlation to the value of the gyoods or seiviLes and is set at a meeting of the
Trustees in accordance with the procedurc in sub-clause 9.4; and
(3) not more than two of the Trustees are interested in any such contract in
any one financial year.
9.4 A Trustee or member may receive goods or services supplied by the League
on the same terms as a person who is not a Trustee or a member. Whenever a
Trustee or Connected Person has a personal interest in a matter to be discussed at a
meeting of the Trustees or a committee, he or she rnust:
( l ) declare the nature and extent of the interest before the mceting or at the
Ineeting before discussion begins on the matter;

(2) be absent from that part of the meeting unless expressly invited to
reinain in order to provide inforn]ation'
(3) not be counted in the quorum for that part of the meeting.
(4) be absent during the vote and have no vote on the matter.
10. PROPERTY AND FUNDS
l O. l. Funds wliich are not required for immediate use, including those which will
be requircd for use at a futurc datc, must be placed on deposit or iiivested in
accordance with clause 3.18 iintil needed.
10.2. Invcstments and other propcrty of the League n]ay be held in iiame of the
Tiiistee body if incorporated under the Charities Act;
10.3. Dociiinents and physical asscts may be depositcd with (iny coinpany
registered oi. having a place of business in England and Wales as custodian.
10.4. Any custodian appointcd under clause l 0.3 may be paid reasonable fees.
I I. RECORDS & ACCOUNTS
I l . l. The Trustees Inust comply with the rcquirements of the Charities Act as to tlie
kecping of financial i'ecoi'ds, the audit or independent examination of accounts aiid
thc preparation aiid transmission to tlie Commission of..
( l ) annual retui'ns;
(2) annual reports; and
(3) annual statements of account.
11 .2. The Trustees must keep proper records of:
( l ) all proceedings at general meetings.
{2) all proceedings at meetings of Trustees.
(3)
all reports of committees. and
(4) all professional advice obtained.
11.3. Accounting records relating to the League must be made available for
inspection by any Trustee at any time during normal officc hours and may be made
available for inspection by members if the Trustees so decide.
11.4. A copy of the League's latest available statement of account must be supplied
on request to any Trustee or member. A copy must also be supplied, within

two months, to any other person who makes a written requcst and pays the League's
reasonable costs.
12. NOTICES
12.1. Notices under this Constitution may be sent by hand, by post, or by .suitable
electronic Ineans, or (wliere applicable to members gcnerally) may be published in
any suitable journal or newspaper circulating in area of benefit, any journal
disti'ibuted by the Leagiue or on thc Leagyue's website or any tippropriate FaceBook
page.
12.2. The address at which a member is entitled to reccive notices is the addrcss
noted in the register of inembers (or, if none, the last known addi'css).
12.3. Any notice givcn in accordance with this Constitution is to be treated for all
purposes as having been received:
(1) 24 hours after bcing sent by electronic Ineans or delivercd by hand to
the relevant address;
(2) two clear days aftcr being scnt by first class post to that address.
(3) three clear days after beingy sent by second class post to that address;
(4) on the date of publication of a journal or newspapei. cont<iining the
notiLe on the date on wliich it is posted on thc Lcague's wcbsitc oi.

(5) on being handed to thc mcmber or its authorised representative
personally; or, if earlier,
(6) as soon as the meinber ackiiowledges actual receipt.
12.4. A technical defect in the giving) of notice of which the membcrs oi. tlie
Trustees are unaware at the time does not invalidate decisions taken at a meeting.
13. AMENDMENTS
This Constitution inay be amended at a general ineeting by a two-thirds majoi'ity of
the votes cast, but:
13.1. The members must be given 21 clear days, notice of the proposed
amcndinciits.
13.2. No amendment is valid if it would make a fundamental change to the
Object or to this clause or destroy the cliaritable status of the League.

13.3. Clause 9 may not be amended without the prior written consent of the
Commission.
14. INCORPORATION
14.1 . The meinbei's at a general meeting may authorise the Trustees to transfer the
as.sets and liabilities of the League to a liinitcd company or Charitablc Incorporated
Organisation established for exclusively charitable purposes within, the same as or
siinilar to the Objcct and of which the ineinbers of the League will bc cntitled to be
meinbers.
14.2. On a transfcr under clause 14.1 the Tnistees must ensure that all necessary
steps are takeii as to:
( l ) the transfer of land and other property;
(2) the novation of contracts of einployinent and transfer of pension rights.
and
(3) the trusteeship of any property held for special purposes.
15. DISSOLUTION
15.1. If at any time mcnibers at a gencral mectiiig decide to dissolve the Leagyuc,
the Trustees will remain in office as charity ti"ustees and will be responsible for thc
ordcrly winding up of the Leagiie's affairs.
15.2. After inaking provision for all outstandingy liabilities of the League, thc
TrLlStces must apply the reinaining property and funds in one or more of the
following ways:
( l ) by transfcr to oiic or Inore other bodies cstablished for cxclusively
charitable purposes within, the samc as or siniilar to the Object;
(2) directly for the Object or charitable purposes within or similar to the
Object. or
(3) in such other mannei. consistent with charitable status as the
Cominission approve in writing in advance.
15.3. A final report and stalement of account relating to the League must be sent to
the Commission.
16. INTERPRETATION
16.1. In this Constitution:
'AGM' mcans an annual general meeting of the League.

'area of benefit, means [geographical area].
'authoriscd representative, means an individiial who is aiithoriscd by a
member organisation to act on ils behalf at n]eetings of the League.
'bencficiary' Ineans a beneficiary of the League.
'thc Chairman, means the chairnian of the League elected at the AGM.
'the League, means the charity comprised in this Constitution.
'cliarity trustees, has the meaning prescribed by section 97(1) of the Charities
Act;
'the Charities Act, means the Charities Act 2011.
'clcai' day, means 24 hours from midnight following the relevant event;
'the Commission, means the Charity Cominission for England and Wales.
'connected pei'son, means any spouse, civil partner, cohabitee, parent, child,
brother, sister, gFrandparent oi. girandchild of a Trustee, any firm of which a
Trustce is a mcinber or employee or a company of which a Trustee is a
dii'ector, einployee or shai'eholdci. bcing bencficially cntitled to more than I
pei. cent of the share capitill.
'co-opted Trustecs, mcans thosc Trustees who are appointed by the Trustees
in accordance with claiise 6.3(4);
'custodian' has thc meaning prescribed by section 17(2) of the Trustce Act
2000;
'EGM' means an extraoi'dinary general Ineetingy, that is a general meetÉngT of
the members of thc Lcaguc whicli is not an AGM.
'elected Trustees, means those Trustees who are elected at the AGM.
'financial expert, means an individual, company or firin who is authorised to
give investment advice under the Financial Services and Markets Act 2000.
'financial year, means the Leagiue's financial year;
'finn' includes a limited liability partnership.
'fundamental change, means such a change as would not have been within
the reasonablc contemplation of a person making a donation to the League;

'holding trustee, means ali individual or corporate body responsible for
holding the title to property but not authorised to make any decisions relatiiig
to its use, investment or disposal.
'indemnity insurance, means insurance against personal liability incurred by
any Ti￿stee foi. (In act oi. omission which is or is alleged to bc a breach of
triist or breach of duty, unless the Ti"Iistcc conccrned knew that, or was
reckless whether, the act or omission was a breach of trust or breach ofduty.

- **Responsibilities and** As the charity trustees of the Trust, you are responsible for the preparation **basis of report** of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

I have completed my examination.  I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:
