ended 31 March 2025, in compliance with s414C of the Companies Act 2006.

Achievements and Performance

Consideringtheyearwehaveseenoneofstabilityviathesecondyearofdeliveryofthe Healthwatch
LeicesterandLeicestershirecontractandourSectorSupportcontractto31stMarch2027.Our VALUES
projectcontinuedtogrowandincreaseditsincome,andwehaveseenanincreaseinincomefrom office
lettings, alongside growth for our meeting and conference rooms.

Achievements through the financial year

Our key achievements this financial year have been:
VALUES-supportforpeoplewithLearningDifficulties-TheVALUESserviceprovidesdirectsupportto, and
aidstheindependenceof,peoplewithLearningDifficulties.Wehave129serviceusersasat31March 2025
whopayfortheirsupportthroughtheirPersonalBudgetallocatedbytheLocalAuthority.The service
operates7daysaweekand51weeksayear.Thisyearintotal,weprovidedover19,644hrsofsupport to
client s.
SectorSupport-VALhascontractstosupportvoluntaryandcommunitygroupsandvolunteering in
Leicester City (through Health funding only) and Leicestershire. During the year we have:
- Supported 903 people in volunteering in the City and County
-Organised35onlineorinpersoneventswith400attendees-includingourannualFuture Focus
conference.
- Provided Direct Support for 552 local groups. (last year 711)
- Supported local groups to raise £333,368 in new income. (last year £1,213,475)
-Deliveredregularcommunicationtogroupsthroughourwebsiteandfrequentelectronicbriefings- there
arenearly3,504subscriberstooure-newslettersthatprovideupdatesonpolicybriefings, volunteering,
funding and commissioning opportunities and economic impact.
HealthwatchLeicesterandLeicestershire-VAListheaccountablebodyforHealthwatchLeicester and
Leicestershirewhichisthelocalhealthandsocialcarechampion.Thecontractenablesustomake sure
thatNHSleadersanddecisionmakershearthevoicesoflocalpeopletoimprovecare.Wealso offer
reliable and trustworthy information and advice. During the year, we have:
-Published24reportsabouttheimprovementspeoplewouldliketoseetolocalhealthandsocial care
services
-Providedadviceandinformationto10,434people(lastyear8821)abouttopicssuchasmental health
and dentistry
-Spokento9259people(lastyear8040)togaintheirfeedback,viewsandexperiencesofhealth and
social care service, helping us to raise awareness of issues and improve care.
CreativeFutures-VALwasawardedmoniesfromtheUKSharedProsperityFund(UKSPF)tosupport young
peopleintotraining,accreditedcoursesinartsandopportunitiestotestoutworkinginthe creative
industries.Wealsosupporttheyoungpeoplewithemployabilityskills,CVpreparation,jobinterview skills
and how to use LinkedIn to create their online portfolio. During the 9 months funding we have:
- Signed up 73 young people to the project
- Enable 9 young people to get into employment

FINANCIAL REVIEW

Thisfinancialyeartheorganisationhasrecordedan'inyear'deficitof£41,907(2024:surplusof£311,613 -
restated)
Duringthisyearapproximately13.7%ofVAL'sexpenditurewasforthedeliveryofservicestosupport people
intoemploymentortraining,50%wasforHealthandSocialCareservices,5.9%wasforchildrenand young
peopleservices,17.5%wasforsupportingcommunityandvoluntarygroupsandvolunteering,12.4% was
towards raising funds and 0.5% towards governance costs.
VAL had the following significant contracts and grants this financial year:
- Leicestershire County Council - for delivery of support services to the community sector and volunteering.
- Leicester City Council - for delivery of Healthwatch Leicester and Leicestershire.

POLICY ON RESERVES

Thecharityhadunrestrictedreservesof£2,849,817atMarch2025(restated:£2,630,458atMarch2024). After
takingaccountofdesignatedreserves,thecharitycurrentlyholdsfreereservesof£314,353, (restated
£94,994onMarch2024).Thecharity'sreservespolicysetsoutanaimtoaccumulatefreereserves of
£595,000.
The trustees have three purposes for the accumulation of free reserves:

1. To enable the organisation to be wound up if this is found prudent and necessary.

2. To finance the development of new or existing services.

3. To invest in our assets to develop and enhance our income streams.

PRINCIPAL FUNDING SOURCES

Thecharityhasnotundertakenfundraisingfromthepublicinanysignificantwayduringtheyear. The
majorityoffundshavebeenreceivedfromstatutoryauthoritiesthroughservicecontracts,orfrom grant
making bodies such as Trusts.
In the 2024-25 financial year funding was received from:

INVESTMENT POLICY AND OBJECTIVES

TheTrusteeshavereviewedtheirpolicyofretaininginvestmentineasilyaccessibledepositaccounts and
confirmeditisnecessaryforcash-flowpurposestocontinuetoutiliselowerinterestreturnsfrom easily
accessiblesavingsaccounts.Theorganizationhas£256,000(Mar2024:£298,000)investedina 32-day
notice account.

PLANS FOR FUTURE PERIODS

AsnotedinthelastreportthisyearhasseenseveralchangeswithinVALtoensurethatweareinthe best
positiontokeepussustainableandreadytoseekfurtherdiversificationoffundsfortheorganisation. These
changes include:

its

VAL has continued to keep itself in a strong financial position, and the positive recognition of our work with communities and volunteers through this year has improved our status as a valued local pariner. Our Sector Support contract received a three year extension to 31st March 2027 due fo our contract managers realising the valuable contribution VAL plays in supporting local communities. In the coming year we will:

  1. Further develop the relationship between the Integrated Care system and the local VCSE, in light of neighbourhood models of health being developed.

  2. Build up more health and social care related service delivery by VAL.

  3. Regrow our employability offer enabling local people opporiunities to get closer to employment

  4. Further expand our VALUES service - supporiing people with a learning disability to live fulfilling lives as independently as possible. 5. Continue to develop our relationship with the City Council, especially around posifive volunteering and group support.

  5. Engage and build robust relationships with local businesses for the benefit of VAL and the local VCSE.

ThetrusteeswhoarealsodirectorsofthecharityforthepurposesoftheCompaniesAct2006,present their
reportwiththefinancialstatementsofthecharityfortheyearended31March2025.Thetrustees have
adoptedtheprovisionsofAccountingandReportingbyCharities:StatementofRecommended Practice
applicabletocharitiespreparingtheiraccountsinaccordancewiththeFinancialReporting Standard
applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and aims

Thecharity'sobjectsaretopromoteanycharitablepurposesforthebenefitofthecommunityinthe City
ofLeicesterandCountyofLeicestershire,andtopromoteandorganiseco-operationinthe achievement
of this purpose.
OurstrategicprioritieswerereviewedbytheTrusteeBoardearlyin2025whowereguidedby our
commitmenttothegoalofhelpingpeoplechangetheirlivesforthebetter.Asaresult,theTrustee Board
agreed the following five key aims:

1. VAL supports the VCSE to meet community needs in a changing environment

2. VAL and the VCSE work for change for the most disadvantaged people

3. VAL enables local people to influence and challenge health and social care

4. VAL increases the reach of our services

5. VAL is a centre of excellence with high quality and sustainable services

Objects, strategies and activities

VoluntaryActionLeicester(VAL)deliversarangeofdirectservicestoindividualsinneedaswell as
supportingalargenumberoflocalcommunityandvoluntarygroups.Themainactivitieswe have
engaged in this year to fulfil our charitable purposes and deliver public benefit are:
-ProvisionofsupporttopeoplewithaLearningDisabilitytoliveasindependentandfulfillinglives as
possible.

Public benefit

Ourmainactivitiesandtheindividualsandcommunitiesweaimtohelparedescribedabove.All our
charitableactivitiesfocusontheinvolvementofpeopleintheimprovementofcommunitiesand are
undertakentofurtherourcharitablepurposesforthepublicbenefit.Wedonotlimitaccesstoour activities
topeopleandgroupswithinourgeographicareaofbenefitandtakestepstoreducebarrierstoaccess for
individualsandgroupsthroughensuringaccessiblevenues,providingaccessiblematerials,and running
specific projects targeted at disadvantaged members of the public.
TheTrusteeshavereferredtotheCharityCommission'sgeneralguidanceonpublicbenefitwhen reviewing
ouraimsandobjectivesandinplanningourfutureactivities.Inparticular,thetrusteesconsideredhow our
planned activities contribute to the aims and objectives that they have set.

OBJECTIVES AND ACTIVITIES

Use of Volunteers

The charity involves volunteers in a range of ways to enhance our service delivery:
- Governance of the organisation through the Trustee Board;
- A scheme for supported volunteering of people with learning disabilities.
- Via support to those seeking employment and employability skills
Wehaveafullrangeofpoliciesandproceduresinplacetoensurethisinvolvementissuccessful and
beneficialtoallparties.VALisarecognisedInvestorinVolunteers(anationalstandardmanagedby the
NationalAssociationofVoluntaryandCommunityAction(NAVCA)).WearealsoaNAVCA national
Volunteer Centre, and we are only one of 25 in the UK to achieve this.

Employment of disabled persons

Aspartofourpreviousrecognitionasaninvestorinpeoplewehavewellestablishedmechanismsfor the
involvementofemployees.Ourpremisesarefullyaccessibleforpeoplewithdisabilities,andatleast 10%
of our employees have declared disabilities.

Prior year adjustment

Prioryearadjustmentstotheyearended31March2024havebeenmadeinrelationtogrant income
recognition and fixed asset capitalisation.
Anadjustmenthasbeenmadetorecognisegrantsawarded,totalling£642,779wherethe income
recognitioncriteriawasachievedinthepreviousyear.Thishasincreasedincomeandaccruedincome as
at 31 March 2024 by £642,779.
AdditionallyaboilerwaspurchasedinOctober2022whichshouldhavebeencapitalisedonthe balance
sheet.Thiswaspreviouslynotcapitalisedasitfellbelowthematerialitythresholdinprioryear. This
amountedtoacostof£40,000withaccumulateddepreciationof£6,000.Thishasdecreased expenditure
and increased fixed assets by £34,000 as at 31 March 2024.

Going concern

NomaterialuncertaintiesthatmaycastsignificantdoubtupontheabilityoftheCharitytocontinueas a
goingconcernhavebeenidentifiedbytheTrustees.Thereforetheaccountsarepreparedonthe going
concern basis.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

Thecharityisacharitablecompanylimitedbyguaranteeandwassetupon20May1965as an
unincorporatedorganisation.Itwasincorporatedasacompanylimitedbyguaranteeon14March 1978,
andisgovernedbyamemorandumandarticlesofassociation,whichwerelastamendedinFebruary 2022
to move the organisation to the Charity Commission Model.
The organisation was registered as a charity on 31 October 1979.
ThecompanywasestablishedunderaMemorandumofAssociationthatestablishedtheobjects and
powersofthecharitablecompanyandisgovernedunderitsArticlesofAssociation.Underthose Articles
themembersoftheTrusteeBoardareappointedtoserveamaximumperiodof3yearsbefore being
eligibleforre-appointment.HonoraryOfficersareelectedfromamongsttheTrustees,bytheTrustees at
their first meeting after the AGM.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Recruitment and appointment of new trustees

OurTrusteeBoardmembersareallmembersofthecharity(etherindividualmembersor nominated
representativesofgroupmembers).MembershipisopentocommunityandvoluntarygroupsintheCity of
LeicesterandtheCountyofLeicestershire,andtoindividualswhosupportourcharitableobjects. Currently
thereare536voluntaryandcommunitygroupsinmembership.TheTrusteeBoardrecruitnew Trustees
throughseekingnominationfrommembersand/oropenlyadvertisinginthelocalpress. Prospective
Trusteesareinterviewedbyapanelofthreeexistingtrustees.Anynewappointmenthastobeendorsed by
themembershipatthenextAnnualGeneralMeetingbutcanserveinthemeantime.TheTrusteeshave the
power to co-opt up to three further Trustees and to fill casual vacancies arising through the year..

Organisational structure

TheTrusteeBoardcomprisesupto15trusteeswhoappointthreehonoraryofficersfromtheirnumber. The
TrusteeBoardcurrentlymeetmonthlyandtakeallstrategicdecisionsofthecharityaswellas monitor
progress against our activity and financial plans.

Induction and training of new trustees

AllTrusteeBoardmembersreceivetrainingand/orsupportidentifiedfurthertrainingtoenablethemto fulfil
theirroleasTrustees.Alltrusteesreceiveaninductionpackthatcontainsinformationonthecharity and
guidance on their roles as charity trustees and company directors.

Arrangements for setting key management personnel remuneration

TheTrusteeBoardsetstargetsfortheChiefExecutiveeachyear-andmonitorstheirprogressagainst these
targets.Subjecttothisperformance,thefinancialhealthofthecharity,andareviewofthesalary market
forcharityChiefExecutives,theTrusteeBoardmaydeterminetoaltertheremunerationofthe Chief
Executive.

Relationships with Related Parties

Thecharityisamemberoftwonationalvoluntarysectorumbrellabodies,namelyNationalAssociation of
VoluntaryandCommunityAction(NAVCA)andNationalCouncilforVoluntaryOrganisations (NCVO).
These bodies provide best practice advice and link to national policy.

Financial instruments

Objectives and policies

TheCharity'sactivitiesexposeittofinancialrisksincludingcreditrisk,cashflowriskandliquidityrisk.The use
offinancialderivativesisgovernedbythecharity'spoliciesgovernedbytheboardoftrustees which
providewrittenprinciplesontheuseoffinancialderivativestomanagetheserisks.Thecharitydoesnot use
derivative financial instruments for speculative purposes.

Credit Risk

Thecharity'sprincipalfinancialassetsarebankbalancesandcash,tradeorotherreceivables, and
investments.TheCharity'screditriskisprimarilyrelatedtoitstradereceivables.Theamountspresented in
thebalancesheetarenetofallowances,fordoubtfulreceivables.Anallowanceforimpairmentis made
wherethereisanidentifiedlosseventwhich,basedonpreviousexperience,isevidenceofareduction in
the recoverability of cash flows.
TheCharityhasnosignificantconcentrationofcreditrisk,withexposurespreadoveralargenumber of
counterparties and customers.

Liquidity Risk

Inordertomaintainliquiditytoensurethatsufficientfundsareavailableforongoingoperationsand future
developments,theCharityusesamixtureoflongtermandshorttermdebtfinance.Further details

STATEMENT OF TRUSTEES‘ RESPONSIBILITIES

The trustees {who are also the directors of Voluntary Action Leicester known as Voluntary Action Leicestershire (VAL) for the purposes of company law) are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). Company law requires the trustees to prepare financial siatements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS So far as the trustees are aware, there is no relevant information (as defined by Section 418 of the Companies Act 2006} of which the charitable company's auditors are unaware, and each trustee has taken all the steps that they ought fo have taken as a trustee in order to make them aware of any audit information and to establish that the charitable company's auditors are aware of that information. Basis for opinion

WeconductedourauditinaccordancewithInternationalStandardsonAuditing(UK)(ISAs(UK)) and
applicablelaw.Ourresponsibilitiesunderthosestandardsarefurtherdescribedinthe Auditors'
responsibilitiesfortheauditofthefinancialstatementssectionofourreport.Weareindependentof the
charitablecompanyinaccordancewiththeethicalrequirementsthatarerelevanttoourauditof the
financialstatementsintheUK,includingtheFRC'sEthicalStandard,andwehavefulfilledourother ethical
responsibilitiesinaccordancewiththeserequirements.Webelievethattheauditevidencewe have
obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

Inauditingthefinancialstatements,wehaveconcludedthatthetrustees'useofthegoingconcern basis
of accounting in the preparation of the financial statements is appropriate.
Basedontheworkwehaveperformed,wehavenotidentifiedanymaterialuncertaintiesrelating to
eventsorconditionsthat,individuallyorcollectively,maycastsignificantdoubtonthe charitable
company'sabilitytocontinueasagoingconcernforaperiodofatleasttwelvemonthsfromwhen the
financial statements are authorised for issue.
Ourresponsibilitiesandtheresponsibilitiesofthetrusteeswithrespecttogoingconcernaredescribed in
the relevant sections of this report.

Thetrusteesareresponsiblefortheotherinformation.Theotherinformationcomprisesthe information

Basis of preparing the financial statements

Thefinancialstatementsofthecharitablecompany,whichisapublicbenefitentityunderFRS 102,
havebeenpreparedinaccordancewiththeCharitiesSORP(FRS102)'AccountingandReporting by
Charities:StatementofRecommendedPracticeapplicabletocharitiespreparingtheiraccounts in
accordancewiththeFinancialReportingStandardapplicableintheUKandRepublicof Ireland
(FRS102)(effective1January2019)',FinancialReportingStandard102'TheFinancial Reporting
StandardapplicableintheUKandRepublicofIreland'andtheCompaniesAct2006.The financial
statementshavebeenpreparedunderthehistoricalcostconvention,withtheexception of
investments which are included at market value, as modified by the revaluation of certain assets.

Critical accounting judgements and key sources of estimation uncertainty

Estimatesandjudgementsarecontinuallyevaluatedandarebasedonhistoricalexperience and
otherfactors,includingexpectationsoffutureeventsthatarebelievedtobereasonableunder the
circumstances.Theprincipalestimatesandjudgementsthatcouldhaveasignificanteffect upon
the charity's financial results relate to:
Usefuleconomiclivesoftangiblefixedassets-Theannualdepreciationchargefortangible fixed
assetsissensitivetochangesintheestimatedusefuleconomiclivesandresidualvaluesof the
assets.Theusefuleconomiclivesandresidualvaluesarereassessedannually.Theyare amended
whennecessarytoreflectcurrentestimates,basedontechnologicaladvancement, future
investments,economicutilisationandthephysicalconditionoftheassets.Thecarryingamount of
thetangiblefixedassetsisshowninnote13andnote1givestheusefuleconomiclivesfor each
class of assets.

Income

AllincomeisrecognisedintheStatementofFinancialActivitiesoncethecharityhasentitlement to
thefunds,itisprobablethattheincomewillbereceivedandtheamountcanbe measured
reliably.

Donations and legacies

Giftsinkinddonatedfordistributionareincludedatvaluationandrecognisedasincomewhen they
aredistributedtotheprojects.Giftsdonatedforresaleareincludedasincomewhentheyare sold.
DonatedfacilitiesareincludedatthevaluetotheCharitywherethiscanbequantifiedanda third
partyisbearingthecost.Noamountsareincludedinthefinancialstatementsforservices donated
by volunteers.

Donated services and facilities

Intangibleincome,whichcomprisesdonatedservices,isincludedinincomeatavaluationwhich is
anestimateofthefinancialcostbornebythedonorwheresuchacostisquantifiable and
measurable. No income is recognised where there is no financial cost borne by a third party.

Gift aid

IncometaxrecoverableinrelationtodonationsreceivedunderGiftAidordeedsofcovenant is
recognised at the time of the donation.

Investment income

Incometaxrecoverableinrelationtoinvestmentincomeisrecognisedatthetimethe investment
income is receivable.
LeaseincomefromoperatingleasesisrecognisedinStatementofFinancialActivitieson a
straight-line basis.
Government grants
GovernmentgrantsrelatingtotheCoronavirusJobRetentionSchemearerecognisedinincome in
the period in which it becomes receivable under the performance model.

Expenditure

Liabilitiesarerecognisedasexpenditureassoonasthereisalegalorconstructive obligation
committingthecharitytothatexpenditure,itisprobablethatatransferofeconomicbenefits will
berequiredinsettlementandtheamountoftheobligationcanbemeasuredreliably. Expenditure
isaccountedforonanaccrualsbasisandhasbeenclassifiedunderheadingsthataggregate all
costrelatedtothecategory.Wherecostscannotbedirectlyattributedtoparticularheadings they
have been allocated to activities on a basis consistent with the use of resources.

Raising funds

Raisingfundsincludesallexpenditureincurredbythecharitytoraisefundsforitscharitable purposes
and includes costs of all fundraising activities, events and non-charitable trading.

Charitable activities

Charitableexpenditurecomprisesthosecostsincurredbythecharityinthedeliveryofits activities
andservicesforitsbeneficiaries.Itincludesbothcoststhatcanbeallocateddirectlyto such
activities and those costs of an indirect nature necessary to support them.

Governance costs

Theseincludethecostsattributabletothecharity’scompliancewithconstitutionaland statutory
requirements,includingaudit,strategicmanagementandtrusteemeetingsand reimbursed
expenses.

Tangible fixed assets

Depreciationisprovidedatthefollowingannualratesinordertowriteoffeachassetover its
estimated useful life.
Freehold property- 2% on cost
Fixtures and fittings- 5% - 25% straight line
Assetsunderconstruction-Assetsunderthecourseofconstructionareheldatcostand not
depreciated until the asset has been bought into use.
Tangiblefixedassetsotherthanfreeholdpropertiesarestatedathistoricalcostless accumulated
depreciationandanyaccumulatedimpairmentlosses.Historicalcostsincludesexpenditurethat is
directlyattributabletobringingtheassettothelocationandconditionnecessaryforitto be
capable of operating in the manner intended my management.
Fixed assets costing £2,000 or more are initially recorded at cost.

Revaluation of tangible fixed assets

Freeholdpropertyiscarriedatfairvalueatthedateoftherevaluationlessany subsequent
accumulateddepreciationandsubsequentaccumulatedimpairmentlosses.Revaluations are
undertakenwithsufficientregularitytoensurethecarryingamountdoesnotdiffermaterially from
that which would be determined using fair value at the balance sheet date.
Fairvaluesaredeterminedfrommarket-basedevidencenormallyundertakenbya professionally
qualifiedvaluerorwhereappropriatebytheboardoftrusteesonanopenmarketvaluefor existing
use basis. It is the trustees' policy to revalue every 5 years.

Taxation

The charity is exempt from corporation tax on its charitable activities.

recognitioncriteriawasachievedinthepreviousyear.Thishasincreasedincomeand accrued
income as at 31 March 2024 by £642,779.
AdditionallyaboilerwaspurchasedinOctober2022whichshouldhavebeencapitalisedon the
