In April 2020, th¢ then CEO advised the then Tn￿te¢S [0￿ Tr￿¢e5) that he had been urtabl¢ to appoint or even
identify a 5uithbk ¢ontra¢tor io deliver the Further Ethcation ekment of the Charity'$ AFyenticeship
programme to rtplace Calderdale Colleg¢ which had notified the Charity that it would be renewing the
existing relationship. He advised the Old TTUStees in the light of the worsentng trading conditions as a
nsequence of the rapidly developing coronavin￿ pandemic, il would not be possible. in hts opinion, for the
Charity to offer training 5¢ryices and fxililies for the up¢omin8 acadEmi¢ year aTHI that an alternative strategy
Should be consi&red , including the option of ceasing to trade. The Okl Tn￿te¢S authorised the CEO to
investigate the fe￿ibility •nd Consequences of Closing the Charity dowiL On 10 June 2020 the Old T￿￿teeS
decid¢d that the Charity 51wuld ¢¢ase trading ort 30 June 2020 and authori5ed the CEO to proceed arcordingly.
Be￿een then the end of August the CEO and his t¢#rn nolified the ESFA of the decision, fmished or
tra￿Sferred the remaining 267 active le￿n¢T5 to other PTowiders, terniinakd the employment of training Staff,
negoiiated eJthan¢¢d severance pxkages for the CEO and senior mamagers. setured an offer Subject to contra¢t.
for the sale of th¢ Charity's freehold training facility in BTighous¢ (Site) and decommissioned and amnged Jn
auction sale of all th¢ Charity's plani, machinery and equlpment.
The Old Tn￿l￿S dld not w]sult the Memtrts of the Charity. many of whcffj were estsblished u5¢rs of the
Charity's service4 until 30 June 2020 when th¢y distyitrtrted a lett¢T advising the Mernb¢rs that the
apprenliceship training ￿SineSS had Closed.
On becorning aware of the actions of the Old Trnsiees, Members responded angrily being satlsfJ￿ thai given the
strength of its balance shed attd propts managemenL the Charity could only survive but prosper &$ a going
concern." The Mernber5 established an action group to challenge and reverse the decision to Close the CharRty
and to remove the extsling Old Trusiees from office. Facing a vote of no confiden¢t and the threat of ￿MOV8]
by resolution pursuant lo section 168 (1) Companies Ath 2(￿6. the Qld Tn￿1¢¢$ cancelled the. Hiirtion and th¢
property sale. appointed four nomintts from th¢ action group &8 additional Trustees (New Tntstees) and on I I
Sepiemb¢r 2020, en bloc. since whith tsn¢ the Charity ha$ (¥*T*¢d un&r the c4mtrol of the New
Trn5t¢¢s.
Having preserved the Charity's Cppital assets. the focus of the New TrU￿rtS since their app)tntsneM has been to
re<stsblish the Charity as the provider of facilities to a55iSt in the provfftsion of industrial and conjmercial
training. a task made signtficantly more difficuh by virtiK of the fa￿ th* the actioJ)s of their predecessors
resulied in th¢ removal of the Charity from the Register of Appwentictship Trnining Providers. In the p¢riod
between SewembeT 2020 and March 2021 the New TrU￿rtS undertrrtjk an exhausti¥e due diligence pmcess out
of which no less than 5 potential strategic partsiers. would be able to assist the C￿rity to TeThenier the
markeL were identified. Ultimatety the Charity eniered into an #Tranganent with Calderdale College to ensure
thai the training of apprentices from the Sit¢ would recommence from the start of the 2021122 a¢ademic year. In
the short tenn the Chwity's involvement 1$ based on the licensing of the workshops within the Sile its.
machinery. plani . equipment and otber faciliti￿ to gene￿e th¢ limited irtcome stream required to service its
minimal outgoings witil su¢h time as the direct delivery of apprenti¢¢5hip training and other services can be

previous year because of the extraordinary expenditure whith the Charity vds obliged io incur as a cons¢quence

included the funding of clawbacks demanded by the ESFA. the pa￿ent of sigrtificantly enhanced severw]¢e
packages io the CEO and his senior manag¢meDt team, kgal fe¢$ aTKI the cosi of wo￿$ whith the New Trustees
were obliged to wiikrtake to recommission and make safe parts of the infrastrucruTe of the Site. plani

As # cons¢quence. Cash Reserves decreased from £2,496.103 to £1.593,843. a d¢uease of £90226Q (36•h).

need to 80 through a period of rehabilitation and rtconciliation before it would have any chanc¢ of making a
sucvss￿l applicalion arml be abk to deliver tiainll¥ itself.
In the meantime the pUry￿e buih site. the Worksho￿ the training faciliti￿ plant machinery ¢quipment

In order to fulfil their clwitsble obje£tives the Trustees needed to ideniify and make arrangements with one
more strategic pattrers who would utilise the facilities for their intended puryh)se. To that end the Chwity
entered into a licence agreement which allows Calderdale Colleg¢ to occiipy part.of the Site and use the
¢quipmeni for th¢ training of 4)prentice5 in cons1derati￿ of a monthty occupati¢)n fee which the Charity will
use io defray its expenses.
Stsff have been and wÈll be recrniied io manage the Charlty's f￿anCial. operational and athninistrative fimctions
with a view to the Charity being abl¢ to provide trainin8 ID Health and Safety and to offer ¢{￿ferenCe facilities

view to increasing the membership of the Clwity.

similar basis to the College and discussion5 are well advanced with an Internati￿la1 franchisor which might

The Charity has retaiiied the services of .an extremely experienced and well qualified individual on a
onsultsncy basis who i5 tasked with in¢reasAtig the Charity's profile and improving its relationship with similar
